Rswrds ivWon ~Y Q~y 0 H oID~ n 0 N REGIONAL DETENTION POND EASEMENT THIS REGIONAL DETENTION POND EASEMENT ("Easement") is entered into as of luyg 17 1996, by and between LA TERRA LIMITED e*~ PARTNERSHIP, a Washington limited partnership ("Grantor") and THE CITY OF M AUBURN, a Washington municipal corporation ("Grantee"). 1W RECITALS ;p A. Grantor owns certain real property located in the City of Auburn, King T9 County, Washington, and is more particularly described on EXHIBIT A. EXHIBIT A is incorporated into this Easement by this reference ("Detention Pond Parcel"). B. Grantor also owns real property near the Detention Pond Parcel on which a thoroughbred racetrack and related improvements are being constructed ("Racetrack Parcel"). City of Auburn Ordinance No. 4689 dated June 29,1994 ("Ordi_nance 4689") granted, a conditional use permit-for constnuction and operation of ® the racetrack, subject, however to certain conditions that include the construction and maintenance of a regional storm drainage facility on the Detention Pond Parcel (the "Facility"). C. The Facility has been constructed and the parties desire to guarantee the City's long term use and maintenance of it, all as required by Ordinance 4689. D. This Easement conveys to Grantee an easement for long-term use and maintenance of the Detention Pond Parcel and the Facility, and is intended to comply with the requirements of Ordinance 4689. .D1t~ r REGIONAL DETENTION POND EASEMENT PAGE 1 [24269-2/SB961150.233]9+ 6/17/96 AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants set forth in this Easement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows: 1. Grant of Easement; Acceptance of the Facility and Use Grantor conveys and quitclaims to Grantee an exclusive, perpetual easement to use and maintain the Detention Pond Parcel as a stormwater detention pond in accordance with all applicable laws, rules and regulations, including, without limitation, Ordinance 4689. This grant of easement is subject to all easements, covenants, reservations and restrictions of record and in this Easement. By executing this Easement, Grantee acknowledges that the Facility complies with all requirements of Ordinance 4689, and accepts the Facility subject, however, to the obligations of Northwest Racing Associates Limited Partnership to satisfactorily complete the one (1) year warranty maintenance period specified in the approved "Wetland v4 Maintenance and Enhancement Plan for the N.W.Corner Storm Drainage Facility." 10 2. Maintenance and Repair N Grantee shall have the sole responsibility for the maintenance, repair and to operation of the Facility. Grantee shall maintain the Detention Pond Parcel and the W Facility in good operating condition for use as a stormwater detention pond in M compliance with Ordinance No. 4689, including, without limitation, Sections 3.D., 4.A. and 4.B. of Ordinance 4689. _ _ _ 3. Indemnity Grantee agrees to release, indemnify, defend and hold Grantor harmless from and against and for any and all liabilities, obligations, penalties, fines, suits, claims, demands, actions, costs and expenses of any kind or nature, that may be suffered by, imposed upon or asserted against Grantor, directly or indirectly arising out of or related to Grantee's use and maintenance of (or failure to use or maintain) the Detention Pond Parcel and the Facility, or the exercise of (or failure to exercise) any other right granted in this Easement, or the fulfillment of (or failure to fulfill) any of its obligations under this Easement. To the fullest extent permitted by applicable law, Grantee's obligation to so release, indemnify, defend and hold Grantor harmless shall apply without regard to the negligence or strict liability of Grantor. The foregoing indemnity shall include, but not be limited to, any claims for injury to or death of persons (including, without limitation, Grantee's employees, agents, servants and REGIONAL DETENTION POND EASEMENT PAGE 2 [24269-2/SB961150.233]9+ 6/17/96 contractors), damage to property, nuisance, attractive nuisance, the release of hazardous or toxic substances, wastes or materials and environmental damages. 4. Option to Convey Property Grantor shall have the right at any time, in its sole and absolute discretion, to elect to convey fee title to the Detention Pond Parcel to Grantee by quitclaim deed. Grantee agrees that Grantor may convey the Detention Pond Parcel to Grantee upon written notice to Grantee of its election to do so, and Grantee accepts such conveyance conditioned only upon delivery of such a quitclaim deed, and agrees that it will accept delivery of such a quitclaim deed from Grantor. 5. Perpetual Easement in Gross The easement granted in this Easement is a perpetual easement "in gross." It is for the benefit of Grantee only and is not assignable. This Easement and Grantor's rights and obligations under this Easement shall be covenants running with the land and shall inure to the benefit of and be binding on Grantor and its heirs, successors and assigns forever. 6. Governing Law This Easement shall be construed in accordance with the laws of the State of Washington. Dated as of the day and year first above written.
