A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
AUBURN, WASHINGTON, AUTHORIZING THE MAYOR
TO EXECUTE A SECOND ADDENDUM TO THE
CURRENT SERVICES AGREEMENT WITH AVIATION
MANAGEMENT GROUP, LLC FOR THE DAY TO DAY
OPERATION AND MANAGEMENT OF THE AUBURN
MUNICIPAL AIRPORT, PROVIDING FOR A NINETY DAY
EXTENSION THEREOF
WHEREAS, the City of Auburn and Aviation Management Group, LLC entered
into an agreement on November 18, 2013, for the day to day operation and
management of the Auburn Municipal Airport with the term of said Agreement being
from January 1, 2015, to December 31, 2015; and
WHEREAS, the City Council approved Resolution No. 5166 on September 14,
2015, authorizing the First Addendum to the Agreement that was executed on October
5, 2015; and
WHEREAS, the First Addendum extended the term of the Agreement executed
on November 18, 2013, to December 31, 2016; and
WHEREAS, the parties have negotiated in good faith on a new Agreement with
the interest in executing said new Agreement; and
WHEREAS, despite these -good faith efforts, there are outstanding points of
negotiation that will require additional time beyond the December 31, 2016, termination
date specified in the First Addendum; and
WHEREAS, the parties wish to extend the term of the agreement for an
additional ninety (90) calendar days beyond the current December 31, 2016, termination
date to March 31, 2017, to allow appropriate time for needed remaining negotiations;
and
WHEREAS, this extension will minimize any potential disruption to airport
management and operations at the Auburn Municipal Airport; and
WHEREAS, the City Council finds that it is in the interest of the public health,
safety and welfare of the citizens of Auburn to authorize the aforementioned extension.

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, KING
COUNTY, WASHINGTON, HEREBY RESOLVES as follows:
Section 1. The Mayor is authorized to execute a Second Addendum to the
Agreement executed on November 18, 2013, for the day to day operation and
management of the Auburn Municipal Airport Services in substantial conformity with
Exhibit "A" attached herein with Aviation Management Group, LLC.
Section 2. The Mayor is hereby authorized to implement such administrative
procedures as may be necessary to carry out the directives of this legislation.
Section 3. This Resolution shall be in full force and effect upon passage and
signatures hereon.

ADDENDUM NO.2 TO THE AGREEMENT
BETWEEN THE CITY OF AUBURN AND
AVIATION MANAGEMENT GROUP,LLC
EXTENDING THE CURRENT SERVICES
AGREEMENT FOR DAY-TO-DAY OPERATION
AND MANAGEMENT OF THE AUBURN
MUNICIPAL AIRPORT
THIS ADDENDUM is made and entered into this /1-day of at ��
20 f 10 , by and between the CITY OF AUBURN, a municipal corporation of the State of
Washington (hereinafter referred to as the "City"), and AVIATION MANAGEMENT
GROUP, LLC (hereinafter referred to as "AMG"), as a Second Addendum to the Agreement
between the parties for day to day operation and management of the Auburn Municipal Airport
executed on the 18th day of November, 2013, with the first addendum to the Agreement
executed on the 5th day of October, 2015, following City Council passage of Resolution No.
5166 on the 14th day of September, 2015, authorizing said first addendum.
WITNES SETH:
WHEREAS, the parties hereto have heretofore contracted for airport operation and
management services for the Auburn Municipal Airport services and each appreciates that
contracting for such services provides a number of mutually beneficial advantages, and in order
to provide further advantages for each of the parties, they agree that the Agreement referred to
above should be amended as provided hereinbelow.
NOW THEREFORE in consideration of their mutual covenants, conditions and promises,
the PARTIES HERETO HEREBY AGREE as follows:
ITEM ONE REVISION TO Section 10 of Addendum No. 1 executed on October 5,
2015: That Section 10 of the Agreement is amended to read as follows:
10. Term of Agreement.
The Term of this Agreement shall be extended from its termination date on the 31"
day of December, 2016 for a maximum period of ninety (90) calendar days ending
on March 31, 2017, unless otherwise agreed to in writing by the parties.
ITEM TWO REMAINING TERMS UNCHANGED: That all other provisions of the
Agreement between the parties for day to day operation and management of the Auburn
Municipal Airport executed on the 18th day of November, 2013, with the first addendum to the
Agreement executed on the 5th day of October, 2015, following City Council passage of
Resolution No. 5166 on the 14th day of September, 2015.
IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day
and year first above written.
