SARAH MURREY and PAMELA MURREY ("Property Owner") shall defend, indemnify, and hold the City of Auburn, and its officers, officials, employees, agents, contractors, and volunteers harmless from any and all claims, injuries, damages, losses, or suits, including attorney fees, arising out of or in connection with the sidewalk removal and replacement, removal of tree roots and the retention of the tree(s) associated with Sidewalk Repair Application No. 5R02o3- 0 o V % except for injuries and damages caused by the sole .negligence of the City of Auburn. The Property Owner acknowledges that the removal of tree roots may cause severe tree damage, and that the Property Owner is responsible for monitoring tree health and for removing trees should it become necessary. The Property Owner also acknowledgesthat they remain responsible for any future damage caused by retained trees. The Property Owner hereby convey(s) and grant(s) unto the City of Auburn, its contractors, employees, agents, successors and assigns, the right to enter upon their Property as needed to complete the work identified in this Agreement, including the removal and replacement of sidewalks, and the restoration of the property's yard and/or frontage to like or better condition as existing prior to the City's construction activities. The Property Owner acknowledges and agrees that this Agreement shall run with the land and shall bind all subsequent transferees of the Property unless and until rescinded by the City. Prior to transferring ownership of the Property, Property Owner agrees to provide written notice of this. Agreement to the transferee.
