HomeMy WebLinkAbout4592 . 9 10 11 12 13 14 15 16 17 18 19 20 . 1 ORDXHANCE HO. 4 5 9 2 2 3 4 AN ORDINANCE OF THE CITY COUNCIL OF THE CI'I'Y OF AUBURN, WASHINGTON, APPROVING AN APPROPRIATION OF FUNDS J~S PROVIDED IN THE CONTRACT FOR SOCIAL SERVICES BETWEEN THE CITY AND THE HOUSING AUTHORITY OF THE COUNTY OF KING. 5 6 WHEREAS, the Auburn city council of the city of Auburn 7 must adopt and approve all appropriations by Ordinance 8 pursuant to Chapter 35A.33 RCW; and WHEREAS, the Housing Authority has determin«~d the need to have certain social services performed for its residents but does not have the manpower or expertise to perform such services; and WHEREAS, the Housing Authority desires to have the city of Auburn perform such services. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, DO ORDAIN AS FOLLOWS: section 1. Pursuant to Chapter 3 5A. 33 ncw, the City hereby approves the expenditure and appropriation of a maximum total amount of FIFTY-ONE THOUSAND SIXTY DOLLARS ($51,060.00) which constitutes funding as authorized in the Contract for 21 Social Services between the City of Auburn and the Housing 22 Authority of the County of King. 23 24 25 26 section 2. A copy of said Contract is attached hereto as Exhibit "A" and is incorporated herein. 8 section 3. The Mayor is hereby authorized to implement 9 such administrative procedures as may be necessary to carry out the directions of this legislation. section 4. This Ordinance shall take effect and be in force five (5) days from and after its passage, approval and publication, as provided by law. Sc.Q~..QÍ Services to be_!'.§.I.Lo.pl)~d_J¿YAgenç.y, The Agency shall perform those services described on Exhibit A attached hereto and incorporated herein by this reference as if fully set forth. In performing such services, the agency shall at all t1mes comply with all Federal, State and local statutes, rules and ord1nances applicable to the performance of such services and the handling of any funds used in connect10n herewith. 2. Compensat10n and Method of Payment. The Housing Authority shall pay the Agency for services rendered accord1ng to the rate and method set forth on Exhibit B attached hereto and incorporated herein by this reference. The total amount to be paid shall not exceed $51.060.00. 3. Aqency Budqet. The Agency shall apply the funds received under this Agreement within the maximum limits set forth in this Agreement and according to the budget itemized on Exhlb1t B. The Agency shall request prior approval from the Housing Authority whenever the Agency desires to amend its budget by transferr1ng funds among the budget categor1es. 4. Durati.oJ:l_.Q.LAqreJ!.!11en_t. Nothing ln thlS Agreement shall be considered to create a relatlonsh1p of employer and employee between the parties hereto. Nelther Agency nor any employee of Agency shall be ent1tled to any benefits accorded Housing Authority employees by virtue of the serVlces provided under this Agreement. The Housing Authority shall not be responsible for w1thholding or otherwlse deduct1ng federal lncome tax or social security or contribut1ng to the State Industrial Insurance Program, or otherWlse assuming the duties of an employer with respect to the Agency, or any employees of the Agency. 6. Indemnifica~i~~~ The Agency shall indemnify. defend and hold harmless the Housing Authority, its agents and employees, from and against any and all liability arising from injury or death to persons or damage to property resultlng in whole or in part from acts or omissions of the Agency, its agents, servants, officers or employees, irrespectlve or whether in connection or such act or omission it alleged or claimed that an act of the Housing Authori t y, or its agents, or employees caused or contr lbuted thereto. In the event that the Houslng Authorlty shall elect to defend itself against any cla1m or SU1t arising from such inJury, death or damage, the Agency shall, in addltion to indemnifying and holding the Housing Authority harmless from any liab11ity, indemnify the Housing Authority for any and all expenses incurred by the Housing Authority in defending such clalm or SUlt, includlng attorney's fees. 7. Insurance. A. The Agency shall procure and malntaln in full force throughout the duration of this Agreement comprehensive general liabili ty insurance with a minimum coverage of $ 500,000.00 per occurrence/aggregate for personal injury and property damage. Said policy shall name the Housing Authority of the County of King as an additional named insured and shall include a provision prohibiting cancellation or reduction in the amount of said policy except upon thirty (30) days' prior written notice to the Housing Authority. Cancellation of the required insurance shall automatically result in termination of this Agreement. Housing Authority of the County of King Social Services Contract Page 2 of 5 {~/c c! (f)/ ;r 7.' B. In addition to the insurance provided for ln Paragraph A above, the Agency shall maintain or insure, that its professional employees or contractors maintain professional liability insurance in the event that services delivered pursuant to this Agreement, either directly or indirectly, lnvolve prov1ding professional services. Such professional liability 1nsurance shall be maintained 1n an amount not less than $500,000.00 comb1ned single limit per claim/ aggregate. For the purpose of thlS paragraph "professional services" shall mean any services provided by a physician, licensed psychologist, or other licensed professional. A and B fifteen C. Certification of coverage as required by Paragraphs above shall be delivered to the Housing Authority within (15) days of execution of this Agreement. 8. Fecord Keepinq an~~ortinq. A. The Agency shall maintain accounts and records, including personal, property, financial and programmatic records which suff iciently and proper ly ref lect all d1rect and indirect costs of any nature expended and serVlces performed in the performance of this Agreement and other such records as may be deemed necessary by the Housing Authority to ensure proper accounting for all funds contributed by the Housing Author1ty to the performance of this Agreement and compliance with this Agreement. B. These records shall be maintained for a period of seven (7) years after term1nation hereof unless permisslon to destroy them is granted by the office of the archlvist ln accordance with RCW Chapter 40.14 and by the Housing Authorlty. C. The Agency shall submit monthly program accomplishment reports (Exhibit C) which compare actual vs. projected accomplishments and expenditure rates. ProJected performance measures and expenditure are listed on Exhibit C. This report shall be submitted monthly, along with the Agency's request for reimbursement which shall be submitted on Agency letterhead. The records and documents with respect to all matters covered by this Agreement shall be subject at all times to inspection, review or audit by the Hous1ng Authority or any other government agency so author1zed by law during the performance of this Agreement. The Housing Authority shall have the right to an annual audit of the Agency's financial statement and condition. 10. 'j:'erminatj.on. This agreement may at any time be terminated by the Housing Authority giving the Agency th1rty (30) days written notice of the Housing Authorlty's lntention to terminate the same. If the Agency's insurance coverage lS canceled for any reason, the Housing Authority shall have tl~e right to terminate this Agreement. 11. Discrimination Prohibited. The Agency shall not discriminate against any employee, applicant for employment, or any person seeking the services of the Agency to be provided under thlS Agreement on the basis of race, color, religion, creed, sex, age, national or igin, mental status or the presence of any sensory, mental or physical handicap. 12. ASS1Qnment and subc_Q!)~J:ªÇ.:L. The Agency shall not assign or subcontract any portion of the service contemplated by this Agreement without the written consent of the Houslng Authority. 13. Entire Aqreement. This agreement contains the entlre Agreement between the parties hereto and no other Agreements, oral or otherwise, regarding the subject matter of the parties hereto. Either party may request changes ln the Agreement. Proposed changes which are mutually agreed upon shall be incorporated by written amendments to this Agreement.
