PARKING LICENSE AND INDEMNITY AGREEMENT
This Parking License and Indemnity Agreement (this "Agreement") dated as of January 6, 2010,
is made by and between the CITY OF AUBURN, a Washington municipal corporation ("City"),
and AUBURN REGIONAL MEDICAL CENTER, INC., a Washington corporation ("ARMC"),
with reference to that certain real property described as follows: proposed condominium Units 4,
5, 6, 9, 11, 12, 13; 14, 19, 20, 21, 22, 27, and 29 (the "Property") as graphically depicted on the
condominium survey map and plans for the proposed Auburn Central Parking Garage
Condominium (the "Condominium"), a copy of which is attached hereto as Exhibit A, which is
located at lst St NW and North Division in the City of Auburn, King County, Washington.
ARMC hereby grants to the City an exclusive temporary license to use the Property for the
parking of operable passenger motor vehicles, subject to the terms and conditions of this
Agreement.
The term of this Agreement shall begin on January 6, 2010 (the "Commencement Date"), and
shall terminate upon the first to occur of the following events: (1) the conveyance of ownership
of the Property from ARMC to the City under a separate agreement between the City and
ARMC, (2) April 1, 2010, or (3) the termination of this Agreement as provided herein. This
Agreement may be terminated by mutual agreement of the parties, or by ARMC with cause upon
five (5) business days' prior written notice to the City. For the purposes hereof, cause shall mean
the failure of the City to comply with any provision herein or failure to perform any act required
of it herein; provided that if the City corrects such failure within the five (5) day notice period,
the Agreement shall not be terminated.
The City shall not allow any waste, damage, or destruction to occur to or within the Property or
the remainder of the Condominium. Upon termination or expiration of this Agreement, the City
at its sole cost and expense shall restore the Property to its condition as of the Commencement
Date. Without limiting the foregoing, the City specifically agrees not to allow any toxic,
hazardous, or petroleum products to be discharged, deposited, released, or stored within the
Property or the remainder of the Condominium by any agent, contractor, employee, guest,
invitee, licensee, or tenant of the City, or by any other person acting under the City's control.
The City assumes all risks and liabilities arising out of the use of the Property or entry within the
Property by the City, any agent, contractor, employee, guest, invitee, licensee, or tenant of the
City, or by any other person acting under the City's control.
The City hereby releases and forever discharges ARMC, its affiliates, parents, and subsidiaries,
and their respective directors, employees, managers, members, officers, and partners, from and
against any liability to the City arising from or relating to the use of the Property or entry within
the Property by the City, any agent, contractor, employee, guest, invitee, licensee, or tenant of
the City, or by any other person acting under the City's control.
In consideration of the making of this Agreement, the City shall be liable for and shall save,
indemnify, defend, and hold harmless ARMC, its affiliates, parents, and subsidiaries, and their
respective directors, employees, managers, members, officers, and partners, from and against all

liabilities, losses, claims, damages, and expenses, including costs and attorney's fees, arising
from or relating to the use of the Property or entry within the Property by the City, any agent,
contractor, employee, guest, invitee, licensee, or tenant of the City, or by any other person acting
under the City's control. In the case of negligence of both the City and ARMC, any damages
allowed shall be levied in proportion to the percentage of negligence attributable to each party,
and each party shall have the right to seek contribution from the other party in proportion to the
percentage of negligence attributable to the other party.
The City understands and agrees that ARMC is not supplying any equipment or services relating
to the Property or Condominium under this Agreement.
By signing below, the parties acknowledge that they have read and understand this Agreement.
In witness whereof, the parties, acting by and through their duly authorized officers, have set
their hands to this Agreement.
