AGREEMENT FOR ARTISTIC SERVICE
THIS AGREEMENT is made and entered inb:> this'l]!!':day of h 2005, by and
between the City of Auburn, Washington, a Municipal Corporation of the tate of Washington herein
referred to as "CITY" and The Russian American Kids Circus On Stage, Inc., c/o agent The Brad
Simon Organization, Inc., 122 East 5ih Street! New York, New York 10022, (Telephone: 212-980-
5920), herein referred to as "ARTIST".
WHEREAS, the CITY desires to contract with the ARTIST to provide an artistic performance for
the public in Auburn, Washington; and
WHEREAS, the ARTIST has agreed to perform the work in compliance with the terms and
conditions of this Agreement;
NOW THEREFORE, the CITY and ARTIST in consideration of the conditions and covenants
herein do agree as follows:
1. RETENTION OF ARTIST
The CITY does hereby retain the ARTIST to perform the work and services descrilbed herein.
The parties agree that the ARTIST is an independent contractor and shall furnish all
supervision, labor, and all other incidentals except as specifically provided herein and the
ARTIST agrees to conduct and complete the performance in a competent and professional
manner in accordance with the terms of this Agreement.
2. SCOPE OF WORK
The ARTIST agrees to provide the following specific services in its artistic performance: One
(1) two-hour matinee performance, including a 20-minute intermission, on Sunday,
September 18, 2005, at 2:30 p.m. at the Auburn Performing Arts Center. The
ARTIST will perform one (I) 60-minute school show for third-grade students at
10:00 a.m. on Monday, September 19, 2005.
3. SITE OF PERFORMANCE
The ARTIST will conduct its performance at the Auburn Performing Arts Centel", 700 East
Main Street, Auburn, Washington 98001.

4. REQUIREMENTS
A. The CITY shall provide the following for this performance:
1. Two (2) single hotel rooms from Friday, September 16, ~!005 through
Sunday, September 18, 2005; Eight (8) double hotel rooms for
Saturday, September 17, 2005, and Sunday, September 18, 2005.
2. Local ground transportation to and from the SeaTac Airp10rt and
between the hotel and venue on Saturday, September 1~', 2005
through Monday, September 19, 2005.
3. All promotion of performance, including press releases, I>>aid
advertising, radio public service announcements, radio interviews,
brochures and postcards.
4. Box office management and staffing.
5. Rental of Auburn Performing Arts for load-in, rehearsal and matinee
performance on Sunday, September 18, 2005 and school show on
Monday, September 19,2005.
6. Green Room hospitality, including lunch and dinner for a maximum
of 20 people on Sunday, September 18, 2005, and lunch lFor a
maximum of 20 people following the school show on Morlday,
September 19, 2005.
7. Ushers and front of house staffing.
8. Performance programs.
The ARTIST shall provide the following for the performance:
1. Provide scores and parts for the company and pay all fees; (if any)
associated with public performance of music.
2. Engage and rehearse the company.
3. Provide program, biographies, and photographs of performing artists
for performance program and public relations materials b'r July 25,
2005.
B. Technical Requirements
The CITY shall provide the following technical assistance for this
performance: The CITY will assist with coordination of technical services
between the Auburn Performing Arts Center and the ARTIST. ThE! CITY
agrees to provide technical labor for this prOduction, as detailed iin the

In consideration of the services to the CITY in connection with th~rtistic performance, the
ARTIST shall receive total compensation of Fifteen Thousand and No/I00s Dolllars
($15,000). A fifty percent (500/0) performance deposit, payable by check made out
to The Brad Simon Organization, Inc., in the amount of Seven Thousand F:ive
Hundred and No/I00s Dollars ($7,500) is due upon complete execution o,f this

contract. The balance, Seven Thousand Five Hundred and No/I00s Dollars
($7,500), will be delivered to the ARTIST's company manager, or his/her designee,
immediately following the school performance on Monday, September 19, 2005.
The performance deposit will be refunded in full in the event of cancellation by
ARTIST. In the event the CITY cancels, the deposit is non-refundable.
The ARTIST shall be provided ten (10) complimentary tickets for the pE!rformance.
It will be agreed between the CITY and the ARTIST as to the distributicln of these
tickets.
6. PAYMENT
The ARTIST shall be paid by the CITY for the completed work and performance in compliance
with the terms of this Agreement. Such payment shall be full compensation for all work
performed and services rendered under the terms of this Agreement. The payment to the
ARTIST shall be in compliance with the regulations of the CITY Finance Department. The
ARTIST agrees to be responsible for payment of any and all taxes, which may be due as a
result of performance under this contract. A fifty percent performance depo!!iit of Seven
Thousand Five Hundred and No/I00s Dollars ($7,500) will be paid to AIt.TIST's
agent upon complete execution of this contract. The balance of Seven '"housand
Five Hundred and No/I00s Dollars ($7,500) will be delivered to ARTIST's company
manager or hiS/her designee immediately following the school performl:lnCe on
Monday, September 19,2005.
7. PROMOTIONAL RESPONSIBIUTIES
ARTIST shall provide the following promotional materials to the CITY:
A. Promotional materials shall be mutually agreed upon between the CITY and
the ARTIST.
B. The CITY will market the performance as defined in Section 4.
8. INDEMNIFICATION
The ARTIST agrees to indemnify, defend and hold the CITY, its agents, representatives and
employees harmless from and against any and all claims, causes of action or demands or any
form of liability of any nature including, but not limited to any copyright infringements for
musical performances, arising out of the performance and obligations contained in this
Agreement on the part of the ARTIST, its agents, representatives and employees E!XCept
where such claims arise solely from the negligent acts of the CITY, its agents, representatives
or employees.
9. INABIUTY TO PERFORM
If ARTIST is incapacitated from rendering services through sickness or otherwise, or if ARTIST
cannot perform because of fire, accident, act of God or impossibility of performance, the
ARTIST shall not receive any compensation for the time during which the services

have not been rendered. Every effort shall be made between ARTIST clnd CITY to
reschedule the performance(s) at a mutually agreed upon date.
10. TERMINATION
In the event the ARTIST or the CITY defaults or fails to comply with any of the requirements
of this Agreement, or any obligations hereunder, the CITY may at its option terminate the
Agreement. Such remedies shall be in addition to any other right or remedy each may have.
11. NOTICES
Any notice required or permitted under this Agreement may be personally served, or given in
writing, and shall be deemed sufficiently given or served if sent by registered or certified mail
addressed to the respective parties as follows:

Either party may at any time designate a different address to which notices shall Ibe sent.
Notice given in accordance with these provisions shall be deemed received when mailed.
12. GENERAL PROVISIONS
The following provisions may apply:
A. No waiver by either party of any breach or default hereunder shall be deemed a
waiver of any preceding or any subsequent breach or default.
B. This Agreement may not be changed or modified nor any provision hereof waived
except in writing agreed to by both parties.
C. This Agreement shall be construed in accordance with and all questions with respect
hereto shall be determined by the laws of the State of Washington.
D. The ARTIST agrees to pay all reasonable costs, attorney's fees and expenses that may
be incurred by the CITY in enforcing the provisions of this Agreement.
E. In the performance of the work herein, the ARTIST agrees to comply with all
applicable State and local laws, rules and regulations.

"EXHIBIT A"
TECHNICAL RIDER
lOBBY AREA
PRODUCER requests one (1) table in the lobby for fundraising purposes of the Circus,
a nonprofit organization.
PERFORMANCE AREA
The ideal stage dimensions for optimal performance are as follows:
length of stage: 60 feet Depth: 45 feet Ceiling: 16 Feet High*
Wing Space: Minimum 5 to 10 feet on each side with at least 4 feet of
back stage area. Wing space must be empty and free of any obstacles. WE~ also
require a prop table for each wing.
*Flying equipment requires a minimum a ceiling of a least 16 feet.
The stage and off-stage area must be swept and mopped within 24 hours b1efore the
performance, and load-in. The FLOOR CAN NOT BE WET, WAXED OR TO BE
SLIPPERY DUE TO THE CIRCUS NATURE!
MINIMUM STAGE AREA NEEDED
The least amount of necessary stage space is as follows:
length of stage: 30 feet Depth: 25 feet Ceiling: 16 feet High*
Wing Space: Minimum 3 to 8 feet on each side with the minimum of walkway space
backstage. Note that we are able to plan a performance for any size stage but need
advance notice of a least four weeks.
Fl YING EQUIPMENT
We sustain our own rig for flying equipment, which consists of a Spanish web (vertical
rope about 20 feet long attached to the ceiling) and a luna ring.
PURCHASER must provide PRODUCER with exact size and height of beams.
PURCHASER must also provide PRODUCER with a ladder tall enough to reach beams.
SOUND
THE FOllOWING SHOULD BE IN PLACE PRIOR TO lOAD-IN:
MAIN AUDIENCE SPEAKER SYSTEM:
Adequate to provide clear, even coverage to the audience seating area.
The system can be stereo or mono and must include all necessary amplifier and
processors for professional operation.
MONITOR SPEAKER SYSTEM:
Mix in monitors is same as in the house. Two (2) full-range speaker~ located near the
down stage wings (left & right) for playback positioned to provide sound coverage of the
entire performance area and include amplifiers as requested. In spaces with Eixtremely

large thrusts, 2 additional full-range speakers must be added to act as monitors past the
proscenium.
HOUSE SOUND TECHNICIAN: Experienced with the in-house sound system.
GENERAL SOUND INFORMATION:
In terms of sound requirements we will use the house system and will need to have one
wireless mike and one with at least 20 feet of cable. The receivers will be located off
stage and connected to our house mix position via house snakes. We require a mixing
console, 2 CD players, and system processing. PRODUCER'S Stage Manager and
Sound Cue Operator prefer to be in an enclosed booth during the show, but will run the
show from the rear center orchestra, if necessary.
During the advance phone contact, please make the Stage Manager aware of any kill
seats or seats that may need to be removed from the audience seating for this purpose.
Two (2) microphones are needed: one (1) with wire (for the clowning act) and one (1)
witho ut.
BASIC LIGHTING AND ELECTRICAL PERFORMANCE REQUIREMENTS
We will need use of the full house lighting system with two follow spots. All electrical
equipment is connected to the house system unless one is not available. A lighting plot
and channel set-up will be provided within 2 weeks prior to the performance.
A complete black-out must be available for the show and for pre-show technical checks.
If there are windows, they must be covered as to let no light in.
Light necessities:
- House lights are needed during the audience participation segments.
- Blue lights are needed during the special juggling acts.
- Two (2) spotlights.
SET-UP AND REHEARSAL TIME
When there is no flying equipment, we need a minimum of two-hours set-up time.
When flying equipment is required we need a minimum of three-hours to set-up for the
performance. With multiple shows over a series of days, we must leave the l~quipment
set up and the house must guarantee that the equipment will be safe and secure in an
area with no or limited access. ALL SHOWS REQUIRE THREE HOURS OF
REHEARSAL TIME PRIOR TO THE PERFORMANCE WITH THE ENTIRE CREW
(STAGE MANAGER, AND LIGHTING AND SOUND MANAGERS).
LOADING ACCESS:
The Producer's staff must be able to bring all vehicles right up to the performance area
for load-in. Load-in must be done on a hard surface (ie: paved, cemented), not grass or
dirt. If vehicles cannot be brought up to the stage or performing area, purchaser must
provide, at its sole cost and expense, means to move equipment to the performing site.
If indoors, Purchaser must provide Producer's staff with the quickest and easiest route
to the performance site. If performance area is on a different level from loading area, a
freight elevator large enough for the road boxes must be made available.

For show to start on time, the stage, wings, and load-in area must be entimly clear of all
other props, sets, and other obstructions BEFORE the pre-set load-in time. Three (3)
tables must be set-up and cleared off backstage.
BACKSTAGE
Two (2) long tables of approximately 3' by 6' in each wing are needed for Circus props
(for rehearsal and show).
One (1) table approximately 2' by 4' is needed in the wing to hold a mini-disk player.
PARKING:
Parking must be available at venue and hotel for two (2) 15-passenger vans for the
entire time that PRODUCER is in the area. PURCHASER must arrange fm permits and
parking spaces for the two (2) 15-passenger vans.
LABOR REQUIREMENTS:
PURCHASER agrees to provide at least the following crew, who can change job titles,
for the load-in, running, and load-out of the production.
FOR LOAD-IN AND LOAD-OUT
5 Persons performing interchangeable jobs.
Within the crew the following skills must be covered by at least one (1) member:
Fly tech. (rigger)
Electric / Lighting board operator: (experienced with the house lighting systems)
Sound person experienced with house sound system
Normally, no load-in will take place between midnight and 6:00 am.
The production usually requires 2-3 hours before the first performance (see SET-UP
AND REHEARSAL TIME above from the beginning of load-in to the openingr of the
house. (Provided that all washes and specials have been hung and focused prior to
load in). PURCHASER will be solely responsible for any local union or non-union
requirements for labor, musicians, teamsters, or any other such personnel al1d for any
such fees, salaries, penalties, dues, benefits, etc. in connection with the presentation of
the production.
FOR PERFORMANCES
Stage manager - 1 Person
Electrics - 1 Person
Follow Spot - 2 Persons
Sound..:.... 1 Person
Personnel should be consistent throughout all phases and days of production and be
familiar with the theater. Hired professionals only - no students or volunteers, unless
approved in advance by the Producer. Light board operator should be very well versed
with input and linking of cues.
PURCHASER should provide a list of emergency contact numbers of venue personnel.
The theater must provide ushers to keep the doors closed during the first ten minutes at
the beginning of the performance and to make sure all side doors are kept shut. Patrons
are to exit through the lobby and not through such side exits except for emer91ency
situations.

FLOOR REQUIRED FOR PERFORMANCE AREA
Due to the nature of the circus performance we do not perform on concretEl floors.
Concrete floors may be covered with rubber tiles or mauley carpeting. ThE~ floor surface
must not be waxed or slippery.
COSTUMES
Please provide an iron and ironing board for single show. For multiple shows on
multiple days please provide a washer and dryer.
DRESSING ROOMS REQUIREMENT
Please arrange for individual dressing rooms close to the stage with a bathmom for
male and female performers. We will also need a green room where the pElrformers
may rest and have refreshments.
DO NOT lock the dressing rooms: the rooms must be open and available from rehearsal
time until the end of the show and for the entire stay of the Circus.
HOSPITALITY
Purchaser, at its sole cost and expense, must provide Producer with three (3) different
and separate meals, enough for 16-20 people, such as breakfast, lunch anal dinner:
Exact hospitality rider to follow 30 days prior to performance.

Bagels with low-fat cream cheese

30 x 1.5 L bottles of water (flat, not fizzy)
Coffee, tea, 'fixings' cups, stir sticks
Fresh fruit trays
Vegetable trays
Assorted fresh sandwiches made with fresh whole wheat or multi-grain bread.
NO PROCESSED FOOD, OR PROCESSED LUNCH MEAT, PLEASE!!
At least 10% of sandwiches should be vegetarian
One hot food entree
Plastic glasses, paper plates, plastic utensils, paper towels
~ Dinner
Any traditional hot dinner, ie: American or Italian (no Spanish, Mexican, or Japanese food)
Water, coffee, tea, milk, natural juices (apple, orange, cranberry)
Tray of fresh salad (different dressings)
Fresh fruit trays
Pasta (vegetable or meat) or vegetable fried rice or mashed potatoes
Grilled chicken/ or beef
Bread, butter, cream cheese
Water, coffee, tea, milk, natural juices (apple, orange, cranberry)
Tray with sweet stuff (cookies, muffins, donuts) - no creams on it
Lunch and dinner are two separate meals and should be treated as such.

'. Catering should be available from move in onward, and should be availablE! in a private
area exclusive to the cast and crew.
When PRODUCER provides two (2) or more performances per day, PURCHASER
must provide three (3) separate meals. If a performance begins at 10:00AM,
PURCHASER must provide two (2) meals (breakfast and lunch).
PUBLICITY
On day of the performance, interviews are subject to PRODUCER'S approval and no
live interviews will be allowed between the hours of 5:00 a.m.-7:00 a.m.
If PURCHASER wants to request the Russian American Kids Circus the day before
scheduled performance, PURCHASER will have to compensate the Russian American
Kid Circus for an entire day.
We will work with you regarding performance stage area as we can
adapt programmatically to any stage area.

AFTER THE PERFORMANCE
PRODUCER would appreciate a list of sponsors, including their names and addresses,
for a special "Thanks" from the Circus.
PRODUCER requests a computerized box office report to be provided by thH end of
performance.
PRODUCER requests the promo clips used to promote the Circus by the end of
performance.
