STORM DRAINAGE EASEMENT AGREEMENT
THIS STORM DRAINAGE EASEMENT AGREEMENT (the "Easement
Agreement") is made and entered into as of the day of 2002, between OPUS
NORTHWEST, L.L.C., a Delaware limited liability company (the "Grantor") and CITY OF
AUBURN, a Municipal corporation (the "Grantee").
RECITALS
A. Grantor is the owner of that certain property located in the City of Auburn, King
County, Washington, legally described as follows (the "Grantor's Property"):
Lot "A", Lot "B", and Tract "F" of City of Auburn Lot Line Adjustment No.
LLA-02-0014, as recorded under Recording No. 20020724000970, Records of
King County, Washington.
B. Grantor has agreed to grant certain easement rights to Grantee for the purpose of
ingress and egress and for the purpose of installing and maintaining storm drainage facilities
subject to the terms, covenants and conditions set forth herein below.
NOW, THEREFORE, in consideration of the mutual terms, covenants and conditions
set forth herein, the Grantor and Grantee hereby agree as follows:
1. Grant of Easement. Grantor hereby grants and conveys to Grantee a perpetual
nonexclusive easement over, under and across the "Drainage Access Easement" legally
described in Exhibit A attached hereto and shown on the sketch attached hereto as Exhibit B for
ingress and egress and for the purpose of installing and maintaining storm water drainage
facilities.
2. Use. Grantee shall use the Drainage Access Easement for purposes of installing,
maintaining and repairing storm water drainage facilities. Grantor reserves the right to use and
occupy the Drainage Access Easement for any purpose consistent with the rights and privileges
above granted and which will not interfere with Grantee's rights therein or use thereof.
3. Maintenance. The Grantee shall be responsible for maintaining the Drainage
Access Easement and storm water drainage facilities therein in a good and functional condition
and in compliance with all applicable laws, ordinances, covenants, rules and regulations.
4. Binding Effect. This Easement Agreement shall be a covenant running with the
land as a burden upon the Grantor's Property for the benefit of Grantee. This Easement
Agreement shall be interpreted in accordance with the laws of the State of Washington.
S. Modification. This Easement may not be amended, modified or terminated
without the written consent of the owner of the Grantor's Parcel and the Grantee.
