For and in consideration of FIVE HUNDRED DOLLARS ($500), Mutual Benefits to be derived
by the parties hereto, Grantor, Marmon Keystone Corporation, a Delaware Corportation,
hereby conveys and warrants to the City of Auburn, a municipal corporation of King County,
Washington, Grantee herein, a perpetual Nonexclusive Easement under, over, through and across
the following descri bed real property for the purpose of building, constructing and maintaining a
32 feet wide access road and appurtenances thereto, said real property being described as
follows:
SEE EXHIBIT "A" ATTACHED HERETO AND BY THIS REFERENCE MADE A
PART HEREOF.
This Easement shall not be a covenant running with the above-described real property and shall
be binding as long as the Grantee operates the adjoining operational facility and uses the
Easement for the purposes set forth herein.
Said Grantee shall indemnify, hold harmless and defend Grantor from any and all claims, costs,
expenses and liabilities, including reasonable attorney and consultant fees and costs of suits,,
incurred in any action or proceeding arising from or as a result of the death of any person, or any
accident, injury, loss or damage whatsoever caused to person or property which shall occur
associated with Grantee's access road, except to the extent caused by the negligent or willful act
or omission of the Grantor. Said document(s) were filed for;

Said Grantee shall use reasonable efforts not to interfere with Grantor's use and enjoyment of
Grantor's property.
This easement is given under the threat of and in lieu of Eminent Domain.

LOCATED AT THE SOUTHWEST CORNER .
. That portion of the.here in after described parcel 2 of Statutory Warranty Deed recorded
under King County Auditor's file number 7309050206 lying west of the following described
line:
_ _ Beginning, on_the: north.boundary_ of-Section, 24, Township 21 North, Range 4 East,
W.M., 100.00 feet easterly of the north quarter corner of said Section 24; thence easterly along
said north boundary of Section 24 a distance of 947.36 feet to the True Point of Beginning of
said line; thence southerly perpendicular to said north boundary of Section 24 to the centerline of
an easement granted to the Northern Pacific Railway Company, dated June 21, 1927
(unrecorded) and the southerly terminus of said line.

feet along the north line of said Section 24 to the West line of the Northern Pacific Railway
property; thence south 02°29'20" east along the west line of said Northern Pacific Railway
property on distance of 766.00 feet, which is the true point of beginning of the tract herein
