Said Grantee shall indemnify, hold harmless and defend Grantor from any and all claims, costs, expenses and liabilities, including reasonable attorney and consultant fees and costs of suits,, incurred in any action or proceeding arising from or as a result of the death of any person, or any accident, injury, loss or damage whatsoever caused to person or property which shall occur associated with Grantee's access road, except to the extent caused by the negligent or willful act or omission of the Grantor.
