Background Summary:
The City of Aubum entered into an Agreement for Consulting Services in the amount of $12,425 with
, AH _B,L, Inc. on D.ecember 8, 2010 to develop trail alignment options for the initial segment of the City's
Au6um Environmental Park 6oardwalk trail project funded earlier this year by the Washington State ,
Office ofRecreation and Conservation (Attachment 1). That work is now complete. Preliminary
alignment options fiave been developed, and a geotechnical technical evaluation for the boardwalk
foundations has been completed.
Withcompletion of the preliminary survey and trail alignment work, sufficient information has been
gathered to develop a scope of workrand budget for the completion of design worlc for the project.
Sfaff, seeks approval to amend the Agreement for Consulting Services with AHBL, Inc., dated
December 8, 2010, to complete the design and permitting work for the project (Attachment 2).
Amendment 1 proposes to:
' Revise the scope of work of the agreement to include final design;
Extend the term of the agreement through December 31, 2011;
Increasethe amount ofcompensation under the agreement to $44,225; and
Establish an administrative identification number for the Agreement.
Staff will provide a brief project status update at the Committee meeting.

THIS AGREEMENT made and entered into on this S aay of
2010, by and between the City of Auburn, a municipal corporatibn of the State of Waslungton,
hereinafter referred to as "City" and, AHBL, Inc., a Washington corporation, hereinafter:referred .
to as the "Consultant." .
WITNESSETH: '
_ WHEREAS, the City is engaged in or readying itself to be engaged in its praject of
gathering information and preparing base data necessary for the development of the Auburn
Environmental Park (AEP) Wetlands:.Trail and associated improvements, and.is in need of:
' services of individuals, employees or firms for work on said project; and, '
WHEREAS, the City desires ta retain the Consultant to provide certain services in
connection with the City's work on said project; and, '
WHEREAS; the_ Consnltant is qualified and able to pravide consultuig, services in .
connection with the City's `needs for the above,described work/project, and is wilIing and
agreeabie to provide such seivices upon the terms and condirions herein contained.
NOW, THEREFORE, the parties hereta agree as follows:
1. Scope of Seivices.
The Consultant agrees to perform in a good and professional. manner the tasks described
on Exhi6it "A" attached hereto and incorporated herein by this reference. (The tasks
described on Exhibit "A" shall he individually referred to as a: "task," and collectively
- referred to as the "services.") _ The .Consultant shalt perform the services as an
independent contrACtor and shall not'be deemed, by virtue of this Agreement and the
performance thereaf, ta have entered into any partnership, joint venture, employment or
other relationship with the City. 2. Additianal Services. From time to. time hereafter, the parties hereto may agree to the performance by.the
' Consultanf of adtlitional services with respect to related work or projects. Any such
agreernent(s) shall be set forth in writing and shall be executed by the respective parties
prior to the Consultant's peiformance of the services there under; except as may be
pibVided to the conhary in Section 3 of this Agreement. Upan prope.r completion and
execution of an addendum (agreement for additional seivices), such addendum shall he
incorporated into this Agreement and shall have the same force and effect as if the terms
of such addendum were a part of this Agreement as originally executed. The
performance of services pursuant to an. addendum shail be subject to the _ ternis and
conditions of this Agreement except where the addendum pravides.to the coritiaiy, in
which case the terms and conditions of any such addendum shall' control. 'In: a11 ottier
respects, any addendum shaIl supplement and be construed in accordance with the terms
and conditions of this Agreement.

3. Performance of Additional Services Prior to Execution of an Addendum.
The parties hereby agree that situations may arise in which seivices other than those
described on Exhibit "A" are desired by the City and the time period for the completion -
of such services makes the -execution of, addendum unpractical prior tb the
commencement of the Consultant's performance of the requested services. The
Consultant hereby agrees that it shail perform such sexvices upon the oral ~ request of an

autliorized representative of the City pending executian of an addendum, at a rate of
compensation to be agreed to in connection therewith. ' The invoice procedure for any
such additional services shall be as described in Section 7 of this Agreement.
4. Consultant's Responsibitities.
, a. The Consuitant hereby represents and warrants that he has all necessary licenses .
and certifications to perform the services provided for herein, and is qualified to perform
such services.
b. During the performarice of this contract, the Sponsor agrees #o comply with all
, . federal and state nondiscrimina.tion laws, regulations and policies.
5. City's Responsibiliiies. The City shall do the following in a timely xnanner so as not to delay the services of the
Consultant:
_ a. Designate in writing a person to act as the City'sxepresentative with respect to the
services. The City's designee shall have complete authority to transmit
instructions, receive information, interpret and define the City's policies and
decisions with respect to the services.
, b. Furnish the Consultant with aII information; criteria, objectives, schedules aiid
, standards for the pxoject and the services provided for herein. c. Airange for access ta the property or faciiities as required for the Consultant to
perform the services provided for herein.
d. Examine and evatuate aIl studies, reports, memoranda, plans, sketches, and other
documents prepaied by the Consultant and render decisions regarding such
documents in a timely manner to prevent delay af the services.
6. Acceptable Standards. .
The Consultant shall be responsible to provide, in connection with the scrvices
contemplated in this Agreement, work product and services of a quality and professional
standard acceptable to the City.
7. Compensatian.
As corapensation for the Consultant's performance of the services provided for hereiri,
the City shall pay the Consultant the fees and costs specified on Exhibits "B" and "C"
attached hereto arid made a part hereof up ta a total coniract amount of Twelve Thousand,
Four Hundred Twenty Five and.no/100 Dollars. ($12,425.00).
The Consultant shall submit to the City an invoice or statement of time spent on tasks
included in the scope of work provided herein, a.nd' the' City shall process the invoice or
statement in the next billing/claim cycle following receipt of the invoice or statement, and

shall remit payment to the Consultant theieafter in the normal course, subject to any
conditions.or provisions in this Agreement or addendum. "
8. Time for Performance and Term of Agreement. .
T'he Consultant shall perform the services provided for herein in accordance with the
direction and scheduling provided on Exhibit "B" aitached hereto and incorporated hereiri
by this reference, unless otherwise agreed to in writing by the parties. The Term ofthis
Agreement shall. commence, ori the date hereof, and shall terminate upon completian of
the performance of the scope of work provided herein not later than January 31, 2011,
unless otherwise agreed to in writing by the parties.
9. Ownership and Use of Documents.
AIl documents,., reports, memoranda, diagrams, sketches,, plans, surveys, design
, calculations, working drawings and any other :materials created or otherwise prepared by ,
tb.e Consultant as part of his performance of this Agreement (the "Work Products") shall
be owned by and become the property of the City, and may be used .by.the City for any
pezrpose beneficial to the City. ,
' 10. Recorcls Inspection and Audit.
All compensation payments shall be subject to the adjustments for any amounts found
upon audit or otheTwise to have been improperly invoiced, and all records and books of
accounfs pertaining to any. work performed under this Agreement shall lie subject to
inspecrion and audit by the City for a period of up. to three.(3) years from the final
payment for work performed under this Agreement. _
11. Continuation of Performance. . .
In the event that any dispute or conflict arises between the parties while this Contract is in
effect, the,.Consultant agrees that, notwithstanding such dispute or conflict, the Consultant
' shall continue to .make a good faith.;effort. to cooperate and continue work toward
successful completion of assigned duties and responsibilities.
12. Administration of Agrecment.
This Agreement shall be admiriistered by Richard Hartlage, Principal, on behalf of the
' Gonsultan#, and by the Mayor of the City, or designee, on behalf of the City. Any written
notices. required by the terms of fhis Agreement shall be serued ; on or mailed to the

13. Notices. .
All notices or communications permitted or required to be given under this Agreement ,
shall be in writing and shall be deemed to have been duly given if delivered in person or
deposited in the United States mail, postage prepaid, for mailing by certified mail, return

receipt requested, and addressed, if to a party of flus Agreement, to the address for the
party se# forth above, or if to a person not a party to this Agreement, to the ad'dress
- deszgztated by a party to this Agreement in the foregoing manner.

w Any party niay change his, her or its address by giving notice in writing, stating his, her
or its new address, ta any other party, all pursuant to the procedure set forth in this
- section af the Agreement. _
14. nsurance: _
The Consultant shall be responsible for maintaining, during the term of this Agreement
and at its sole cost and expense, the types of insurance coverages and in the amounts
described below. The Consultant shall furnish evidence, satisfactory to the City, of all
such policies. During the term hereof, the Consultant shall take aut and maintain in full
force and effect the following insuxance policies:.
a. , Cominercial General Liability insurance, iusuring the City and the Consultant against
: Ioss or damages tuising from premises, operations, independent contractors and
personal injury and advertising injury. The City shall be named as an insured under
the Consultant's Cornmercial General Liability insurance policy with respect to the
work performed for the City, with minunum liability limits of $1,000,000.00
combined single limit for personal injury, death or property damage in any one
occurrence.
? b. Such workmen's compensation and other similar insurance as may be required by
law.
c. Professional liability insurance with minimum liability limits of $1,000,000.
d. Automobile Liability insurance covering all owned, non-owned, hired and leased
vehicles. Covei•age shall :be :written on Insurance Services Office (ISO) form CA 00
01 or a substitute form providing equivalent liability coverage. If necessary, the
" poiicy shall be endorsed to provide contractualliability coverage. ,
15. Indemnificahon.
The Consultant shall indemnify, defend and hold harmless the City and its officers,
agents and employees, or any of them from any and alI claims, actions, suits, liability,
- loss, costs, expenses, and damages of any `nature whatsoever, including attomey fees, by
any reason of or arising out of-the act or omissivn of the Consultant, its officers, agents,
employees, or any ofthem relating to or arising out of theperformance of this Agreement
except for injuries and damages caused by the sole negligence of the City. If a final
judgment is rendered against the City, its officers, agents, employees andlor any of them,
or jointly against the City and "the Consultant and their. respective officers, agents and
employees, or any of them, the Consultant shall satisfy the same to the extent that such
judgment was due to the Consultant's negligent acts or, omissions.
16. Assi n~ ment•
Neither party to this Agreement shall assign any.right or.obligation hereurider in whole or
in pail, without the prior written consent of the o#her party hereto. No assignment or

transfer of any interest under this Agreement shall be deemed to release the assignor from
any liabiIity or obligation under this Agreement, or to cause any such liability or
obligation to be reduced to a secondary lia6ility or obiigation,
17. Arnendment,lVlodification or Waiver.
No amendment, modification or waiver of 'any condition, provision or term of this
Agreement shall be valid or of any effect unless made in writing, signed by the party or
parties to be bound, or such party's or parties' duly authorized representative(s) and
specifying with particulsrity the nature and extent of such amendment, modification or
waiver. Any waiver by ariy party of any default of the other party shalI not effect or
.impai'r any right arising from any subsequent default.
Nothing herein sha11 Iimit the remedies or rights of the parties hereto under and pursuant
to this Agreemenf. 18. Termination and Suspension.
Either paity may terminate this Agreement upon written notice to the other, party if the
other parfy fails substantially to perform in accordance with the terms of this Agreement
ihrotigh no fault of the party terminating the Agreement.
The City may termiriate this Agreement upon not less than seven ('n days written notice
to the ConsuItant if the services provided for herein are no longcr needed from the
Consultant.
If this Agreement is terminated through no fault of the Consultant, the Consultant shall be
compensated for services performed prior to termination in accordance with the rate of
compensation provided in Exhibit ``B" hereof.
19. Parties in Tnterest.
This Agreement shall. be binding upon, and the benefits and obliga#io.ns provided for
herein shall uiure to and bind, the parties hereto and their respective successors and
assigns, provided that this :section shall not be deemed to permit any trarisfer or
assignment otherwise prohibited by this Agreement. This Agreement is fpr the exclusive
benefit of the parties hereto and it does not create a confracfual relationship with or exist
for the benefit of any third party, including contractors, sub-contractors and their sureties.
20. ~ Costs to Prevailing Partx,
In the event of such litigation or other legal action, to enforce any rights, responsibilities
or obligations under tliis Agreement, the p'revailing parties sha11 be entitled to receive its
- reasonable costs and attorney's fees. 21: Applica6le Law.
This Agreement and the rights of the parties hereunder shall be governed by the
interpreted in accordance with the Iaws of #he State of Washington and venue for any
action heretuider shall be in of the county in Washington State'in which the properly or
project is Iocated, and if not site specific, then in King ~County, Washington; provided,,
however, that it is agreed and understood that any applicable statute of limitatiaii shall
' commence no later than the substantial completion by the Gonsultant of the services.

22. Captions. Headings and Titles. .
All captions, headings or titles in the paragraphs.or sections of this Agreement are
inserted for convenience of reference. anly: and - shall not constitute a pmt of this
Agreerrfent or act as a limitation of the scope of the particular paragraph or sections to
which they apply. As used herein, where appropriafe, the singular shall include the plural
and vice versa and masculine, feminine and neuter expressions shall be interchangeable. `
Inteipretation or construction of this Agreement shall not be affected by any
. determination as to who is the drafter of this Agreement, this Agreement having been
dra8ed by mutual agreement of the parties. ,
. 23: Severable Provisions.
Each provision of this Agreement is intended to be severable. If any provision hereof is ,
illegal or invalid for any reason whatsoever, such illegality or invaiidity shall not affect
the validity of the remairider of this Agreement.
24. Entire AUeement.
This Agreement contains the entire understanding of the parties hereto in respect to the
transactions contemplated hereby and supersedes all prior agreements and understandings
between the parties with respect to such subject matter.
25. CounterpartS•
This Agreement may be executed xn multiple counterparts, each Qf wluoh stialT be one
and the same Agreement and shali became e,ffective when one or more counterparts have
been signed by each of the paities and delivered to the other party. .

- THIS AMENDMEPIT is made and entered into this 7th day of February, 2011,.by and
befinreen the CITY OF AUBURN, a municipal corporafion of the State of Washington (hereinafter referred to as the "CITY"), and AHBL, Inc. .(hereinafter refeRed to as.the

The changes to the agreement are as follows:
1. AGREEMENT NUMBER: The'administrative identification; "City of Aubum

4. COMPENSATION: The maximum compensation amount in paragraph 7 is

The scope of work as defailed below.will include design and limited construction phase senrices -
for the Auburn Environmental Park (AEP) WeUands Trail and associated improvement project: .
The elevated boardwalk and trail will be constructed on City of Auburn parcels 1321049053,
4463400430,and 4463400450.
ASSUMPTIONS
1. The City of Aubum's grant funding currently has a completion`date of May 1; 2011. The
City is working with the granting agency on an extension through December31, 2011. ~
This Scope of Work assumes that the exfension through December 31, 2011 will be
granted. .
2. The boardwalkwill be designed to be ADA accessible and will accommodate
pedestrians and' bicyclists.
3. The design will seek to avoid or minimize permitting and mitigation requirements.
4. City of Auburn will purchase all of the materials required for boardwalk construction
based on the construction documents provided by AHBL, Inc.

Construction Phase Services
15. Assist the owner/client during construction to ensure the intent of the design is being
met. This will include occasional, limited site visits as requested, and responding to
contractor questions as they relate to the design. This scope of wock allows for three site
visits and associated reports and coordination. ,

16. Reimbursable expenses such as mileage and reprographics.

3. Provide a wetland mitigation letter report detailing wetland impaets and proposed
mitigation for.the boardwalk project. Wetland impacts due to placement of pier blocks will
be calculated by others.
4. Prepare,plant list for wetland mitigation/buffer improvements for landscape architecture
use. It is anticipated that wetland enhancement will be implemented by volunteers,
5. Gomplete a limited habitat impact assessment to determine the impacts to the floodplain
