The GRANTOR(S), TA 40 LLC, a Washington limited liability company of 4224
Waller Road, Tacoma, WA 98443, for and in consideration of one dollar and other good
and valuable consideration in hand paid, grants and conveys to the GRANTEE(S), the
City of Auburn, a Washington municipal corporation, a perpetual non-exclusive easement
in gross for seven (7) automobile parking spaces over, on and across the below described
real estate, the Burdened Property, which parking spaces shall be available for sales
office at 919 42nd Court NE, parcel #030140-0090 and 908 42nd Court NE, parcel
#030140-0100.
BURDENED PROPERTY
LEGAL DECRIPTION (whole parcel or portion affected): Lot 7, Lot 8 and Tract V of
final plat of Monterey Park recorded in the offices of the King County Recorder under
No. 20100826001442., plus access to said spaces, located at lot 7 (937 42nd Court NE,
parcel #030140-0070) and Lot 8 (927 42nd Court NE, parcel #030140-0080) and Tract V-
(030140-2540).

BENEFITED PARTY
The Party benefited by this Easement in Gross shall be the City of Auburn, WA.
COVENANTS RUNNING WITH THE LAND/ASSIGNMENT. The parties hereto
acknowledge and agree that the easements and other rights conferred hereby are intended
to, and do, constitute covenants that run with the land of the Burdened Property and shall
inure to the benefit of and be binding upon the parties and their respective grantees, heirs,
successors and assigns. Without limiting the foregoing, Grantors acknowledge that
Grantee's rights hereunder are assignable; that Grantee may enter into agreements to sell
or may otherwise transfer its rights herein, and that Grantors hereby consent to Grantees'

assignment of all of its rights and interests in the Easement in Gross, and its delegation of
all of its obligations created under this Agreement upon any such the sale or transfer and,
upon any such assignment, Grantee shall be forever released and discharged from any
and all claims, demands and damages which Grantor(s) may have, make or suffer as a
result of any thing done or occurring after the date of such assignment.
It is further understood and this easement is granted on the condition that, if the Grantee
determined that the parking spaces are no longer required by applicable City codes,
standards or regulations, in connection with the development or use of the property at 919
42nd Court NE and 908 42nd Court NE , the Grantee shall re-convey the easement to the
Grantor or successor, and the easement shall be of no further effect.
