AGREEMENT FOR ARTISTIC SERVICE 491/4
THIS AGREEMENT is made and entered into this II day of A LI G , 2011 by and
between the City of Auburn, Washington, a Municipal Corporation of the State of Washington herein
referred to as 'CITY' and The Great American Animal Entertainment Company whose address
PO BOX 2304, Grants Pass, OR 97528, phone 541-512 1100, herein referred to as ARTIST'
WHEREAS, the CITY desires to contract with the ARTIST to provide an artistic performance
for the public in Auburn, Washington; and
WHEREAS, the ARTIST has agreed to perform the work in compliance with the terms and
conditions of this Agreement;
NOW THEREFORE, the CITY and ARTIST in consideration of the conditions and covenants
herein do agree as follows:
1 RETENTION OF ARTIST
The CITY does hereby retain the ARTIST to perform the work and services described herein.
The parties agree that the ARTIST is an independent contractor and shall furnish all
supervision, labor and all other incidentals except as specifically provided herein and the
ARTIST agrees to conduct and complete the performance in a competent and professional
manner in accordance with the terms of this Agreement.
2. SCOPE OF WORK
The ARTIST agrees to provide the following specific services in its artistic performance:
for Auburn's Petpalooza festival on Saturday May 19 2012. ARTIST will have each
exhibit area set-up by 10:00am.
Ag-Ventureland
o Operate an interactive and educational exhibit featuring ten agricultural
themed hands-on activities.
o Exhibit will be staffed by ARTIST
o CITY may work with ARTIST to support sponsors.
20' x 40' Petting Zoo
o Operate a 20' x 40' petting zoo, including a variety of 40 animals.
o Exhibit will be staffed by ARTIST
o CITY may work with ARTIST to support sponsors.
• GASCAR Animal Races & Farmyard Follies Animal Behavior Show
o Provide 3 GASCAR and/a/Farmyard Follies shows; times determined by
CITY a

3. SITE OF PERFORMANCE
The ARTIST will conduct its performance at Game Farm Park, 3030 R Street SE, Auburn,
WA, 98002 herein referred to as 'VENUE'
4. REQUIREMENTS
The CITY shall provide the following for this performance:
Ag-Ventureland
o One hotel room with two beds for two nights (5/18/12&5/19/12)
o Level 50' x 60'area
o Electricity and water within 30 feet of exhibit
o A trash receptacle
o 50 bales of straw
• 20' x 40' Petting Zoo
o Level 30' x 50' level area
o Electricity and water within 50 feet of zoo
o Hand washing station located directly at the zoo exit; station to be
maintained by the City of Auburn
o Parking within 100 feet from the petting zoo for the 45 foot stock trailer
o 20 bales of pine shavings and 30 bales of straw
GASCAR Animal,Races& Farmyard Follies Animal Behavior Show
o Level 60' x 80' area with an additional 20' x 20'space for animal display
o Electricity and water within 50 feet of show
o Shavings and straw (included above)
o A trash receptacle
o Seating for audience

5. COMPENSATION
In consideration of the services to the CITY in connection with the artistic performance, the
ARTIST shall receive total compensation of six thousand nine hundred and thirty-five
dollars($6,935.00).
6. PAYMENT
The ARTIST shall be paid by the CITY for the completed work and performance in compliance
with the terms of this Agreement. Such payment shall be full compensation for all work
performed and services rendered under the terms of this Agreement. The payment to the
ARTIST shall be in compliance with the regulations of the CITY Finance Department. The
ARTIST agrees to be responsible for payment of any and all taxes,which may be due as a
result of performance under this contract. The agreed fee will be paid in two (2)payments;
a$3,467.50 deposit in January 2012 and $3,467.50 on May 19, 2012. Payment shall be
delivered to the ARTIST's company manager or his/her designee immediately following
the performance, May 19, 2012

7 PROMOTIONAL RESPONSIBILITIES
ARTIST shall provide the following promotional materials to the CITY Company bio, photos
(high resolution electronic images) and any artwork specifically pertaining to ARTIST at the
upon signature of this contract.
8. INDEMNIFICATION
The ARTIST agrees to indemnify defend and hold the CITY its agents, representatives and
employees harmless from and against any and all claims, causes of action or demands or any
form of liability of any nature including, but not limited to any copyright infringements for
musical performances, arising out of the performance and obligations contained in this
Agreement on the part of the ARTIST its agents, representatives and employees except
where such claims arise solely from the negligent acts of the CITY its agents, representatives
or employees.
9. INABILITY TO PERFORM
If ARTIST is incapacitated from rendering services through sickness or otherwise, or if
ARTIST cannot perform because of fire, accident, act of God or impossibility of performance,
the ARTIST shall not receive any compensation for the time during which the services
have not been rendered. Every effort shall be made between ARTIST and CITY to
reschedule the performance(s) at a mutually agreed upon date.
10. PERFORMANCE RAINOUT
Performances/attractions to be held rain or shine.
11 TERMINATION
In the event the ARTIST or the CITY defaults or fails to comply with any of the requirements of
this Agreement, or any obligations hereunder the CITY may at its option terminate the
Agreement. Such remedies shall be in addition to any other right or remedy each may have.
12. NOTICES
Any notice required or permitted under this Agreement may be personally served, or given in
writing, and shall be deemed sufficiently given or served if sent by registered or certified mail
addressed to the respective parties as follows:

Either party may any time designate a different address to which notices shall be sent.
Notice given in accordance with these provisions shall be deemed received when mailed.
13. INSURANCE
Prior to performing any services under this Agreement, the contractor shall provide the City
with proof of General Liability insurance covering products-completed operations and
contractual liability with limits no less than $1,000,000 each occurrence, $1,000,000,general
aggregate. The City shall be named as an insured on User's General Liability insurance
policy The insurance policy shall contain, or be endorsed to contain that the User's insurance
coverage shall be,primary insurance as respect the City Any insurance, self-insurance,or
insurance pool coverage maintained by the City shall be excess of the Contractor's insurance
and shall not contribute to it.
12. GENERAL PROVISIONS
The following provisions may apply-
A. No waiver by either party of any breach or default hereunder shall be deemed a waiver
of any preceding or any subsequent breach or default.
B. This Agreement may not be changed or modified nor any provision hereof waived
except in writing agreed to by both parties.
C. This Agreement shall be construed in accordance with and all questions with respect
hereto shall be determined by the laws of the State of Washington.
D. The ARTIST agrees to pay all reasonable costs, attorney's fees and expenses that
may be incurred by the CITY in enforcing the provisions of this Agreement.
E. In the performance of the work herein, the ARTIST agrees to comply with all
applicable State and local laws, rules and regulations.

The Great American Animal Entertainment Company would like to thank you for giving us the
opportunity to present this proposal. With over 27 years of expertise, we truly appreciate the
American fair industry The Great American Entertainment Company is dedicated to bringing
the wholesome family experience back to America, we love what we do and it shows!
Pricing
• Ag-Ventureland = $1 800 plus one hotel room with two beds for two nights
• 20' x 40' Great American Petting Zoo = $2,000
• 'GASCAR' Animal Races & Farmyard Follies Animal Behavior Show = $3,500

• Total = $7 300 - 5% quantity discount = $6,935
Payment
• The agreed fee will be paid to The Great American Animal Entertainment Company
in two (2) payments; a$3 467.50 deposit in January 2012 and $3 467.50 due on May 19 2012.
Space Requirements
GASCAR/Farmyard Follies: Minimum 451x 65' to a maximum 60'x 80' area
• Ag-Ventureland: 50' x 60'area
• 20' x 40' Petting Zoo: level 30' x 50' area
The Great American Petting Zoo
The Great American Petting Zoo is Americas premier petting zoo. With our award winning
combination of friendly animals and caring staff we provide families all over America with a one
of a kind hands-on experience.
General Requirements
• Water and electricity (3-20 amp circuits & 1- 30 amp circuit)within 50 feet of the zoo
• Hand washing station located directly at the petting zoo exit Stations to be maintained
by Petpalooza.
• Parking within approximately 100 feet from the petting zoo for our 45 foot stock trailer
The trailer will house the exotic animals and staff overnight
20 bales of pine shavings and 30 bales of straw to be used for animal bedding.
• Petting Zoo will be open to the public from 10 am 5 pm, the City of Auburn may charge
an entry fee if desired.
Zoo Enclosure
The zoo enclosure is composed of attractive and sturdy white, powder-coated fencing with
double door entrance and exit Professional signs, banners,and artistic animal cutouts are all
included. The pine shavings and straw used for bedding are changed daily The entire perimeter
of the zoo enclosure is surrounded by a stanchion and chain style barrier extending out 4 feet
from the fencing, this prohibits onlookers from reaching through and feeding unwanted items to
the animals.
Staff
The zoo will be staffed with friendly and knowledgeable uniformed attendants. All of our staff
members are very experienced in looking out for everyones safety and keep the zoo
immaculately clean and attractive at all times. Our staff will proudly wear sponsors' T-shirts and
will work with any sponsors to provide a place for their banners and information. Staff will walk
select animals in the noon pet parade.
Animals
The petting zoo includes 40 beautiful, friendly hand-raised animals including; Four breeds of
dairy and miniature goats, three breeds of sheep Miniature Sicilian Donkeys, Llamas, Fallow
Deer Call Ducks, chickens, Vietnamese Potbellied Pigs, Bennett Wallabies,and a large variety of
baby animals, many of them still being fed with baby bottles.
Feed
The Great American Petting Zoo will sell feed cones to the public, which allows the public to get
close and personal with all of our friendly animals. Cones sell for $3 each or 2 for $5 and GAAE
Co. Inc. will retain all proceeds.
Ag-.Venturel®nd Kids' Area
This interactive and educational agricultural exhibit features agricultural themed hands-on
activities, pedal tractor area, and crafts. Ten colorful 10' x 10' tents are filled with fun activity
stations such as simulated cow milking with a life-size fiberglass cow pony saddling,corn box,
and much more. This attraction also includes professionally designed educational signage.
Requirements and Size
• A level 50' x 60' area
• Electricity and water located within 30 feet of the exhibit
• A trash receptacle for daily clean up
• 50 Bales of straw for seating and decoration
• Ag-Ventureland will be open from 10am-5pm; City of Auburn may charge entry fee
Exhibit Staffing - Staffing will be provided by Great American Animal Entertainment
Company Staff members are friendly courteous, and knowledgeable and wear nametags and
colorful farm themed uniforms.
Activity Stations
• Milk A Cowl A life-size, fiberglass Holstein cow kids can milk! Of course its water that
re-circulates through the bucket and its a clever way to teach kids how to milk a cow.
• Saddle a Pony! Welsh pony style life-size stuffed animals that kids can brush and put
real saddles and bridles on. From cinches to curry combs, kids get to practice and learn
how to care for a horse.
• Corn Box and Bean Box! Each of these two stations has an 8 x 8 sandbox; one filled
with corn and the other with beans—and both are filled with fun! Kids pile in and play
with trucks and tractors.
• Music Station! Kids can make music the old fashioned way with washboards, triangles,
and iron cymbals all fastened to a wagon wheel stand.
• Rope a Steer! Steer horns, straw a saddle set on a barrel in a wooden cradle and a
rope! Talk about fun! Even the adults love this station. Kids test their skills in the
traditional cowboy skill of steer roping.
• Scarecrow Building! Kids can get real creative and build a scarecrow on a stand using
clothes, hats, straw and more.
Super booper Pooper Scooperl Kids love this station featuring life-size farm critters in
a miniature farm setting. Kids frolic in the straw rake, and push the wheelbarrows
around the animals. Its fun to pretend you re a super dooper pooper scooper!
• Craft Station and Face Painting! These crafts are fun and fun to wear! Our staff helps
the children create beautiful and fun crafts to take home and share with the family
• General Store! This old-fashioned mercantile stand features agricultural themed toys,
stuffed animals,and humorous trinkets.
"GASCAR" Crazy Animal. Races
Farmyard Follies Animal Behavior Show
GASCAR is interspecies animal racing like youve never seen before! Each show consists of four
race heats featuring a variety of farm animals,audience participation, and prize giveaways for
winning race cheerleaders. Our presentation is as always professionally and thoughtfully
designed with bright red and white tents, beautiful hand-painted backdrops, colorful flags,and
bright aluminum fencing.
Farmyard Follies is a funny and delightful show that will edu-tain and amaze your fair
attendees, from the young to the young at heart! Featuring Fiona No No the famous diva'
donkey and her farmyard friends, Fiona makes the audience roar with laughter as,she attempts
to 'help the host of the show This one of a kind show is full of fascinating animal facts and
animal behavior that will truly 'EDU-TAIN"!
Space needed and Structure
• A minimum level 45' x,65' area to a maximum 60' x 80' area
&ASCAR requires an additional level 20'x 20'space for displaying animals between shows
• GASCAR provides lighting, professionally designed signs,and wireless speaker system.
• No public contact with the animal stars is permitted
Shows
• 3 GASCAR races and 2 Farmyard Follies shows
• Shows should be at least one hour and thirty minutes apart
• Show times may be determined by Petpalooza
Requirements
• A level set up area with water and electricity within 50 feet
• Shavings for racetrack and bedding of animal display area
A trash receptacle for daily clean up
• Seating for audience (if available)
