and valuable consideradon, receipt of which is hereby acknowledged, and for benefits to be
derived by the Grantor herein, Grantor; Auburn Center Limited Partnership, a limited
partnership, hereby conveys and warrants to the Citv of'Auburn, a municipal corporation of
King County, Washington and Grantee herein, its successors and assigns, a perpetual
Nonexclusive Easement under, over, through and across .the following described real
property for the purpose of in¢ress and egress over and upon said real property being
described as follows:
SEE EXHIBITS "A" AND"B", ATTACHED HERETO AND BY THIS
REFERENCSMADE A PART HEREOF.
This easement serves to consolidate driyeways and impmve public safety. This easement
is given under the threat,of and in lieu of Eminent Domain.
Said Grantee and general public shall have the absolute right, at times as may be
necessary, for immediate ingess and egress over and upon said Easement for access to
Grantor's adjoining property without incurring any legal obligation or liability therefore.
Said Grantor shall not in any way enclose, 61ock, restrict or impede access and
egress to, from or across said Easement, and/or in any way block, restrict or impede full
use of the real property within the above-described Easement by said Grantee for the
above-described purposes. In addition to the other restricuons herein, Grantor shall not

convey to a third party any easement or other right of usage in the property that would
impair or limit the Grantee's use of the easement azea.
This Easement shall be a coyenant running with the above-described real property
and burden said real estate, and sfiall be binding on tfie successors, heirs and assigns of all
parties hereto.

Gommencing at a point of intersedfon with the northeriy margin oP the Northern Paciflc
Reilroad right-of-way and the westeriy margin of`C Street Southeast (AKA Aubum Way
South); _
thence South 88°53'OS" West�along the northerly margin of said Northem PaciFlc
Railroad rtght�f:wey a distance of 90.02 feet;
