HomeMy WebLinkAboutLA Theater Works (2) AGREEMENT FOR ARTISTIC SERVICE THIS AGREEMENT is made and entered into this. 10 _ day of M 2012, by and between the City of Auburn,Washington (PRESENTER), a Municipal Corporation of the State of Washington herein referred to as"CITY"and LA Theater Works. whose contact information is,681 Venice Boulevard, Venice, CA 90291, herein referred to as"ARTIST" and Baylin Artists Management whose contact information is 721 Hyde Park, Doylestown, PA 18902, herein referred to as"AGENT" WHEREAS, the CITY desires to contract with the ARTIST to provide a performance (performances)for the public in Auburn, Washington; and WHEREAS, the ARTIST has agreed to perform the work in compliance with the terms and conditions of this Agreement; NOW THEREFORE, the CITY and ARTIST in consideration of the conditions and covenants herein do agree as follows: 1. RETENTION OF ARTIST The CITY does hereby retain the ARTIST to perform the work and services described herein. The parties agree that the ARTIST is an independent contractor and shall furnish all supervision, labor, and all other incidentals except as specifically provided herein and the ARTIST agrees to conduct and complete the performance in a competent and professional manner in accordance with the terms of this Agreement. 2. SCOPE OF WORK. The ARTIST agrees to provide the following specific services: Saturday, February 9, 2013, 7:30 pm. One (1) performance of Pride and Prejudice (90-120 minutes, plus intermission). One(1)talk back immediately following the performance. 3. SITE OF PERFORMANCE: The ARTIST will conduct its performance at the AUBURN PERFORMING ARTS CENTER,700 E. MAIN ST (NOTE:Venue is NOT the presenter!) herein referred to as"VENUE" 4. REQUIREMENTS a. The CITY shall provide the following for this performance: Promotion of performance and performance programs; Box office management and staffing; Ushers and front-of-house staffing (not incl. merchandise sales -Reference-Item 7-C.below). b. The ARTIST shall provide the following for the performance: Provide scores and parts for the company and pay all fees (if any) associated with public performance of music; Engage and rehearse the company; Provide program content, biographies, and optional photographs of key production staff and artists for performance program and public relations materials with the execution of this contract; Additional promotion of event as negotiated with CITY C. Technical Requirements: The CITY shall provide the following technical assistance for this performance: The CITY will assist with coordination of technical services between the VENUE and the ARTIST The CITY agrees to provide, through the VENUE, technical labor for this production, as detailed in the ARTISTS's Technical rider(See Addendum) and as-approved by the technical director of the VENUE and the ARTIST --------------------------------------------------------------- BRAVO 2012-13 Season Agreement—LA Theater Works: Pride and Pre7'udice Page 1 of 4 �o�,tww roouum S. COMPENSATION a. ARTIST Fee: In consideration of the services to the CITY in connection with the ARTIST scope of work(performance),the ARTIST shall receive total compensation of$18,000. b. Complimentary Company Tickets: The ARTIST shall be provided up to Ten (10) complimentary tickets for the performance. The ARTIST may request tickets in advance or provide the CITY box office representative with a guest list 30 min. prior to the performance. C. Hotel Accommodation: 12 single hotel rooms for February 8 and February 9, 2013 plus local ground transportation to/from hotel, airport, venue. 6. PAYMENT SCHEDULE The ARTIST shall be paid as outlined in Item 5 above by the CITY for the completed work and performance in compliance with the terms of this Agreement. Such payment shall be full compensation for all work performed and services rendered under the terms of this Agreement. The payment to the ARTIST shall be in compliance with the regulations of the CITY Finance Department. The ARTIST agrees to be responsible for payment of any and all taxes,which may be due as-a result of performance under this contract. a. Deposit of$2800 will be sent to Baylin Artists Management Inc. herein referred to as "AGENT" within 30 days of the execution of this contract, per compliance with the regulations of the CITY Finance Department. c. Balance of$15200 will be delivered to the ARTIST's company manager or his/her designee immediately following the performance. The payment to the ARTIST shall be in compliance with the regulations of the CITY Finance bepartment. The ARTIST agrees to be responsible for payment of any and all taxes, which may be due as a result of performance under this contract. 7 PROMOTIONAL RESPONSIBILITIES a. Promotional materials shall be mutually agreed upon between the CITY , ARTIST, and AGENT b. The ARTIST assumes sole and total responsibility for all of ARTIST Merchandise Concessions, if any, including inventory, cash bank, credit card supplies and sales oersonnel. ARTIST maintains 100%of total sales receipts of ARTIST Merchandise. The CITY and/or VENUE will provide (1) table in the lobby of the VENUE for Merchandise Sales. If ARTIST cannot provide sales personnel, the CITY will provide up to two volunteer personnel..ARTIST and/or AGENT must sign a waiver releasing the CITY of any liability regarding the sale of merchandise. 8. INDEMNIFICATION The ARTIST agrees to indemnify, defend and hold the CITY, its AGENTS, representatives and employees harmless from and against any and all claims, causes of action or'demands or any form of liability of any nature including, but not limited to any copyright infringements for musical performances, arising out of the performance and obligations contained in this Agreement on the part of the ARTIST , its AGENTS, representatives and employees except where such claims arise solely from the negligent acts of the CITY, its AGENTS, representatives or employees. 9. INABILITY TO PERFORM ------------------------------------------------------------- BRAVO 2012-13 Season Agreement—LA Theater Works: Pride and Prejudice Page 2 of 4 If ARTIST is incapacitated from rendering services through sickness or otherwise, or if ARTIST cannot perform because of fire, accident, act of God or impossibility of performance, through no fault of the CITY, the performance(s) (Item 2: Scope of Work) shall be rescheduled at a mutually agreed upon date to occur not more than 12 months following the date of the initially scheduled performance, either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. If the performance cannot be rescheduled within that period, 100%of Deposit(Item 6. Payment Schedule) paid to ARTIST shall be returned to CITY If the ARTIST services cannot proceed through some fault of the CITY due to causes other than fire, accident, act of God or impossibility of performance, the CITY shall reschedule the ARTIST services on a mutually agreed upon date between CITY and ARTIST and either at the same VENUE as initially scheduled or at another comparable venue available to the CITY for such performance. 10. TERMINATION In the event the ARTIST or the CITY defaults or fails to comply with any of the requirements of this Agreement, or any obligations hereunder, the CITY may at its option terminate the Agreement. Such remedies shall be in addition to any other right or remedy each may have. 11. No waiver by either party of any breach or default hereunder shall be deemed a waiver of any preceding or any subsequent breach or default. B. This Agreement may not be changed or modified nor any provision hereof waived except in writing agreed to by both parties. C. This Agreement shall be construed in accordance with and all questions with respect hereto shall be determined by the laws of the State of Washington. D The ARTIST agrees to pay all reasonable costs,.attorney's fees and expenses that may be incurred by the CITY in enforcing the provisions of this Agreement. E. F it tl Technical Requirements Pride & Prejudice 2012-2013 Production PRESENTER'S VENUE INFORMATION: Presenter is required to attach all pertinent information regarding the facility in which the show will be performed. This shall include type of venue, stage size, etc. NOTE. Included in this information packet, you MUST provide the name, address, location, and route from the theatre to the nearest Emergency Medical Facility, as well as posting this information next to the telephone nearest the stage manager's running position. CREW REQUIREMENTS: The following list includes Department Heads in the total number of qualified and professional stagehands, required for presentation of the production, and should be considered a guide for the Presenter, as to the minimum number of crew required. All crewmembers should be familiar with the Venue, as well as knowledgeable of current theatrical terms, equipment, conditions, and safety requirements. If Presenter's contract with a local crew requires other than what is specified herein, or is obligated under any contract or binding agreement as such, please contact the Baylin Artists Management office, and include a copy of the local crew contract with the facility information packet or questionnaire. If Presenter fails to provide qualified crew who are familiar with the venue, L.A. Theatre Works will endeavor to find suitable replacement crewinember and any additional expense incurred as a result of this search shall be borne solely by Presenter. Call times for tech and shows vary based on schedule and will be specified in itineraries forwarded to venue by Baylin Artists Management. Two (2) Wardrobe assistants available when Company arrives for tech to handle costume laundry, steaming, ironing, and repairs as needed for Company, during show for costume changes, and available for one hour after the show to help with costume collection and cleaning. Washer and dryer located on the premises. If there is a washer and dryer, wardrobe will be asked to wash and dry any items as requested by the stage manager(s)during the strike and will pack the clothing for the stage manager(s). What is required is an even front light system, with separate control into three basic areas; stage left, center stage, and stage right. The Front, side, and down light systems should cover the entire playing area EXCEPT FOR THE FOLEY TABLE. In an ideal situation, the Foley table will not be hit by any of the area light so that it can be lit separately with its owm specials. Please provide all color and templates unless specifically noted. Color substitutions may be made with prior approval. LATW will provide plot and paperwork with color and template information minimum one week prior to performance at venue. Cyclorama lighting: • Full lighting for cyclorama with three colors: tbd. • Preference would be to have separate control of top and bottom of cyc colors. A plot, cue-sheet, and paperwork will follow. Any question should be directed in advance to LATW's Technical Director. Finally, the plot will be just a guide as larger venues require more units to "fill the space" In addition, inventory shall include all necessary lamps, cable, dimmers, gels, templates and other such lighting equipment necessary for a theatrical presentation in your theatre, to our reasonable specifications. IMPORTANT! The lighting MUST be hung, cabled, colored, focused and pre- programmed according to the final lighting information that will be sent at least one week prior to the company's arrival. 9111 Pride and Prejudice Tech Rider Page 2 of 5 SOUND • Venue must provide the following equipment. Equipment recommendations are listed within(). Best substitute if not available. Mixboard • 16 Channel Mixer with phantom power, compression and effects to be located in house if possible. PA.System e Speaker clusters or in-house sound that is appropriate for the size of the hall A power amplifier based on the size of the room. Parametric or Standard EQ. Outboard Gear and Production Equipment • 1 CD Player(Denon Rackmount) • Control booth for lightboard op (and SM and sound board op if sound is not in the house)with intercom to backstage area/dressing rooms. • Clearcom or RTS comm. System consisting of • Three (3) wired or wireless in booth for SM, Sound op, Light op (2 at sound console if in house) • Two(2)wired or wireless backstage for stagehands • All cables for connectivity of production to main sound board. Stage Managemer will be calling show from Sound position. Please provide table space for laptop, prompt book, and di-box. Also provide VOG mic, light, and Edison outlet at this position. If your local NPR station is recording the performance, they need to provide all appropriate mics &equipment. If not,then the Venue provides all of the above. Sound Props for Stage on Table q One(1) large book(dictionary, encyclopedia or phone book)for dropping. • Two (2) glass drinking glasses (lowball preferred) PLAYING AREA A level playing area at least 30 feet x 30 feet(not including wing space)will be used. The stage floor must be clean, in good repair and free of any markings, spikes or other blemishes. The stage floor should be of wood construction, preferably a "sprung floor", but cannot be constructed of either poured, or slab concrete. If the Venue contains a hydraulic, or otherwise removable orchestra pit, it should be secured in a position level with the stage floor, and/or covered, and can be included in the total depth of the stage only as a portion of the apron. 9/11 Pride and Prejudice Tech Rider Page 3 of 5 STAGING GENERAL NOTE ON FURNITURE. Furniture will be shifted during interval. Note: Please provide LATW Technical Director with digital photos of chosen furniture no later than one (1)week prior to arrival. WARDROBE. We require two backstage wardrobe persons who shall perform as needed laundry and light maintenance & some stitching(steaming,pressing, and repair). The Presenter should provide a professional steamer,ironing equipment(such as ironing board&iron), laundry supplies(detergent, fabric softener, Febreze etc.), and needle, scissors, and various color thread. During show, wardrobe assistants will assist with quick changes on both stage right and stage left- ideally one (1)male and one (1) female wardrobe assistan would be provided. DRESSING ROOMS: We require at least two clean, secured dressing rooms for 12 people that are lockable for The Compan . resen e . Each of the dressing rooms must be equipped with at least 12 fresh towels, 1 box of Kleenex, hand soap, one trashcan; a working sink (with hot and cold water) and toilet. if possible-e- . In addition, we require at least one sanitary sleeping cot or couch. Also, make-up lights, mirrors, tables, chairs, costume rack. BACKSTAGE ACCESS: Presenting Organization agrees to restrict backstage access to LATW company members and guests and venue's staff and crew. FRONT OF HOUSE Please notify Baylin Artists Management regarding front lobby display capabilities. Company will be carrying a flexible, laminated,billing poster to be displayed. HOSPITALITY Venue is to provide the following backstage hospitality for twelve (12) people to be in place five (5)hours prior to each performance and remain in place until one (1)hour after each performance. • A selection of fruit juices and sodas (diet and regular) • At least two (2)dozen individual bottles of drinking water • Coffee with milk, sugar and honey served on the side. • Hot water and tea bags (including herbal teas) • Fresh fruit and vegetables • A selection of breads and bagels and condiments (peanut butter, jelly, cream cheese, etc.) Venue must provide a catered, hot meal two (2) hours prior to performance to be served in the theatre in an appropriate room. Acceptable dishes include chicken, fish and pasta. No spicy foods or heavy cream sauces. Steamed vegetables, fresh fruits, rolls, dessert choices, etc should also he provided. A vegetarian dish(such as pasta)must be included in addition to a regular non-vegetarian hot meal selection. Vegan meals and other special requirements must be provided upon request. Theatre Works may require up to three (3) 15-passenger vans or equivalent motorcoach for a group of twelve (12)people plus luggage (approx 30 checked luggage bags and personal carry-ons). It is strongly recommended that 1 van is a cargo-type van or has seats removed for luggage storage. Additional accommodation must be provided for scheduled appearances from play Director, Writer or Executive Producer. Established upper-level chain hotels such as Marriott, Sheraton, Hilton, Hyatt, Radisson, Wyndham, etc. are acceptable. Lower-level hotels operated by these chains are not acceptable. No motels or motor lodges. Hotels should have rooms off interior halls (no rooms opening to parking lots or swimming pools). Should no upper-level acceptable chains be available within the venue area, Inns and Bed & Breakfast accommodations with modern business facilities (Internet access, fax, long distance phone capability etc.) and private bathrooms are acceptable. L.A. Theatre Works requires pre- approval on all accommodations. L.A. Theatre Works must be provided with the acceptable hotel name no later than 60 days before the I'scheduled performance. Hotel reservations should enable early check-in at 12pm, should the normal hotel check-in time be after 12pm. Other special check-in accommodations may be subject to Producer travel schedule and arrival time. Hotel reservations should enable late check-out,subject to Producer travel schedule'and departure time. The hotel should be within walking distance to venue,or no more than a 15 minute drive whenever possible. Hotels must also be close to restaurants open late as well as within walking distance to movie theatres, shops,etc. *NOTE. Total number of rooms needed equals 12 multiplied by the total nights listed on the face of the contract. The number of rooms will be spread out over those nights, not always equaling 12 per night but not exceeding the total number.
