Joint Agreement and Memorandum of Understanding Between:
Emergency Agency and the
American Red Cross serving King and Kitsap Counties
Concerning the Release of Facility Information

The American Red Cross Chapter serving King and Kitsap Counties is a
non-profit (501 (c)(3)) entity, Chartered by The American Red Cross.

DEFINITIONS:
Facility: A building and/or property that has been offered to the Red Cross for potential use
during a disaster response.
Data: A specific list, created by the Red Cross, of Facilities and their attributes.
Red Cross. The American Red Cross serving King and Kitsap Counties, as defined under
parties.
Emergency Agency: The agency (including their ESF-6 agent), as defined under parties,
requesting and receiving the Data.
IT IS UNDERSTOOD THAT:
1. The Data reflects the Facilities that may, by virtue of a mutually signed agreement between the
Red Cross and the Facility owners, in a disaster, if available and sound, be offered to the Red
Cross for use as a shelter, headquarters, warehouse, service center, or other Red Cross response
activity. The Data must not be construed as a "list of pre-chosen disaster shelters."
2. The Data is being provided by the Red Cross to the Emergency Agency for the sole purpose of
informing them which facilities the Red Cross has agreements with. No other purpose is
intended nor implied.

3. The Red Cross has made every attempt to assure, but does not guarantee, the accuracy of the
Data. The Data is being delivered to and accepted by the Emergency Agency "as-is."
4. The Data is a "snapshot" taken on the date of delivery. The original source Data is being
continually updated, modified, and corrected, and therefore the delivered Data shall be
considered less accurate over time. It shall be considered completely out-of-date and
completely inaccurate two years from the date listed on the Data.
5. The Emergency Agency shall not release the Data outside of the Emergency Agency in any
form or for any purpose. The Emergency Agency shall treat the Data as it would internal
confidential information. Liability and consequences of releasing the Data without express Red
Cross permission lies solely with the Emergency Agency.
6. The Emergency Agency may request annual updates of the Data each January.
7. The course of this Memorandum of Understanding shall be five years from the date listed on
the most recent Data delivered to the Emergency Agency.
8. The Red Cross is not obligated to release the Data and may choose not to do so, or continue to
do so, for any Emergency Agency that violates the restrictions in this agreement.
AGREEMENT
The signatories below agree to the provisions above. They, and the agencies they represent, shall
adhere to them during the course of this agreement. This agreement supersedes and replaces all
previous agreements.
