A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF AUBURN, WASHINGTON, DECLARING
CERTAIN CITY PROPERTY .AS SURPLUS, AND �
AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AGREEMENTS BETWEEN THE CITY OF
AUBURN AND THE STATE OF WASHINGTON FOR
AN EXCHANGE OF PROPERTY
WHEREAS the City owns a piece of property commonly referced to as
the "I Street Parcel," located at 810 30th Street NE in Auburn. This site was
originally purchased as a potential site fora fire station; and
WHEREAS, the State owns a parcel of land commonly known as the
State Parks Regional Headquarters Prbperty ("Regional HQ'�, located at 2840
Riverwalk Drive, adjacent to the City's Game Farm Park property; and
WHEREAS, the City and State desire to exchange the aforementioned
properties in furtherance of the long-term interests of the City and State; and
WHEREAS, the City and State, through the Washington State Parks and
Recreation Commission, wish to amend and extend their current agreement for
joint use and maintenance of their respective facilities.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
KING COUNTY, WASHINGTON, HEREBY RESOLVES as follows:
Section 1. The City property known as the "I Street Parcel", more
particularly described at Exhibit"A" is declared to be surplus.

Section 2. The Mayor of the City of Aubum and the Aubum City Clerk
are hereby authorized to execute an Agreement between the City of Aubum
and the State of Washington for the exchange of the I Street parcel with State-
owned property known as the "Regional HQ," more particularly described in
Exhibit B, which agreement shall be in substarrtial conformity with the
Agreement attached hereto as F�hibit "C." Prior acts consistent with this
resolution are hePeby rat�ed and confirmed.
Section 3. The Mayor is hereby authorized to implement such
administrative procedures as may be necessary to carry out the directives of
this legislation.
Section 4. This resolution shall be in full force and effect upon
passage and signatures hereon.

AGREEMENT TO EXCHANGE REAL PROPERTY
THIS AGREEMENT TO EXCHANGE REAL PROPERTI' ("AgreemenP') is made by and
between the State of Washington, acting by and through the Washington State Parks and
Recreation Commission("State")and the Citv of Auburn,a municinal corporation("City'�.
WITNESSETH:
. A. WHEREAS, the City owns a piece of property commonly referred to as ttie "I Street
Pazcel." , The I Street Parcel is a 1.59 acre site, located at 810 30�' Street NE in
Aubum. Ttus site was.originally pur'chased as a potential site for a fire station. The
City's fire services provider; the Va(ley Regional Fire Authority, has indicated that
the properry is no longer needed for that purpose and the City has no other addition
public need for the property.
B. WHEREAS, the State owns a parcel of land commonly known as the State Pazks
Regional Headquarters Property ("Regional HQ.") The properry is a 4.7 acre site
located at 2840 Riverwal& Drive, adjacent xo the Ciry's Game Farm Pazk property.
The State stopped using the Regional HQ, and placed the property for pubGc anction
in December 2012.
C. . WHEREAS, the City and State desire to exchange the aforementioned properties in
furtherance of the long-term interests of the City and State. �
D. WHEREAS, the City will transfer ownership of I Street Parcel to the State in
exchange for the Regional HQ pmperty. Together, property and improvements
tsansferred to the Ciry will be of equal value and function to the existing (City)
� property. The value of the property and improvements has been established by
assessed value with the mutual approval of the parties.
NOV✓'Tf-IEREFORE, in order to accomplish.the exchange of State's property for the City's
Property,the State and the City agree as follows:
1. �
1.1 State agees to conyey and quitclaim all of State's right; title and interest
� in the Siate Property to City, on and subject to the terms and conditions set forth
in this Ageement. The consideration for the conveyance of the, State Prope;ty
shall be the eacchange by'Ciry of the City's Property. The State PropeRy consists
of:
a) Unless adjus;ed as provided herein, the land, described ,and shown in
Exlvbit .A attached hereto and all rights, tenements, hereditaments,
easements, and appurtenances; including but not limited to, any rights,;title

; and interest in and to all trees, crops, oil, gas, sand, gravel, water righu, or
mineral rights;
b) All of the improvements, if any,currendy situated on the land;
c) All of State's rights,'if any, in all personal and other tangible property now
or hereafter located on the land; and
d) All Easements, rights-of-way and other rights used in connection with the
State Property, including but not limited to rights to adjacent streets,roads;
alleys, and rights-of-way.
1.2 City agrees to convey and wazrant City Propertyto State on and subject to
the terins and conditions set forth in this Agreement. .The consideration for the
conveyance of the City Property shall be the exchange by State of the State
Property. T'he Ciry Property consists of:
(a) Unless adjusted, as provided herein, the land described and shown in
Exhibit B attached hereto and all riglits,lenements, hereditaments, easements, and
appurtenances; including but.not limited to, any rights, tide and interest in and to
all trees, crops, oil, gas, sand,gravel, water rights, or mineral rights;
(b) AIl of the improvements, if any, currently situated on the land;
(c) All of Ciry's rights„if any, in all personal and other tangible pmperty now
or hereafter located on the;land; and
(d) AIl easements, rights-of-way and other rights used in commection with the .
Ciry Pmperty, including but not limited to righu to adjacent sireets, roads, alleys, .
and rights-or-way.
13 Recreation and Conservation Office(RCO) Deed of Right. Ciry agrees to
accept the rules and responsibilities to manage State land according to the terms
and conditions set forth in that certain RCO grant agreement dated August 10, .
1981, (as shown in EXHIBIT C) andabide by-the terms and condirions within the
Deed of Right,dated December 17, 1984(as shown in EXHIBIT D).
1:4 The Properry is sold"AS IS,WHERE IS." Each party to the Agceement
is encouraged to exanune the exchange properties to ascertain the conditioa of the
Property, including but not limited to tHe existence of encumbrances, .
encroachments, etc. Each party to this Agreement does not make and specifically
disclaims any warranties,express or implied, including any wananty of
merchantabilityor fitness for a particulazpurpose about the Property,includiag
but not limited to any improvements locafed thereon,.and no employee or agent of . . ,
eack►party is authorized otherwise. The foregoing disclaimer specifically applies
to waTranUes with respect to the existence or nonexistence of any pollutants, :
contaminants,or hazazdous waste or claims based thereon arising oui of the.actual
or threatened discharge, disposal,seepage,migration,or escape of such substances
at, from, or into the Property. The parties represent and warrant that:it
understands that each party is selling the Property"AS IS, WHERE IS"and will
rely on its own inspection of the Property. Each party further represents and
warrants tfiat it 8ssumes all risk of obtaining its own permits and authorizarion for •
its intended use of the Properry.

2. Seauence of Events.
� The Parties agree to pmceed in tlie following sequence:
a) The Agreement to Exchange Real Property shall be fully executed.
b) The exchange of property is also subject to the following having been compieted
prior to the date of closing:
i. Receipt, review and appmval of any leases on the land and/or
' impmvements for each pazceL
ii. Receipt, review and approval of a preliminary utle report for each parcel.
iii. Final review and written approval by the State.
iv. Final review and wi'ittea approval by the City.
v. Receipt, review, and appioval of a Phase 1 Environmental Audit for both
pazcels.
3. Convevance of Title
The parties agree to execute and deliver Quitclaim Deeds for their respective property
described in Exhibit A 8c B, free and clear of all liens, encumbrances, easements, or any
other tide exceptions save and except public utility easements and matters which may Ue
acceptable to the parties. Either party shall notify the other of any objections to title in
writing. If the party so notified is unable or unwilling to cure or tb insum over said.
exception(s),the objecting party may either: �
a) Terminate this Agreement; by written notice, whereupon neither party shall have
any further rights or liabilities hereunder; or
b) Waive iu objections to title and, in such event, shall take title subject to the
exception,and the parties sliall close the transaction contemplated by this Ag�eement.
4. Utilities. All utilities such as electricity, water, gas, oil, and real pmperry taxes shall !ie
prorated to the date of closing.
5. Assessments. Any special assessmenu; L.I.D. assessments and R.I.D. assessmentg wluch
aze levied against the property described in Exhibit A & B at the time of closing shall be .
• paid in full by the responsible party.
�6. Condition of Title. Both parties hereby agree from and after the date hereof undl the.
termination of this Agreement or the execution of the exchange of properties, that(i)they
will take no action that will adver"sely affect tide to or ilevelopment of the prope�ties, (ii)
they will not mortgage, encumber oi peimit the encumFiranca of all or any portion of the
properties without the other party's prior written consent; and (iii) they will not enter into
any written or oral conuacts or agreements with respect to the pmperties.
7. Date of Closins. Closing of this transaction shall occur in the offices of the Closing
. Agent on or before Auaust 30.2013. For purposes of this Agreement, closing §hall liave
occurred when all appropriate documents are recorded.
8. Closin¢. This Agreement shall be closed through escrow through Stephani Owens of
Stewart Title Company (206.770.8811) whose address is 1420 Sm Avenue, Suite SOQ
Seattle, WA 98101.

. 9. Closin¢Costs.
9.1 The State shall pay tt►e following cosu and expenses in connection with
this transaction:
, a) State's attorneys' fees.
b) One half(1/2)escrow fees.
c) All special assessments, L.I.D. assessments, and R.I.D.
assessments levied on the property described in E�chibit A, shall be paid in
full.
d) Real property faxes, if any, wluch shall be pmrated to the date of
closing for Property described in Eachibit A.
e) Transfer taxes due on the conveyance of Property described in �
Exhibit A and if any. .
� Title insurance premium or abstract fee and sales tax thereon
property described in Exhibit A, if any.
g) Costs and fees associated with recordirig documents with the
. County Auditor's office.
92 The City shall pay for the following costs and expenses in cbanection with .
this transaction:
a) City's attorney's fees.
b) One half(1/2) escrow fee
c) Real property taxes, if any, which shall�be pmrated to the date of
closing for Property described in Exhibit B.
d) All special ass,essments, L.I.D. assessments and R.I.D. assessmenu �
levied on the Propecty described in Exhibit B shall.be paid in full.
e) Tifle insucance premium or abstract fee and sales tax on property .
described in Exkribit B;if any.
_ f. Any Real Estate Commissions and Fees due on this transaction. -
10. Real Estate Brokeraee Fees. Neither party will utilize a commercial real estate agent or-
bro&er on this transaction and neither parry will be responsible for any real estate
commissions or fees. '
� 11. Government Approval. The approval of the Aubum City Council and the State Pazk
Commission is required for the exchange of said Properties. It is understood;and agreed
that this Agreement is subject to obtaining such approval. The parties sfiall use their best
efforts and take all steps necessary to obtain such govemmental approval:
12. Survev: Subdivision. In the event a city, county,.or,other governing authority having ,
jurisdiction of said properties recjuires a survey or plat or has a subdivision ordinance, the
paRies.shall, at the parties' own expense, comply with such ordinance antl take all steps _
necessary to obtain such survey, plat or subdivision. The parties agree to cooperate in
obtaining the necessary approvals.
13. Possession. Each Party shall be entided to possession of the PropeRy upon the Date of
Closing, subject only to such matters approved in writing by the other Party.

14. Time is of the Essence. Time is of the essence in the performance of any obligations
pursuant to this Agreement. Failure of either party to insist upon the strict performance
of the other party's obligation hereundei shall not constitute a waiver of strict
performance thereafter of all of the other party's obligation hereunder.
15. Notices. Any notices required or.permitted to be given shall be in writing and delivered
either in person or by certified mail, retum ieceipt requested, postage prepaid, addressed
: as follows or to such other address as may be designated by either party.

Any notice given pursuant to this Ageemem shall be deemed effective the date it is
personally delivered or three (3) business days after the date it is deposited in the United
States Mail.
16. Enrire Agreement. All understandings and agreements previously existing between the
� parties, if any, are merged into this Agreement, wlvch alone fully and completely
expresses their agreement, and the same is entered into after full investigation, neither'
parry relying upon any statement or represeritation made by the.other not embodied
herein. This Agreement may not be changed or temunated orally.
17. Leeal Re(ations. Each pariy to this agreement shall be-responsible for injury to persons or
, damage to properry resulting. from negligence on the part of itself, its employees, iu
agents, or its officers. Neither party assumes any responsibility to the other party for the
consequences of any act or omission of any their party.
18.Non-Foreign Affidavit. The parties.are not foreign person(s) as the term is used and
defined in,Section 1445 of the Intemal Revenue Code, as amended, and the, regulations
promulgated thereunder. The parties shall, upon request of the other, complete an
affidavit to that effect.
19. Environmental Concems. The parties warrant that no hazardous substance, toxic waste,
or other toxic substance has beeri produced, disposed of, or has been kept on the
Properties described in E�chibit A and B which, if fountl on the Property, would subject
the owner or user to any damages, penalty, or liability under an applicable local, state, or
fedeial law or regulation. The parties shall be responsible for all damages; costs,

attorneys' fees, and penalties arising from the presence of such substances on each of the �
respective properties sold. -
20. Assignment. Each party agrees that this instrument and all rights, tide and interest are
fully assignable to other governmental entities. '
21. Default; Remedies: Saecific, Performance. In the event of material breach or default in or
of this Agreement or any of the represemations, wamanties, terms, covenants, conditions
or provisions hereof by the parties, the parties shall have, in addition to a_ claim for
damages from such breach or default and without prejudice to any other right or remedy
available under t(us Ageement or at law or in equity, the right to.(a) demand and have
specific performance of this Agreement; (b) demand injunctive relief to enforce any
provision of this Agreement; or(c) terminate this Agreement upon written nodce without
any additional liability to the parties and shall be entitled to a fiill refund of any payments
oudined herein. In tfie event of a material breach or default in or of this Agreement or .
any of the representations, warranties, terms, covenants, conditions or pmvisions hereof
by the parties;the party's only remedy stiall be a claim for damages.
22.Neuval Authorshin. Each of the prbvisions of this Agreement has been reviewed and.
- negotiated, and represents the combined work product of both parties hereto. No
pre§umption or other rules of construction which would interpret the pmvisions of tlus
Agreement in favor of or against the parties preparing the same shall be applicable in `
connecrion with the consuuction or interpretation of any of the provisions of this
Agreement. '
23.No Waiver of Eminent Domain Power. Nothing in this Agreement shall constitute;or be
construed as constituting, any limitation upon the pazties or any waiver liy the parties with
respect to its exercise.of the power of eminent domain in connection with the respective
� properties.
24. Severabiliri. In case any one or more of the provisions contained in the Agreement shall
, for any reason be held to be invalid, illegal or unenforceable in' any respect, such
invalidity, illegality or unenforceability shall not.affect any other provision hereof, ancl
ttris Agreement shall be construed as if sucb invalid, illegal or unenforceable provision.

25:Remedies Cumulative. Except as otherwise expiessly.pmvided herein, the rights,and
remedies given herein to the parties shall be deemed cumulative, and the exercise of one
ormore of such remedies shall not operate to bar the exercise of any other.rights reserved ,

26: Title Information. Unless otherwise norified by the State in wriring, City shall convey the
Properry described in Exhibit B to the State as follows: State of Washington, acting by
and throng6 the Washington State Par&s and Recrearion Commission. Unless
otherwise notified by the City in writing,the State shall convey the Property described in
Ea�ktibit A to the City as follows: City of Aubum,a municipal corporation.
