ENERGY EFFICIENCY EQUIPMENT INSTALLATION AGREEMENT
This Energy Efficiency Equipment Installation and Services Agreement with Exhibits("Agreement') is
made this day of April, 2013 by and between MacDonald-Miller Facility Solutions, a Washington
company with its principal place of business located at 7717 Detroit Ave SW,Seattle,WA 98106
("Contractor")and City of Auburn, a Washington municipal corporation with its principal place of
business at 25 West Main Street,Auburn,WA 98001-4998 ("Customer").
1. Equipment. Contractor shall design, engineer, procure, and install the energy efficiency equipment
("Equipment') as described and specified in Exhibit A. Equipment shall be installed in Customer's
facilities specified in Exhibit B (the "Facilities") and at those locations in the Facilities as indicated in
Exhibit A. Upon the successful delivery and installation of the Equipment, Customer shall execute and
deliver to Contractor an Equipment Acceptance Certificate("Acceptance Certificate") in the form
attached as Exhibit C.
2. Utility Incentives. Contractor shall complete and manage the application for all utility incentives
(rebates and grants)on behalf of Customer All utility incentives will be assigned to Customer. Customer
agrees to fully cooperate,assist and execute all documents reasonably required to apply for,obtain,and
assure assignment of the utility incentives.
3. Energy Cost Savings Methodology. Annual energy cost savings ("Annual Savings")shall be calculated
based on avoided costs as defined in the Energy Savings and Reporting Methodology attached as Exhibit D.
4. ARRA Compliance Reporting&Prevailing Wage Rate Schedule. Contractor shall provide to Customer
the required American Recovery and Reinestment Act("ARRA") reports and compliance documentation, as
applicable, in a timely manner
The Contractor shall comply with every provision of the Revised Code of Washington Chapter 39.12. A copy
of a Statement of Intent to Pay Prevailing Wages,approved by the Industrial Statistician of the Department
of Labor& Industries, must be submitted to the Customer prior to any payment for services rendered. An
Affidavit of Wages Paid must be received by the Customer prior to issuance of final payment.
Should the term of this agreement go beyond one year,the wages that the Contractor shall pay its
employees must be altered annually to recognize and follow the most recently promulgated increases in
prevailing wages each year after the first year of the contract period.
Attached,as Exhibit H, is a copy of the State of Washington—Department of Labor and Industries—Journey
Level Prevailing Wage Rates for the Effective Date April 12. 2013
5. Customer Payment Obligations. Upon execution of the Acceptance Certificate, Customer agrees to pay
Contractor in full for the Equipment and all installation costs ("Project Costs") as agreed to in Exhibit G.
Customer agrees to pay Contractor for on-going Preventative Maintenance& Energy Management Services
("Services")as defined in Exhibit E and priced per Exhibit G, Pricing& Financial Analysis.
6. Contractor Obligations at Acceptance. Upon execution of the Acceptance Certificate, Contractor
will provide services and guarantee the energy savings per the Preventative Maintenance& Energy
Management Agreement attached as Exhibit E.
7. Equipment Operation. Customer agrees to operate the Equipment at its own expense. All damage
to the Equipment in Customer's possession or control will be charged to and paid by Customer

8. Equipment Installation. Contractor shall be responsible for, and Customer shall use its best efforts
to assist Contractor in,obtaining all necessary permits and approvals for installation of the Equipment.
Contractor shall coordinate the installation with Customer so as to minimize any disruption of
Customer's operations. Contractor will not, however, be responsible or liable for any planned or
scheduled disruption to Customer's operations unless caused by the Contractor's negligence.
Customer shall not alter, move, add to, or modify the Equipment without the prior written consent of
Contractor. Any material, unapproved alterations, additions, and/or modifications to the Equipment will
void the Energy Savings Guarantee. Any unforeseen site conditions shall be managed via a change order
to this Agreement.
Contractor shall present to Customer a Notice of Completion requesting Customer's execution of the
Acceptance Certificate, and Customer shall respond within 10 days by providing to Contractor either(a)
an executed Acceptance Certificate or(b) a punchlist of items required for completion of the Equipment
installation,which punchlist shall indicate Customer's acceptance of items not included on the punchlist.
Following Contractor's completion of the punchlist items, a second Notice of Completion will be issued
by Contractor, and this process will be repeated until Customer accepts the complete installation of the
Equipment. Failure of Customer to respond during this process within the 10-day deadline shall
constitute acceptance by Customer
Exhibit A provides a scope of work narrative for the Equipment to be installed. Prior to beginning the
installation, Contractor will provide a milestone schedule for Customer's review Contractor will provide
to Customer interim construction progress reports as construction milestones are achieved.
Contractor shall have no responsibility and shall bear no cost regarding hazardous materials found in the
Facilities during performance of its work. If Contractor discovers hazardous waste during the
performance of this contract, it will immediately stop work and will not resume until the Customer has
made arrangements for proper disposal of the hazardous materials.
9. Access. Customer shall provide mutually satisfactory rent-free space for the installation and
operation of the Equipment in the Facilities. Contractor shall coordinate with the Customer for mutually
agreeable times for the installation and repair of Equipment in the Facilities and the Customer shall
provide free and full access to the Facilities to Contractor and its subcontractors and agents during
normal business hours and other reasonable hours as requested to install, inspect, adjust, repair,
maintain, and, in event of default as defined in Section 12, below, repossess the Equipment.
10. Term and Termination. The Term of this Agreement shall begin with the mutual execution hereof
and shall terminate upon payment of all Project Costs by Customer to Contractor The Customer may
terminate the service portion of this Agreement at any time upon 30 days written notice to Contractor,
and payment of all outstanding Project Costs and service costs by Customer to Contractor If Customer
elects to terminate this Agreement prior to the execution of an Acceptance Certificate, Customer shall
be entitled to the Equipment AS IS, WHEREAS,WITHOUT ANY EXPRESSED OR IMPLIED WARRANTIES,
AND CONTRACTOR SPECIFICALLY DISCLAIMS ANY GUARANTEE OF ENERGY SAVINGS. If Customer elects
to terminate the service portion of the Contract, Contractor is relieved from any further obligations,
specifically the guarantee of energy savings.
11. Ownership of the Equipment and the Facilities. Customer shall own the Equipment. The
Equipment is,and shall at all times during the term of this Agreement, remain the personal property of
Customer. Customer warrants and represents that Customer owns the Facilities. Customer shall notify
Contractor thirty(30)days prior to the sale of the Facilities to a third party and, in the event of such a

sale, Customer shall, at Customer's option, either(a) cause the buyer of the Facilities to assume all
Customer's obligations for the remaining term hereunder or(b) pay to Contractor all outstanding
monies owed for all completed Projects.
12. Insurance and Loss or Damage to the Equipment. At all times during the term of this Agreement,
Contractor shall, at its own expense,for the mutual benefit of Customer and Contractor, obtain and
maintain in force from insurance companies reasonably satisfactory to Customer(a)commercial general
liability insurance in an amount not less than $1,000,000 per occurrence and$2,000,000 general
aggregate. Insurance shall be written on ISO occurrence form CG 00 Oland shall cover liability arising
from premises, operations, independent contractors, products-completed operations, stopgap liability,
personal injury and advertising injury, and liability assumed under an insured contract. The Commercial
General Liability insurance shall be endorsed to provide the Aggregate Per Project Endorsement ISO
form CG 25 03 1185. There shall be no endorsement or modification of the Commercial General
Liability insurance for liability arising from explosion, collapse or underground property damage. The
Customer shall be named as an insured under the Contractor's Commercial General Liability insurance
policy with respect to the work performed for the Customer using ISO Additional Insured endorsement
CG 2010 10 01 and Additional Insured-Completed Operations endorsement CG 20 37 10 01 or
substitute endorsements providing equivalent coverage. Contractor shall provide Customer with
evidence of proper insurance coverage naming the City as an additional insured prior to initiating work.
Customer bears the risk of loss or damage to the Equipment. Customer shall immediately notify
Contractor of any loss of or damage to the Equipment.
In the event of loss or damage to the Equipment, Customer shall: (a)continue to make Payments toward
the purchase of replacement or repair of Equipment;and (b) Customer will, at Customer's option, either
(i) replace,the Equipment lost or damaged,with equipment of equal energy efficiency as the
Equipment,whereupon such replacement equipment shall be substituted in this Agreement by
appropriate endorsement and become a part of the Equipment for the purposes of this Agreement or
(ii) pay to Contractor the full amount for all work completed to date.
13. Default and Remedies Upon Default.
13.1 Each of the following events or conditions shall constitute an "Event of Default" by Customer:
(a) Customer's failure to make any payment(s)to Contractor within fifteen days after notice of
past due payment;
(b) When any representation or warranty furnished by Customer in this Agreement proves to
be a misrepresentation or is purposefully misleading in any material respect when made;
(c) The institution of any proceeding of bankruptcy or insolvency by or against Customer,
appointment of a trustee or receiver for Customer or similar proceedings, or the filing of any
execution proceedings against assets of the Customer;or
(d) Customer otherwise defaults on any covenant of this Agreement to be performed by
Customer within 30 days notice after notice of such default.
In an Event of Default by Customer,Contractor shall have the right to (a)terminate this Agreement and
receive from Customer, and Customer shall be liable to the Contractor for,the full Project Costs to date,
plus all reasonable costs of collection, including but not limited to attorney's fees and court costs, (b)
repossess the Equipment not yet purchased for by the City, in which case Customer shall provide access
to the Facilities during normal business hours for this purpose, and (c) pursue any other remedy at law
or equity that Contractor may have at its option.

13.2. Each of the following events or conditions shall constitute an "Event of Default" by Contractor
(a) Failure to deliver the equipment per Exhibit A.
(b) Failure to perform the Services per Exhibit E.
(c) When any representation or warranty furnished by Contractor in this Agreement proves to
be a misrepresentation or is purposefully misleading in any material respect when made;
(d) The institution of any proceeding of bankruptcy or insolvency by or against Contractor,
appointment of a trustee or receiver for Contractor or similar proceedings, or the filing of

In an Event of Default by Contractor,Customer shall have the right to(a)terminate this Agreement and
receive from Contractor,and Contractor shall be liable to the Customer for, any costs to the Customer
to cover and cure Contractor's default, plus all reasonable costs of collection, including but not limited
to attorney's fees and court costs and, (b) (c) pursue any other remedy at law or equity that Contractor
may have at its option.
14. Taxes and Fees. Customer shall be responsible for payment of all federal,state and local taxes,
permits and other charges of any kind that are at any time lawfully assessed or levied against or with
respect to the Equipment that become due during the Term of this Agreement,shall provide Contractor
evidence of any such payments, and shall reimburse Contractor for the same, if Contractor makes such
payments during the Term of this Agreement,within fifteen days after Contractor presents to Customer
a receipt evidencing such payment. Provided,that Contractor is responsible for payment of Business
and occupation taxes.
15. Assignment. Contractor may assign all or any part of its rights herein to any party with notice to
and prior consent of Customer Customer agrees that Contractor's assignee will have the same rights,
remedies, and responsibilities that Contractor now has, and Customer agrees that its obligations are in
no way altered or relieved by any such assignment. All payments made by Customer to Contractor's
assignee shall to the extent thereof discharge the obligations of Customer to Contractor hereunder
Customer agrees to cooperate with Contractor(a) by providing during the term of this Agreement such
financial information concerning Customer as reasonably required by Contractor and its assignee(s)to
assess the financial condition of Customer and its ability to fulfill its obligations hereunder and (b) in
executing such instruments that may reasonably be required for purposes of financing and/or effecting
an assignment(s). Any assignee of Contractor's rights may reassign such rights with the same effect as
the original assignment. In the event that Contractor ceases business operations,for whatever reasons,
Customer agrees to fulfill all its obligations hereunder for the benefit of, including making all payments
due hereunder to,Contractor's assignee(s).
16. Representation and Warranties. Each party represents and warrants to the other that: (a) it has all
requisite power,authority, licenses, permits, and franchises,corporate or otherwise,to execute this
Agreement and perform its obligations hereunder;and, (b)this Agreement has been duly executed and
delivered for it by the signatories so authorized, as evidenced by the Corporate Resolution attached
hereto as Exhibit H, and this Agreement constitutes Customer's legally valid and binding obligation.
EXCEPT AS EXPRESSLY STATED HEREIN, CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES INCLUDING
ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

17. Notices. All notices, requests,demands, claims,and other communications shall be in writing,shall
be delivered in person or by mail (first class postage pre-paid), overnight delivery service,fax
transmission,or receipt-confirmed email and shall be deemed given when delivered in person or, if
not delivered in person,when received (or delivery is refused) by the party to whom such notice,
request, demand, claim,or other communication is directed, at the following address, email,or fax
number(or at such other address or number as a party shall designate by written notice to the other
party):

Each party shall have the right,from time to time,to designate a different address by written notice
given in conformity with this Section.
18. Indemnification. The Contractor agrees to release, indemnify, defend, and hold the Customer, its
elected officials, officers, employees, agents, representatives, insurers, attorneys, and volunteers
harmless from any and all claims, demands, actions,suits, causes of action, arbitrations, mediations,
proceedings,judgments, awards, injuries,damages, liabilities,taxes, losses,fines,fees, penalties
expenses, attorney's fees,costs, and/or litigation expenses to or by any and all persons or entities,
including, without limitation,their respective agents, licensees, or representatives;arising from,
resulting from, or in connection with this Agreement or the acts,errors or omissions of the Contractor in
performance of this Agreement,except for that portion of the claims caused by the Customer's sole
negligence. Should a court of competent jurisdiction determine that this Agreement is subject to RCW
4.24.115,then, in the event of liability for damages arising out of bodily injury to persons or damages to
property caused by or resulting from the concurrent negligence of the Contractor and the Customer,the
Contractor's liability hereunder shall be only to the extent of the Contractor's negligence. Contractor
shall ensure that each sub-contractor shall agree to defend and indemnify the Customer, its elected
officials, officers,employees, agents, representatives, insurers,attorneys, and volunteers to the extent
and on the same terms and conditions as the Contractor pursuant to this paragraph. The Customer's
inspection or acceptance of any of Contractor's work when completed shall not be grounds to avoid any
of these covenants of indemnification. It is further specifically and expressly understood that the
indemnification provided herein constitutes the Contractor's waiver of immunity under Industrial
Insurance,Title 51 RCW,solely for the purposes of this indemnification. This waiver has been mutually
negotiated by the parties. The provisions of this section shall survive the expiration or termination of
this Agreement.

19. Miscellaneous.
19.1 Dispute Resolution and Governing Law. In the event a dispute arises under this
Agreement,the Parties agree first to try and resolve the dispute between themselves. If they are
unable to do so,the Parties agree to submit the dispute to non-binding mediation with a mediator
acceptable to both Parties. If the Parties still are unable to resolve the dispute, it shall be finally settled
under the Construction Industry Arbitration Rules of the American Arbitration Association ("AAA") by
one arbitrator acceptable to both Parties. If the Parties cannot agree on an arbitrator,then one will be
appointed in accordance with said Rules with the location of the arbitration hearing In Seattle,
Washington. In the event arbitration is necessary to resolve a dispute, in addition to any direct
damages,the prevailing party, as determined by the Arbitrator,shall be entitled to recover its
reasonable attorneys'fees, costs and AAA costs from the other party
This Agreement shall be construed and interpreted in accordance with the laws of the State of
Washington,without giving effect to its laws on conflicts of law
19.2 Amendments. This Agreement may not be amended except by the mutual written
agreement of the Parties.
19.3 Counterparts and Facsimile. This Agreement may be executed simultaneously in
counterparts, each of which shall be an original, but all of which together shall constitute one and the
same instrument. Fax or PDF transmission of any signed original document, and retransmission of any
signed fax or PDF transmission,shall be the same as transmission of an original. A Party will confirm
signatures transmitted by facsimile or email by signing an original document upon the request of the
other Party
19.4 Severability. If any provision of this Agreement or the application thereof to any Person
or circumstance shall be invalid, illegal,or unenforceable to any extent,the remainder of this Agreement
and the application thereof shall not be affected and shall be enforceable to the fullest extent permitted
by law
19.5 Complete Agreement. This Agreement constitutes the complete and exclusive
statement of the agreement between the Customer and Contractor and supersedes all proposals,oral or
written,and all other communications between Customer and Contractor relating to the subject matter
of this Agreement. Customer acknowledges and agrees that in entering into this Agreement,Customer
is not relying upon any prior or contemporaneous agreements, representations, understandings or
promises,oral and/or written, made by Contractor
19.6 Removed.
19.7 Accident Notification. Customer agrees to immediately notify Contractor of any
accidents or injuries involving the Equipment as soon as possible after any such occurrence during and
throughout the term of this Agreement.
19.8 Limitations. Notwithstanding any other provisions of this Agreement, Contractor is not
liable for any loss,damages or injuries arising from, or in connection with,this Agreement to any
persons or property except to the extent caused by the negligence of Contractor It is specifically agreed
that Contractor is not liable for any loss or damage arising out of any one or more of the following: (a)
unauthorized alteration or modification of the Equipment by Customer or any third party; (b)
overloading or inappropriate use of the Equipment by Customer orthird parties; (c)damage to the

Equipment by Customer or any third parties;or(d)acts of nature,strikes, labor disputes or any other
cause beyond the control of Contractor
IN WITNESS WHEREOF, and intending to be legally bound,the parties subscribe their names to this
instrument on the date below.

FIM-1—Implement Equipment/System Cap Ex Upgrades(Replace pneumatics w/TRIDIUM Niagara AX
Web-based Open protocol platform
Scope of work.'
Macdonald-Miller will pursue incentive opportunities from the local utility for maximum grant incentive.
The following are the steps to be taken to implement the Equipment/System Cap Ex improvements.
A. Demo existing JCI Metasys front-end controller
B. Replace all existing LINT(JCI)field controllers.
C. Replace existing air-handler proprietary JCI field controllers with OPEN protocol LON type 1/0
controllers and TRIDIUM JACE AX"0"architecture.
D Re-program sequencing,and scheduling to optimize performance.
E. Replace existing control system infrastructure with new WEB based TRIDIUM architecture
platform.
F Paint—to- Point system-wide checkout.
G. Program flow calculations on all air-handling equipment to allow better utilization of
economization control, (free-cooling).
H. Provide functional testing of each and every zone and all mechanical equipment to maximize
energy savings and system performance.
I. Program discharge air,and set point resets based on zone demand.
J. Provide a graphical dynamic interface via TCP/IP,standard internet connectivity provided by
owner
K. Provide direct economization control to implement free-cooling capability
L. Replace existing DDC controllers on the effected systems with OPEN Communication/LON
based controllers.These controllers provide PRODUCT and VENDOR Neutrality.
M. Install new communicating T7350 stats on all existing standalone air-handlers and tie into new
TRIDIUM platform for web-based remote connectivity
FIM-2—Complete Point to Point Testing& Performance Based Balancing Plan
Scope of Work
Preparation of a detailed point to point testing plan based upon a thorough review of the existing
drawings, energy audit report and site conditions. Plan to be submitted, reviewed, modified and
approved bythe Owner, Utility and other parties as identified by the Owner.
Development and execution of equipment specific functional performance testing checklists.
Performance-based balancing of HVAC systems(air and water balance)to align with
recommendations from the energy audit, engineering calculations and field observations.
Review and modification of DDC system sequence of operations inclusive of required programming
changes and testing.
Functional performance and validation testing of the HVAC DDC system inclusive of device
calibration and operational effectiveness.
Tuning of control loops on major subsystems—air handlers, VAV, zone valves.
Evaluation of existing zone air-flow distribution and sensor locations based on current load
conditions, adjust minimum and maximum airflows to correspond.
• Balance ITesting, calibration of all air-handling and ventilation systems.
Perform functional test and proportion air balancing of diffusers,set balancing dampers accordingly
on selected systems and document functional discrepancies.
Notification and suggested resolution of identified system deficiencies.

Coordination and assistance with the correction of system deficiencies/issues.
Perform re-testing of systems that initially failed to meet desire functional test criteria and were
corrected.
Report all systems and/or equipment not meeting desired functional test criteria and make
recommendations to the owner regarding resolution of deficiencies such as adding in-line duct-
heaters, relocation of diffusers, adding/deleting zones and sensors.
• Development, implementation and verification of system trending criteria and reports to
monitor/validate performance of the building systems.
As-build existing HVAC zoning, control sequences and operations manuals to reflect current
conditions.
Preparation, review and distribution of final report,as-built documentation and operations manual.
• All work to be performed in compliance with NEBB,TABB and BCA guidelines.
Deliverables
Comprehensive NEBB certified commissioning report documenting final measurements, changes,
discrepancies and recommendations as well as a set of updated as-built mechanical/control drawings
and relevant/available operating manuals.
Basis of Scope/Clarifications
• New DDC system will have the ability via internet to send structured reports via e-mail or a file
transfer protocol (FTP).
• Programming changes to DDC system and repairs to system components to be proposed separately
as they are identified.
• Project Description and Background information as provided above.
• Work performed during normal business hours.
• Task-based estimate available for review upon request.
Excluded, Cutting, Painting, Patching
Excludes sales tax, productivity impacts due to restricted/escorted access in sensitivity areas.
Replacement of belts,sheaves,software upgrades and other mechanical/electrical modifications not
included in base estimate and performed after approval.
General Exclusions:
• Repair or replacement of existing defective equipment or controls not part of specified scope.
• After-hours labor all work to be performed during normal business hours
• Cutting, painting, patching
• TCP/IP connection, phone line, or I/P address.

I,the undersigned, hereby certify that:
(1) 1 am the duly qualified,authorized and acting on behalf of the City of Auburn (the
"Customer"); and,with respect to the Energy Efficiency Equipment Installation Agreement(the
"Agreement")dated April 11, 2013 between MacDonald-Miller Facility Solutions("Contractor") and the
Customer;
(2) Contractor has completed the installation of the Equipment due to be installed, pursuant to
the Agreement and as specified in the Equipment to be Installed attached hereto as Exhibit A, and
Customer has inspected and does hereby accept unconditionally the Equipment installation;
(3) based on the terms of the Agreement,Customer has paid to Contractor the full the amount
owed for the Equipment and all installation costs ("Project Costs"); and
(4) with respect to all Equipment installed,the Customer has obtained from a reputable
insurance company,qualified to do business in the State of Washington,the insurance coverages as
required in Section 11 of the Agreement and as evidenced by the attached certificate of insurance.

Overtime Codes
Overtime calculations are based on the hourly late aclually paid to the worker.On public works projects,the hourly tale
must be not less than the prevailing late of wage minus the how ly rate of the cost of fringe benefits actually provided for
the worker.
I. ALL HOURS WORKED IN EXCESS OF EIGHT(8) HOURS PER DAY OR FORTY (40)HOURS PER WEEK SHALL
BE PAID AT ONE AND ONE-IIAL17 MIMES THE HOURLY RATE OF WAGE.
B. All hours worked on Saturdays shall be paid atone and one-half tinres the hourly rate of wage All hours worked
on Sundays and holidays shall be paid at double the howdy rate of wage.
C. The first two(2)hours after eight(8)regular hours Monday through Friday and the first ten(10)hours on Saturday
shall be paid at one and one-half times the hourly rate of wage. Alf other overtime hours and all hours worked on

Below is the department's (State L&I's) list of criteria to be used in determining whether a
prefabricated item is "standard" or "non-standard". For items not appearing on
WSDOT's predetermined list, these criteria shall be used by the Contractor (and the
Contractor's subcontractors, agents to subcontractors, suppliers, manufacturers, and
fabricators) to determine coverage under RCW 39.12. The production, in the State of
Washington, of non-standard items is covered by RCW 39.12, and the production of
standard items is not. The production of any item outside the State of Washington is not
covered by RCW 39.12.
1 Is the item fabricated for a public works project? If not, it is not subject to RCW
39 12. If it is, go to question 2.
2. Is the item fabricated on the public works jobsite? If it is, the work is covered under
RCW 39 12. If not, go to question 3.

3. Is the item fabricated in an assembly/fabrication plant set up for, and dedicated
primarily to, the public works project? If it is, the work is covered by RCW 39 12. If not,

Coverage and exemptions of workers involved in the production and delivery of
gravel, concrete, asphalt, or similar materials.
(1) The materials covered under this section include but are not limited to: Sand,
gravel, crushed rock, concrete, asphalt, or other similar materials.

(2) All workers, regardless of by whom employed, are subject to the provisions of
chapter 39 12 RCW when they perform any or all of the following functions:
(a) They deliver or discharge any of the above-listed materials to a public works
project site:
(i) At one or more point(s) directly upon the location where the material will be
incorporated into the project; or
(ii) At multiple points at the project; or
(iii)Adjacent to the location and coordinated with the incorporation of those materials.
(b)They wait at or near a public works project site to perform any tasks subject to this
section of the rule.
(c) They remove any materials from a public works construction site pursuant to
contract requirements or specifications (e.g., excavated materials, materials from
demolished structures, clean-up materials, etc.).
(d) They work in a materials production facility (e.g., batch plant, borrow pit, rock
quarry, etc.,) which is established for a public works project for the specific, but not
necessarily exclusive, purpose of supplying materials for the project.
(e) They deliver concrete to a public works site regardless of the method of
incorporation.
(t) They assist or participate in the incorporation of any materials into the public works
project.

(3)All travel time that relates to the work covered under subsection (2) of this section
requires the payment of prevailing wages. Travel time includes time spent waiting to
load, loading, transporting, waiting to unload, and delivering materials. Travel time would
include all time spent in travel in support of a public works project whether the vehicle is
empty or full. For example, travel time spent returning to a supply source to obtain
another load of material for use on a public works site or returning to the public works
site to obtain another load of excavated material is time spent in travel that is subject to
prevailing wage. Travel to a supply source, including travel from a public works site, to
obtain materials for use on a private project would not be travel subject to the prevailing
wage.
(4)Workers are not subject to the provisions of chapter 39.12 RCW when they deliver
materials to a stockpile.
(a) A"stockpile" is defined as materials delivered to a pile located away from the site
of incorporation such that the stockpiled materials must be physically moved from the
stockpile and transported to another location on the project site in order to be
incorporated into the project.
(b) A stockpile does not include any of the functions described in subsection (2)(a)
through (f) of this section; nor does a stockpile include materials delivered or distributed
to multiple locations upon the project site; nor does a stockpile include materials dumped
at the place of incorporation, or adjacent to the location and coordinated with the
incorporation.

(5) The applicable prevailing wage rate shall be determined by the locality in which
the work is performed. Workers subject to subsection (2)(d) of this section, who produce

the county in which the off-site facility is located. Workers subject to subsection (2) of
this section, who deliver such materials to a public works project site shall be paid the

§ 1 The Contractor and Surely,jointly and severally,bind themselves,their heirs,executors,administrators,successors and assigns to the Owner for
the performance of the Construction Contract,which is incorporated herein by reference.
§2 If the Contractor performs the Construction Contract,the Surety and the Contractor shall have no obligation under this Bond,except when
applicable to participate in a conference as provided in Section 3.
§3 If there is no Owner Default under the Construction Contract,the Surety's obligation under this Bond shall arise after
.1 the Owner first provides notice to the Contractor and the Surety that the Owner is considering declaring a Contractor Default Such
notice shall indicate whether the Owner is requesting a conference among the Owner,Contractor and Surety to discuss the
Contractoes performance.If the Owner does not request a conference,the Surety may,within five(5)business days after receipt of
the Owner's notice,request such a conference.If the Surety timely requests a conference,the Owner shall attend.Unless the Owner
agrees otherwise,any conference requested under this Section 3.1 shall be held within ten(10)business days of the Surety's receipt
of the Owner's notice.If the Owner,the Contractor and the Surety agree,the Contractor shall be allowed a reasonable time to
perform the Construction Contract,but such an agreement shall not waive the Owners right,if any,subsequently to declare a
Contractor Default;
.2 the Owner declares a Contractor Default,terminates the Construction Contract and notifies the Surety;and
.3 the Owner has agreed to pay the Balance of the Contract Price in accordance with the terms of the Construction Contract to the
Surety or to a contractor selected to perform the Construction Contract.
§4 Failure on the part of the Owner to comply with the notice requirement in Section 3.1 shall not constitute a failure to comply with a condition
precedent to the Surety's obligations,or release the Surety from its obligations,except to the extent the Surety demonstrates actual prejudice.
§5 When the Owner has satisfied the conditions of Section 3,the Surety shall promptly and at the Surety's expense take one of the following actions:
§5.1 Arrange for the Contractor,with the consent of the Owner,to perform and complete the Construction Contract;
§5.2 Undertake to perform and complete the Construction Contract itself,through its agents or independent contractors;
§5.3 Obtain bids or negotiated proposals from qualified contractors acceptable to the Owner for a contract for performance and completion of the
Construction Contract,arrange for a contract to be prepared for execution by the Owner and a contractor selected with the Owner's concurrence,to be
secured with performance and payment bonds executed by a qualified surety equivalent to the bonds issued on the Construction Contract,and pay to
the Owner the amount of damages as described in Section 7 in excess of the Balance of the Contract Price incurred by the Owner as a result of the
Contractor Default;or
§5.4 Waive its right to perform and complete,arrange for completion,or obtain a new contractor and with reasonable promptness under the
circumstances:
.1 After investigation,determine the amount for which it may be liable to the Owner and,as soon as practicable after the amount is
determined,make payment to the Owner,or
.2 Deny liability in whole or in part and notify the Owner,citing the reasons for denial.
§6 If the Surety does not proceed as provided in Section 5 with reasonable promptness,the Surety shall be deemed to be in default on this Bond
seven days after receipt of an additional written notice from the Owner to the Surety demanding that the Surety perform its obligations under this
Bond,and the Owner shall be entitled to enforce any remedy available to the Owner.If the Surety proceeds as provided in Section 5.4,and the
Owner refuses the payment or the Surety has denied liability,in whole or in part,without further notice the Owner shall be entitled to enforce any
remedy available to the Owner.

§7 If the Surety elects to act under Section 5.1,5.2 or 5.3,then the responsibilities of the Surety to the Owner shall not be greater than those of the
Contractor under the Construction Contract,and the responsibilities of the Owner to the Surety shall not be greater than those of the Owner under the
Construction Contract. Subject to the commitment by the Owner to pay the Balance of the Contract Price,the Surety is obligated,without
duplication,for
.1 the responsibilities of the Contractor for correction of defective work and completion of the Construction Contract;
.2 additional legal,design professional and delay costs resulting from the Contractor's Default,and resulting from the actions or
failure to act of the Surety under Section 5;and
.3 liquidated damages,or if no liquidated damages are specified in the Construction Contract,actual damages caused by delayed
performance or non-performance of the Contractor.
§8 If the Surety elects to act under Section 5.1,5.3 or 5.4,the Surety's liability is limited to the amount of this Bond.
§9 The Surety shall not be liable to the Owner or others for obligations of the Contractor that are unrelated to the Construction Contract,and the
Balance of the Contract Price shall not be reduced or set off on account of any such unrelated obligations.No right of action shall accrue on this
Bond to any person or entity other than the Owner or its heirs,executors,administrators,successors and assigns.
§ 10 The Surety hereby waives notice of any change,including changes of time,to the Construction Contract or to related subcontracts,purchase
orders and other obligations.
§ 11 Any proceeding,legal or equitable,under this Bond may be instituted in any court of competent jurisdiction in the location in which the work or
part of the work is located and shall be instituted within two years after a declaration of Contractor Default or within two years after the Contractor
ceased working or within two years after the Surety refuses or fails to perform its obligations under this Bond,whichever occurs first If the
provisions of this Paragraph are void or prohibited by law,the minimum period of limitation available to sureties as a defense in thejurisdiction of
the suit shall be applicable.
§12 Notice to the Surety,the Owner or the Contractor shall be mailed or delivered to the address shown on the page on which their signature
appears.
§ 13 When this Bond has been furnished to comply with a statutory or other legal requirement in the location where the construction was to be
performed,any provision in this Bond conflicting with said statutory or legal requirement shall be deemed deleted herefrom and provisions
conforming to such statutory or other legal requirement shall be deemed incorporated herein.When so furnished,the intent is that this Bond shall be
construed as a statutory bond and not as a common law bond.
§14 Definitions
§14.1 Balance of the Contract Price.The total amount payable by the Owner to the Contractor under the Construction Contract after all proper
adjustments have been made,including allowance to the Contractor of any amounts received or to be received by the Owner in settlement of
insurance or other claims for damages to which the Contractor is entitled,reduced by all valid and proper payments made to or on behalf of the
Contractor under the Construction Contract.
§ 14.2 Construction Contract The agreement between the Owner and Contractor identified on the cover page,including all Contract Documents
and changes made to the agreement and the Contract Documents.
§ 14.3 Contractor Default.Failure of the Contractor,which has not been remedied or waived,to perform or otherwise to comply with a material
term of the Construction Contract
§ 14.4 Owner Default.Failure of the Owner,which has not been remedied or waived to pay the Contractor as required under the Construction
Contract or to perform and complete or comply with the other material terms of the Construction Contract.
§14.5 Contract Documents.All the documents that comprise the agreement between the Owner and Contractor.
§15 If this Bond is issued for an agreement between a Contractor and subcontractor,the term Contractor in this Bond shall be deemed to be
Subcontractor and the term Owner shall be deemed to be Contractor.
