A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF AUBURN, WASHINGTON, AUTHORIZING THE
MAYOR TO ACCEPT THE RELEASE OF EXISTING
EASEMENTS AND GRANT REPLACEMENT
EASEMENTS TO PUGET SOUND ENERGY INC. ON
FOUR CITY PROPERTIES TO FACILITATE THE KING
COUNTY REDDINGTON LEVEE PROJECT
WHEREAS, the King County Flood Control Zone District ("District') and
King County ("County") are each authorized to provide flood control
improvements and flood protection services throughout the geographic area of
King County; and
WHEREAS, the District and County are proposing the Reddington Levee
Extension and Setback Project ("Reddington Levee Project') to address
significant flood risks to people, property and infrastructure within the City of
Auburn ("City") and assist the City in providing important flood protection
measures to its citizens, and
WHEREAS, the City owns four pieces of real property identified as King
County Tax parcel Number 000100-0081, ("Brannan Park'); Parcel Number
733800-1230 ('River Park Estates Bioswale Tract'), Parcel Number 733822-
1190, ("Riverpoint Park'); and Parcel Number 000400-0098, ("former Crista
Ministries Parcel") in which the District is acquiring interests to allow for the
construction, operation and maintenance of the Reddington Levee Project; and

WHEREAS, the City, the County, and the District have entered into an
Interlocal Agreement (City Resolution 4905) for conveyance of city easements
to King County associated with the Reddington Levee Project; and
WHEREAS, Puget Sound Energy Inc. has existing power facilities and
associated easements on these same four properties that require relocation
due to the Reddington Levee Project construction; this will require Puget Sound
Energy to release of the existing easements the City to grant new easements to
construct and maintain power facilities, and
WHEREAS, the Parties agree that there is a mutual benefit to the City
and Puget Sound Energy, Inc. in releasing the easements and in establishing
replacement easements in a different location and that this mutual benefit is
sufficient and adequate consideration,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, HEREBY RESOLVES as follows:
Section 1. The Mayor is authorized to negotiate a grant to Puget Sound
Energy, Inc. and record with the offices of the King County Recorder an
easement in substantially the same form as described in Attachment A,
attached hereto and incorporated herein.
Section 2. The Mayor is authorized to accept the release Puget Sound
Energy, Inc. easements and record with the offices of the King County Recorder
Resolution No. 4952

the releases in substantially the same form as described in Attachment B,
attached hereto and incorporated herein.
Section 3. That the Mayor is authorized to implement such other
administrative procedures as may be necessary to carry out the directives of
this legislation.
Section 4. That this Resolution shall take effect and be in full force
upon passage and signatures hereon.

of elecMcity. Such systems may include,but are not limited ta
a. Overhead facilities."'" Poles, towers and other support structures with crossarms,
braces,gays and anchors; electric transmission and distribution Iines; fiber optic cable and other lines,
cables and facil�fes for corrimunicatlons!transformers,street lights, meters, fixtures, attachments and
any and all other facilities or appurtenances necessary or convenient to any or ail of the foregoing;and.

herein shall construe this clause as being applicable to any other portion of the
easement area within parcei numbers 000100-0081 and 000400-0098.
b. Underg�ound facllities. Conduits, lines, cables, vaults, switches and transfortners for
electricity; fiberoptiacable and other lines, cables and facllitfes for commuNcations; semi-buded or
ground-mounted facflities.and pads, manholes, meters, fix[ures, attachments and any and all other
facilitles or appuAenances necessary or convenient to any or all of the foregofng.
Foliowing the initial consWction of all or a portion of its systems, Grantee may,-from time to time, construct
such additional facilities as:it may require for such systems. Grantee shall have the right of access to the.Easament
Area over and'across the Property to enable Grantee to exercise its rights liereunder. Grdntee shalt compensate
Grantor for any damage to the Property caused by the exercise of such right of access by Grantee.
2. Easertient Area Clearing and Malntenance. Grentee shall haye the right to cut, remove and dispose
of any and all brush,trees or other vegetaUon in the Easement Area. Grantee shall also have the dght to canhol,on
a continuing basis and by any prvdentand,reasonable means,the establishment and growth of brush,Vees or other
vegetation in the EasemenfArea.
3. Trees Outside Easement Area"". Grantee shalt have the right to cut, Vim, remove and dispose of any
trees located on the Property outside the Easement Area tFiat could, in Grantee's sole judgment, interfere with or
create a hazard to Grantee's systems. Grantee shall, prior to the exercise of such right,:identity such trees and I
make a reasonable effort to give Grantorprior notice tFiat such trees wilP be cut trimmed, remo4ed or disposed of
(except that Grantee shall have no obligation to identify such 4rees or give Grentorsuch prior notice when hees are
cul, trimmed,,removed or othervvise disposed of in response to emergency conditions). Grantor shall be entitled to
no compensation for trees cut, frimmed, removed or disposed of except for the actual market value of inerofiantable
timber(if any)cut and remo4ed from the Property by Grantee.

B. Abandonrrrent The rights herein granted shall wntinue unUl such Bme as Grantee ceases to use fhe
Easement Area for a period of five(5)successive years, in which event, this easement shall terminate and all rights
hereunder,and any Improvements remaining in the Easeme�t Area, shall revert to or otherwise become the property
of Grantor; provided, however, that no abandonment shall be deemed to ha4e occurreil by reason of Grantee's
failure ta INllally install its systems on the Easement Area within am period of time from the date hereof.
7. Suxessors and Assigns. Grantee shall have the dght to assign, epportion or athervvise transfer any
or all oUta rights, bene8[s, privileges and interests arising in and under this easemenL Without limitlng the
generality of the foregoing,the rights and obligalions of the parties shall inure to the benefit of and be binding upon
theirrespeclive successors and assigns.
