SO 1 4 A RESOLUTION OF THE CITY COUNCIL OF THE CITY � OF AUBURN WASHINGTON RELATED TO DOWNTOWN REDEVELOPMENT; AUTHORIZING THE MAYOR TO EXTEND THE TERM OF A MEMORANDUM OF AGREEMENT W ITFi CERADIMM, LLC AND THE TERM OF AN OPTION TO PURCHASE REAL PROPERTY WITH CERADIMM, LLC, BOTH APPROVED BY ADOPTION OF RESOLUTION 4675, AND TO EXTEND THE TERM OF AN EXCLUSIVE LEASE OR SALE LISTING AGREEMENT WITH COLDWELL BANKER DANFORTH AND ASSOCIATES UNTIL DECEMBER 31, 2015 WHEREAS, the City Council of the City of Auburn, Washington, previously entered into a Master Development Agreement with Alpert International LLCP for development of properties belonging fo the City and assistance in development proposals for other neighboring propeities in the downtown area; and WHEREAS, that initial Master.Development Agreement expired and the City entered into a subsequent refined Master Development Agreement with Alpert Intemational LLLP following the Council's passage of Resolution No. 4663; and WHEREAS, Alpert International LLLP combined its operations with Ceradimm, LLC, and the City approved a revised agreement and an option to purchase property by adoption of Resolution 4675; and WHEREAS, the City entered into an exclu5ive listing agreement on August 92, 2012, with Coldwell Banker Danforth end Associates for the lease oc sale of agreement within the Downtown Development Area; and, WHEREAS, the City Council believes that extending all of these agreements will facilitate downtown development, and that it is in the best interest of the City to extend these agreements until Decerimber 31, 201b; NOW THEREFORE, IN LIGHT OF THE ABOVE FINDINGS, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, HEREBY RESOLVES as follows: Section 1. That the Mayor of the City ofAubum and the Aubum City Cletk are hereby authorized to execufe amendments extending the termination date until December 31, 2D15, forthe Memorandum of Agreement, which Agreement shall be in substantial conformity with the Agreement attached hereto as Exhibit "A" and the Option to Purchase Re'al Property with Ceradimm, LLC, attached hereto as ExhibiY"B", and the ----------------------- Resolution No. 5014 November 26, 2013 Pege 1 of 2 Exclusive Lease or Sale Listing Agreement with Coldwell Banker Danforth and Associates, attached hereto as Exhibit "C", all of which are incorporated herein by reference. Section 2. That the Mayor is hereby authorized to implement such administrative procedures as may be necessary to carry out the directives of this legislation. Section 3. ADDENDUM TO MEMORANDUM OF AGREEMENT THIS ADDENDUM is made and entered into on the date subscribed below,by and between CERADIMM,LLC("Ceradimm"),a Limited Liability Corporation of the State of Washington,and the CITY OF AUBURN,a municipal corporation of the State of Washington(hereinafter referred to as "Auburn"), as an addendum to the Agreement between the parties for Downtown Property Development executed on the 5th day of December, 2011 ("Original Agreement'). RECITALS. 1. The parties entered into Memorandum of Agreement for Downtown Property Development,which Memorandum provided that Ceradimm would assist the City in development of the downtown area colloquially referred to as"Auburn Junction." 2. By Resolution No.5014,adopted by the Auburn City Council on December 2,2013, the City Council decided to extend the time period for the services to be provided under Memorandum until December 31, 2015. NOW THEREFORE in consideration of their mutual covenants,conditions and promises,the PARTIES AGREE as follows: 1. The Third paragraph of the Original Agreement is amended to read as follows: Additionally, if requested by the City, you shall assist and advise the City with the planning and potential third party funding for a cultural arts center or other public facility(collectively,the"public Facility")to be potentially developed independently in conjunction with he development of the City property or properties,or elsewhere in downtown Auburn.Should such Public Facility be so planned by December 31,20132015,and if such Public Facility is fully funded and developed by the City, you shall be entitled to a fee equal to 1.5%of the total capital costs of such Public Facility project. 2.
