Inc., a Washington corporation, (hereinafter referred to as "L.L.K. ") and S & B Hospitality, LLC, a Washington Limited Liability Company (hereinafter referred to as "S & B "). RECITALS 1 L.L.K. is the owner of certain real property situated in King County, Washington, commonly known as 521 Auburn Way S, and King County Tax Parcel Number 1821059027, the legal description of which is attached hereto as Exhibit "A" (hereinafter referred to as the "L.L.K. S & B is the owner of certain real property situated in King County, Washington, commonly known as 512 "A" Street S.E., Auburn, Washington and King County Tax Parcel Number 182105 -9253, the legal description of which is attached hereto as Exhibit `B" (hereinafter referred to as the "S & B Property "). 3 S & B has proposed the construction of a 70 unit hotel on the S & B property, with the associated installation of a utility corridor to include the City of Auburn's water line on the L.L.K. property, as well as shared access and parking rights to satisfy the City of Auburn's code requirements for parking. 4 L.L.K. has agreed to grant S & B the easement rights necessary for the hotel operations, in exchange for the benefits of having a 70 unit facility in close proximity to the business operated on the property, as well as consideration specified in the utility easement. 5 Pursuant to the terms set forth herein, an access and parking easement over and across portions of the L.L.K. Property shall be granted for the benefit of the S & B Property An easement for the construction, operation and maintenance of the City of Auburn's utility line shall be executed in a separate document, in a form acceptable to the City of Auburn. NOW, THEREFORE, for good and valuable consideration, the parties do hereby covenant and agree as follows: A. PARKING AND ACCESS EASEMENT. I Grant of Parking and Access Easement. L.L.K. hereby grants and conveys for the benefit of the S & B Property a non - exclusive perpetual access and parking easement over and across the property described on the attached Exhibit "C" (hereinafter referred to as the "Parking Easement "). The Parking Easement shall be for the purpose of free parking, and associated ingress and egress of vehicles and pedestrians to and from the S & B property 2. Notice Regarding City Requirements. This Parking Easement is for purposes of complying with the City of Auburn parking regulations. Cancellation or modification of these easement rights could result in violation of a City ordinance, loss of a certificate of occupancy or loss of authorization to continue a particular land use on the property due to failure to satisfy parking requirements applicable to the land use located on the benefited property The Parking Easement and related provisions shall not be modified, cancelled, or terminated for any reason by any party, except upon the signed written consent of both parties and the City of Auburn. 3. Repair and Maintenance. S & B shall refrain from causing any damage to the area covered by the Parking Easement, and shall promptly repair any damage for which it is responsible. L.L.K. shall retain general responsibility for maintenance of its property, including the Parking Easement area. Page 2 of 7 Declaration of Access and Parking Easements 4. Parking Rules and Regulations. L.L.K. may implement reasonable rules and regulations concerning parking within the Parking Easement consistent with this Declaration, and the City's ordinances. Neither L.L.K. nor S & B shall restrict or direct the traffic flow or parking within the Parking Easement in any manner that would impede or unreasonably interfere with the parties' access and parking rights. 5. Covenants Run With The Land. The easements, covenants and conditions granted herein shall run with the land, and are binding upon the parties hereto, and their' heirs, successors, assigns, and invitees. The easements, covenants and conditions herein create equitable servitudes upon the property described herein for the benefit of the S & B property in order to comply with City of Auburn legal requirements. B. PAYMENT FOR UTILITY INSTALLATION. The installation of utilities will require temporary use of the parking spaces above the utility easement area. The parties agree that reasonable payment for Denny's loss of use of these parking spaces during S & B's installation of utilities shall be $10,000 per month, prorated for any partial month at the rate of $300 per day C. GENERAL TERMS AND CONDITIONS. 1. Controlling Law The interpretation and performance of this Declaration shall be governed by the laws of the State of Washington. 2. Severability If any clause or provision of this Declaration is determined to be illegal, invalid, or unenforceable under present or future laws, the remainder shall not be affected by such determination, and in lieu of each clause or provision that is determined to be illegal, invalid or unenforceable, the parties (or their sucessors) shall reasonably negotiate and agree upon a valid replacement term that shall be designed to achieve the parties' intent as expressed in this Declaration. 3. Entire Agreement. This Declaration reflects the entire agreement of the parties with respect to the matters described herein, and supersedes all prior discussions, negotiations, understandings, or agreements relating hereto. No alteration or variation of this Declaration shall be valid or binding unless contained in an amendment signed by the owners of all the properties described herein. 4. Captions. The captions in this Declaration have been inserted solely for convenience of reference and are not a part of this Declaration and shall have no effect upon construction or interpretation. This Declaration shall be construed by a fair and reasonable interpretation of the words used in it without regard to which party drafted or caused to be drafted the provision or provisions. 7. Attorneys' Fees and Expenses of Litigation. If any party shall bring suit to recover damages under this Declaration or to otherwise enforce or interpret this Declaration and a judgment is entered, the substantially prevailing party shall be entitled to a reasonable sum as attorneys' fees, and all costs and expenses in connection with such suit, which sum shall be included in any such judgment or decree. Such attorneys' fees and expenses shall include those incurred before, during and after trial, including those related to any appeal. 8. Amendment. Amendments to this Declaration shall be made only upon unanimous written consent of both owners and the City of Auburn.
