1. EXECUTIVE OVERVIEW
1.1. Introduction
PRESID10.
Presidio Networked Solutions Group, LLC, a wholly owned subsidiary of Presidio Networked
Solutions, LLC ("Presidio") is pleased to propose the following solution for City of Auburn.
This Proposal summarizes the results of the Envisioning and Proposal Phases and details
the efforts and conclusions of the Vision and Proposal Teams. This document provides a
roadmap for the proposed solution and a foundation for the Systems Engineering and
Planning Phase.
1.2. Situation
City of Auburn has requested to deploy Outdoor Wireless Solution which will focus on
students in residential areas. As per request Proof of Concept will need to be conducted
within the specific area per the attached floor plan. The Outdoor Wi-Fi Infrastructure will
support students in the residential areas, that do not have the resources to use the internet.
The request to deploy Wireless throughout requires Presidio Networks & Mckinstry to
conduct certain site survey's & design for the validation of the outdoor RF environment.
The Predictive Site Design will be one of the first steps required for a successful WLAN
deployment and incorporates a planning process in which Radio Frequency (RF) elements
that potentially impact the environment are constructed as well as access point placement
that will meet City of Auburn wireless essentials.
The Predictive Site Design also allows Presidio Networks to create a set of
recommendations for a successful physical WLAN in City of Auburn ecosystem.
Presidio Engineer will perform a Predictive site design with the Ekahau Site Survey Software
for a Cisco WLAN Infrastructure.This conducts RF readings method with a floorplan that will
be constructed and converted into a RF Heatmap, and provide a full RF Assessment report
that describes a well designed and robust wireless environment based on industry best
practices. Special considerations will be taken into account surrounding data usage.

1.3. Client Considerations
City of Auburn would like to review the wireless design report for the city wide residential
area wireless solution in a timely manner.
1.4. Solution Overview
Presidio is proposing to perform a predictive site design with Ekahau Site Survey Software
for placing the access points in best locations possible per outdoor areas that can have
clean RF over the air, and avoid any inteferences from devices like rogue access points.

Presidio is recommending the use of Presidio's Strategic Engagement Framework (SEF) to
ensure better business results with minimal risk.
See section 2 below for a summary of Presidio's Strategic Delivery Framework.
Basic equipment and utilities that are required for the completion of a site design include:

2. STRATEGIC ENGAGEMENT FRAMEWORK
Presidio's Strategic Engagement Framework (SEF) is used to ensure better business results
with minimal risk. To accomplish this, initiatives are broken down into activities, tasks and
deliverables in a series of phases that start with aligning needs of the Client with the capabilities
of the technology and evaluating the impact to the organization (Envisioning). Once Vision
consensus is achieved the solution is refined and proposed (Proposal). Capabilities of solutions
are then further mapped into the technical and user environments and a detailed design and
project plan is developed (Systems Engineering and Planning). With a clear understanding of
business impact, risks and rewards, and with a comprehensive design and plan in place the
solution is implemented (Execution). Once the solution is in place it is important to ensure a
qualified. efficient. and timely support structure is in place to maintain optimal operating
conditions and that the solution continues to add value over time (Managed IT'Opex). These
phases combine to form the SEF. By partnering with City of Auburn and focusing on
envisioning and planning, Presidio is able to confidently execute a City of Auburn - focused
business technology solution and significantly reduce financial/organizational risk.
The following is a high level diagram of Presidio's Strategic Engagement Framework:
2.1. Teaming
To create the best possible business outcome with the lowest exposure to risk. SEF relies
upon a collaborative approach during each phase of the project lifecycle. Both City of

Auburn.
Presidio & Mckinstry will have individual and joint tasks and responsibilities.
Teaming also may incorporate third party representation when appropriate.
Each team is comprised of subject matter experts that come together in a synergistic fashion
to the benefit of City of Auburn. Presidio typically leads the team as a subject matter expert
in technology, while City of Auburn is obviously the expert in matters that pertain to your
own business and industry. as well as the way that technology is used to the benefit of the
business.
2.2. Envisioning Phase
The goal of the Envisioning Phase is to align technology with business needs. The Vision
Team is created to facilitate this process. Understanding business needs extends far
beyond the function of a proposed technology into an awareness of the environment, type of
industry, strategic objectives and tactical challenges of the organization. Determination of a
possible solution's value to the organization is made quickly. If a potential technology
application does not add positive impact. valuable time and resources are not wasted
pursuing it. Envisioning is critical to the success and impact of a project. The Project Vision
is the main Vision Team deliverable, and is used to document the work done in the
Envisioning Phase. Once Vision Consensus is achieved the next step is to move forward to
the Proposal Phase.
2.3. Proposal Phase
The goal of the Proposal Phase is to refine and formalize the Project Vision in a proposal.
The Proposal Team is created to facilitate this process. The Proposal incorporates the work
done during the Envisioning Phase and includes a quote for the Systems Engineering and
Planning Phase, key assumptions, and project terms and conditions. A budget estimate for
the Execution Phase and a preliminary bill of materials may also be included. While the
Execution Phase is a budget estimate, Presidio provides assurance that any remaining
uncertainty will be eliminated during the Systems Engineering and Planning Phase.
2.4. Systems Engineering and Planning Phase
The goal of the Systems Engineering and Planning Phase is to assess and mitigate risk by
documenting the project plan and creating a detailed design that considers all known issues
that pertain to the technology solution, the client's business and the end users. The
Systems Engineering and Planning Phase work incorporates both industry and vendor best
practices as well as previous Presidio real world execution experience. This work is
centered on the discovery of the existing environment and integrating the solution into that
environment. The Systems Engineering and Planning team creates the following Systems
Engineering and Planning Phase documents and deliverables: Systems Engineering
Report, detailed project scope and schedule, final bill of materials, and final services
agreement to execute the solution. The work done in the Systems Engineering and
Planning Phase significantly lowers risk by addressing all open issues and finalizing the
fixed scope and budget before execution.

"Resiliency -Test -Assurance" ("RTA") methodology to help us deliver on this commitment.
This methodology starts at the Systems Engineering & Planning Phase and follows through
the Execution Phase to final test and cutover of these important resiliency features.
2.5. Execution Phase
The goal of the Execution Phase is to perform the scope of work developed and finalized in
the Systems Engineering and Planning Phase. This is the phase where the actual
deployment of the solution takes place.
2.6. Managed IT/Opex
The goal of this phase is to ensure a qualified, efficient, and timely support structure is in
place to maintain optimal operating conditions. To Presidio, success is not simply the
installation and integration of technology for our clients. We help our clients plan and
validate a strategy to ensure the long term operational viability of every solution we deploy.
Presidio will work with City of Auburn to identify the appropriate resources, knowledge and
tools required to support the solution long term. We will also develop a transition plan to
provide a "warm" handoff to the appropriate team once the solution is fully tested and
operational. The Operations Plan will be finalized during the Operational Readiness
Workshop and be delivered as part of the Systems Engineering Report.

3.1.1. Project Manager

Presidio will provide a Project Manager (PM) who is familiar with the technology involved
and experienced in project management best practice methodologies. Responsibilities
will include:
• Work with City of Auburn and Presidio Networks project personnel to prioritize
and plan the activities for the duration of the engagement. Establish lines of
communication and frequency of reporting.
• Review and communicate the status of the project with periodic status reports
and/or conference calls that highlight performance on planned tasks. as well as
any issues or other areas requiring attention by Presidio and;or City of Auburn.
• Monitor quality on the project and establishing effective communications with City
of Auburn staff, while maintaining focused, high-quality effort through project
completion.
• Create an implementation schedule with all necessary tasks and associated
timelines.
• Attend any appropriate Project Systems Engineering and Planning Phase
Workshops that require PM participation and associated follow-up (Action Items.
Resource Planning, etc.)
3.1.2. Engineering Personnel
Presidio will assign a lead senior consulting and systems architect who will lead this
project from a technology and design perspective. The engineers will be responsible for
the engineering document(s) during the Systems Engineering and Planning Phase and
will work closely with City of Auburn technical lead to ensure the design, configurations,
equipment specifications, and methodology are accurate and in line with the overall
project goals. This consulting engineer will also consider and make recommendations to
ensure that the specifics of this project are in line with the greater system wide
architecture and technology goals of City of Auburn.

The Execution Phase of this project consists of performing the detailed scope of work which
will be developed and finalized in the Systems Engineering and Planning Phase. During the
Execution Phase, risk is continually mitigated by strong project management, technical
leadership, detailed documentation, training, knowledge transfer tasks and a defined 'freeze
period" that fine tunes the solution and assures that the solution operates to functional
specifications before project completion and handoff to the operations team. This is all done
to ensure client satisfaction and unity with business goals and objectives.
Presidio approaches project execution from a skills -based perspective. The Execution
Team is made up of individuals who have specific skill sets that will be utilized at different
times during a given project. This allows us to provide a very specialized workforce to City
of Auburn and utilize the appropriate resource for the task required.

4.2. Change Management Process
Presidio emphasizes detailed planning and design prior to any complex systems project.
One of the reasons for this approach is to avoid any change orders during the Execution
Phase that could affect budget, schedules. or business interruptions. During and upon
completion of the Systems Engineering and Planning Phase Presidio will review all detailed
system design and features so that when implementation begins there will be no surprises.
However, there are times when a change order will be requested by the client upon
completion of the Systems Engineering and Planning Phase and if this happens the change
request will be considered an addendum to this proposal and the Systems Engineering and
Planning documents and will be performed accordingly.

5. ASSUMPTIONS
The following project assumptions are made and will be verified as part of the Systems
Engineering and Planning Phase:
All work for predictive site design will be performed remotely by the Presidio Engineer.
1. This proposal involves predictive analysis and recommendations based on the survey
results only outdoor floorplan attached.
2. This engagement is conducted remotely and performed by the RF Predictive Survey
Tool Software. No onsite visit is required for this portion
3. Any other areas not defined are beyond the scope of this Statement of Work.
4. Unless previously agreed upon all activities during the Planning Phase will be performed
during normal business hours: Monday through Friday, 8:OOAM to 5:00PM. All activities
requiring after-hours work in the Execution Phase will be identified during the Planning
Phase and will be incorporated into the schedule. All remaining activities will be
performed during normal business hours: Monday through Friday, 8:OOAM to 5:OOPM.
5. CITY OF AUBURN will be responsible for resulting coverage for areas outside of those
surveyed as part of this Statement of Work.
6. CITY OF AUBURN will provide Floor plans in electronic format. CAD files are the best
followed by JPEG and at the least a PDF can work in a tweak.
7. CITY OF AUBURN will provide Floor plans print outs or electronic files marked up with
areas of desired coverage. All areas where coverage is not desired are beneficial. Also
include in the plans or maps areas where there will be high concentrations of wireless
users (student residential homes) .
8. CITY OF AUBURN will provide building dimensions (length x width). This will give us the
square footage of the outdoor area for RF coverage. We can use Google Earth
sometimes to get these dimensions but they are not always the most accurate.
9. CITY OF AUBURN may provide information on the number of wireless users on the
planned network will help us to make sure there is enough capacity to accommodate
everyone.
10. CITY OF AUBURN will provide information on types of applications: streaming video,
high resolution graphic downloads, bandwidth intensive applications, Wireless VoIP
(VoFi), etc.., intended to be utilized on the wireless network allow us to plan adequate
bandwidth. .
11. Performance of scope items not included in this Proposal are outside the scope of this
project and will necessitate the execution of a Project Change Request and may result in
a change of project approach, staffing and/or pricing.
12. CITY OF AUBURN will designate a main point of contact to participate in all activities
related to the envisioning and planning phases of the project. This person will serve as
the project focal point for CITY OF AUBURN team, CITY OF AUBURN technical staff

site survey design. However Presidio cannot control the presence of interfering devices
such as microwave ovens. outside rogue APs. Bluetooth headsets, cordless phones in a
real live environment.

7. TERMS AND CONDITIONS
The following terms and conditions shall govern this agreement unless a valid Master Services
& Product Agreement or other similar agreement ("Master Agreement") between the parties has
been executed and Is in force. in which case the terms of the Master Agreement shall prevail to
the extent that they are inconsistent with the following terms and conditions.
1 Purchase Orders, Invoicing, Payment and Acceptance. Any purchase order submitted by CLIENT in connection with
this agreement shall be deemed subject to these Additional Terms and this agreement. Unsigned. electronically submitted
purchase orders shall be deemed to include CLIENT's electronic signature and shall be binding to the extent accepted by
Presidio Presidio s performance of such purchase order shall not constitute Presidio's acceptance of new or different
terms including pre-printed terms on such order. In absence of a purchase order. CLIENT agrees that its signature below
grants Presidio the right to invoice CLIENT and authorizes payment to Presidio for the amounts owed. Further. CLIENT
represents that Presidio can rely on such CLIENT signature for payment
Presidia shall invoice CLIENT for the Products and,or Services in accordance with the terms stated in the agreement
The price included herein reflects a 3% discount for payment by cash, check or wire transfer. This discount will not apply
in the event that CLIENT pays using a credit card or debit card.
CLIENT shall make payment to Presidio within thirty (30) days from the date of invoice. Except for taxes due on Presidio s
net income. CLIENT shall pay all taxes. Presidio reserves the right to bill CLIENT for additional work requested by
CLIENT and performed by Presidio and for applicable expenses incurred by Presidio pursuant to providing such
additional services. which are not described in this agreement.
Unless otherwise indicated in this agreement. CLIENT agrees that staff augmentation services and services performed on
a time and materials basis shall be deemed accepted as performed. Unless otherwise indicated in this agreement,
Projects shall be deemed accepted upon the earlier of Presidio s receipt a signed Project Completion and Acceptance
document which has been signed and dated by an authorized representative of CLIENT or thirty (30) calendar days from
the date of the delivery of the final Project deliverable If acceptance is refused. the Client shall provide in writing to
Presidio. its reasonable basis for refusal, prior to the expiration of the thirty (30) calendar day period. Presidio shall
address the issue before subsequent work is undertaken
2. Shipment of Product All Products delivered to CLIENT hereunder shall be shipped FOB origin. freight collect. Title and
risk of loss shall pass to CLIENT at point of origin Products shall be deemed accepted upon delivery
3. Limitations of Warranties. Presidio warrants that Services shall be provided by competent personnel in
accordance with applicable professional standards. ALL PRODUCTS PROVIDED BY PRESIDIO ARE PROVIDED
'AS IS WITH ALL FAULTS. PRESIDIO MAKES NO OTHER WARRANTIES. EXPRESS OR IMPLIED. INCLUDING
BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ANY
AND ALL ORIGINAL EQUIPMENT MANUFACTURER (OEM) WARRANTIES. CERTIFICATIONS AND GUARANTEES.
IF ANY. ARE PASSED THROUGH TO CLIENT.
a Intellectual Property CLIENT acknowledges that Presidio, its vendors. and.or its licensors retain all patents and.or
copyrights in and to all proprietary data, processes and programs if any. provided in connection. with Services performed
hereunder: any Presidio software provided to CLIENT as part of the Services provided shall be subject to the vendor's.
licensors or OEM's copyright and licensing policy To the extent such software is prepared by Presidio. it is provided by
nontransferable. nonexclusive license for CLIENT'S internal use only subject strictly to the terms and conditions of this
Agreement and shall terminate upon termination or expiration of this Agreement CLIENT shall not duplicate, use or
disclose for the benefit of third parties. reverse engineer or decompile any such software
5. Confidential Information. The parties agree that Confidential Information means any information disclosed by the
disclosing party to the receiving party. either directly or indirectly. in writing. orally or by inspection of tangible objects
(including without limitation documents, prototypes, samples. plant and equipment. "CLIENT' lists or other 'CLIENT"
information not known to the public), which is designated as "Confidential." "Proprietary" or some similar designation. or is
the type of information which should reasonably be recognized as Confidential or Proprietary The receiving party shall
not use any Confidential Information of the disclosing party for any purpose except to evaluate and engage in discussions
concerning this Proposal Each party agrees to protect the other party's Proprietary and Confidential Information to the
same extent that it protects its own Proprietary and Confidential Information but with no less than a reasonable degree of
care
6. Limitation of Liability. IN NO EVENT SHALL PRESIDIO BE LIABLE TO CLIENT FOR ANY INDIRECT INCIDENTAL
SPECIAL, CONSEQUENTIAL. EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER. ARISING IN
CONTRACT, TORT OR OTHERWISE EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PRESIDIO S
ENTIRE LIABILITY AND CLIENTS EXCLUSIVE REMEDY FOR DAMAGES FROM ANY CAUSE WHATSOEVER,
INCLUDING, BUT NOT LIMITED TO, NONPERFORMANCE OR MISREPRESENTATION. AND REGARDLESS OF THE
FORM OF ACTIONS SHALL BE LIMITED TO THE AMOUNT WHICH HAS BEEN ACTUALLY PAID TO PRESIDIO BY
CLIENT FOR SERVICES AND OR PERFORMANCE HEREUNDER Without limiting the foregoing. Presidio will have no

responsibility for the adequacy or performance of (i) any third party software provided to Presidio ender this agree art

7. Non -Solicitation Provision. During the term of this agreement and for twelve t 12) months thereafter. CLIENT will rot
solicit for a permanent or other position any employee or subcontractor of the other party to whom that party was
introduced as a result of this agreement. Should CLIENT solicit and or hire an employee or contractor from PRESIDIO.

8. Export Law Compliance. CLIENT has been advised that all Products purchased hereunder and Presidio Confidential
Information are subject to the U S. Export Administration Regulations CLIENT agrees to comply with all applicable United
States export control laws, and regulations. as from time to time amended, including without limitation. the laws and
regulations administered by the United States Department of Commerce and the United States Department of State
9. Force Majeure. Neither party shall be liable for any failure or delay in performance of its obligations hereunder where
such performance is prevented or delayed by causes beyond its reasonable control, including without limitation. flood.
war embargo. strike or other labor dispute. riot. acts of God or the intervention of any government authority
10. Choice of Law and Venue. The parties will attempt to settle any claim or controversy arising under this agreement
through consultation and negotiation in good faith and a spirit of mutual cooperation. This agreement and all matters
relating thereto shall be governed exclusively by the substantive law of the State of Texas. Any dispute relating directly or
indirectly to this agreement or any other contract or agreement between the parties which cannot be resolved through the
process of consultation and negotiation shall be brought in a court of competent jurisdiction in Dallas County. Texas. that
being the exclusive venue for any dispute between or any claims held by any of the parties to this agreement.
11. Miscellaneous. This agreement constitutes the entire agreement of the parties and supersedes all prior written or oral
agreements, representations and understandings relating to the subject matter hereof, with the exception of a valid Master
Services and Product Agreement between the parties under the terms of which this agreement shall be incorporated. This
agreement shall not be amended or modified except by written instrument signed by the parties. Should additional work
beyond the scope of the Services detailed herein by Presidio be requested by CLIENT, fees for such additional Services
will be negotiated with CLIENT prior to performing such work and will be memorialized in writing between the Parties by
utilizing a Project Change Request form rPCR"i or an additional agreement as appropriate. Presidio will invoice CLIENT
for any additional work performed and expenses incurred which are not described in this agreement. The Parties agree
that neither may assign its rights or duties under this contract without the prior written consent of the other Party which
consent shall not be unreasonably withheld.
12. Severability. The provisions of this Agreement are severable It any provision of this Agreement or its application to any
person or circumstance is ever held by any court of competent jurisdiction to be invalid for any reason, the remainder of
this Agreement and the application of such provision or part of this Agreement to other persons or circumstances shall not
be affected.

8. AUTHORIZATION TO PROCEED
The use of signatures on this Proposal is to ensure agreement on project objectives and the
work to be performed by Presidio.
Presidio signature signifies our commitment to proceed with the project as described in this
document. Please review this document thoroughly, as it will be the basis for all work
performed by Presidio on this project.
This Proposal is valid for a period of sixty (60) days from the date that this proposal is provided
by Presidio to CITY OF AUBURN unless otherwise agreed to by both parties.
