AMENDMENT
This amendment (“Amendment”) is effective on the _____ day of February, 2019 by and between Socrata, Inc., with offices at 255 South King Street, Suite 1100, Seattle, WA 98104, a wholly
owned subsidiary of Tyler Technologies, Inc. (“Socrata”), and the City of Auburn, Washington, a municipal corporation organized under Title 35A of the Revised Code of Washington (“City”).
WHEREAS, Socrata and the Client are parties to an agreement dated December 10, 2015 (“Agreement”) for a Software-as-a-Service (SaaS) subscription beginning June 5, 2016 and ending December
4, 2016;
WHEREAS, Socrata and the Client have renewed the SaaS subscription in subsequent one-year terms through December 31, 2018;
WHEREAS, Socrata and the Client desire to renew the SaaS subscription for a term beginning January 1, 2019 and ending December 31, 2019; and
WHEREAS, Socrata and the Client desire to amend the Agreement to extend the term and renew the SaaS subscription as set forth in the Investment Summary (Exhibit A); and amend the terms
of the Agreement as provided herein.
NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Socrata and the Client agree as follows:
The Agreement is hereby replaced with “Software as a Service Agreement”, attached and incorporated herein as Appendix 1.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the date set forth above.
