The agreed fee to be paid is: $125 per performance
Contractor shall defend, indemnify and hold the City, its officers, officials, employees and volunteers
harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of
or resulting from the acts, errors or omissions of the Contractor in performance of this Agreement, except
for injuries and damages caused by the sole negligence of the City.
Contractor is aware of U.S. Copyright Law and fully respects its authority with regard to the playing of live
music. Contractor certifies that any music played at the Auburn International Farmers Market is of
Contractors own authorship or in the public domain.
The City may terminate all or part of this contract with or without cause at any time.
The Contractor must provide a Washington State Patrol Criminal Background check, in compliance with
RCW 43.43.830 et seq., for themselves and/or their employees where any person will or may have
unsupervised access to children under sixteen years of age, or to developmentally disabled persons, or
to vulnerable adults during the course of his or her employment or involvement with the business or
organization..
The Contractor shall notify and receive approval from the Market Manager for any substitutes, changes,
or cancellations in the above-named performed services. Subcontracting of the services of this contract
is not allowed unless prior approval is received by the department.
The Contractor agrees and understands that he/she is an independent contractor and not the agent or
employee of the City. The manner and means of providing the professional services herein are under
the sole control of the Contractor. The Contractor shall be solely responsible for reporting his/her hours,
earnings, income tax, and social security to the applicable federal and state agencies. The contractor
understands that he/she is not entitled to any of the benefits provided by an employer to employees
including but not limited to disability and unemployment insurance.
The City of Auburn and the Contractor have executed this agreement as of May 2, 2018

this 30th day of March , 2018.
Artist shall perform at the following venue(s)/location(s): Auburn International Farmers Market at Les
Gove Park, 1140 Auburn Way S, Auburn, WA 98002
on the following date and time: Sunday, July 22 from 12:15 PM — 12:45 PM. The City may designate
specific performance sites within the venue. If Artist cancels performance, Artist shall notify the
Market Manager at least 24 hours before the scheduled performance time.
Artist shall conduct the following performance: Square dancing
Artist agrees to the following terms and conditions:
1. Artist shall not block pedestrian or vehicle traffic or any business entrance;
2. Artist acknowledges that she or he is performing for a family-oriented audience and will refrain
from the use of lewd or offensive conduct or language;
3. Artist is aware of U.S. Copyright Law and fully respects its authority with regard to the playing of
live music. Artist certifies that any music played at the Auburn International Farmers Market is of
Artists own authorship or in the public domain.
4. Artist shall not be compensated by the City for the performance. Artist is allowed to passively
solicit donations, by placement of an instrument case or box, with a sign asking for donations. Artist
may sell merchandise during the performance period, but may not otherwise actively solicit for
donations;
5. Artist shall not consume or be under the influence of alcohol or drugs;
6. Artist shall leave the performing area clean of any trash or debris at the end of the performance;
7. Artist shall obtain all other required licenses and permits;
This Contract is non -transferable, and is subject to suspension or revocation by the City at any time.
Artist releases, waives, and holds the Central Puget Sound Regional Transit Authority, the City of
Auburn and their officers, employees, and agents harmless from all claims for any loss, damage, injury
or expense, including loss of income or theft that Artist may suffer as a result of my use of the permit
area. This waiver includes any claim for failure to provide any warnings, directions, instructions or
guidance for the use of the permit area. Artist agrees to hold the Transit Authority and the City and its
officer, employees, and agents harmless from any third -party claims related to my use of the permit
area. This release is binding on the Artists heirs, next-of-kin, or anyone acting on behalf of the Artist
or the Artist's estate.

All services will take place in the Makers Room of The REC, Auburn Teen Center at 910 91h Street SE,
Auburn, Washington, 98002.
The agreed fee to be paid is: $ 175 The minimum number in the class is 4 students and a maximum number of 12 students.
The agreed fee will be paid in I payment(s) on the normal schedule of payments used by the City Financial Department. The
minimum number of participants is 4 with a maximum of 12 per class. The contractor is responsible for preparing a class
outline and supply list, conducting the program on said dates, preparing and teaching the fundamentals, cleaning up the
facilities used, and providing an evaluation of the program at the conclusion of the program. The contractor is required to
invoice the City for services rendered.
The City may terminate all or part of this contract with or without cause at any time. The City will finalize all class
registrations 24 hours prior to the first class with the contractor. The City shall be reimbursed at a pro -rated basis for any
classes the City must prepare and conduct for the contractor. The City will provide support services (department brochure,
printing programs, flyers, etc.) to the contractor regarding the program. The City will provide working references for the
contractor upon request.
The Contractor hereby agrees to save the City harmless from all loss or damage occasioned to it or to any third person or
property by reason of any negligent acts or omissions on the part of the contractor, his or her employees, or person working
directly or indirectly in the performance of the contract including joint acts or omissions, and shall give the City prompt notice
of any such damage, loss or injury.
The Contractor must provide a Washington State Patrol Criminal Background check, in compliance with RCW 43.43.830 et
seq., for themselves and/or their employees where any person will or may have unsupervised access to children under sixteen
years of age, or to developmentally disabled persons, or to vulnerable adults during the course of his or her employment or
involvement with the business or organization.

Department. The minimum number of participants is 20 with a maximum of 50 per class. The contractor is responsible for
preparing a class outline and supply list, conducting the program on said dates, preparing and teaching the fundamentals,

Agreement for Services
This Agreement is made effective as of 4* day of September, 2018, by and between THE WATERSHED COMPANY
("CONSULTANT") and the CITY OF AUBURN ("CITY"). The parties agree as follows:
1. DESCRIPTION OF SERVICES. CONSULTANT agrees to provide the consulting services set forth in the Scope of
Work ("Exhibit A") for the purpose of conducting professional services for the periodic review of the Shoreline Master
Program for the City of Auburn.
2. PAYMENT. For services delivered under the Scope of Work, the CITY agrees to pay CONSULTANT a total not to
exceed fee of $22,000 pursuant to the project budget (Exhibit B — Scope of Work) inclusive of expenses.
3. EXPENSE REIMBURSEMENT. CONSULTANT shall pay all "out-of-pocket" expenses, and shall not be entitled to
reimbursement from the CITY except for specific services, items or activities listed in the Scope of Services as reimbursable
goods or services noted within Exhibit B .
4. TERM/TERMINATION.
A. This Agreement is effective upon both parties' signatures, and expires at 11:59 p.m. on August 1, 2019 or upon
completion of CONSULTANTservices, whichever is earlier, unless extended by mutual agreement prior to the completion
of all services.
B. Either party may terminate the Agreement by notifying the other party in writing within seven (7) days of the
intent to terminate. If this Agreement is terminated, CITY shall pay CONSULTANT for all work performed as of the date
of termination.
5. RELATIONSHIP OF PARTIES. CONSULTANT is an independent contractor with respect to the City of Auburn,
and not an employee of the CITY. The CITY will not provide fringe benefits, including health insurance benefits, paid
vacation, or any other employee benefit, for the benefit of CONSULTANT.
6. EMPLOYEES. The provisions of this Agreement shall also bind CONSULTANT employees who perform services for
the CITY under this Agreement.
7. INDEMNIFICATION /HOLD HARMLESS.
Consultant shall defend, indemnify and hold the Public Entity, its officers, officials, employees and volunteers
harmless from any and all claims, injuries, damages, losses or suits including reasonable attorney fees, arising
out of or resulting from the acts, errors or omissions of the Consultant in performance of this Agreement, except
for injuries and damages caused by the sole negligence of the Public Entity.
Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the
event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting
from the concurrent negligence of the Consultant and the Public Entity, its officers, officials, employees, and
volunteers, the Consultant's liability, including the duty and cost to defend, hereunder shall be only to the extent
of the Consultant's negligence. It is further specifically and expressly understood that the indemnification
provided herein constitutes the Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely
for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions
of this section shall survive the expiration or termination of this Agreement.

8. INSURANCE. CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against claims
for injuries to persons or damage to property which may arise from or in connection with the performance of the work
hereunder by CONSULTANT, its agents, representatives, or employees.
A. Minimum Scope of Insurance: CONSULTANT shall obtain insurance of the types described below:
1. Automobile Liability insurance covering all owned, non -owned, hired and leased vehicles. Coverage
shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing
equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability
coverage.
2. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall
cover liability arising from premises, operations, independent contractors and personal injury and
advertising injury. The CITY shall be named as an additional insured under CONSULTANT'S
Commercial General Liability insurance policy with respect to the work performed for the CITY under
this Agreement.
3. Workers' Compensation coverage as required by the Industrial Insurance laws of the State of
Washington.
4. Professional Liability insurance appropriate to CONSULTANT'S profession.
B. Minimum Amounts of Insurance: CONSULTANT shall maintain the following insurance limits:
1. Automobile Liability insurance with a minimum combined single limit for bodily injury and property
damage of $1,000,000 per accident.
Commercial General Liability insurance shall be written with limits no less than $1,000,000 each
occurrence, $2,000,000 general aggregate.
3. Professional Liability insurance shall be written with limits no less than $1,000,000 per claim and
$1,000,000 policy aggregate limit.
C. Other Insurance Provisions: The insurance policies are to contain, or be endorsed to contain, the following
provisions for Automobile Liability and Commercial General Liability insurance:
1. CONSULTANT'S insurance coverage shall be primary insurance as respect to the CITY. Any
insurance, self-insurance, or insurance pool coverage maintained by the CITY shall be excess of
CONSULTANT'S insurance and shall not contribute with it.
2. CONSULTANT'S insurance shall be endorsed to state that coverage shall not be cancelled by either
party, except after thirty (30) days prior written notice by certified mail, return receipt requested, has
been given to the CITY.
D. Acceptability of Insurers: Insurance is to be placed with insurers with a current A.M. Best rating of not less
than A: VII.
E. Verification of Coverage: CONSULANT shall furnish CITY with original certificates and a copy of the
amendatory endorsements, including but not necessarily limited to the additional insured endorsement,
evidencing the insurance requirements of CONSULTANT before commencement of the work.
9. ASSIGNMENT. CONSULTANT'S obligations under this Agreement may not be assigned or transferred to any other
person, firm, or corporation without the prior written consent of the CITY.

11. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties and there are no other promises
or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral

12. AMENDMENT. This Agreement may be modified or amended if the amendment is made in writing and is signed by
both parties.
13. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the
remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is
invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision
shall be deemed to be written, construed, and enforced as so limited.
14. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Agreement
shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance
with every provision of this Agreement.
15. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Washington. Venue for any court
action shall be in King County, Washington.

PERIODIC REVIEW OF THE SHORELINE MASTER PROGRAM
SCOPE OF WORK

Project Coordination and Outreach
1. Project Kick-off. At the start of this project, the Watershed team will meet with City staff to
review/refine objectives, agree on initial tasks and timeline and coordinate on known resources
to be delivered to the project team. Watershed will follow up with a project schedule for both
outreach and deliverables from the team.
2. Public Participation Plan. The Watershed team will consult with city staff to help develop a
Public Participation Plan to provide opportunities for public involvement in the SMP periodic
review consistent with WAC 173-26-090. The City will handle all meeting logistics and
coordination, including outreach and public noticing.
3. Consult with relevant agency staff, tribes, and neighboring jurisdictions. As needed,
throughout the update process, the Watershed team staff will coordinate with applicable State
and Federal agencies, tribal staff members, and neighboring jurisdictions which share an active
interest in the City's SMP.
4. Support Quarterly Report Requirements. Watershed will prepare quarterly progress reports for
the City to assist with the City's quarterly grant reporting submittal to Ecology.
5. Prep and Conduct Open House. Watershed will prepare presentation materials and attend one
(1) open house to present on the upcoming SMP changes and answer citizen questions.
SMP Update
6. Prepare SMP Gap Analysis Report.
a. Review the SMP for consistency with legislative amendments. The Watershed team
will review the City's SMP, chapter 90.58 RCW, and Ecology's rules and determine where
amendments are needed to the City's SMP to maintain compliance. This will be based
on the Ecology checklist and public scoping process.
b. Evaluate the Comprehensive Plan and Development Code. The Watershed team will
look to evaluate consistency of the City's current SMP with both the Comprehensive
Plan and development regulations.
c. Review the shoreline Critical Area Regulations. Review the City's SMP Critical Areas
Regulations for consistency with the City's GMA Critical Area Regulations.
d. Review SMP nonconforming development process. There are approximately 100
residential lots including several vacant lots along the Green River that are difficult to
build upon based upon the current nonconforming provisions of the SMP. The
Watershed team will analyze and provide guidelines for making the development
process more straight -forward for these properties.

OWNERSHIP AND USE OF RECORDS AND DOCUMENTS. All digital data, including drawings, maps,
reports, GIS files, or any other records developed or created under this Agreement shall be provided to
the City. The City shall have full rights and privileges to use such materials. The Consultant shall have
the right to retain copies of items and products which are produced by the Consultant or in
collaboration with the Consultant. All records submitted by the City to the Consultant will be
safeguarded by the Consultant.

Dan Nickel
Project Manager
Dan is The Watershed Company's vice president and an environmental engineer with
almost two decades of experience developing projects and plans that balance
environmental impacts and regulatory protection standards. Dan has been project
manager for updates to more than 40 Shoreline Master Programs (SMP) and 20 Critical
Area Ordinances (CAO) for various cities and counties across Washington State. On the
applied side, he has also led over 150 shoreline restoration design projects to improve
fish habitat, managing both design and complex permitting, and coordinating with
Ecology on regulatory developments and documentation standards.
SMP and CAO Updates, City of Bellevue. Led by Watershed Company project manager Dan,
these multi -phase projects were approved by City Council in 2015. As part of the SMP regulatory
development, Watershed worked closely with City staff, council members, and citizen groups, to
develop a unique mitigation strategy focused on achieving nexus and rough proportionality for
upland impacts to ecological functions. The revised development regulations received strong
praise from the City for encompassing extensive project flexibility while ensuring the level of
mitigation fits the proposed impacts.
Sensitive Areas Ordinance Update, City of Lake Forest Park. Dan led an aggressive 3 -month
effort to meet obligations under Washington's Growth Management Act (GMA), completing an
in-depth review of Best Available Science (BAS) and existing conditions and developed a gap
analysis that helped in the revision of policies and regulations to meet the City's needs. Upon
completing revisions to wetland and fish and wildlife habitat conservation area regulations, the
City extended Watershed's contract to include regulatory revisions to Critical Aquifer Recharge
Areas and Geologically Hazardous Areas.
CAO Update, City of Kirkland. Dan managed all aspects of this work, including a review of best
available science, gap analysis of the existing code, recommended code revisions, and public
review process. Dan and the Watershed team have presented at workshops before the Planning
Commission, Parks Board, and Community Council, participated at several community open
houses, and answered questions during public hearings.
Comprehensive Plan Update, City of Woodinville. Dan led Watershed staff in preparing an
Existing Conditions report and a BAS report. The BAS report is tailored to reflect critical areas
present within the Woodinville 2015 Comprehensive Plan Update Study Area. To further support
planned municipal code updates, the team prepared an EIS to facilitate consideration of likely
environmental consequences associated with proposed alternatives.
Shoreline Inventory and Characterization, Klickitat County. Dan led a county -wide inventory and
characterization of shoreline and watershed conditions, including the Columbia River shoreline
and White Salmon and Klickitat River watersheds. As project manager, Dan coordinated with
County staff, stakeholders, state and federal agencies, NGOs, and tribes, including the Yakama
Nation, to assimilate and present available data and understanding of baseline conditions in a
variety of public forums. Public outreach included open houses, print and web advertisements,
and legislative briefings.

CAO and SMP Updates, Pacific County. As project manager, Dan focused on bridging the gap
between State guidelines and local interests, working with a 21 -member planning committee, a
technical advisory committee, and the Planning Commission, to reach resolution. This includes
the first effort in Washington State to develop updated policies and regulations to manage ocean
resources in an active maritime County. Through Dan's leadership, The Watershed Company
assisted in all technical and planning aspects. In conjunction with the County's SMP update, Dan
is also leading the effort to update the County's CAO, conducting a series of regional open houses
and planning commission workshops.
Best Available Science and Critical Areas Ordinance Update, Island County. Dan managed the
2014 update to Island County's Fish and Wildlife Habitat Conservation Areas Ordinance, working
on an aggressive 12 -month schedule to meet obligations under GMA. Using a landscape -scale
approach modified from the Puget Sound Watershed Characterization, The Watershed Company
team completed ars in-depth review of BAS and existing conditions and developed revised
policies and regulations to meet the County's needs. The Watershed Company is now assisting
the County with drafting regulatory provisions for agricultural uses adjacent to critical areas.
Shoreline Master Program Updates and Critical Areas Ordinance, Cowlitz County. Since 2011,
Watershed has been assisting Cowlitz County and the Cities of Kelso, Woodland, Kalama, and
Castle Rock with updates to their SMPs. Beginning as a regional effort, Dan led a technical team
designed to support the shoreline land use planning effort and the ultimate conclusion of no net
loss. In 2015, the County hired the same project team to assist in the update of the County's
Critical Areas Ordinance, which included a review of applicable Best Available Science and a gap
analysis of the existing code.
Shoreline Master Program Regional Update, Walla Walla County. Dan served as the project
manager for the SMP update for Walla Walla County and the Cities of Prescott, Waitsburg, and
Walla Walla. This work included preparation of shoreline inventory and characterization,
restoration plans, cumulative impacts analysis, and updated Shoreline Master Program policies
and regulations. Dan engaged an active Regional Working Group comprised of local agricultural
landowners, irrigation districts, stakeholders, environmental groups, and local officials, to
develop a regionally tailored SMP while also addressing necessary updates to critical areas
regulations. Additional public outreach and participation included open house events
throughout the County, visioning workshops, Planning Commission briefings, and all supporting
electronic documentation and outreach.

Mark is an environmental planner and project manager dedicated to helping clients
create sustainable, livable communities that maintain the integrity of their natural
systems. Mark helps Washington municipalities and agencies with long-range and
current planning projects, including more than 20 Shoreline Master Program (SMP)
updates, as well as several critical areas ordinance (CAO) updates, urban design
guidelines, and master plans. In performing this work, Mark has worked with a variety of
public and private clients and stakeholders, actively participated in numerous public
meetings, and successfully managed several projects.
SMP Update, City of Goldendale. Mark provided geospatial land -use analysis, code review and
writing, permitting and regulatory guidance, and public outreach in support of an update to the
City's more than 40 -year-old SMP. The update addresses lands adjacent to the Little Klickitat
River, including lands in the City's urban growth area that feature extensive floodway and
floodplains. As focal points for public involvement, the project featured two open houses where
the public could learn about and provide input on the SMP update. In addition to these
responsibilities, Mark completed the project's SEPA checklist and coordinated with the
Washington State Department of Ecology.
Growth Management Act (GMA) Periodic Update, City of Burien. Mark helped with the City's
update of its critical areas policies and regulations, as required by the GMA. He helped prepare a
gap analysis that identified provisions that may need to be updated and presented his findings to
the City's Planning Commission.
CAO Update, City of Newcastle. Mark provided code review and writing, as well as regulatory
guidance, as part of the City's update of its comprehensive plan and municipal code related to
critical areas. Mark prepared detailed synthesis of Best Available Science (BAS) and worked with
Watershed staff to review existing comprehensive plan policies and municipal code regulations
and document deficiencies with GMA requirements. Watershed's final submittal included
recommendations for the City to achieve compliance.
CAO Update, City of Woodinville. Watershed prepared a detailed BAS review for the city. Mark
assisted with the preparation of a gap analysis of existing critical areas provisions, and met with
City staff to share findings and understand current implementation issues.
CAO Update, City of Lake Forest Park. Mark and other Watershed staff helped the City to update
its critical areas regulations on a short timeline. To begin, Mark and other Watershed staff
prepared a Gap Analysis Report that summarized existing conditions and applicable BAS for each
of the five types of critical areas defined by the GMA, and that also identified gaps where the
City's existing critical areas regulations may not have been meeting BAS, the GMA, and/or its
implementing rules. He then worked with City staff to amend their critical area regulations in a
manner that reflected local preferences. Mark then helped guide the updated regulations
through the local adoption process, including presenting at City Council meetings.

the Recreation Coordinator if a Certificate of Insurance is required.
The contractor shall notify and receive approval from the Staff for any substitutions, changes, or cancellations in the above-named performed

2. PRICE AND PAYMENT SCHEDULE.
A. As full payment for the Work and all rights described in this Agreement, City shall
pay the Artist/Vendor a total of Nine Thousand Five Hundred and and 00/100th Dollars
($9,500.00), which shall constitute full compensation for the Work, including, but not limited
to fees, materials, applicable sales tax, as well as the associated rights described in this
Agreement.
B. City shall make the payment required in paragraph A within thirty (30) days after
Artist/Vendor transfers all electronic files and submits a billing or invoice to City.
3. ALTERATION, MODIFICATION AND DEACCESSIONING OF THE WORK.
A. City reserves the right to, and the Artist/Vendor hereby waives any right to prevent
City from, modifying, destroying or deaccessioning the Work if, after taking reasonable
steps to notify the Artist who originally created or authored the Work, City determines that
one or more of the following conditions apply:
(1) the condition or security of the Work cannot be reasonably guaranteed;

(2) the Work requires excessive maintenance or has faults of design or
workmanship beyond practical repair or remedy;
(3) the Work has been damaged and repair is impractical or unfeasible,
(4) the Work endangers public safety,
(5) no suitable site is available, or significant changes in the use, character or
design of the site have occurred which affect the integrity of the Work,
(6) significant adverse reaction has continued unabated for more than three years;
(7) the Work is shown to be of an inferior quality or unauthentic:
(8) City wishes to replace the Work with another work by the Artist who originally
created or authored the Work, or
(9) the Artist who originally created or authored the Work requests modification or
deaccession of the Work.
B. If City decides to destroy the Work in accordance with this Section, City shall take
reasonable steps to offer the Artist who originally created or authored the Work an
opportunity to recover the Work at the Artist's expense in accordance with applicable law.
C. The Work shall be subject to the Visual Artists Rights Act of 1990, 17 U.S.C. §§101,
et seq.. and shall not constitute a work made for hire as provided in that Act.
4. TITLE AND OWNERSHIP.
A. The Artist/Vendor grants the City of Auburn with City, or its designee, acting as
custodian title to and ownership of the Work, including the right to reproduce the Work,
and images thereof, for research, scholarly and educational purposes, including publicity
and documentation within the usual functions of City at no charge. City shall make
reasonable efforts to ensure that reproductions or publications that prominently feature
the Work contain a credit to the Artist who originally created or authored the Work.
5. DISPUTE RESOLUTION. In case any dispute or controversy arises between the Artist/Vendor
and City, the parties may exercise those legal remedies in King County, Washington.
6. ENTIRE AGREEMENT, AMENDMENTS. This Agreement represents the entire agreement of
the parties. Any amendments to this Agreement shall be in writing, and shall be executed by the
same parties who executed the original Agreement, or their successors in office.

To perform the following professional services: Private Piano Instructor for Private Piano Class.
The contractor is required to perform the following services on from 10a -1:30p Saturdays, March 2 through April 6, 2019.
• Instruction in all aspects of a beginning Private Piano Class (individualized private instruction), of 20 minutes
each.
Private Piano Class will be located at the Auburn Community and Events Center at 910 9`s Street SE, Auburn
Washington, 98002.
The agreed fee to be paid is: $780 to be paid in two installments:
$390 March 16
$390 April
The minimum number of participants is 6 with a maximum of 8 per class. The contractor is responsible for preparing a class
outline and supply list, conducting the program on said dates, preparing and teaching the fundamentals, cleaning up the
facilities used, and providing an evaluation of the program at the conclusion of the program. The contractor is required to
invoice the City for services rendered.
The City may terminate all or part of this contract with or without cause at any time. The City will finalize all class
registrations 24 hours prior to the first class with the contractor. The City shall be reimbursed at a pro -rated basis for any
classes the City must prepare and conduct for the contractor. The City will provide support services (department brochure,
printing programs, flyers, etc.) to the contractor regarding the program. The City will provide working references for the
contractor upon request.
The Contractor hereby agrees to save the City harmless from all loss or damage occasioned to it or to any third person or
property by reason of any negligent acts or omissions on the part of the contractor, his or her employees, or person working
directly or indirectly in the performance of the contract including joint acts or omissions, and shall give the City prompt notice
of any such damage, loss or injury.
The Contractor must provide a Washington State Patrol Criminal Background check, in compliance with RCW 43.43.830 et
seq., for themselves and/or their employees where any person will or may have unsupervised access to children under sixteen
years of age, or to developmentally disabled persons, or to vulnerable adults during the course of his or her employment or
involvement with the business or organization.
The contractor shall notify and receive approval from the Recreation Coordinator for any substitutes, changes, or cancellations
in the above-named performed service. Subcontracting of the services of this contract is not allowed unless prior approval is
received by the department.
The Contractor agrees and understands that he/she is an independent contractor and not the agent or employee of the City. The
manner and means of providing the professional services herein are under the sole control of the Contractor. The Contractor
shall be solely responsible for reporting his/her hours, earnings, income tax, and social security to the applicable federal and
state agencies. The contractor understands that he/she is not entitled to any of the benefits provided by an employer to
employees including but not limited to disability and unemployment insurance.
The City of Auburn and the Contractor have executed this agreement as of November 26, 2019. A signed original contract
