MEMORANDUM OF AGREEMENT
This agreement is made on the date last signed below between The Alliance of People with DisAbilities("Alliance")and The City of
Auburn,Senior Activity Center(Auburn)
1. Purpose of the Memorandum
The Auburn Senior Center shall allow The Alliance of People with DisAbilities set up a table on 15t and 3rd Monday from 10 am—12 pm
for the purpose of meeting clients and assisting them with achieving the various aims and objectives to help remove barriers in
their lives. This will allow clients to build a foundation to achieve success.
2. Duration
The Agreement shall commence on September 5th,2018 and shall continue from today's date until terminated by either of the parties.
3. Fiduciary Responsibilities
• No fiduciary responsibilities on either party outlined in the Agreement.
• The Alliance shall provide its services as an independent contractor and shall not be deemed, by virtue of this Agreement to have
entered into any partnership,joint venture,employment or other relationship with the City.
4.Terms and Conditions
• The City will not provide compensation to the Alliance.
5. Dissolution
The Agreement may be dissolved at any time by either party by providing 10 calendar day's written notice.
6. Notices
All notices between the parties provided for or permitted under this Agreement or by law shall be in writing and shall be deemed duly
served when personally delivered to the organization or, instead of personal service,when deposited in the United States mail, as
certified,with postage prepaid, and addressed to the organization at the address of the principal place of business or to another place
that may from time to time be specified in a notice given pursuant to this paragraph as the address for service.

7. The Alliance shall defend, indemnify and hold harmless the City, its officers, officials, employees and volunteers from and against any
and all claims,suits, actions,or liabilities for injury or death of any person,or for loss or damage to property,which arises out of the use of
Premises or from any activity,work or thing done, permitted, or suffered by the Alliance in or about the Premises, except only such injury
or damage as shall have been occasioned by the sole negligence of the City.
8.Arbitration
Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by
the American Arbitration Association in accordance with its Commercial [or other]Arbitration Rules, and judgment on the award
rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. In witness whereof the parties have signed this
Agreement.All fees(if any) incurred for court costs, attorney fees and related expenses are the responsibility of Agreement.
9. Integration
This Agreement contains the entire agreement of the parties with respect to the subject matter of this
Agreement,and supersedes all prior negotiations, agreements and understandings with respect thereto.This Agreement may only be
amended by a written document duly executed by all parties.
