THIS FIRST AMENDMENT TO MEMORANDUM OF UNDERSTANDING ("First
Amendment") is made and entered into as of April, 2020, by and between Acquisition 44,
LLC, a Washington limited liability corporation ("Acquisition") and the City of Auburn, a
Washington municipal corporation (the "City"). Acquisition and the City are referred to
collectively as the "Parties" and each individually as a "Party."
RECITALS
A. On April 6, 2018, the Parties entered into a Memorandum of Understanding (the
"MOU"), a copy of which is attached as Exhibit A.
B. The Parties now desire to amend the MOU to extend its term by 180 days.
AGREEMENTS
NOW, THEREFORE, in consideration of the mutual promises set forth in this First
Amendment, the Parties agree as follows:
1. Section Lc of the MOU is amended as follows, by adding the following sentence at the
end of the section:
"Acquisition shall provide the City with written updates/status reports on its progress
every 60 days during the 180 -day extension in Section 3, below."
2. Section 3 of the MOU is amended as follows:
a. The term of the MOU is hereby extended by 180 days. This First Amendment
shall be retroactive to April 6, 2020, and the Termination Date is extended to
October 3, 2020.
3. The "Termination Date" in Section 4 of the MOU is amended to incorporate the new
Termination Date of October 3, 2020.
4. All other terms and conditions of the MOU remain unchanged.
