In agreement with the City of Auburn and Cascade Helicopter Services, a Memorandum of Agreement"MOA"was written to establish mutual promises to be adhered to. Fiber-optic cable will begin at Cascade Helicopter Services and end at subleased hangars #4 & 5. Should you require further information, please do not hesitate to contact me. X4\----(1/1k A Hannah McFarlane Auburn Flyers Condo 3 Kind regards, Ira Wise Director of Logistics iwise@cascadeheliservices.com MEMORANDUM OF AGREEMENT FIBER-OPTIC CABLE INSTALLATION This Memorandum of Agreement("MOA")is entered into between the City of Auburn("City") and Sparrow Tang,DBA Cascade Helicopter Services("Cascade")as of the last date written below. RECITALS A.Cascade currently leases property at the Auburn Municipal Airport ("Airport")from the City,and additionally subleases hangars at the Airport from another City tenant,Auburn Flyers Condo III. B.Cascade wants to run underground fiber-optic cable between and among its buildings. AGREEMENT In consideration of the mutual promises contained in this MOA,the parties agree as follows: 1. The City grants Cascade a non-exclusive license to run fiber-optic cable from its leased building located at 1725 E.Street NE to its subleased buildings located at 1775 E Street NE, Units 4&5 (the subleased buildings are also referred to as"B Row,Units 11 and 13."Exhibit A. 2. Cascade will obtain all necessary permits,if any,for the work. 3. Cascade will provide the City with information specifying the location of the facilities placed under this permit,including as-built drawings showing general location. 4. All facilities must be constructed in conformance with City design and construction standards. 5. Cascade shall be financially responsible for the repair,maintenance and relocation of the facilities as shown on the attached plans,and any other costs associated with the resolution of any arising conflict. 6. Cascade shall relocate the fiber-optic cable and associated equipment at its cost if the City determines its location conflicts with improvements being constructed in association with future City projects. This relocation work shall be completed within 45 days of notification by the City unless the City allows additional time. 7. Cascade shall register with Washington 811 for locate services for underground facilities,and will meet the requirements of RCW 19.122 for locating and keeping accurate records of utility locations, protecting and repairing damage to existing underground facilities. 8. Cascade will provide a copy of its having received written permission from Auburn Flyers Condo 3 for the installation before beginning construction. 9. Conduit under paved surfaces shall be installed by trenchless methods unless otherwise approved by the City.If trenching is allowed,pavement restoration will be required as specified in the City's design and construction standards. 10. Cascade agrees that fiber-optic cable and all associated equipment will remain on-site,and will become the property of the City at end of Cascades' lease. Cascade Fiber MOA Page 1 of 2 11. This MOA incorporates the terms of Cascade's lease(originally entered into on February 27, 1978,as amended).Cascade specifically agrees that the maintenance, repair, insurance, hold harmless,and indemnification provisions of the original lease apply to the installation, maintenance,and repair of the fiber-optic cable.
