AMENDMENT NO. 4
CITY OF AUBURN AND
AUBURN FOOD BANK
AGREEMENT
THIS AMENDMENT is made and entered into on the date last signed below("the Effective
Date")by and between the City of Auburn,a municipal corporation organized under Title 35A of the
Revised Code of Washington(the"City"),and the Auburn Food Bank,a Washington public benefit
corporation(the"Provider"and collectively"the Parties"),as the 4th amendment to the Agreement
between the Parties dated April 23, 2019 ("Original Agreement").
RECITALS:
1. The Parties entered into an Original Agreement for the Auburn Food Bank to
provide nighttime services to unsheltered adults within the City of Auburn as an independent
contractor with authorized use of the City of Auburn's William C. Warren Building.
2. The City agreed to reimburse the Auburn Food Bank for actual costs of the
operation of the temporary nighttime shelter.
3. The parties previously entered into three separate Amendments to extend the term
of the Original Agreement and now wish to extend the term through June 30, 2020 with
additional compensation to reimburse the Auburn Food Bank for actual expenses commiserate
with the extended term.
AGREEMENT:
In consideration of the mutual promises contained in this Amendment, the Parties agree
as follows:
1. Term of Agreement. The term of this Agreement will begin on the Effective Date
and will end on June 30, 2020. The term of this Agreement may be extended in writing by mutual
agreement of the parties. If this Agreement expires or terminates before the Parties' entering into an
Agreement for future services or extending this Agreement,the Auburn Food Bank agrees to remove
all personal property promptly from the City building.

2. Exhibit B. Compensation as described in Exhibit B to the Original Agreement
will be amended as follows:
The City will reimburse the Auburn Food Bank for all actual costs of staff and expenses
incurred as to perform the work set forth in the Scope of Services, Exhibit A. Payment is
not to exceed Thirty-six Thousand Dollars ($36,000) for the period of January to
December 31, 2020. This fee shall be payable upon receipt of a monthly invoice from
Auburn Food Bank with appropriate supporting documentation. The City will make any
remaining payments up to the not-to-exceed amount no later than 30 days after the
Effective Date.
The Parties acknowledge that the City has previously reimbursed the Auburn Food Bank
for all actual costs of staff and expenses incurred as to perform the work set forth in the
Scope of Services, Exhibit A, up to and including all services performed through
December 31, 2019.
3. REMAINING TERMS UNCHANGED: All other provisions of the Original
Agreement shall remain unchanged, and in full force and effect.
