LicenseLICENSETHISLICENSEismadethis11thdayofMay2015betweentheCENTRALPUGETSOUNDREGIONALTRANSITAUTHORITY,aregionaltransitauthorityformedunderthelawsoftheStateofWashington,(“SoundTransit”),andtheCityofAuburn,aWashingtonmunicipalcorporationwithitsprincipalofficeat25WestMainStreet,Auburn,WA98001-4998(the“City”).A.SoundTransitownsthepropertyknownastheAuburnMultimodalTransitfacilitylocatedat25“A”StreetSWinAuburn,Washington,andmorecommonlyknownasAuburnStation(the“Property”).B.SoundTransitandtheCityenteredintothatcertainLeasedatedJune26,2002foraportionofthePropertyidentifiedastheLeasedPremisesasdefinedinSection1.5oftheLease.C.Section2.5(d)oftheLease(thefulltextofwhichissetforthonExhibitB)allowstheCitytorequesttherighttousealloraportionofthePlazaasdefinedintheLease,foritselforthirdpersonsforspecialevents,includingstreetfairs.D.TheCitydesirestoholdapublicmarketinthetwoPlazaareas,theKissandRideSpaces,andthedrivewaybetweenthetwoPlazaareasthatisusedbyKingCountyMetroandSoundTransittoprovidescheduledbusservicetotransitriders(the“BusLoop”)ofthePropertyandhasrequesteduseoftheseareasforthisongoingweeklyspecialevent.E.TheCity’suseoftheBusLoopandKissandRideSpacesrequiresthevacationoftheBusLoopandthebusstopusedbyspecialneedstransportationservicesvehicles(paratransitservices)(the“BusStop”)ontheSundaysscheduledforthe2015farmersmarketandreroutingofthebusesandparatransitvehicles.F.TheCitywillprovideanalternatebusrouteon“A”Streetduringthefarmersmarket(the“TemporaryBusStop”).G.SoundTransithasreceivedapprovalfromKingCountyMetroandtheSoundTransitBoardtovacatetheBusLoopandtheBusStop(collectivelythe“BusFaciLities”),andagreestoallowtheuseofthePlazaareas,theBusFacilities,andKissandRideSpacesbyCityinaccordancewiththetermsandconditionscontainedintheLicense.H.SoundTransitwillbeperformingrequiredmaintenanceontheBus,Station,Platform,andPlazafacilitiesduringtheperiodbetweenJune1,2015andDecember31,2015.SoundTransit’splannedworkwillrequiretemporaryclosureofthebusLoopfor6-8weeksastheexistingconcreteisrepaired.SoundTransitwillworkwiththeCityandKingCountyMetrotoidentifyareasonthestreetadjacenttothePropertytouseastemporarybusbays.Additionallytheshelters,clocktowerandplazawillexperiencetemporaryclosuresforstationwiderepainting.Temporaryconstructionscaffoldingandfencingwillbepresentduringshelterrenovationaswell.TheCityisherebynotifiedthatthepaintingprojectmayproducesignificantFarmersMarketLicense20151PleaseInitial—.. odorsduringapplicationandcure.TheCityrecognizesandacknowledgesthatSoundTransit’splannedworkmayimpacttheirabilitytoconductthefarmersmarketactivitiesinwholeorinpart.SoundTransitwillattempttoscheduletheworktominimizeinterferencewiththe2015farmersmarket.Now,therefore,inconsiderationofthecovenantsandpromisescontainedintheLicense,andothervaluableconsideration,thepartiesagreeasfollows:1.License.Inconsiderationofgoodandvaluableconsideration,thesufficiencyofwhichisherebyacknowledged,SoundTransitherebypermitsCity,atCity’ssolerisk,costandexpense,toconductafarmersmarketinthePlazaareas,theBusFacilities,andKissandRideSpaceshereinafterreferredtoasthe“FarmersMarket”andthatanypermitfeeschargedforvendorspaceshallnotbeconsidered“revenue”assetforthinExhibitBduringthe2015Season.AnyrevenueconsiderationforsubsequentSeasonswillbeevaluatedupontheCity’srequesttoextendtheLicense.ThePlazaareas,theBusFacilities,andKissandRideSpacestogethercomprisethelicenseareawhichisdepictedonExhibitA(the“LicenseArea”).2.UseofLicenseArea.TheCitymayusetheLicenseAreatoinstall,access,operate,maintain,repair,replaceandremovetheFarmersMarketforsolongasthisLicenseremainsineffect.TheCityagreesthatitsuseoftheLicenseAreashallnotinterferewiththenormaloperationsofthePropertyasatransitcenterexceptasspecificallyprovidedhereinandtrainstation,orwithanyelectricallycontrolledrailroadsignals,telephone,orothercircuitsofrailroad,andofanytelephoneorothercompanyorpersonoperatingcircuitsonthePropertyoralongthetracks.3.TermandHoursofOperation.TheCitymayoperatetheFarmersMarketintheLicenseAreaweeklyonseventeenconsecutiveSundaysbeginningonthefirstSundayofJuneandendingonthefourthSundayofSeptember(the“Season”)duringthetermofthisLicense.ThehoursofoperationforeachSundayshallbefrom7:00AMto5:00PM(“HoursofOperation”).Thisten-hourtimeframeincludestimeforset-upandtake-down.ThetermofthisLicenseshallcommenceonJune7,2015.TheCityshallhavetheoptionofextendingthetermeachyearforsuccessiveSeasonsuponprovidingwrittennoticetoSoundTransitatleastninety(90)daysinadvanceofthebeginningofeachsuccessiveSeason.TheCityacknowledgesthatKingCountyMetroandSoundTransitwillvacatetheBusFacilitiesonatrialbasisandwillevaluatetheimpactstoitsscheduledservice.4.ConditionsofUse.a.TheCity,atitsexpense,shall:(1)ProvideandinstallanynecessaryNOPARKINGsignageon“A”Street(eastsideoftheParkingGarage)topreventvehicleparkingandkeepthestreetcleartoaccommodatethereroutedbusandparatransittraffic.fanner’sMarketLicense20152PleaseInitial_______ (2)ProvideandinstalltemporarysignageattheBusFacilitiestodirectcommutersandpassengerstotheTemporaryBusStopandalternatebusstopsifrequired.(3)ProvideadesignatedpersontostandatthevacatedBusFacilitiesduringallofthenormallyscheduledbusandparatransitroutehoursanddirectcommutersandpassengerstotheTemporaryBusStoporalternatebusstop.(4)ReimburseSoundTransitforanyandallFacilitiesstaffovertimeassociatedwithsupportofthislicenseand/oroversighttoverifycompliance.SoundTransitwillmakeagoodfaithefforttominimizeand/oreliminatetheneedforovertimeifpossible.b.TheCityshallhaveanyvehiclesparkedon“A”StreetortheTemporaryBusStoptowedtokeepthestreetclearedfortheTemporaryBusStop.c.TheCityshalldirectFarmersMarketcustomerstoparkonlyintheCity’s42designatedparkingstallsintheParkingGarageandshalldirectalloverflowparkingtootherCityownedparkingfacilitiesduringSoundTransit’sspecialeventstoensurethatSoundTransit’scommutersandpassengershaveadequateparkingavailable.SoundTransit’sscheduleofspecialeventsislistedbelow:June7,2015MarinersvsTampaBayJune21,2015MarinersvsHoustonJuly12,2015MarinersvsLosAngelesJuly26,2015MarinersvsTorontoAugust9,2015MarinersvsTexasAugust23,2015MarinersvsChicagoAugust30,2015SoundersvsPortlandSeptember13,2015MarinersvsColoradoSeptember27,2015SeahawksvsChicagoSoundTransitwillprovidenoticetoCityifanyadditionaleventsarescheduled.d.TheCityshallinstallanapprovedbarrieratthewestendoftheLicenseAreabarringaccesstotherailroadtracks.e.TheCityshallhavetheuseoftherestroomslocatedintheelevatorlobbyoftheparkinggarage.TheCity,atitssolecostandexpense,shallberesponsibleforstockingtherestroomswithsuppliesandforprovidingjanitorialservicefortherestroomsduringtheHoursofOperationoftheFarmersMarket.Additionally,theCityshallprovideanattendantattherestroomstooverseetheiruseandoperation.TheCitywillcoordinatewithSoundTransitFacilitiesandSecuritytogainaccesstotherestroomstoobtaindispenserkeys.Fanner’sMarketLicense20153PleaseInitial________ f.TheCityshallhavecomplimentaryaccesstoSoundTransit’sdesignatedwatersupplyandavailableelectricaloutletsduringtheHoursofOperationoftheFarmersMarket.TheCityshallberesponsibleforreasonableuseoftheseutilitiesandshallensuretheyareproperlyshutoffattheendoftheHoursofOperation.g.TheCityandSoundTransitagreetomeetpriortotheopeningoftheFarmersMarkettoreviewsafetyplans.h.TheCityagreestomakeavailabletoSoundTransitorKingCountryMetroalocationwithintheLicenseAreawheretheycaninstallacomplimentaryboothlstallforpromotionalpurposes.i.TheCityshallberesponsibleforenforcingitsnoiseandnuisancecodesintheLicenseArea.j.OpenfiresandlightedcandlesarenotpermittedintheLicenseAreaorattheProperty.k.TheCityshallberesponsibleforclean-upandremovalofanydebris,trash,stains,concretediscoloration,etcfromtheLicenseAreaincludingtherestroomsresultingfromtheCity’suseoftheLicenseAreafortheFarmersMarketduringandattheconclusionofeachmarketday.1.TheCitymustcomplywithallfederal,stateandlocallawsandallSoundTransitrulesandregulations.m.SoundTransit’sauthorizedrepresentativesshallhavefreeaccesstotheLicenseAreaatalltimes.5.ConstructionandInstallationofthefarmersMarket.TheFarmersMarketshallbeconstructedandinstalledinaccordancewithdrawingsapprovedbySoundTransitandwithalllaws,rules,regulations,ordinancesandrequirementsofgovernmentalagencies,officesandboardshavingjurisdiction.AttheconclusionofeachSeasonandthisLicense,theCityshallpromptlyrestoretheLicenseAreatoasgoodorbetterconditionasexistedpriortothecommencementofconstructionandinstallation.6.PermitsandLicenses.TheCity,atitsexpense,shallbesolelyresponsibleforsecuringanyandallrequiredfranchisesandlicensesfortheFarmersMarket.7.EntrybyCity.TheCitymayaccesstheLicenseAreaprovidedthatsuchaccessdoesnotinterferewithordelaytheoperationofthetransitcenterandtrainstation,orthePropertyinanymanner.AnyaccessrequiredoutsideofthescheduledTermandHoursofOperationsetforthinSection3shallbecoordinatedwithSoundTransit’sPropertyFanner’sMarketLicense20154PleaseInitial________(jP ManagementAssistantManager,SteveSawyer,bytelephoning206.398.5355or206.999.3122forty-eight(hours)priortoaccessingtheLicenseArea.2.Revocation.EitherpartymayrevokethisLicenseatanytimebygivingtheotherpartythirty(30)daysadvancewrittennotice.9.Safety.TheCityshallinstallmaintain,operate,andrepairtheFarmersMarketinamaimerthattheCity’sandtheFarmersMarket’spresenceintheLicenseAreashallnotatanytimebeasourceofperilordangertousersoftheProperty.10.MaintenanceandRemoval.TheCityshall,afteranyinstallation,construction,maintenance,repair,relocation,orremovaloftheFarmersMarket,promptlyrestoretheLicenseAreatoasgoodorbetterconditionasexistedpriortothecommencementofsuchwork.11.Indemnification.TheCityagreestodefend,indemnifyandholdharmlessSoundTransit,itsofficers,directorsandemployees(together“SoundTransit”)fromandagainstanyandallclaims,demandsorcausesofactionandtheresultinglosses,costs,expenses,reasonableattorneyfees,liabilities,damages,orders,judgmentsordecreesarisingoutoftheacts,errors,oromissionsoftheCityoritsagents,independentcontractors,oremployeesrelatedtoorinanywayarisingoutoftheinstallation,operation,maintenance,repairorremovaloftheCity’sFacilitiesand/orfromtheCity’sfailuretoobtainnecessarypropertyrightsandorpermissiontoinstall,operate,ormaintaintheFacilities.TotheextentthatRCW4.24.115applies,andsuchclaims,suits,oractionsresultfromconcurrentnegligenceoftheparties,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofthenegligenceofLicensee,itsagents,subcontractorsoremployees;andprovidedfurther,thatnothinghereinshallrequiretheLicenseetoholdharmlessordefendSoundTransitfromanyclaims,demands,suitsatlaworequity,actions,penalties,losses,damagesorcostsarisingfromthesolenegligenceofSoundTransit.Licenseespecificallyassumespotentialliabilityforanyclaim,demand,and/orcauseofactionbroughtby,oronbehalfof,anyofitsemployeesoragentsagainstSoundTransit.Forthispurpose,Licensee,bymutualnegotiation,herebywaives,withrespecttoSoundTransitonly,anyimmunitythatwouldotherwisebeavailabletoLicenseeagainstsuchclaimsundertheindustrialinsuranceprovisionsofTitle51RCWoranyapplicableindustrialinsurance,disabilityactoremployeebenefitactofanyotherjurisdictionthatwouldbeapplicableincaseofsuchaclaim.InadditiontoallotherindemnitiesprovidedinthisLicense,theCityagreestoprotect,defend,andindemnifyandholdSoundTransitharmlessforanysuits,claims,damages,strictliabilities,andcostsorliabilitiesassociatedwiththepresence,removalorremediationofanyHazardousSubstance(includingpetroleumandgasolineproducts)thatarereleasedontoorfromtheLicenseArea,orotherwisecometobelocatedontheLicenseAreaasaresultoftheCity’suseoftheLicenseArea,includingtheconstruction,reconstruction,alteration,maintenance,operation,repair,removalorrelocationoftheCity’sFacilities,whethersuchclaimsaremade,commencedorincurredduringthetermFarmersMarketLicense20155PleaseInitial________ ofthisLicense,oraftertheexpirationorterminationofthisLicenseasaresultofeventsoccurringduringthetermofthisLicense.“HazardousSubstances”forpurposesofthissectioninclude,butarenotlimitedto,thosesubstancesincludedwithinthedefinitionof“hazardoussubstances,”“hazardousmaterials,”“toxicsubstances,”“hazardouswastes”orsolidwastesinanyfederal,stateorlocallaw,statute,ordinance,regulation,order,orrulepertainingtohealth,industrialhygiene,environmentalconditionsorhazardoussubstances.“Costs’shallinclude,butnotbelimitedto,allresponseorremediationcosts,disposalfees,investigationcosts,monitoringcosts,civilorcriminalpenalties,attorneys’fees,andotherlitigationcostsincurredinconnectionwithsuchresponseorremediation.12.Insurance.TheCitywarrantsthatitisself-insuredforpublicliability,includingbodilyinjuryandpropertydamage,throughaself-insuranceprogramsufficienttomeettheCity’sindemnityobligationsunderSection11hereinandataminimumforTwoMillionandno/i00Dollars($2,000,000.00)peroccurrenceandagreestoprovideacceptableevidenceofitsself-insuredstatustoSoundTransit.IntheeventtheCity,aftercommencementofthisAgreementelectstoterminateitsself-insuredstatusandsecurecommercialliabilitycoverage,theCitywillpromptlynotifySoundTransitandprovideacertificateofinsurancefromaninsurerlicensedtoconductbusinessintheStateofWashingtonintheamountsandtypesspecifiedbelow:TheCityshallatitsexpenseprocureandmaintainthroughoutthetermoftheLicense,thefollowinginsurancepolicies:a.CommercialLiabilityinsuranceinamountsofnotlessthanacombinedsinglelimitof$2,000,000orinsuchotheramountsasSoundTransitmayfromtimetotimereasonablyrequire,insuringtheCity,SoundTransit,SoundTransit’sagentsandtheirrespectiveaffiliatesagainstallliabilityforinjurytoordeathofapersonorpersonsordamagetopropertyarisingfromtheuseandoccupancyoftheLicenseArea;b.CommercialLiabilityinsurancedescribedin(a)above,shallincludecoverageforBodilyInjuryandPropertyDamageLiability,PersonalInjuryliabilityandcontainingendorsementscoveringContractualLiability,RailroadExclusionDeletedtoincludecoverageforworkinoraroundrailroads,fireLegalLiabilityandStop-GapcoverageendorsementssufficienttocovertheCity’sindenmityobligationshereunder;c.AutomobileLiabilityinsuranceinamountsofnotlessthanacombinedsinglelimitof$1,000,000coveringtheCity’sowned,non-owned,leasedorrentedvehicles;farmer’sMarketLicense20156PleaseInitial
