HomeMy WebLinkAboutAmerican Tower Lease and Events TimelineAmerican Tower Timeline Cell Tower Lease on W Hill – 5702 S. 316th St (also ref as 5800 S. 316th in lease) • American Tower – formerly Cingular Wireless 1. 9/1/2005 COA enters into a lease with New Cingular Wireless PCS, LLC, dba AT&T Wireless a. RES 3886 – Authorized b. Initial Term 5 years (exp 8/31/2010) c. “Renewal” Terms – 5 additional five-year terms (exp 8/31/2035). Automatic renewals d. Rent = $12,000 annually i. Annual CPI increases 2. 5/16/2006 COA responds in writing to request by Cingular to sublease a portion of the property it leased to Clearwire, LLC a. Letter grants its written approval for Cingular to sublease all or a portion of the lease area to Clearwire LLC under the following conditions i. Terms of the Lease shall be binding on Clearwire of which copy of the Lease is to be included by reference in the Sublease ii. COA may invoke termination provisions of the Lease based on Clearwire’s actions in the same manner as if those actions were taken by Cingular. iii. As consideration for the Sublease Clearwire shall for the term of the sublease and any renewals or extensions pay to the City $6,000 per year under the terms of Section 4 of the Lease. b. Letter ended by stating that both Cingular and Clearwire must sign and return this document accepting of the terms for the sublease authorization to become effective. (which it was) c. Authorized under RES 4037 3. 8/16/2006 First Amendment to the Sublease Agreement between Cingular/AT&T (“Sublessor”) and Clearwire (“Subleassee”). COA provided a copy of the First Amendment for their records. a. WHEREAS 1 states original sublease agreement entered into on 8/30/2005. This either a misprint or original sublease agreement was contingent upon Sublessor entering into Lease agreement w/ COA. b. Amendment merely amends the equipment being placed/used by Subleassee. c. No copies of original sublease by COA. 4. 12/4/2008 Addendum 1 to the Lease Agreement with Cingular Wireless/AT&T a. Recital 1 of addendum states Cingular and Global entered into a purchase agreement and that the lease will be assigned to one of Global Tower, LLC’s affiliates. b. Recital 2 states that Cingular notified the City on 10/20/08 that it intends to assign its interest in the Lease to Global Tower by way of Transfer c. Recital 3 – effective as of transfer Global becomes Tenant. Recital 4 – Sect 15 of Lease provides for assignments of the Lease with written consent of City. d. Terms Amended from Original Lease i. Global Tower, LLC or one of Global Tower LLC’s affiliates shall be substituted for New Cingular Wireless PCS, LLC throughout Lease ii. Section 12 – Notices amended to reflect new tenant and new tenants address iii. In the event Transfer fails to occur, or Cingular’s interest in the Lease is excluded from the Transfer, the Lease shall remain unchanged. iv. Remaining Terms unchanged. 5. 12/24/2008 Cingular Wireless/AT&T is purchased by Global Tower, LLC (“Global Tower”) a. i.e. Transfer occurs per Addendum 1 and Tenant becomes Global Tower 6. February, 2009 Global Tower mortgages property with Bank of New York Mellon 7. 10/1/2013 American Tower Corporation (“American Tower”) completes acquisition of MIP Tower Holdings LLC, the parent company of Global Tower a. American Tower now tenant to COA on cell tower lease 8. 5/17/2017 – In a letter drafted and sent by American Tower, dated 5/15/17, American Tower is requesting written approval to sublease space on the cell site to Ingenu Inc.
