Re: Lease Agreement (as heretofore amended and assigned, if applicable, and
together with any related easements or other appurtenances, the "Lease") by
and between City of Auburn (the "Landlord") and AT&T Mobility LLC, or
one of its affiliates (the "Tenant'); Address of Site 570.2 S. 316th Street,
Auburn, WA 98001
Ladies and Gentlemen:
Reference is hereby made to the above identified Lease. The undersigned is an
authorized representative of the Landlord. With knowledge that Tenant and/or successors,
assigns, or subtenants, or its or their lenders, may rely on this letter, the undersigned hereby
certifies to you that the following statements with respect to the Lease are true as of the date
hereof:
1. The Lease is in full force and effect.
2. The term of the Lease commenced on September 1, 2005 and shall expire
(unless extended as set forth in the Lease) on August 31, 2010.
3. To the knowledge of the undersigned, Tenant is not in material default of its
obligations under the Lease.
4. For all purposes under the Lease, the notice address for Landlord is the
following:

This Estoppel Certificate shall inure to the benefit of and may be relied upon by
Tenant and its successors, assigns, subtenants and lenders, and shall be binding upon the
undersigned and its successors and. assigns as Landlord under the Lease.
IN WITNESS WHEREOF, the undersigned have caused this statement to be duly
executed under seal as of the day and year first above written.
