Re: Acknowledgment and Consent Letter for Modification of Antenna Facilities

Dear Sir or Madam:
T-Mobile West Corporation, as successor in interest to VoiceStream PCS III Corporation ("Tenant") and
The City of Auburn ("Landlord") entered into a(n) Site Lease Agreement (the "Lease") on December 4,
2003, for a site located at 1118 57U' Place SE, Auburn, Washington (the "Premises"), to install
telecommunication equipment as defined therein (the "Antenna Facilities") on the Premises.
Under Section 7 of the Lease, Tenant has the right to alter, replace, expand, enhance or upgrade the
Antenna Facilities at any time during the term of the Lease. However, Landlord shall have the right to
approve all work plans prior to the construction of the Antenna Facilities.
Furthermore, under Section 6 of the Lease, Landlord agrees to cooperate with Tenant in obtaining, at
Tenant's expense, all licenses and permits or authorizations required for Tenant's use of the Premises from
all applicable government and/or regulatory entities including appointing Tenant as agent for all land use
and zoning permit applications.
In order to modify the Antenna Facilities, Tenant needs to attach new equipment to its Antenna Facilities
within the leased Premises as described under Exhibit 1 attached hereto.
Under the terms of this acknowledgment and consent letter (the "Acknowledgment and Consent Letter"),
Tenant hereby requests Landlord's approval to install the above mentioned equipment on the Premises
and Antenna Facilities.
If you accept the terms of this Acknowledgment and Consent Letter set forth above, please sign and date
the acknowledgment below on the two (2) original copies enclosed and return one (1) original copy to my
