When signed and returned to Aloft by the Customer on or prior to the oer expiration date, it becomes a binding agreement for the Aloft Service(s) listed in Pricing Table A of this Proposal and is eective on the date signed by the Customer. Issue Date: Jun 16, 2022 Oer Expiration Date: July 16, 2022 2.1 Table of Agreement This Proposal is governed by and incorporates the following documents in eect as of the eective date. All documents are listed in order of precedence, and collectively referred to as the “Agreement”: Agreement Location Proposal #7692 This Document Supplement A of this Order Form: Aloft Terms of Use https://www.aloft.ai/terms/ {Reference additional supplements here if required} Customer has had the opportunity to review the Terms of Use and any incorporated documents prior to executing this Order Form. 2.2 Subscription Term for Recurring Cloud Services Subscription Start Date: 7/1/2022 Subscription End Date: 6/30/2023 Document Ref: UT3Y8-CUH8B-TJCMT-CFS33 Page 4 of 6 Aloft Technologies, Inc.   Aloft Condential (Proposal 7692)  Proposal for Aloft Cloud Services (Direct) (a)The Customer’s initial Subscription Term will begin on the start date and will be eective until the end date unless the Customer is otherwise notied by Aloft's provisioning team. (b)Unless the Supplement states otherwise, the initial Subscription Term and any renewals and extensions will automatically renew for terms equal in length to the immediately preceding term (if that term is thirty-six months or less) or for one year (if that term is longer than thirty-six months). Only line items in section 1 of Pricing Table A ("Recurring Subscription Services Fees") will renew.  Auto-renewal will not occur if the Customer noties Aloft of its intention not to renew at least one month in advance of the expiration of the current term, or Aloft noties Customer of its intention not to renew at least six months prior to the expiration of the current term  2.3 Excess Use and Additional Users The Customer’s use of the Cloud Service is subject to the Agreement, including the Usage Metrics and their quantity stated in the Pricing Table A in Section 1. Any use of the Cloud Service that exceeds this scope will be subject to additional fees. Fees accrue from the date the excess use began. The Customer will execute an additional Order Form to document subscriptions for additional Usage Metrics and their volume. Aloft may invoice and the Customer will pay for excess use based on Aloft's prices on the date the excess use began. 3. Payment and Invoices __________________________________________________________________________________________________________________________ 3.1 Fees and Invoicing Unless the Supplement states otherwise, fees for all Cloud Service(s) will be invoiced by Aloft and paid by Customer annually according to the payment terms outlined in section 3.3. Aloft may provide invoices to an email address provided by Customer. Fees for non-recurring services will be invoiced by Aloft on a one-time basis and paid by Customer upon commencement of the Subscription Term. Except for fee increases applied for Excess Use or as described below, Cloud Service(s) fees for renewal terms will be equal to the fees for the immediately preceding term for the same Cloud Service, Usage Metrics and volume. Customer will reimburse Aloft for all pre-approved (by Customer) and appropriately documented travel and related expenses incurred by Aloft in performing any support for the Cloud Service. 3.2 Fee Increases Aloft may increase fees at the beginning of each renewal term. This increase will not exceed 3.3%. Not raising fees is not a waiver of Aloft's right to do so. Aloft may increase fees if Customer elects to reduce the Cloud Service, Usage Metrics or volume for any renewal term.  3.3 Payment Customer will be invoiced within ve (5) business days of execution of this order form. Customer will pay to Aloft all fees due within 30 days of date of invoice. Unpaid fees will accrue interest at the maximum legal rate. Customer purchase orders are for administrative convenience and not a condition of payment. Payment is not dependent upon completion of any implementation or other services.
