Dear Vendor:
We are writing to formally notify you of the assignment of the contract between [The City Of Auburn] and THE
OUTLET COLLECTION LLC, dated [September 1711, 2014]. Effective immediately, all rights and obligations
under the above -referenced contract are assigned to SEATTLE OUTLET ASSOCIATES LLC. The enclosed
documents contain all the required supporting materials for this assignment.

• LSG Enterprises LLC
• Lightstone Enterprises Limited
• The Lightstone Group LLC
• Spinoso Management Group LLC
• Spinoso Real Estate Group DLS, LLC or any other designated property manager and their affiliates,
the Owner and all of their direct and indirect subsidiaries, their Affiliates, and each of the foregoing,
their respective officers, directors, managers, agents, heirs, successors, stockholders, assigns,
nominees, principals, partners, guests, invitees, and employees, and any joint venture or limited
partner entities, ground lessors as their interest may appear (the "Indemnified Parties') are Additional
Insureds.

BILL OF SALE
This QUITCLAIM BILL OF SALE is dated November 18 , 2024 ("Effective Date"),
from THE OUTLET COLLECTION LLC, a Delaware limited liability company
("Transferor"), to SEATTLE OUTLET ASSOCIATES LLC, a Delaware limited liability
company ("Transferee").
RECITALS:
A. Transferor and Transferee, as successor in interest to LREP Acquisitions I LLC, a
Delaware limited liability company, entered into that certain Purchase and Sale Agreement dated
as of June 14, 2024 (as amended from time to time, the "Agreement") with respect to the sale of
Transferor's right, title and interest in that certain real property as more particularly described on
Exhibit A attached hereto. Capitalized terms used and not otherwise defined herein are defined
in the Agreement.
B. Transferor desires to quit claim, convey, and transfer to Transferee all of
Transferor's right, title, and interest in and to all Intangible Personal Property, Permits, Assumed
Contracts and Personal Property (as each such term is defined in the Agreement, and collectively
referred to as the "Personalty").
NOW, THEREFORE, in consideration of the foregoing recitals, Transferor hereby:
1. Incorporates the foregoing recitals by reference herein; and
2. Quit claims, conveys, assigns and transfers to Transferee all of Transferor's right,
title and interest, if any and to the extent transferable and/or assignable, in and to the Personalty
on an AS -IS, WHERE -IS basis and without any representations or warranties of any nature or land
whatsoever.
