Taylor, Chair of the Public Works and Community Development Special Focus Area, chaired this portion of the meeting. Page 12 of 85 Planner Bean introduced Ryan Wheaton from Pierce Transit who provided Council with an overview of the Pierce Transit Destination 2045 Long Range Plan, including community outreach and input, additions to the second draft of the Plan, service hours, baseline scenarios, and next steps. Council discussed service hours. B. King County Metro South Link Connections Project Update (Laub) (15 Minutes) Planner Bean introduced Genevieve Jones and Nicole Aguirre with King County Metro who provided Council with an overview of the King County Metro South Link Connections Project Update including project scope, mobility priorities, engagement timeline, and the Phase 2 engagement, outreach, and survey results. They discussed the Phase 3 network highlights, changes from Phase 2, impacts on the City of Auburn, and Phase 3 engagement. Council discussed Metro Flex Pilots and timelines. C. Capital Projects Status Report and Feature Project: Neighborhood Traffic Safety Program (Laub) (20 Minutes) Engineer Larson provided Council with an overview of the Capital Project Status Report including current status and the Capital Project Interactive Map tool. He discussed the projects currently under construction, including: CP2328 A Street SE Preservation, CP2123 C Street SW Preservation, CP2107 Public Works M&O Facility Improvements, CP1622 Auburn Way South Improvements, and CP2321 Downtown Infrastructure Improvements. Planner Bean provided Council with an overview of the Featured Program: Neighborhood Traffic Safety Program including program objectives, and prior, current, and future focus areas. Council discussed the Rapid Ride I -Line, raised crosswalks, B Street Plaza timeline, streetlights, and bicycle lanes. D. Ordinance No. 6984 (Gaub) (5 Minutes) An Ordinance vacating City Right -of -Way located within a portion of the Northwest corner of 1st Street NW and B Street NW within the City of Auburn, Washington Specialist Olds provided Council with an overview of Ordinance No. 6984 including location, application review, staff recommendations, benefits, and the upcoming Public Hearing. Transportation Impact Fee Program Update and Ordinance No. 6992 (Laub) (20 Minutes) An Ordinance amending Chapter 19.04 Transportation Impact Fees of the Auburn City Code Director Gaub, Assistant Director Sweeting, and Engineer Webb provided Council with an overview of the Traffic Impact Fee Program Update and Ordinance No. 6992 including previous discussions and actions, alignment with the Comprehensive Transportation Plan, growth trips, project costs, updated approach, and proposed fee per trip. They discussed fee schedule factors, transit factors, other changes, and examples. They discussed downtown fee comparisons to other jurisdictions, credit assessments, transparency, predictability, and flexibility. They also discussed funding, Code updates, and next steps. Council discussed the process for businesses not listed, stakeholders, business outreach and education, and deferrals and payment plans. F. Ordinance No. 6985 (Krueger) (10 Minutes) An Ordinance relating to the Park Impact Fees Code, Chapter 19.08 of the Auburn City Code Manager Gouk provided Council with an overview of Ordinance No. 6985 including Code updates and next steps. Department: Attachments: Budget Impact: Parks, Arts & Recreation ORD 6985 Amending 19.08 ACC, Ordinance No. 6985 Exhibit A (ACC 19.08 Proposed Revisions) Administrative Recommendation: City Council to approve Ordinance No. 6985. Background for Motion: Ordinance No. 6985 will codify changes to Chapter 19.08 of the Auburn City Code pertaining to housekeeping updates consistent with recent changes in State and Local laws. Background Summary: Chapter 19.08 of the Auburn City Code (ACC) relating to Parks Impact Fees was codified in 2006 and last updated in 2011. Since that time, there have been many changes to State and Local laws, causing certain portions of this Code section to be out of date. The attached Code changes have been prepared for City Council consideration to update certain text making this Code consistent with other Codes (e.g. Ch. 19.04 ACC `Transportation Impact Fees' and Title 18 ACC `Zoning') which have been updated multiple times over the last several years. Councilmember: Tracy Taylor Staff: Julie Krueger Page 19 of 85 ORDINANCE NO. 6985 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, RELATING TO THE PARK IMPACT FEES CODE, AND AMENDING CHAPTER 19.08 OF THE AUBURN CITY CODE WHEREAS, in 2006, the City Council created and codified the Parks Impact Fee, Chapter 19.08 Auburn City Code (ACC) through Ordinance No. 6063; and WHEREAS, in 2011, the City Council amended the Parks Impact Fee code to allow payment options as set forth in in ACC 19.08.030(G); and WHEREAS, in June 2025, the City Council passed Resolution 5833 amending the Fee Schedule to update Parks Impact Fees; and WHEREAS, changes in State laws and City codes since 2011 have caused Ch. 19.08 ACC to have many internal code inconsistencies; and WHEREAS, Staff recommends that Ch. 19.08 ACC, Parks Impact Fee code, be updated to reflect these changes and to use consistent verbiage as is used in other Code sections. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, DO ORDAIN as follows: Section 1. Amendment to City Code. Chapter 19.08 of the Auburn City Code is amended to read as shown in Exhibit A. Section 2. Implementation. The Mayor is authorized to implement those administrative procedures necessary to carry out the directives of this legislation. Section 3. Severability. The provisions of this ordinance are declared to be separate and severable. The city of Auburn has conducted -a studyies documenting the procedures for measuring the impact of new developments on parks and recreation facilities. Th+se studyies ha-sve contributed to the rates a-s-established in the fee schedule of the city of Auburn. Therefore, pursuant to Chapter 82.02 RCW, the council adopts this chapter to assess impact fees for parks and recreation facilities. The provisions of this chapter shall be liberally construed in order to carry out the purposes of the council in establishing the impact fee program. The following words and terms shall have the following meanings for the purposes of this chapter unless the context clearly requires otherwise. Terms otherwise not defined herein shall be defined pursuant to RCW 82.02.090 or given their usual and customary meaning. A. "Act" means the Growth Management Act, Chapter 36.70A RCW, as now inexistence or as hereafter amended. B. "Applicant" is a person, corporation, partnership, an incorporated association, or any other similar entity, or department or bureau of any governmental entity, commencing a Development Activity and which requires the issuance of a Building Permit. -13C. "Building permit," fnr the purposes of this chanter ORIY means an official document or certification which is issued by the city and which authorizes the construction, alteration, enlargement, conversion, reconstruction, remodeling, rehabilitation, erection, demolition, moving or repair of a building or structure. CD. "Capital facilities plan" means the capital facilities plan element of the city's comprehensive plan adopted pursuant to Chapter 36.70A RCW, known as the city of Auburn parks, recreation and open space plan, and such plan as amended. DE. "Change in use," forth e purposes of this chapter, means use of a Jiff property changing from a non-residential use to a use that qualifies as a single - or multiple - family -dwelling unit as defined in this chapter. G. "Department" means the department of parks, arts, and recreation. H. "Development activity" means -any construction or <pansion of any type of dwelling listed in ACC 18.04.340 building, ; structure, or use, any change in use of a building or structure, or ap- I. A manufactured home shall be considered a dwelling unit, if sited per Chapter 18.31.050 ACC. K. "Encumbered" means to reserve, set aside or otherwise earmark the impact fees in order to pay for commitments, contractual obligations or other liabilities incurred for parks and recreation facilities. L. "Fee schedulemeans, the city of Auburn Fee Schedule in effect at the time of a complete Building Permit application or. if Davment of fees is deferred. the citv of Auburn Fee Schedule in effect at the time of a complete Building Permit aDDlicationic n norcnn rnrnnr;;tinn 11. M. "GrandfathcriRgVesting" means that the existing land use of a developed property in effect on January 1, 2007, the initial effective date of the impact fees ordinance, is entitled to system capacity credits determined by the adopted impact fees rate schedule. N. "Hearing examiner" means the examiner who acts on behalf of the council in considering and applying land use regulatory codes as provided under Chapter 2.46 ACC. Where appropriate, "hearing examiner" also refers to the office of the hearing examiner. O. "Impact fee" means a payment of money imposed by the city of Auburn on development activity pursuant to this chapter as a condition of granting development approval in order to pay for the parks and recreation facilities needed to serve new growth and development. P. "Impact fee account" or "account" means the account established for the parks and recreation facilities' impact fees collected. The account shall be established pursuant to ACC 19.08,080 and comply with the requirements of RCW 82.02.070. Q. "Independent fee calculation" means the parks and recreation impact calculation prepared by a feepayer to support the assessment of an impact fee other than by the use of the fee schedule. "Interest" means the interest rate earned by local jurisdictions in the State of Washington Local Government Investment Pool, if not otherwise defined. XX. "Living Space" means the space within a dwelling unit utilized for living, sleeping, eating, cooking, bathing, washing and sanitation purposes. S. "Multifamily dwelling" means a building designed exclusively for occupancy by two or more families living independently of each other, and containing two or more residential dwelling units. T. "Owner" means the owner of record of real property; provided, that if the real property is being purchased under a recorded real estate contract, the purchaser shall be considered the owner of the real property. U. "Parks and recreation facilities" means neighborhood and community parks, open space, recreational trails, athletic fields, swimming pools, and community centers, and any furnishings and equipment that are used at such locations and which can be capitalized. V. "Parks and recreation project improvements" means site improvements and facilities that are planned and designed to provide service for a particular development or users of the project and are not parks and recreation system improvements. No parks and recreation improvement or facility included in a capital facilities plan approved by the council shall be considered a parks and recreation project improvement. W. "Parks and recreation system improvements" means parks and recreation facilities that are either included in the city of Auburn's capital facilities plan and/or are designed to provide service to service areas within the community at large, in contrast to parks and recreation project improvements. X. "Single-family rhA/ollincrResidential"was defined in ACC 18.04.800, to include residential units in a mixed -use development, work/live units, and live/work units. "Surplus credits" means credits over and above those calculated as an impact fee. For example: 1. In grandfathori igvesting calculations, if the difference between a proposed use fee minus existing use credit results in a negative number, the result is the surplus credit and no impact fee would be due. 19.08.030 Assessment of impact fees. Applicants that have been awarded credits prior to the submittal of the complete building permit application pursuant to ACC 19.08.050 shall submit, along with the complete building permit application, a copy of the letter or certificate prepared by the director pursuant to ACC 19.08.050 setting forth the dollar amount of the credit awarded. Impact fees, as determined after the application of appropriate credits, shall be collected from the feepayer at the time the building permit is issued. -PID. If 30 days after the city has sent the responsible party written notification of its obligation to pay the charges established in this chapter the full amount remains unpaid, the responsible party shall be subject to the enforcement provisions of ACC 1.25.030 and 1.25.065. Written notification shall be by regular and certified mail and to the most current available contact information on file with the city. For the purposes of applying ACC 1.25.030 and 1.25.065, the responsible party shall constitute a property owner, the property(ies) for which a permit(s) has been issued shall constitute the property(ies) on which the violation is occurring, and the impact fee amount remaining unpaid shall constitute a violation occurring on the permitted property(ies) under these sections. 2. Any unpaid ch�fees adopted by this chapter that are outstanding 30 days from the date the charges are due shall constitute a lien against the property(ies) for which a permit(s) has been issued in the amount of the unpaid rhmaFgesfees. In addition to the actions authorized in subsectiGIR TgK ofthis section, the city may record a lien against the permitted property(ies) in the amount of the unpaid chess fees and may immediately suspend any permits previously issued for the lot or unit associated with the current development activity and shall limit the granting of any future permits for the lot or unit until such time that all outstanding water, SaRit Fy sewer and- sti,rm drainage development rhfees are paid in full. 3. If, in the judgment of the director, none of the fee categories or fee amounts set forth in the fee schedule accurately describes or captures the impacts of the new development, the applicant shall conduct an independent fee calculation and the director may impose alternative fees on a specific development based on those calculations, once accepted by the city. B. Peepayers Applicants may opt not to have the impact fees determined according to the fee schedule. Such feepayers shall prepare and submit to the director an independent fee calculation for the development activity for which a building permit is sought. The fee shall be deposited with the city to pay for city review of the independent fee calculation upon submittal of the documented independent fee study. D. After the city completes its review, the actual fees and expenses will be determined and the cash deposit shall be adjusted to provide for a refund by the city or additional payment by the feepayer. 19.08.050 Credits and adjustments. A. Determinations made by the director pursuant to this section shall be subject to the appeals procedures set forth in ACC 19.08.070. H. In order to grandfather vest the capacity rights of existing developments, the director will utilize the adopted rates to calculate any impact fee credits and to determine any surplus credits for off -site system improvements made by the property owner. (Ord. 6341 § 5, 2011; Ord. 6063 § 1, 2006.) 19.08.060 Exemptions. A. The following shall be exempted from the payment of parks and recreation impact fees: 1. Replacement of a structure with a new structure of the same use at the same site or lot when such replacement occurs within 12 months of the demolition or destruction of the prior structure. 2. Alterations,-r expansion.-r enlargement,-r remodeling or rehabilitation-r rnnvn of an existing dwelling unit where no additional dwelling units are created and the land use is not changed. 3. Miscellaneous improvements, including but not limited to fences, walls, swimming pools, and signs. 4. A change in use where the increase in housing capacity is less than the threshold stated in ACC 19.08.030(B). 5. Demolition ormoving-relocation of a structure out of the city. B. The director shall be authorized to determine whether a particular development activity falls within an exemption identified in this section. Any feepayer-Applicant may pay the impact fees imposed by this chapter under protest in order to obtain a building permit. Appeals regarding the impact fees imposed on any development activity may only be made by the feepaye�Applicant of the property where such development activity will occur. No appeal submitted under protest shall be permitted unless and until the impact fees at issue have been paid. Alternatively, any feepayer-Applicant may appeal the impact fees determined by the director without first paying the fees, providing the applicant is willing to provide a satisfactory security of the appealed fee amount in accordance with the requirements of ACC 17.14.010(A) prior to issuance of the building permit. Alternatively, any feepaye-Applicant may appeal the impact fees determined by the director without first paying the fees, provided the applicant is willing to postpone issuance of the building permit until after the appeal process when the revised final fee is known. B. Determinations of the director with respect to the applicability of the impact fees to a given development activity, the availability or value of a credit, or the director's decision with respect to the independent fee calculation, or any other determination which the director is authorized to make pursuant to this chapter, can be appealed to the hearing examiner_. Impact fee receipts shall be earmarked specifically and deposited in special interest -bearing accounts. The fees received shall be prudently invested in a manner consistent with the investment policies of the city. B. There is hereby established a separate impact fee account for the fees collected pursuant to this chapter: the parks and recreation facilities impact fee account. Funds withdrawn from these accounts must be used in accordance with the provisions of ACC 19.08.100. Interest earned on the fees shall be retained in the account and expended for the purposes for which the impact fees were collected. C. On an annual basis, the financial director shall provide a report to the council on the parks and recreation impact fee account showing the source and amount of all moneys collected, earned, or received, and the parks and recreation system improvements that were financed in whole or in part by impact fees. D. Impact fees shall be expended or encumbered within six years of receipt, unless the council identifies in written findings an extraordinary and compelling reason or reasons for the delay. If the city fails to expend or encumber the impact fees within six years of when the fees were paid or, where extraordinary or compelling reasons exist, such other time periods as established pursuant to ACC 19.08.080, the current owner of the property on which impact fees have been paid may receive a refund of such fees. In determining whether impact fees have been expended or encumbered, impact fees shall be considered expended or encumbered on a first -in, first -out basis; provided, that any party that voluntarily elects to use the alternative fee payment method specified in ACC 19.08.030 shall sign as a condition of use of the alternative fee payment method a waiver of right on a form prepared and provided by the city to recovery of park impact fees not spent within the statutory six -year timeframe. B. The city shall notify potential claimants by first class mail deposited with the United States Postal Service at the last known address of such claimants. A potential claimant or claimant must be the owner of the property. C. Owners seeking a refund of impact fees must submit a written request for a refund of the fees to the director within one year of the date the right to claim the refund arises or the date that notice is given, whichever is later. D. Any impact fees for which no application for a refund has been made within this one-year period shall be retained by the city and expended on the appropriate parks and recreation facilities. E. Refunds of impact fees under this section shall include any interest earned on the impact fees by the city. F. If and when the city seeks to terminate any or all components of the parks and recreation impact fee program, all unexpended or unencumbered funds from any terminated component or components, including interest earned, shall be refunded pursuant to this section. Upon the -- finding that any or all fee requirements are to be terminated, the city shall place notice of such termination and the availability of refunds in a newspaper of general circulation at least two times and shall notify all potential claimants by first class mail to the last known address of the claimants. All funds available for refund shall be retained for a period of one year. At the end of one year, any remaining funds shall be retained by the city, but must be expended for the appropriate parks and recreation facilities. This notice requirement shall not apply if there are no unexpended or unencumbered balances within an account or accounts being terminated. The city shall also refund to the developer of property for which impact fees have been paid, all impact fees paid, including interest earned on the impact fees, if the development activity for which the impact fees were imposed did not occur. (Ord. 6341 § 5, 2011; Ord. 6063 § 1, 2006.) 19.08.100 Use of funds. A. Pursuant to this chapter, impact fees: 1. Shall be used for parks and recreation system improvements that will reasonably benefit the new development within the city; and 2. Shall not be imposed to make up for deficiencies in parks and recreation facilities serving existing developments; and 3. Shall not be used for maintenance or operations. B. As a general guideline, parks and recreation impact fees may be used for any parks and recreation system improvements which could otherwise be funded by a bond issue of the city. C. Parks and recreation facilities impact fees may be spent for parks and recreation system improvements, including but not limited to neighborhood and community parks, recreational trails, athletic fields, swimming pools, and community centers, including planning, land acquisition, site improvements, necessary off -site improvements including mitigation, construction, engineering, architectural, permitting, financing, and administrative expenses, applicable impact fees or mitigation costs, and any other expenses which can be capitalized. D. In the event that bonds or similar debt instruments are or have been issued for the advanced provision of parks and recreation system improvements for which impact fees may be expended, impact fees may be used to pay debt service on such bonds or similar debt instruments to the extent that the facilities or improvements provided are consistent with the requirements of this section and are used to serve the new development. Background for Motion: Ordinance No. 6991 is the second amendment to the City of Auburn's 2025-2026 biennial budget, and authorizes the adjustment to capital project budgets, recognition of new grants and adjustments to existing estimated grant budgets, authorization for one new full-time employee (FTE) position, and limited requests for new budget authority. Background Summary: Ordinance No. 6991 (Budget Amendment #2) represents the second budget amendment for the 2025-2026 biennium. Councilmember: Kate Baldwin Staff: Jamie Thomas Page 39 of 85 ORDINANCE NO. 6991 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AMENDING THE CITY'S 2025-2026 BIENNIAL BUDGET WHEREAS, at its November 18, 2024 regular meeting, the Auburn City Council enacted Ordinance No. 6848, which adopted the City's 2025-2026 Biennial budget (Budget); and WHEREAS, the City Council has amended the Budget one time since adoption (by enacting Ordinance No. 6975 on May 19, 2025); and WHEREAS, the City deems it necessary to amend the Budget to appropriate additional funds into the various Budget funds outlined in the schedules attached to this Ordinance; and WHEREAS, the City Council has approved this Ordinance by one more than its majority in accordance with RCW 35A.34.200. NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON DO ORDAIN AS FOLLOWS: Section 1. Amendment of the 2025-2026 Biennial Budget. Pursuant to RCW 35A.34, the City hereby amends its 2025-2026 Biennial Budget to reflect the revenues and expenditures shown on Schedules "A", "B", "C" and "D" attached hereto and incorporated herein by reference. Section 2. Implementation. The Mayor is authorized to utilize the revenue and expenditure amounts shown on Schedules "A", "B", "C" and "D" attached to this Ordinance. A copy of these Schedules are on file with the City Clerk and available Ordinance No. 6991 July 14, 2025 Page 1 of 2 Page 40 of 85 for public inspection. The Mayor is further authorized to implement those administrative procedures necessary to carry out the directives of this legislation. Section 3. Severability. The provisions of this ordinance are declared to be separate and severable. The invalidity of any clause, sentence, paragraph, subdivision, section, or portion of this ordinance, or the invalidity of the application of it to any person or circumstance, will not affect the validity of the remainder of this ordinance, or the validity of its application to other persons or circumstances. Section 4. Effective date. This Ordinance will take effect and be in force five days from and after its passage, approval, and publication as provided by law. The city shall notify potential refund claimants by first class mail deposited with the United States Postal Service at the last known address of such claimants. Owners seeking a refund of impact fees must submit a written request for a refund of the fees to the d4reEtArDirector within one year of the date the right to claim the refund arises or the date that notice is given, whichever is later. D. Any impact fees for which no application for a refund has been made within this one-year period shall be retained by the city and expended on appropriate transportation system improvements. E. Refunds of impact fees under this section shall include any intere tlnterest earned on the impact fees by the city. F. If and when the city seeks to terminate any or all components of the transportation impact fee program, all unexpended or unencumhoun-Encumbered funds from any terminated component or components, including in*rec*Interest earned, shall be refunded pursuant to this section. If any fee requirements are to be terminated, the city shall place notice of such termination and the availability of refunds in a newspaper of general circulation at least two times and shall notify all potential claimants by first class mail to their last known address. All funds available for ref, refunds shall be retained for a period of one year. At the end of one year, any remaining funds shall be retained by the city, but must be expended for appropriate transportation system improvements. This notice requirement shall not apply if there are no unexpended or unencumbered balances within an account or accounts being terminated. Impact fees may be used to recoup transportation improvement costs previously incurred by the city to the extent that new growth and development will be served by the previously constructed improvements or incurred costs. In the event that bonds or similar debt instruments are or have been issued for the advanced provision of transportation improvements for which impact fees may be expended, impact fees may be used to pay debt service on such bonds or similar debt instruments to the extent that the facilities or improvements provided are consistent with the requirements of this section and are used to serve the new development. TERMS OF REIMBURSEMENT a) OPD will reimburse Recipient upon acceptance of expenses and receipt of properly completed invoices, and sufficient documentation supporting the invoices. Recipient shall submit invoices to the Representative for OPD subject to the invoicing schedule included in subsection (h) of this Section 4. b) OPD will provide an invoice form to Recipient. Recipient shall provide sufficient documentation accompanying the invoice to prove, to OPD's satisfaction, the costs incurred by Recipient and to allow OPD to determine that the costs were for Authorized Reimbursable Expenses. Sufficient documentation will include a compensation worksheet, case numbers during the invoice time period, and proof that the requested expenses were paid by Recipient. Sufficient documentation demonstrating costs incurred by Recipient may include, but is not limited to, salary pay stubs or invoices for contracted services. OPD reserves the right to amend the invoice form at any time. c) Payment will be considered timely if made by OPD within 30 calendar days after receipt of properly completed invoices. OPD shall send payment to Recipient via the default payment Page 80 of 85 method associated with Recipient's Statewide Vendor Number SWV0002069-00. d) OPD may, in its sole discretion, terminate this Agreement or withhold payments claimed by Recipient for services rendered if Recipient fails to satisfactorily comply with any term or condition of this Agreement. e) OPD shall not make any payments in advance or in anticipation of services or supplies to be provided under this Agreement. f) Recipient shall report whether it will be unable to spend the maximum reimbursement amount during the Agreement Period, or if Recipient anticipates a need to increase the maximum reimbursement amount. Any request to increase the maximum amount will be subject to Section 3(b) of this Exhibit A. OPD reserves the right to amend this agreement to reduce the maximum reimbursement amount set forth in Section 3(a) of this Exhibit A, and reallocate unspent funds to other jurisdictions, if Recipient's invoicing indicates it will be underspent. g) Reimbursable expenses must be incurred between July 1, 2025 and June 30, 2026. Recipient shall bear the cost of and ensure continued Consultation and Representation for all individuals who are being represented by Recipient's attorneys on Qualifying Cases when the agreement period ends. h) Recipient shall invoice OPD at least quarterly, but no more than once per month, according to the following schedule: 1. Known expenses for July 1 through September 30, 2025 shall be submitted by November 1, 2025; 2. Known expenses for October 1 through December 31, 2025 shall be submitted by February 1, 2026; 3. Known expenses for January 1 through March 31, 2026 shall be submitted by May 1, 2026; and 4. Known expenses for April 1 through June 30, 2026 shall be submitted by July 15, 2026. OPD understands Recipients contractors may not bill Recipient timely and that Recipient may not be aware of expenses in a particular quarter until after the submission deadline has passed. OPD will reimburse for invoices submitted outside the schedule outlined in Section 4(h) of this Exhibit A, except for and subject to the limitation set for in Section 4(j) of this Exhibit A. j) OPD's fiscal year runs from July 1, 2025 to June 30, 2026. Recipient must submit invoices for costs incurred during the grant period by July 15, 2026 or expenses may not be reimbursed. OPD makes no guarantee of reimbursement for eligible expenses invoiced after August 1, 2026. 5. DUPLICATION OF BILLED COSTS Recipient shall not bill OPD for services performed under this Agreement, and OPD shall not pay Recipient, if Recipient is entitled to payment or has been or will be paid by any other source, including grants, for that service. DISALLOWED COSTS Recipient is responsible for any audit exceptions or disallowed costs incurred by its own organization or that of its contractors or subcontractors. Page 81 of 85 7. AUTHORIZED REIMBURSABLE EXPENSES Recipient is authorized to seek reimbursement up to the maximum amount set forth in Section 3 of this Exhibit A, for the following costs, subject to the provisions in Sections 2 and 4 of this Exhibit A: a) Compensation for attorney Representation on Qualifying Cases; b) Compensation for attorney Consultation on Qualifying Cases; c) Support staff time devoted to assisting and supporting attorney Representation and Consultation on Qualifying Cases; d) Investigation costs associated with Qualifying Cases; e) Expert services where the scope of the expert's expertise is related to a Qualifying Charge; f) Interpreter costs (out -of -court) on Qualifying Cases; g) Pre -approved training events for attorneys and defender professional staff; h) Compensation for attorney Representation on an appeal undertaken according to the Rules for Appeal of Decisions of Courts of Limited Jurisdiction (RAU) where the RAU appeal contains an issue for review arising from a Qualifying Charge; and i) Other indirect costs necessary to providing representation or consultation if pre -approved by OPD. OVERSIGHT Over the duration of the agreement term, OPD may conduct site visits for purposes of ensuring the use of funds for their specified purposes. At OPD's request, Recipient will assist in scheduling such site vis- its and inviting appropriate attendees such as, but not limited to: public defense attorneys, judicial of- ficers, and city or county representatives. 9. DEFINITIONS a) "Alternatives to Prosecution" means an opportunity to depart from the traditional criminal case process of charge to plea or trial. Examples include, but are not limited to, stipulated continuances, deferrals, Specialty or Therapeutic courts, Pre -file Diversion programs, or Pre- trial Diversion programs. b) "Consultation" means consultation for a Client prior to assignment of counsel at first appearance or arraignment. Consultation also means advising a Client on Pre -File or Pre -Trial Diversion options. Consultation also means advising a Client during the pendency of pre-trial Diversion. c) "Client" means an indigent individual facing a pending charge or charged with a Qualifying Charge in a court of limited jurisdiction. d) "Pre -File Diversion" means an opportunity for a Client to depart from the criminal legal system, initiated by either law enforcement or the prosecutor, that takes place before charges are filed against the Client. Pre -File Diversion may be, but need not be, organized under RCW 69.50.4011(3)(c), 69.50.4013(2)(c), 69.50.4014(2), or 69.41.030(2)(e). e) "Pre -Trial Diversion" means an opportunity for a Client to depart from the criminal legal system after charges are filed against a defendant but before a plea is entered, or before proceeding to trial. Pre -Trial Diversion may be, but need not be, organized under RCW 69.50.4017. 4 Page 82 of 85 f) "Qualifying Charge" means a charge of violating RCW 69.50.4011(1)(b) or (c), 69.50.4013, 69.50.4014, 69.41.030(2), (b), or (c); or a charge under a local ordinance involving allegations of possession or public use of a controlled substance, counterfeit substance, or legend drug. g) "Qualifying Case" means a proceeding filed against a Client in a court of limited jurisdiction in which at least one of the charges filed, either originally or as amended, is a Qualifying Charge, even if later dismissed. h) "Representation" means appointment to represent Clients in Qualifying Cases, including but not limited to appearance at arraignment, pre-trial appearances, motions, sentencings, status conferences, review hearings, client conferences, and preparation for trial. Representation also means appointment to represent Clients for Alternatives to Prosecution, including on motions to terminate Clients from Alternatives to Prosecution. i) "Specialty or Therapeutic Court" means a court utilizing a program structured to achieve both a reduction in recidivism and an increase in the likelihood of rehabilitation, or to address substance use disorder or mental health conditions in defendants through continuous and judicially supervised treatment and the appropriate use of services, sanctions, and incentives. 10. ORDER OF PRECEDENCE In the event of an inconsistency in this Agreement, the inconsistency will be resolved by giving precedence in the following order: a) Applicable federal and state of Washington statutes, regulations, and court rules b) Exhibit A, Special Terms and Conditions c) Exhibit B, General Terms and Conditions Page 83 of 85 EXHIBIT B: GENERAL TERMS AND CONDITIONS 1. ALL WRITINGS CONTAINED HEREIN This Agreement contains all the terms and conditions agreed upon by the parties. No other understandings, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to exist or to bind any of the parties hereto. 2. AMENDMENTS This Agreement may be amended by mutual agreement of the parties. Such amendment shall not be binding unless it is in writing and signed by personnel authorized to bind each of the parties. 3. AMERICANS WITH DISABILITIES ACT (ADA) OF 1990, PUBLIC LAW 101-336, also referred to as the "ADA" 29 CFR Part 35. Recipient must comply with the ADA, which provides comprehensive civil rights protection to individuals with disabilities in the areas of employment, public accommodations, state and local government services, and telecommunications. 4. ASSIGNMENT Neither this Agreement, nor any claim arising under this Agreement, shall be transferred or assigned by Recipient without prior written consent of OPD. 5. ATTORNEY'S FEES Unless expressly permitted under another provision of the Agreement, in the event of litigation or other action brought to enforce Agreement terms, each party agrees to bear its own attorney fees and costs. 6. CONFORMANCE If any provision of this Agreement violates any statute or rule of law of the state of Washington, it is considered modified to conform to that statute or rule of law. 7. ETHICS/CONFLICTS OF INTEREST In performing under this Agreement, Recipient shall assure compliance with the Ethics in Public Service, Chapter 42.52 RCW and any other applicable court rule or state or federal law related to ethics or conflicts of interest. 8. GOVERNING LAW AND VENUE This Agreement shall be construed and interpreted in accordance with the laws of the state of Washington, and the venue of any action brought hereunder shall be in the Superior Court for Thurston County. 9. INDEMNIFICATION To the fullest extent permitted by law, Recipient shall indemnify, defend, and hold harmless the state of Washington, OPD, all other agencies of the state and all officers, agents and employees of the state, from and against all claims or damages for injuries to persons or property or death arising out of or incident to the performance or failure to perform the Agreement. 10. LAWS Recipient shall comply with all applicable laws, ordinances, codes, regulations, court rules, policies of local and state and federal governments, as now or hereafter amended. 11. NONCOMPLIANCE WITH NONDISCRIMINATION LAWS During the performance of this Agreement, Recipient shall comply with all federal, state, and local nondiscrimination laws, regulations and policies. In the event of Recipient's non-compliance or refusal to comply with any nondiscrimination law, regulation or policy, this Agreement may be rescinded, canceled or terminated in whole or in part. 12. RECAPTURE In the event that Recipient fails to perform this Agreement in accordance with state laws, federal laws, and/or the provisions of the Agreement, OPD reserves the right to recapture funds in an amount to compensate OPD for the noncompliance in addition to any other remedies available at law or in equity. 0 Page 84 of 85 13. RECORDS MAINTENANCE Recipient shall maintain all books, records, documents, data and other evidence relating to this Agreement. Recipient shall retain such records for a period of six (6) years following the end of the Agreement period. If any litigation, claim or audit is started before the expiration of the six (6) year period, the records shall be retained until all litigation, claims, or audit findings involving the records have been finally resolved. 14. RIGHT OF INSPECTION At no additional cost all records relating to Recipient's performance under this Agreement shall be subject at all reasonable times to inspection, review, and audit by OPD, the Office of the State Auditor, and state officials so authorized by law, in order to monitor and evaluate performance, compliance, and quality assurance under this Agreement. Recipient shall provide access to its facilities for this purpose. 15. SEVERABILITY If any provision of this Agreement or any provision of any document incorporated by reference shall be held invalid, such invalidity shall not affect the other provisions of this Agreement that can be given effect without the invalid provision, if such remainder conforms to the requirements of law and the fundamental purpose of this Agreement and to this end the provisions of this Agreement are declared to be severable. 16. SUSPEND OR TERMINATE FOR NON -AVAILABILITY OF FUNDS In the event funding from state, federal, or other sources is withdrawn, reduced, or limited in any way, OPD, at its sole discretion, may elect to suspend or terminate the Agreement, in whole or part, for convenience or to renegotiate the Agreement subject to new funding limitations and conditions. 17. WAIVER Waiver of any default or breach shall not be deemed to be a waiver of any subsequent default or breach. Any waiver shall not be construed to be a modification of the terms of this Agreement unless stated to be such in writing. Page 85 of 85
