AMENDMENT NO. 1
To Agreement for Services for Emergency Management
Consulting Services with S.K. Miller Consulting
THIS AMENDMENT is made and entered into on July 31st
2025, by and between the City of Auburn; a municipal corporation of the State of
Washington (the "City"), and S.K. Miller Consulting ("Provider").
RECITALS:
1 . Dated effective December 24, 2024, the City and Provider entered an
Agreement for Emergency Management Consulting Services ("Agreement");
2. Paragraph 4c of the Agreement set forth monthly and total not-to-exceed
amounts, $6,000 and $36,000, respectively, for a period of up to six months, of which
$34,450 has been expended;
3. Paragraph 5a of the Agreement set forth a date by which all work would be
completed: June 30th, 2025; and
4. The parties wish to amend the Agreement to extend its term until December
31st, 2025, and increase the total not-to-exceed amount of the Agreement, removing a
defined monthly amount.
AMENDMENT TO AGREEMENT:
1 . Paragraph 4c of the Agreement is hereby amended to read as follows:
The not-to-exceed amount for the term of this Agreement is $70,000. The Provider will
not undertake any work or otherwise financially obligate the City in excess of this not-to-
exceed amount without the City's advance written authorization.
2. Paragraph 5a of the Agreement is hereby amended to read as follows:
The Provider will begin no work under this Agreement until authorized by the City in
writing. The term of this Agreement, as amended, commences on the date that the last
party signs it (as reflected on the signature page). Once commenced, Provider shall
complete the performance of all services, plus such additional requested support billed
in accordance with, Exhibit A, on or before December 31st, 2025, unless the Parties
otherwise agree in writing.

3. All other provisions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have caused this amendment to be executed
effective the day and year first set forth above.
