RELEASE AND INDEMNITY AGREEMENT

IN CONSIDERATION OF their payment to me as RELEASOR of the sum of Six Thousand Six
Hundred Sixty Seven Dollars and 00/00 ($6667.00), and other good and valuable consideration,l, City of
Auburn, (hereinafter "RELEASOR"), being of lawful age, hereby for myself, my heirs, executors,
administrators, successors and assigns, release, acquit and forever discharge Rodrigo Huerta and their
insurer, Intact Insurance and/or Atlantic Specialty Insurance Company (hereinafter "RELEASEES"), and
its officers, directors, shareholders, employees, agents, successors and other representatives, of and from
damages, costs, contribution, indemnification, or any -other thing whatsoever on account of, or in any way
growing out of, any and all known and unknown personal injuries, death, property damage and other
damages of whatever kind resulting or to result from an occurrence or accident which happened on.or
about 5/24/2025 ,including but not limited to all claims which were or could have been asserted.
RELEASOR(S) further agree(s) to satisfy all liens, subrogation interests or claims of any doctor, hospital,
insurance carrier, non-profit hospital and medical service organization, state or governmental agency, or
any other person, firm or corporation, which have been made or may be made in the future against the
payments described above; and RELEASOR(S) further agree(s) to hold RELEASEES harmless„and to
defend and indemnify RELEASEES against any suits, claims, cross -claims, judgments, costs or expenses
of any kind, including attorney fees, arising from assertion of any such liens, subrogation interest or -
claim.
RELEASOR(S) further agree(s) to hold RELEASEES' harmless from; and to defend and indemnify
RELEASEES against any now pending or subsequently initiated suits, claims, judgments, costs or
expenses of any kind, including attorney fees, contribution, and/or indemnification by any other person or
organization (or for subrogation by an insurer of such person or organization) on account of judgment,
assertion or settlement of any claim asserted by or on behalf of any RELEASOR(S) as a result of the
injuries or damages allegedly sustained by any RELEASOR arising out of the, above described accident or
occurrence. RELEASOR(S) specifically agrees to hold RELEASEES harmless from, and to defendand
indemnify RELEASEES against any claim or suit initiated by or on behalf of City of Auburn Community
Center..
RELEASOR(S) hereby acknowledge(s), and assume(s) all risk, chance or hazard that the said damages
may be or'become permanent, progressive, greater or more extensive than is now known, anticipated or
expected.
No promise or inducement which is not herein expressed has been made to any RELEASOR, .and in
executing this Release, RELEASOR(S) do/does not rely upon any statement or representation made by
any RELEASEE or by any agent, physician, doctor or any other person representing RELEASEES,
concerning the nature, extent or duration of said damages or losses or the legal liability therefore.
RELEASOR(S) acknowledge(s) that RELEASEES specifically reserve any and all rights they may have
against all persons, whether individual, corporate or otherwise, arising out of the subject matter of this
RELEASE AND INDEMNITY AGREEMENT. RELEASOR(S) understand(s) that this settlement is the
compromise of a ;doubtful and disputed claim, and that payment is not to be construed as an admission of
liability on the part of RELEASEES, by whom liability is expressly denied.
Since freedom from costs of future litigation represents an important item of consideration bargained for
any by the parties to this Release, 'it is agreed that damages recoverable for breach of this settlement
agreement shall include reasonable attorney's fees and other costs incurred as a consequence of such
breach.

RELEASOR(S) acknowledge(s) that he/she has been represented by of , 1 in
connection with this matter in general and specifically with regard to the negotiation and execution of this
RELEASE AND INDEMNITY AGREEMENT.
This RELEASE AND INDEMNITY AGREEMENT contains the ENTIRE AGREEMENT between
RELEASOR(S) and RELEASEES. Its terms are contractual and not a mere recital.
RELEASOR(S) further state(s) that he/she has carefully read the foregoing, RELEASE AND
INDEMNITY AGREEMENT and.knows and understands its ,contents and that he/she signs it as his/her
own free act.
