CP2424 1ST ST NE/NW AND N DIVISION ST PEDEDSTRIAN IMPROVEMENTS In consideration of the mutual covenants contained herein and for other valuable consideration, One Main Street Professional Plaza Owner's Association (Grantor) hereby convey(s)and grant(s)unto the CITY OF AUBURN,a municipal corporation of the State of Washington, its contractors, employees, agents, successors and assigns, (Grantee), the right to enter upon that portion of land required for the purpose(s), as applicable, of(i) re- constructing sidewalks and decorative brick to connect to the new public improvements, as described in Exhibit A and depicted in Exhibit B attached and made a part hereto; and (ii) restoring any construction impacts to the property frontage. SPECIAL STIPULATIONS 1. Grantor hereby agrees to permit Grantee, its contractors, employees, agents, successors and assigns the right of entry including the right of ingress and egress to the property to complete the construction work as set forth above. 2. Grantor hereby agrees that Grantee's contractors, employees, agents, and successors, hired to perform construction work set forth above,will not enter the building located on Temporary Construction Permit ENG-137,Revised 7/25 Tax Parcel No.639070-0000 Page 1 of 4 the property,utilize building utilities, or perform work to the building, in the course and scope of perfouniing the construction work described above. 3. Grantee shall leave the property in as good a condition as existed on the day construction commenced. This shall include the timely removal of any and all debris, rubbish or combustible material resulting from the construction activities. 4. Grantor agrees that this Temporary Construction Permit shall continue in full force and effect from the date that Grantee gives adequate notice to the Grantor of the commencement of construction until Final Acceptance by the City of the construction work, anticipated to be on or before December 31, 2026. 5. Grantee, its agents and assigns,will notify Grantor of its construction schedule,and will, to the greatest extent practicable, schedule the construction activity so as to avoid any inconvenience to the property, its occupants, invitees, and customers. Neither Grantee nor its contractor shall block or prohibit pedestrian access to the building during the course and scope of the construction activities. 6. Grantor authorizes and appoints Grantee as its agent and attorney-in-fact to make application for any and all permits required to complete the project, all at Grantee's expense. '7. The rights herein granted shall include all incidental rights, including but not limited to, right of ingress and egress necessary to properly perform the work indicated for construction of the project. Grantee and those entitled to exercise the rights granted herein shall exercise all due care and due diligence in their activities upon the property, and Grantee does hereby agree to indemnify and hold harmless the Grantor against and from any and all liability for losses, damages and expenses on account of damage to property or injury to persons resulting from or arising out of the rights herein granted to and the work to be performed by Grantee and/or its contractors, employees, agents, successors or assigns.
