THIS AMENDMENT made and entered into on this 5th of , 2022 by
and between the CITY OF AUBURN ("City"), a municipal corporation of the State of
Washington, and Totem Logistics Inc, DBA Seattle Junk King. ("Contractor") as an
amendment to the Contract for Services Agreement between the parties dated December,25,2021.
RECITALS:
1. On December 25, 2021, the City and the Contractor entered into a contract for services
(Contract# 001 On-Call Cleanup or"Original Contract")which was not to exceed
$25,000 based on the anticipated work and the available City budget identified at the
time.
2. Section 17 of the Original Contract allows for amendments and modifications to be
executed in writing by both parties.
3. The Parties wish to amend the contract to include an additional $25,000 in contract
budget bringing the total not to exceed contract amount to $50,000.
NOW THEREFORE in consideration of their mutual covenants, conditions and promises, the
Parties agree to the following modifications:
1. Section 3. Compensation is modified in the following manner:
Compensation
As compensation for the Contractor's performance of the services provided for in this
Contract, the City will pay the Contractor the fees and costs at the costs and rates described
in Exhibit B subject to additions and deductions by Change Order as provided in the Contract
Documents. These payments will be full compensation for work performed or services
rendered for all labor, materials, supplies, equipment, overhead, profit, and incidentals
necessary to complete the work. The payment includes sales tax, if any. No payment shall
be issued until a Statement of Intent to Pay Prevailing Wages form and an approved
Affidavit, for the Contractor and each and every Subcontractor, has been approved by the
State Department of Labor& Industries, and is received by the City.
The Contractor will submit to the City an invoice upon completion of each cleanup site
reflective of the total cleanup costs, charged at those rates described in Exhibit B. All
invoices shall include the total amount of the contract, the remaining balance available
against the contract, the total associated cost of the current billed cleanup and the remaining
balance after the current cleanup. Upon acceptance of the invoice and receipt of the required
prevailing wage intent and affidavit,the City will process the invoice in the next billing/claim
cycle, and will remit payment to the Contractor, subject to any conditions or provisions in
this Contract or Amendment. The Contract number (# 001 On-Call Cleanup) must

appear on all invoices submitted. Copies of original supporting documents will be supplied
to the City upon request.
The not-to-exceed amount for this Contract is TWENTY EWE FIFTY THOUSAND
DOLLARS AND 00/100 ($50,000.00). The Contractor will not undertake any
work or otherwise financially obligate the City in excess of this amount without prior written
authorization consistent with this Contract.
2. EXHIBIT B—Payment Terms is modified in the following matter:

The total contract shall have a not to exceed amount of TWENTY FIVE FIFTY THOUSAND
DOLLARS AND 00/100 ($50,000.00). The Contractor will bill separately for work
performed at each individual site in accordance with the following contract rates;

Contract Rates Include:
• Site Assessment(Bid Item 1)—A per site cost inclusive of a site survey,taking pre-cleanup photos and
preparation of a site work order(The work order will establish the site start date,estimated timeframe of
work,staging area and name of the onsite representative).
• Site Cleanup Mobilization(Bid Item 2)—A per site cost(expressed as a single per site cost regardless of
the number of days involved in the site cleanup)to cover all pre-site work set up times,site travel times,
planning,and other tasks to get the site ready for cleanup.
• Wage Labor Hourly Rate(Bid Item 3)—Hourly rate charged against the contract for all workers
performing work under this contract that includes Contractor's administrative personnel(those workers
performing tasks not covered it Bid Items 1 &2 or related to onsite cleanup,transportation,and disposal of
encampment and illegal dumping debris.For example,workers that apply for permits as needed,purchase
and supply materials to the site,prepare and submit prevailing wage documentation,etc.). *All workers
other than exclusively administrative nersonnel are subiect to nrevailine wanes and therefore should be bid
accordingly.
• Biohazard Material Disposal(Bid Item 4)—A per unit cost for containment,transportation,and disposal
of biohazard materials based upon a 40 gallon containment unit.

• Non-biohazard Material Disposal(Bid Item 5)—A per ton cost for containment,transportation,and
disposal of non-biohazard materials based on weight.
3. All other terms of the Agreement are to remain the same.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed
effective as of the date set forth above.
