CONS UI:I'ANT SERVICES :AGREEMENT

THIS AGREEMENT is entered into by and between the Achievement Architects North, hereinafter referred
to as the "AAN," and the Client named in Paragraph 1 below.

2. TERM: This Agreement shall commence on February 1, 2007 and shall end of February 1, 2008.
3. DESCRIPTION OF SERVICES TO BE PROVIDED: In consideration of all funds received under
this Agreement, A AN shall develop and implement a process for the City of Auburn that meets the
following indicators of success:
• To build capacity in the City of Auburn through the development of a mechanism and infrastructure
to engage participation of all stakeholders in defining and solving mutual problems.
• To engage Auburn staff in defining their role in the support of this mechanism and infrastructure.
4. COMPENSATION:
a. The City of Auburn shall pay the Contractor up to $22,200.00 for services rendered under this
Agreement. Upon completion of services /deliverables specified in the Work Plan, the contractor
will submit invoices on a monthly basis (the 1,1 of each month) for completed work, based on the
attached timeline/work plan.
b. Advance payments prohibited. No payment in advance or in anticipation of services to be
provided under this Agreement shall be made by the City of Auburn.
5. RIGHTS AND OBLIGATIONS: All rights and obligations of the parties are subject to and governed
by the terms of this Agreement and the General Terms and Conditions on the attachment to this
Agreement. In the event of an inconsistency, it shall be resolved by giving precedence to the terms
contained in the body of this Agreement and then to the General Terms and Conditions in the
attachment.
7. NON-EXCLUSIVITY: Nothing contained in this Agreement shall be construed to limit in any way
AAN's right to engage the services of any other person other than the Contractor to advise AAN or
perform any services similar to the services for which the Contractor is engaged hereunder or to pay any
such person any compensation of any such terms as AAN may in its sole discretion deem appropriate.
7. ENTIRE AGREEMENT: This Agreement contains all the terms and conditions agreed upon by the
parties. No other understandings, oral or otherwise, regarding the subject matter of this Agreement shall
be considered to exist or to bind any of the parties to this Agreement unless otherwise stated in this
Agreement.

AAN CONSULTANT SERVICES AGREEMENT
GENERAL TERMS AND CONDITIONS
1. CHANGES AND MODIFICATIONS--Any change or modification to this Agreement must be in
writing and signed by both parties.
2. AAN NOT EMPLOYEE OF CITY OF AUBURN--AAN and his or her employees or agents
performing under this Agreement are not employees or agents of the City of Auburn.
3. FORMAT OF REPORTS AND OTHER PUBLICATIONS--All reports and other publications shall
be submitted in a mutually agreed format.
4. GOVERNING LAND'--This Agreement shall be governed in all respects by the laws and statutes of
the State of Washington.
5. NONASSIGNABILITY-- AN shall not transfer or assign this Agreement, nor any claim arising
under this Agreement.
6. INDEMNIFICATION--AAN shall defend, protect, and hold harmless the City of Auburn, or any
employees thereof, from and against all claims, suits or actions arising from the AAN's acts which are
libelous or slanderous, result in injury to persons or property, violate a right of confidentiality, or use
or reproduce material of any kind that constitutes an infringement of any copyright, patent,
trademark or trade name.
7. RIGHTS IN DATA: The Client and AAN shall jointly own all rights, title and interest in and to all
materials developed and delivered under this contract. Materials developed by AAN or by the City
of Auburn prior to this agreement remain the sole property of the respective parties and cannot be
used by either party for purposes beyond this contract without the express written authorization of
the other party.
8. TERMINATION FOR CONVENIENCE-- Notwithstanding any provisions of this Agreement,
either party may terminate this Agreement by providing written notice of such termination to the
other party, specifying the effective date thereof, at least fifteen (15) calendar days prior to such date.
If this Agreement is so terminated, AAN shall be eligible only for payment for services rendered
prior to the effective date of termination.
WAIVER--Waiver of any breach of any term or condition of this Agreement shall not be considered
a waiver of any prior or subsequent breach. No term or condition of this Agreement shall be held to
be waived, modified, or deleted except by an instrument, in writing, signed by the parties to this
Agreement.
