2009 AGREEMENT FOR PROFESSIONAL SERVICES

THIS AGREEMENT made and entered into by and between the CITY OF
AUBURN, a Municipal Corporation in King County, Washington, hereinafter referred to
as "CITY" and TERRACON CONSULTANTS, INC., whose address is 21905 64tn
Avenue West, Suite 100, Mountlake Terrace, WA 98043, hereinafter referred to as
"CONSULTANT."
In consideration of the covenants and conditions of this Agreement, the parties
hereby agree as follows:
1. SCOPE OF WORK.
The CONSULTANT will provide on-call geotechnical and environmental
investigation and analysis including, but not limited to, the review of existing
geotechnical and environmental information, subsurface exploration by the
CONSULTANT or their subcontractor, soil sampling and testing, groundwater
measurement and testing, soil property analyses, pavement analysis and design, and
documentation and report preparation for the results of these tests and analyses.
The CONSULTANT, on a project basis, will be given individual task assignments
(see Exhibit A, Sample Task Assignment) for work related to geotechnical and
environmental investigation and analysis. These task assignments will describe the
work to be completed, completion dates, and compensation amount. An approved task
assignment shall be required between the CONSULTANT and the City prior to
commencing any work for any individual task.
2. TERM.
The CONSULTANT shall not begin any work under this Agreement until
authorized in writing by the CITY. All work under this Agreement shall be completed by
December 31, 2009, and can be amended by both parties for succeeding years.
The established completion time shall not be extended because of any delays
attributable to the CONSULTANT, but may be extended by the CITY in the event of a
delay attributable to the CITY, or because of unavoidable delays caused by an act of

GOD or governmental actions or other conditions beyond the control of the
CONSULTANT. A prior supplemental Agreement issued by the CITY is required to
extend the established completion time.
3. COMPENSATION.
The CONSULTANT shall be paid by the CITY based upon the fees included for
each individual approved task assignment. These fees will be " not to exceed" figures
based on the Fee Schedule outlined in Exhibit B for work performed under this
Agreement. Exhibit B is attached hereto and by this reference made part of this
Agreement. Compensation shall include all consultant expenses including, but not
limited to, overhead, profit, and direct non-salary costs and shall not exceed that
amount shown on each approved individual task assignment under this contract. The
total amount of the agreement shall not exceed $30,000.
In the event services are required beyond those specified in the Scope of Work,
and not included in the compensation listed in this Agreement, a contract modification
shall be negotiated and approved by the CITY prior to any effort being expended on
such services.
4. SUBCONTRACTING.
The CITY permits subcontracts for those items of work necessary for the
completion of the project. The CONSULTANT shall not subcontract for the
performance of any work under this AGREEMENT without prior written permission of
the CITY. No permission for subcontracting shall create, between the CITY and
subcontractor, any contractor or any other relationship.
Compensation for any subconsultant work is included in Section 3 of this
Agreement and all reimbursable direct labor, overhead, direct non-salary costs and
fixed fee costs for the subconsultant shall be substantiated in the same manner as
outlined in Section 3. All subcontracts exceeding $10,000 in cost shall contain all
applicable provisions of this AGREEMENT.

5. RESPONSIBILITY OF CONSULTANT.
The CONSULTANT shall be responsible for the professional quality, technical
accuracy, timely completion and the coordination of all studies, analysis, designs,
drawings, specifications, reports and other services perFormed by the CONSULTANT
under this Agreement. The CONSULTANT shall, without additional compensation,
correct or revise any errors, omissions or other deficiencies in its plans, designs,
drawings, specifications, reports and other services required. The CONSULTANT shall
perForm its services to conform to generally-accepted professional geotechnical
engineering standards, geologic standards, and the requirements of the CITY.
Any approval by the CITY under this Agreement shall not in any way relieve the
CONSULTANT of responsibility for the technical accuracy and adequacy of its services.
Except as otherwise provided herein, neither the CITY'S review, approval or
acceptance of, nor payment for, any of the services shall be construed to operate as a
waiver of any rights under this Agreement or of any cause of action arising out of the
perFormance of this Agreement to the full extent of the law.
6. INDEMNIFICATION/HOLD HARMLESS.
The CONSULTANT shall indemnify and hold the CITY and its officers and
employees harmless from and shall process and defend at its own expense all claims,
demands, or suits at law or equity arising in whole or in part from the CONSULTANT'S
negligence or breach of any of its obligations under this Agreement; provided that
nothing herein shall require the CONSULTANT to indemnify the CITY against and hold
harmless the CITY from claims, demands or suits based solely upon the conduct of the
CITY, their agents, officers and employees and provided further that if the claims or
suits are caused by or result from the concurrent negligence of (a) the CONSULTANT'S
agents or employees and (b) the CITY, their agents, officers and employees, this
indemnity provision with respect to (1) claims or suits based upon such negligence, (2)
the costs to the CITY of defending such claims and suits, etc. shall be valid and
enforceable only to the extent of the CONSULTANT'S negligence or the negligence of

the CONSULTANT'S agents or employees. The provisions of this section shall survive
the expiration or termination of this Agreement.
7. INDEPENDENT CONTRACTOR/ASSIGNMENT.
The parties agree and understand that the CONSULTANT is an independent
contractor and not the agent or employee of the CITY and that no liability shall attach to
the CITY by reason of entering into this Agreement except as otherwise provided
herein. The parties agree that this Agreement may not be assigned in whole or in part
without the written consent of the CITY.
8. INSURANCE.
CONSULTANT shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons or damage to property which may arise
from or in connection with the performance of the work hereunder by the
CONSULTANT, its agents, representatives, or employees.
CONSULTANT'S maintenance of insurance as required by the Agreement shall
not be construed to limit the liability of the CONSULTANT to the coverage provided by
such insurance, or otherwise limit the City's recourse to any remedy available at law or
in equity.
CONSULTANT shall obtain insurance of the types and in the amounts described
below:
a. Automobile Liability insurance covering all owned, non-owned, hired and
leased vehicles, with a minimum combined single limit for bodily injury and
property damage of $1,000,000 per accident. Coverage shall be written on
Insurance Services Office (ISO) form CA 00 01 or a substitute form providing
equivalent liability coverage. If necessary, the policy shall be endorsed to
provide contractual liability coverage.
b. Commercial General Liability insurance shall be written on ISO occurrence
form CG 00 01 and shall cover liability arising from premises, operations,
independent contractors, and personal injury and advertising injury, with limits
no less than $1,000,000 each occurrence, $2,000,000 general aggregate.

The CITY shall be named as an insured under the CONSULTANT'S
Commercial General Liability insurance policy with respect to the work
performed for the CITY using the applicable ISO Additional Insured
endorsement or equivalent.
c. Worker's Compensation coverage as required by the Industrial Insurance
laws of the State of Washington.
d. Professional Liability insurance appropriate to the CONSULTANT'S
profession, with limits no less than $1,000,000 per claim and $1,000,000
policy aggregate limit.
The insurance policies are to contain, or be endorsed to contain, the following
provisions for Automobile Liability, Professional Liability, and Commercial General
Liability insurance:
a. The CONSULTANT'S insurance coverage shall be primary insurance as
respects the CITY. Any insurance, self insurance, or insurance pool
coverage maintained by the CITY shall be excess of the CONSULTANT'S
insurance and shall not contribute with it.
b. The CONSULTANT'S insurance shall be endorsed to state that coverage
shall not be cancelled by either party, except after thirty (30) days prior written
notice has been given to the CITY by certified mail, return receipt requested.
All insurance shall be obtained from an insurance company authorized to do
business in the State of Washington. Insurance is to be placed with insurers with a
current A.M. Best rating of not less than A-:VII.
The CONSULTANT shall furnish the CITY with certificates of insurance and a
copy of the amendatory endorsements, including but not necessarily limited to the
additional insured endorsement, evidencing the insurance coverage required by this
section, before commencement of the work. The CITY reserves the right to require that
complete, certified copies of all required insurance policies be submitted to the CITY at
any time. The CITY will pay no progress payments under Section 3 until the
CONSULTANT has fully complied with this section.

9. NONDISCRIMINATION.
The CONSULTANT may not discriminate regarding any services or activities to
which this Agreement may apply directly or through contractual, hiring, or other
arrangements on the grounds of race, color, creed, religion, national origin, sex, age, or
where there is the presence of any sensory, mental or physical handicap.
10. OWNERSHIP OF RECORDS AND DOCUMENTS.
The CONSULTANT agrees that any and all drawings, computer discs,
documents, records, books, specifications, reports, estimates, summaries and such
other information and materials as the CONSULTANT may have accumulated,
prepared or obtained as part of providing services under the terms of this Agreement by
the CONSULTANT, shall belong to and shall remain the property of the CITY OF
AUBURN. In addition, the CONSULTANT agrees to maintain all books and records
relating to its operation and concerning this Agreement for a period of six (6) years
following the date that this Agreement is expired or otherwise terminated. The
CONSULTANT further agrees that the CITY may inspect any and all documents held by
the CONSULTANT and relating to this Agreement upon good cause at any reasonable
time within the six (6) year period. The CONSULTANT also agrees to provide to the
CITY, at the CITY'S request, the originals of all drawings, documents, and items
specified in this Section and information compiled in providing services to the CITY
under the terms of this Agreement.
11. CERTIFICATION REGARDING DEBARMENT, SUSPENSION, AND
OTHER RESPONSIBILITY MATTERS-PRIMARY COVERED TRANSACTIONS.
The prospective primary participant certifies to the best of its knowledge and
belief, that it and its principals:
(a) Are not presently debarred, suspended, proposed for debarment, declared
ineligible, or voluntarily excluded from covered transactions by any federal
department or agency;
(b) Have not within a three-year period preceding this proposal been convicted of
or had a civil judgment rendered against them for commission or fraud or a

criminal offense in connection with obtaining, attempting to obtain, or
perForming a public (federal, state, or local) transaction or contract under a
public transaction; violation of federal or state antitrust statues or commission
of embezzlement, theft, forgery, bribery, falsification or destruction of records,
making false statements, or receiving stolen property;
(c) Are not presently indicted for or otherwise criminally or civilly charged by a
governmental entity (federal, state, or local) with commission of any of the
offenses enumerated in paragraph "(b)" of this certification; and
(d) Have not within a three-year period preceding this application/proposal had
one or more public transactions (federal, state, or local) terminated for cause
or default.
Where the prospective primary participant is unable to certify to any of the
statements in this certification, such prospective participant shall attach an explanation
to this proposal.
12. TERMINATION OF AGREEMENT.
This Agreement may be terminated by either party upon twenty (20) days written
notice to the other party, and based upon any cause. In the event of termination due to
the fault of other(s) than the CONSULTANT, the CONSULTANT shall be paid by the
CITY for services performed to the date of termination.
Upon receipt of a termination notice under the above paragraph, the
CONSULTANT shall (1) promptly discontinue all services affected as directed by the
written notice, and (2) deliver to the CITY all data, drawings, specifications, reports,
estimates, summaries, and such other information and materials as the CONSULTANT
may have accumulated, prepared or obtained in performing this Agreement, whether
completed or in process.
13. GENERAL PROVISIONS.
13.1. This Agreement shall be governed by the laws, regulations and ordinances
of the City of Auburn, the State of Washington, King County, and where applicable,
Federal laws.

13.2. All claims, disputes and other matters in question arising out of, or relating
to, this Agreement or the breach hereof, except with respect to claims which have been
waived, will be decided by a court of competent jurisdiction in King County, Washington.
Pending final decision of a dispute hereunder, the CONSULTANT and the CITY shall
proceed diligently with the performance of the services and obligations herein.
13.3. In the event that any dispute or conflict arises between the parties while
this Agreement is in effect, the CONSULTANT agrees that, notwithstanding such
dispute or conflict, the CONSULTANT shall continue to make a good faith effort to
cooperate and continue work toward successful completion of assigned duties and
responsibilities.
13.4. The CITY and the CONSULTANT respectively bind themselves, their
partners, successors, assigns, and legal representatives to the other party to this
Agreement with respect to all covenants to this Agreement.
13.5. This Agreement represents the entire and integrated Agreement between
the CITY and the CONSULTANT and supersedes all prior negotiations, representations
or agreements either oral or written. This Agreement may be amended only by written
instrument signed by both the CITY and the CONSULTANT.
13.6. Should it become necessary to enforce any term or obligation of this
Agreement, then all costs of enforcement including reasonable attorneys fees and
expenses and court costs shall be paid to the substantially prevailing party.
13.7. The CONSULTANT agrees to comply with all local, state and federal laws
applicable to its performance as of the date of this Agreement.
13.8. If any provision of this Agreement is invalid or unenforceable, the
remaining provisions shall remain in force and effect.
13.9. This Agreement shall be administered by David C. Williams on behalf of
the CONSULTANT, and by the Mayor of the CITY, or designee, on behalf of the CITY.

13.10. All notices or communications permitted or required to be given under
this Agreement shall be in writing and shall be delivered in person or deposited in the
United States mail, postage prepaid. Any such delivery shall be deemed to have been
duly given if mailed by certified mail, return receipt requested, and addressed to the
address for the party set forth in 13.9 or if to such other person designated by a party to
receive such notice. It is provided, however, that mailing such notices or
communications by certified mail, return receipt requested is an option, not a
requirement, unless specifically demanded or otherwise agreed.
Any party may change his, her, or its address by giving notice in writing, stating
his, her, or its new address, to any other party, all pursuant to the procedure set forth in
this section of the Agreement.
13.11. This Agreement may be executed in multiple counterparts, each of which
shall be one and the same Agreement and shall become effective when one or more
counterparts have been signed by each of the parties and delivered to the other party.

CONSULTANT INVOICES
CONSULTANT invoices should contain the following information:
• On CONSULTANT letterhead.
• A cover letter stating the status of each task. This should include items completed, percent
completed during the billing period and completion along with funding status.
• Internal invoice number and/or sequential numeric number (i.e.: progress payment # 10).
• Invoice date.
• Period of time invoice covers.
• Consultant Agreement # (i.e.: AG-C-115).
• Project number(s) listed (i.e.: PR562).
• CITY'S project manager listed.
• The hour(s) per person broken down by task(s) (attach timesheets, spreadsheet detailing
timesheets, or some other form of proof) along with type of work done (i.e.: design,
right-of-way, or construction) or task order number.
• Direct salary (base salaries)
• Indirect salary (benefits)
• Direct non-salary (i.e.: mileage, reproduction fees (i.e.: printing, copying), communication
fees (i.e.: telephone), supplies, computer charges, subconsultants), indirect non-salary
(overhead). The CITY does not pay for CONSULTANT meals unless part of a task requires
travel outside of the greater Seattle, Tacoma, and Everett area. These costs are to be
broken down and backup information is to be attached to invoice. Project managers are to
inform CONSULTANTS as to what is required for break down information and if backup
information is to be attached. Break out the same for subconsultant charges.
• Previous and remaining base contract amounts left in each task and total contract - total
authorized amount (bottom line figure). Add amendments to this base contract amount for
total authorized amount.
• Percentage of work completed to date compared to total amount of work (if required by the
project manager).
• Status of Management Reserve Fund (MRF) (i.e.: a certain task) until we can get an
amendment in place.
• Invoices for previous year are due by January 15'n
• For grant/special funded projects there might be other special information needed,
reference the LAG manual.

RELATING ON-CALL GEOTECHNICAL ENGINEERING
THIS AMENDMENT is made and entered into this 21t day of DZUM,)-~~, 2009, by
and between the CITY OF AUBURN, a municipal corporation of the State of Washington
(hereinafter referred to as the "CITY"), and Terracon Consultants, Inc (hereinafter referred to as
the "CONSULTANT"), as an Amendment to the Agreement between the parties for AG-C-356
executed on the 4th day of February 2009.
The changes to the agreement are described as follows:
1. CONTRACT TERM: The term of the Agreement for Professional Services is extended to
December 31, 2010
2. SCOPE OF WORK: There is no change in the scope of work.
3. COMPENSATION: There is no change to the amount authorized in the original agreement.
REMAINING TERMS UNCHANGED: That all other provisions of the Agreement between
the parties for AG-C-356 executed on the 4th day of February 2009 shall remain unchanged,
and in full force and effect.

ANNUAL CONTRACT TASK ASSIGNMENT DOCUMENT
AGREEMENT AG-C-356 TASK T10-001
CONSULTANT: Terracon Consultants, inc.
PROJECT: Geotechnical engineering exploration and analysis for CP0920 AC
Water Main Replacement Project in the Lea Hill vicinity. Services
requested by the City of Auburn Public Works Department.
The general provisions and clauses of the Agreement referenced above shall be in full
force and effect for this Task Assignment.
Locaticn ofi Project: The project site extends betuveen 108th Avenue SE and 112tn
Avenue SE (west to east) and roughly between SE 299`h Place and SE 297th Street
(north to south) in the Lea Hill vicinity of east Auburn, King County, Washington.
Maximum Amount Payable per this Task Assignment: $9,000
Completion Date: May 31, 2010
Scope of Work: Provide design phase geotechnical engineering exploration and
analysis services to support the City's design of a replacement water main. These
services are expected to include:
Site Reconnaissance
Observe surface conditions along the waterman alignment and document conditions
pertinent to the geotechnical aspects of the design and construction.
Utility Locatinq
Contact the Underground Utility Location Service prior to initiating the field exploration in
order to have documented underground utilities located. The City of Auburn
acknowledges that there is some risk of damage to unlocated buried utilities as a result
of the exploration procedures.
Traffic Control
Prepare a traffic control plan prior to applying for a City street use Construction Permit.

Provide appropriate signage while working in the roads. It will be necessary to
temporarily close portions of the travel lanes while advancing the borings. Signage will

Field Exploration

• The intersection of 111th Avenue SE and SE 298th Street.

borings, place representative portions of the retained samples in moisture-tight
containers, and return them to Terracon laboratory for further visual classification and
laboratory testing. Two borings will be backfilted with bentonite clay and capped with a
concrete surface seal. An accelerant will be utilized in the concrete surface seal to
enhance concrete curing.
Install a groundwater monitoring well at the location of the boring at the intersection of
108th Avenue SE and SE 299t'' Place. Finish the well with a flush-mount metal
monument.
Laboratory Testinq
Complete moisture content determinations and mechanical grain size analyses of
samples from each of the three borings.

Evaluation. Services requested by the City of Auburn Public Works
Department.
The general provisions and clauses of the Agreement referenced above shall be in full
force and effect for this Task Assignment.
Location of Project: Approximately the 6200 block of Mountain View Drive in the West Hill
area of Auburn, King County, Washington.
Maximum Amount Payable per this Task Assignment: $15,300
Completion Date: June 1, 2010
Scope of Work: Provide preliminary geotechnical engineering exploration and analysis
services to evaluate the stability of the Mountain View Drive embankment and to provide
recommendations for restoration of the portion of the embankment that has or may move and
for the replacement of a damaged section of guardrail. These services are expected to include:
Document Review
Review readily available published geologic maps/reports and other pertinent documents that
the City may have in regard to geologic conditions at the site.
Site Reconnaissance
Observe and document surface conditions along the affected portion of Mountain View Drive
and the slope extending below the affected portion of the road and the immediate vicinity. The
reconnaissance will include mapping surtace evidence of slope instability, seepage, or other
features pertinent to the evaluation.

Contact the Underground Utility Location Service prior to initiating the field exploration in order
to have documented underground utilities located.

Traffic Control Plan
Prepare a traffic control plan prior to applying for a City street use Construction Permit.
Traffic Control (Optional)
If temporary traffic control is not provided by the City, provide temporary traffic control for field
explorations as follows: Provide appropriate signage and flaggers while working in the road. It
will be necessary to temporarily close the south side travel lane while advancing the borings
and unloading/loading equipment. Signage and traffic control will be provided in accordance
with City and MUTCD standards.
Field Exploration
Advance two (2) exploratory borings to a depth of approximately 20 feet in the south side travel
lane along the affected portion of Mountain View Drive.
Advance two (2) borings approximately 20 feet on the slope below the road.
Advance the borings in Mountain View Drive with a truck-mounted or trailer-mounted drill rig
and advance the borings below the road with a small portable drill rig. Borings will be
advanced via hollow stem auger drilling techniques by a local drilling contractor working under
subcontract to Terracon. The borings will be advanced under the direction and observation of
an engineering geologist or geotechnical engineer from Terracon. Obtain disturbed, but
representative, soil samples on 2.5-foot sample intervals via the Standard Penetration Test

View Drive will be backfilled in this fashion.
The Consultant will coordinate with the City to prepare a survey request. The City will complete
the survey and provide the Consultant with copies of the survey notes, ascii files, and an
AutoCad 2006 point file.
Groundwater Monitorinq (Optional)
Install a groundwater monitoring well at the location of one of the borings completed in
Mountain View Drive if groundwater is encountered while drilling. Finish the well with a flush-
mount metal monument.

Measure the groundwater level in the observation well (if one is installed) following the field
exploration and provide a recommended monitoring schedule including frequency and duration
for the City. The City will be responsible for monitoring the groundwater levels after the initial
measurements are made.
Laboratory Testinq

each of the borings.
Geotechnical Analvses and Report Preparation
Prepare a draft written report. Information contained in the draft report will include:
• A site plan showing the approximate exploration locations and pertinent surface features
prepared using Consultant field measurements and observations and the following
information provided by the City as needed: survey data, GIS information, as-builts as
available, aerial photography;
• Descriptive logs of the explorations;
• A discussion of laboratory test results;
• A description of subsurface conditions;
• Canclusions regarding the slope movement that currently impacts Mountain View Drive;
• Preliminary recommendations for restoration of Mountain View Drive. At this time, these
recommendations are expected to include topics addressing regrading, wall construction,
and possibly drainage improvements;
• Preliminary recommendations for guardrail post installation for the recommended
restoration alternative;
• Recommendations for additional study, if required.
Provide one copy of the draft written report for City review.
Provide three copies of the final report, and an electronic copy in pdf format, once City review
comments have been received. The final reports shall be signed and sealed by a registered
Professional Engineer.

Installing temporary shoring for the deep sewer trench where needed. We anticipate
that most or all shoring needs will be handled using conventional trench boxes or strut-
supported panels, but sheet piles might be installed if warranted by high groundwater.
* Resurfacing the roadway with asphalt concrete pavement. The new pavement will have
a width of approximately 22 feet, which matches the existing pavement width, except for
a new flared portion near the intersection with Auburn Way N.
B. SCOPE OF SERVICES
Our proposed scope of services includes a surface reconnaissance, a utility-locate request, a
subsurface exploration, laboratory testing, geotechnical analyses, report preparation, and post-
report consultation. The major elements associated with these tasks are described below.
Surface Reconnaissance and Utility Locating
We propose to initiate our field exploration program by visually reconnoitering the site. This will
provide an opportunity to observe existing surface features and identify areas of pavement
distress that might indicate adverse subgrade conditions. While on site, we will also mark
suitable locations for our subsurface explorations. Afterwards, we will request the Utilities
Notification Center("one-call'service) to mark any documented on-site underground utilities. If
the client desires a more extensive locating program,we could engage a private locating firm as
an added scope and fee item.
Subsurface Exploration
We propose to explore subsurface conditions by means of ten borings advanced at strategic
locations along the subject roadway. This will result in an average spacing of approximately
150 feet Details of our subsurface exploration program are discussed below.
Permitting & Traffic Control: Before beginning our exploration program, we will submit a City
of Auburn permit application for subsurface drilling. We will also submit a traffic-control plan
(simple sketch) that complies with City of Auburn and MUTCD standards. Traffic-control
signage will be supplied by a specialty firm in accordance with the approved plan. Given the
relatively low traffic volumes and speeds on the subject roadway, we anticipate that fiaggers will
not be necessary; however, if actual roadway traffic conditions are found to warrant the use of
fiaggers,we will subcontract with a licensed firm to provide this service.
Exploratory Borings: All borings will be advanced with a hollow-stem auger, using a truck-
mounted drill rig operated by an Independent drilling firm working under subcontract to
Terracon. Wherever a selected boring location is covered by cement concrete pavement, we
(or our subcontractor)will use a coring bit to create an access hole. We anticipate that Boring

depths ranging from about 15 to 25 feet below existing grades will be adequate to characterize
subsurface conditions beneath the deepest utilities, but actual depths will be adjusted in the field
according to observed conditions. After reaching termination depth, each borehole will be
completely backfilied with suitable materials and then surface-patched with asphalt or cement
concrete. Excess soil cuttings will be left In discreet locations at the site.
Soil Sampling&Logging; Throughout the course of drilling, representative(but disturbed)soil
samples will be obtained in each borehole at 2%2- to 5-foot depth intervals via the Standard
Penetration Test (SPT) method in accordance with ASTM: D-1587. An experienced
engineering geologist or geotechnical engineer from our firm will continuously observe the
borings, measure the pavement thickness, record the SPT results, visually classify the soil
samples, and prepare stratigraphic field logs. All soil samples will be placed in moisture-tight
containers and transported to our laboratory for further geotechnical classification and/or
laboratory testing. Our scope of field services does not include samplin. provisions for
characterization of regulated environmental contaminants, but we could Include this service as
an additional scope and fee item If desired.
Laboratory Testing
We propose to conduct approximately five to ten laboratory tests on representative soil samples
obtained from our field exploration program. These tests will help us to characterize the
engineering properties of the on-site soils. Our testing program could include moisture content
determinations, Atterberg Limits determinations, and/or grain size analyses, depending on the
soil conditions that we encounter. Our scope of laboratory services does not include any testing
for environmental contaminants but we could Include this service as an additional scope and
fee item if desired.
Geotechnicai Analysis and Report Preparation
The information gathered during our document review, surface reconnaissance, subsurface
exploration, and other tasks will be utilized in our subsequent geotechnical engineering
analyses for the proposed project. We will then submit electronic DRAFT and hardcopy FINAL
versions of a written report that presents our findings, interpretations, conclusions,
recommendations, and other pertinent items, as follows.
• A site plan showing approximate locations of key surface features and our explorations.
• Interpretive stratigraphic logs of our explorations.
• A description of surface, pavement, and subsurface conditions.
• Tabular and/or graphical results of any laboratory tests.

Post-Report Consultation
After submitting our report, we will be available for follow-on consultation regarding the
geotechnical aspects of the project. This could include telephone conversations, email
communications, and/or office meetings with various members of the project team. We assume
that approximately 4 hours of consultation by our project manager/engineer would be adequate
for discussing basic issues and alternatives. However, additional time and budget would likely
be needed to accommodate re-design efforts or other Intensive tasks.
Proposed Schedule
We anticipate that we can begin our field exploration within approximately two to three weeks
after receiving a written authorization to proceed, contingent on the drilling subcontractor's
availability. If authorization-to-proceed is forthcoming, we can schedule the drill rig in advance
to expedite this process. Exploratory drilling will likely require two days, laboratory testing will
require about one week, and subsequent analyses will require about three weeks. Our written
report will therefore be available approximately three to four weeks after we begin fieldwork. As
a courtesy, however, we can likely provide verbal preliminary conclusions and
recommendations within several days after completing all fieldwork.
Additional Conditions and Assumptions
® We assume that the City of Auburn will assist with our procurement of a Construction
Permit for subsurface drilling, and that any fees associated with this permit will be
covered by the City.

a We assume that our field representatives and subcontractors will be granted right-of-
entry onto the site at the time of our arrival, as part of the Construction Permit obtained
from the City of Auburn. We also assume that our planned exploration locations will be
readily accessible to our field crew.
a By accepting this proposal, the property owner acknowledges that there is some risk of
damage to unlocated or mislocated underground utilities as a result of our subsurface
exploration. By implicit agreement, Terracon will not be held responsible for damage to
such utilities, nor will we be held responsible for damage to the site property, or adjacent
properties, in the event that an unlocated or mislocated underground utility Is struck
during our subsurface exploration.
® We assume that all soil cuttings generated by our subsurface exploration can be left at
the subject site in a discreet location. Our scope of services does not include off site
transport and disposal of these soil cuttings, but we anticipate_ that the total amount of
soil will be fairly small.
e Our proposed scope of services does not include characterization of regulated
environmental contaminants that may be present on site, nor will our staff research
historical data regarding the site and vicinity in regard to potential environmental
impairment. Terracon would be pleased to assist with such activities under a separate
contract, if so requested.
a Our field personnel and subcontractors will exercise due care while working at the site,
but some visible disturbance to the ground surface and pavements should be expected.
® If adverse conditions are encountered during our fieldwork, we would inform our client as
soon as possible and would perform no work beyond our authorized scope of services
without the client's approval.
a We assume that the client will provide basic traffic data, such as ESALs or a Traffic
Index, for our pavement design purposes. If not, we will base our pavement design on
Inferred traffic data.
n We assume thst temporar}r shoring will consist of conventional trench boxes Or a aliiiiiar
strut-supported panel system, or possibly sheet piles. In the event that cantilevered
soldier piles are used, we can provide appropriate recommendations as an extra scope
and fee item.
a We assume that stormwater infiltration facilities will not be used at the site. If stormwater
infiltration becomes necessary, we can perform field percolation tests as an extra scope
and fee item.

C. COMPENSATION
We propose to complete the above-described geotechnical services on a time-and-expenses
basis in accordance with our current on-call contract. A budget of$12,900 appears appropriate
to cover our anticipated scope of work, The following table presents an estimated cost
breakdown for basic task items. Any additional services or expenditure items that are not
described herein but are provided by Terracon at our clients request would effectively increase
our initial budget.
