Background Summary:
This resolution authorizes the Mayor to execute a Memorandum of Understanding between Senior
Services of Seattle/King County (SSS/KC) and Group Health Cooperative to facilitate a Lifetime Fitness
Exercise Program (LFP) for Auburn Senior Center participants.
The Lifetime Fitness exercise program was developed specifically for older adults in conjunction with the
University of Washington and is designed to include strength, aerobic, and flexibility components.
Contracted instructors must complete a LFP training course. Students' physicians are made aware of
their planned participation in the program with any recommendations against participation reported to
participants and Senior Center administration.
Senior members who have assigned their Medicare to Group Health attend the class at no cost, with
Group Health covering the cost; all others currently pay $21.00 for 15 one-hour sessions.

A RESOLUTION' OF THE CITY COUNCIL OF THE CITY OF
AUBURN, WASHINGTON, AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE AN AGREEMENT WITH SENIOR
SERVICES OF SEATTLE/KING COUNTY (SSS/KC) AND GROUP
HEALTH COOPERATIVE (LFP) TO FACILITATE A 2004
LIFETIME FITNESS EXERCISE PROGRAM FOR AUBURN
SENIOR CENTER PARTICIPANTS
THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:
Section 1. The Mayor and City Clerk of the City of Auburn are herewith
authorized to execute a Memorandum of Understanding between the City of
Auburn and Senior Services of Seattle/King County (SSS/KC) to provide a
Lifetime Fitness exercise program at the Auburn Senior Center for their
participants. A copy of said Agreement is attached hereto and denominated
Exhibit "A" and incorporated herein.
Section2. The Mayor is hereby authorized to implement such
administrative procedures as may be necessary to carry out the directives of this
legislation.
Section 3. This Resolution shall take effect and be in full force and
effect upon passage and signatures hereon.

Lifetime Fitness Program
Memorandum Of Understanding
This Memorandum of Understanding is entered into between the Lifetime Fitness
Program Managing Partners (Senior Services of Seattle/King County and Group Health
Cooperative) ("LFP") and the City of Auburn, services to be located at Auburn Senior
Ac6vity Center. ("Center/Site").
WHEREAS, LFP wants to make the Lifetime Fitness Program available and accessible to
the older adults of the center/site and its surrounding community and has the expertise to
develop and enhance the curriculum and provide training and technical assistm~co;
NOW THEREFORE, in consideration of the mUtual promises stated herein, the parties
agree to perform in accordance with the following conditions:
1. Responsibilities of LFP:
1.1. Provide materials for marketing (press releases, letters, articles, etc.),
registration, attendance tracking, outcomes testing, reporting, and quality assurance
activities.
1.2. Assist in recruiting class instructors to implement the program, as appropriate.
1.3. Organize and provide training for Lifetime Fitness Program instructors and class
assistants to assure compliance with the LFP protocols and techniques. However, the
foregoing shall not establish an employment or agency relationship between LFP and
any instructor employed by or contracted with the site.
1.4. Provide instructor and administrative manual and participant guide which the
Center/Site will be entitled to use as long as its Lifetime Fitness Program is active.
Weights that have been provided by Lifetime Fitness program are the prop{~y of
LFP. Center/Site will be entitled to use weights as long as its LFP is active.
1.5. Provide program enhancements to the Lifetime Fitness program through its
respective instructors and provide training on these enhancements.
1.6. Collect and compile service data and share with site, on an annual basis and as
requested.
1.7. Provide suggested guidelines for program fees to ensure that the program
remains low-cost.
1.8. Provide technical assistance, as requested.
2. Responsibilities of Center/Site:
2.1. Assure that the physical space and equipment used for the program is
appropriate and safe. The site shall acqu/re, store and maintain all equipment in good
working order.
2.2. Assure that all seniors enrolled in the program have sent their primary care
provider a letter telling of their participation in the program and completed the
program enrollment form and Senior Wellness Project Participant Form.
2.3. Utilize marketing (press releases, newsletter articles, etc.), registration, outcomes
testing, reporting, and quality assurance systems and materials provided by LFP, as
appropriate.
2.4. Assure that programs will be offered on an ongoing, regular basis. Inform Senior
Services of Seattle/King County Senior Wellness Project ("SWP") administrative
office within one week of changes in program staff, program locations, telephone
numbers, Im~..am4o~t~n~, etc.
2.5. Recruit paid and volunteer staff necessary to implement the program.
2.6. Employ or contract only with qualified instructors. The site shall be responsible
for all applicable compensation, benefits, taxes, and withholdings for such
instructors, as well as for the submission of such tax returns or other filings as may be
required by law as the legal employer of such instructors.
2.7. Use all reasonable efforts to assure that participants are registered and. tracked
for program evaluation purposes.
2.8. Complete and submit all required reporting documents in the specified
timeframes; maintain accurate and timely records and all required documea~tation.
Provide SWP with names of site staff responsible for submitting reports.
2.9. Use participant fees collected for the program to support program costs, i.e.
instructor salary, additional weights, etc.
2.10. Track attendance of alt enrollees. Submit completed Group Health and non
Group'Health attendance forms to Senior Services/Seattle King County wiflfin two
weeks following the last day of a session. Send a copy of completed attendance form
for enrolless who are Members of Group Health Cooperative ("GHC") Mo:licare and
Group Health Options ("GHO") Medicare health plans to Group Health Cooperative
within two weeks following the last day of a session.
2.11. Lifetime Fitness is a covered benefit for persons covered by Medicare Parts A
and B and enrolled in a Group Health Medicare + Choice (M + C) plan. Accept as
payment in full the program fee paid by LFP (or GHC/GHO) for services to GHC and
GHO Medicare Members and agree not to charge such Members any additional
program fee for the Members' participation in the Lifetime Fitness Program. This
provision does not prevent the site from charging GHC/GHO Medicare Members a
membership or facility use fee that is applicable to all users of the site.
Designated Liaisons:
3.1. For purposes of this Memorandum, the Senior Wellness Project Coordinator
shall be the LFP liaison with the Center/Site and shall be responsible for monitoring
this agreement. Any notices required to be provided to LFP under this agreement
shall be provided to the SW~P liaison.
3.2. For purposes of this Memorandum, the Director of the Center/Site shall be the
liaison with the Senior Wellness Project Coordinator. Any notices required, to be
provided to the Center/Site under this agreement shall be provided to the
Center's/Site's liaison.
4. Duplication of Materials and Program Adaptations:
4.1.. All material provided by LFP is proprietary and remains subject to any
limitations that LFP may impose concerning the use, distribution or duplication of
such material. The Center/Site will not duplicate any material provided by LFP for
use outside the service area of the Center/Site without prior written permission by
LFP.
4.2. The Center/Site will not adapt program procedures without prior written
approval by LFP.
5. Limitation of Liabilities:
LFP makes no representations or warranties, express or implied. By way of example,
but not limitation, LFP makes no representations or warranties of merchantability or
fitness for any particular purpose or that the use of the licensed software components
or documentation will not infringe any patents, copyrights, trademarks or other rights.
LFP shall not be liable for any direct, indirect or consequential damages ba~sed on any
claim by Center/Site or any third party on account of or arising from this Agreement
or use of the program.
6. Term and termination:
6.1. The term of this Memorandum of Understanding shall be one year from the
effective date.
6.2. LFP may terminate this Memorandum of Understanding upon providing thirty
(30) days written notice to the Center/Site. The Center/Site may terminate this
Memorandum upon providing thirty (30) days written notice to LFP.
7. Effective Date:
This Memorandum of Understanding shall be effective on the date provided herein.
9. Confidentiality.
Both parties agree to protect the privacy of all records of participants in compliance
with applicable federal and state laws.
10. Modification.
This Memorandum of Understanding may only be modified by the written assent of
both parties.
