Background Summary: Resolution No. 4202 authorizes the Mayor to execute a Memorandum of Agreement between Senior Services of Seattle/King County (SSS/KC), anon-profit corporation, and the City of Auburn to provide a 5- day-per-week, federally funded hot meal program to persons in the Auburn area who are 60 or over. The City provides space at the Auburn Senior Activity Center, while SSS/KC staffs the project. This project has operated at the Senior Center for over 20 years. Senior participants are asked to give a $3.00 donation, if possible, for each meal, but no one over 60 is denied a meal because of inability to donate. Emphasis is on service, regardless of ability to pay. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, HEREBY RESOLVES as follows: Section 1. The Mayor and City Clerk of the City of Auburn are herewith authorized to execute a Memorandum of Agreement for 2007 between the City of Auburn and Senior Services of Seattle/King County (SSS/KC) to provide a nutritional program for low-income elderly citizens of the Auburn area, which agreement shall be in substantial conformity with the Agreement, a copy of which is attached hereto, marked as Exhibit "A", and incorporated herein by this reference. Section 2. The Mayor is hereby authorized to implement such administrative procedures as may be necessary to carry out the directives of this legislation. Heid, City Attorney Resolution No. 4202 June 6, 2007 Page 2 of 2 MEMORANDUM OF AGREEMENT Seattle/King County Nutrition Projects: Auburn This Memorandum of Agreement is between Senior Services of Seattle/King County (Senior Services), a non-profit corporation of Seattle, and the City of Auburn. In recognition of the need to continue a social and nutritional program for low-income elderly citizens of the Auburn area, and in recognition that Senior Services has been granted governmental financing which will be available to contribute to the cost of such activities, it is hereby agreed that Senior Services and the City of Auburn will work for the greater good of the community. It is agreed that the Auburn area Nutrition Program will be held at the Auburn Senior Activity Center. Likewise, it is agreed that there will be responsibilities on the part of Senior Services in operating the program there. For these reasons, Senior Services and the City of Auburn agree to the following: The City of Auburn agrees to provide facilities between the hours of 9:00 a.m. and 2:00 p.m., five days per week, (Monday -Friday), for the operation of the Community Dining Program. 2. Senior Services will assign a Site Coordinator at the nutrition site, who will be supervised by the Nutrition Site Supervisor. The Site Coordinator will supervise volunteers who support the nutrition program and be responsible for food preparation, cooking, sign in, data collection, and clean up. The Nutrition Site Supervisor will work with the Site Coordinator, volunteers and staff at the host site on a range of issues, including, but not limited to food safety, food storage, food waste, food budgets, nutritional standards, data collection and participant donations. The City of Auburn shall be consulted regarding staff selection. 3. Senior Services agrees to develop menus that comply with Older Americans' Act funding requirements, provide all food, beverages and supplies to serve the participants at the site as deemed necessary by program requirements. The site will cooperate with data collection and suggested donation policies and procedures set by the Nutrition Program. 4. Hold Harmless/Indemnification: Senior Services shall defend, indemnify and hold the City, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or in connection with the performance of this Agreement, except for injuries and damages caused by the sole negligence of the City. 5. It is further specifically and expressly understood that the indemnification provided herein constitutes Senior Services' waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. Insurance: The Contractor shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor; their agents, representatives, employees or subcontractors. 7. No Limitation. Contractor's maintenance of insurance as required by the agreement shall not be construed to limit the liability of the Contractor to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. Minimum Scope of Insurance: 8. Senior Services shall obtain: * Commercial General Liability insurance shall be written on ISO occurrence form CG 00 O1 and shall cover liability arising from premises, operations, independent Senior Services, products- completed operations, stop gap liability, personal injury and advertising injury, and liability assumed under an insured contract. The Commercial General Liability insurance shall be endorsed to provide the Aggregate Per Project Endorsement ISO form CG 25 03 11 85. The City shall be named as an insured under the Senior Services' Commercial General Liability insurance policy with respect to the work performed for the City using ISO Additional Insured endorsement CG 20 10 10 O1 and Additional Insured-Completed Operations endorsement CG 20 37 10 O1 or substitute endorsements providing equivalent coverage. * Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. 9. Minimum Amounts of Insurance: Senior Services shall maintain Commercial General Liability insurance written with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate and a $2,000,000 products- completed operations aggregate limit. 10. Other Insurance Provisions: Senior Services' insurance coverage shall be primary insurance as respect the City. Any Insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the Senior Services' insurance and shall not contribute with it. The Senior Services' insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. Verification of Coverage: Senior Services shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Senior Services before commencement of the work. 12. Senior Services reserves the right to expand or reduce staffing levels, meal levels and/or service days dependent upon budgetary considerations with appropriate notification to the host agency where the nutrition site is located. 13. The term of this agreement shall be from January 1, 2007, to December 31, 2008, and maybe continued thereafter by mutual agreement of the parties. 14. This Memorandum of Agreement maybe terminated with thirty (30) days written notice by either party.
