A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT BETWEEN THE CITY AND KENT TRAVEL TO SERVE AS TRAVEL
4 AGENT FOR A NATIONAL PARKS TOUR PACKAGE FOR THE CITY'S SENIOR ~
5 CENTER PROGRAM.
6 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
7 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:
8 Section 1. The Mayor and City Clerk of the City of
9 Auburn are herewith authorized to execute an Agreement between
10 the City and KENT TRAVEL to serve as a travel agent for a
11 National Parks tour package for the City's Senior Center
12 program. A copy of said Agreement is attached hereto and
13 denominated Exhibit "A" and incorporated herein.
14 Seation 2. The Mayor is hereby authorized to implement
15 such administrative procedures as may be necessary to carry
16 out the directives of this legislation.

THIS AGREEMENT is made and entered into this day
4
5 of 1992, by and between the CITY OF AIIBIIRN, a
6 municipal corporation of the State of Washington herein
? referred to as IICITY's and RENT TRAVEL, a corporation organized
8 under the laws of the State of Washington, whose address is
9 604 West Meeker, Suite 101, Kent, WA, 98032, herein referred
10 to as NIRENT TRAVEL".
11 In consideration of the covenants and conditions herein,
12 the parties agree as follows:
13 1. PURPOSE.
14 The purpose of this agreement is to retain RENT
15 TRAVEL to serve as a travel agent for a National
16 Parks tour package from September 26-October 8,
17 1992, for the CITY'S Senior Center Programs as
18 defined in RENT TRAVEL'S travel letter.
19 2. SCOPE OF SERVICE.
20 RENT TRAVEL agrees to perform the following services
21 and tasks:

2 a. RENT TRAVEL will arrange with essential travel
3 vendors for the National Parks tour as provided
4 for and defined in RENT TRAVEL'B attached
5 written proposal and itinerary marked Exhibit
6 "I", which proposal is by this reference
7 incorporated herein as if fully set forth
8 except as hereby modified by terms and
9 conditions contained in this Agreement.
10 b. RENT TRAVEL agrees to provide name tags and
11 luggage tags.
12 c. RENT TRAVEL shall make arrangements for a group
13 photograph session and group photographs will
14 be provided to all tour participants as part of
15 the tour package.
16 d. RENT TRAVEL shall provide a photo album to each
17 tour participant.
18 e. KENT TRAVEL shall make arrangements for a
19 deluxe continental breakfast at the Senior
20 Center prior to tour departure.
21 f. RENT TRAVEL shall make arrangements for a Lake
22 Powell dinner cruise for all participants as
23 part of the tour package.

2 g. RENT TRAVEL shall provide staff to give tour
3 information and process registrations at the
4 CITY'B Senior Center, Wednesday afternoons
5 between 1:00-3:00 p.m. beginning April 1 and
6 continuing weekly as deemed necessary by CITY
7 Senior Center staff.
g h. RENT TRAVEL shall provide room lists to each
9 tour participant.
10 i. RENT TRAVEL shall provide the staff and
11 necessary information for the initial
12 promotional gathering at the CITY'S Senior
13 Center.
14 7• RENT TRAVEL shall provide a pre-departure group
, 15 orientation.
16 k. Copies of all correspondence sent to tour
17 participants by RENT TRAVEL shall also be sent
18 to the CITY'S Senior Center Activities
19 Specialist.
20 1. RENT TRAVEL shall provide one free Senior
21 Center escort space after the first 15 paying
22 participants. A second escort will be provided
23 after the 30th paying participant.

2 M. RENT TRAVEL will give the CITY Senior Center
3 $10 per person rebate with fund to be used at
4 the discretion of the CITY Senior Center.
5 3. TERM.
6 This Agreement shall commence and be in effect on

9 4. COMPENSATION.
10 The agreed compensation for the services provided to
11 the CITY will be the total amount collected from
12 tour participants for the National Parks Tour.
13 Package prices are: $1,988 with minimum of 15
14 participants, double occupancy; $2,598 single
15 occupancy. The total package includes: 13-day
16 Collette National Parks Tour; 10 dinners, 12
17 breakfasts; Lake Powell Dinner Cruise; round-trip
18 airfare; Auburn and Phoenix round-trip airport and
19 hotel transfers; luggage handling; gratuities for
20 Lake Powell Dinner Cruise, airport transfers,
21 airport porters, Collette driver and guide, and all
22 package meals and lodging; cancellation/trip
23 interruption insurance waiver; promotional flyers.

2 A$150 deposit will be required upon reservation,
3 with the balance due in full by July 15, 1992. Such
4 payment shall be full compensation for all work
5 performed and/or services rendered and for all
6 supervision, labor, supplies, material, employees,
7 equipment and all incidentals necessary to complete
8 services under this Agreement.
9 5. SUPPORT SERVICES PROVIDED BY CITY.
10 The CITY shall provide the following support
11 services:
12 1. Advertisement of the National Parks tour in the
13 monthly Senior Center brochure.
14 2• Registration of tour participants.
15 3. Distribution of promotional flyers.
16 4• An escort if there are 15 or more paid tour
17 participants.
18 6. CANCELLATION INSIIRANCE. '
19 The tour participants shall purchase cancellation
20 insurance which is included in the tour package
21 price with insurance coming out of $150 deposit.

2 7. INDEMNIFICATIONS/HOLD HARMLESS.
3 RENT TRAVEL agrees to defend, indemnify and hold
4 harmless the CITY, its elected and appointed
5 officials, employees and agents from and against any
6 and all claims, demands and/or causes of action of
7 any kind or character whatsoever arising out of or
g relating to RENT TRAVEL employees, subcontractor or
9 agents for any and all claims by any persons for
10 alleged personal injury, death or damage to their
11 persons or property to the extent caused by the
12 negligent acts, errors or omissions of RENT TRAVEL,
13 its employees, agents, subcontractors, or
14 representatives. In the event that any suit or
15 claim for damages based upon such claim, action,
16 loss or damages is brought against the CITY, RENT '
17 TRAVEL shall defend the same at its sole cost and
18 expense; provided that the CITY retains the right to
19 participate in said suit if any principle of
20 governmental or public law is involved; and if final
21 judgment be rendered against the CITY and/or its
22 officers, agents and/or employees or any of them or
23 jointly against the CITY and RENT TRAVEL and their

2 respective officers, agents, subcontractors,
3 employees or any of them, RENT TRAVEL agrees to
4 fully satisfy the same and RENT TRAVEL shall
5 reimburse the CITY for any cost and expense which
6 the CITY has incurred as a result of such claim or
7 suit. The provisions of this section shall survive
8 the expiration or termination of this Agreement.
9 8. INDEPENDENT CONTRACTORfASSIGNMENT.
10 The parties agree and understand that RENT TRAVEL is
11 an independent contractor and not the agent or
12 employee of the CITY and that no liability shall
13 attach to the CITY by reason of entering into this
14 Agreement except as otherwise provided herein. The
15 parties agree that this contract may not be assigned
16 in whole or in part without the written consent of
17 the CITY.
18 9. INSURANCE.
19 RENT TRAVEL shall procure and maintain for the
20 duration of this Agreement liability insurance
21 against claims for injuries to persons or damage to
22 property which may arise from or in connection with
23 services provided to the CITY by RENT TRAVEL, its

2 agents, employees or subcontractors, under this
3 Agreement. RENT TRAVEL agrees to provide
4 comprehensive general liability insurance and shall
5 maintain liability limits no less than ONE MILLION
6 DOLLARS ($1,000,000) combined single limit per
7 occurrence for bodily injury, personal injury and
g property damage. Any deductible or self insured
9 retentions in either policies must be declared to,
10 and approved by, the CITY. At the option of the
11 CITY, either the insurer shall reduce or eliminate
12 such deductibles or self insured retentions as
13 respects the CITY, or procure a bond guaranteeing
14 Payment of losses and related investigations, claim
15 administration and defense expenses. The policy is
16 to contain or be endorsed to contain the following
17 provisions:
18 a. The CITY, its officers, employees and agents
19 are to be covered as insureds as respect:
20 Liability arising out of services or
21 responsibilities performed by or under the
22 obligation of RENT TRAVEL under the terms of
23 this Agreement, its employees, agents and

2 subcontractors. The coverage shall contain no
3 special limitations on the scope of protection
4 afforded to the CITY, its officials, employees,
5 or agents.
6 b. Any failure to comply with reporting provisions
7 of the policy shall not affect coverage
8 provided to the CITY, its officials, employees
9 or agents.
10 c. RENT TRAVEL shall furnish the CITY with
11 Certificates of Insurance and with original
12 endorsements affecting coverage required by
13 this clause. The CITY reserves the right to
14 require that complete, certified copies of all
15 required insurance policies be submitted to the
16 CITY at any time. The insurance shall not be
17 cancelled, modified or terminated without prior
18 written notice to the CITY, no less than thirty
19 (30) days prior to such cancellation,
20 modification or termination.
21 10. NONDISCRIMINATION.
22 RENT TRAVEL shall comply with all Federal, State and
23 local laws and ordinances prohibiting discrimination

2 and employment with regard to age, sex, color,
3 creed, national origin or mental, sensory or
4 physical handicaps.
5 11. GEYJERAL PROVISIONB.
6 The following provisions shall apply:
7 a. No waiver by either party of any breach or
8 default hereunder shall be deemed a waiver of
9 any preceding or any subsequent breach or
10 default.
11 b. This Agreement may not be changed or modified
12 nor any provision hereof waived except in
13 writing agreed to by both parties.
14 c. This Agreement shall be construed in accordance
15 with any and all questions with respect hereto
16 by the laws of the State of Washington.
17 d. Notices required pursuant to this Agreement
18 shall be mailed to the parties at the addresses
19 set forth above and shall be deemed given when
20 so mailed.

Dear Radine & Cheryl,
It was a real pleasure for me to participate in your travel planning
meetinq, and help to explore future travel ideas. Out of all the ideas
shared it appears the tour of the National Parks has a high appeal.
I have checked out the package of escorted tours available, and believe
"Collette" has the best one for the price. Dates are a little earlier
than you asked, but still go into early October. For 1992 the last
National Park tour begins September 26th.
Kent Travel is celebrating it's 10th year in business, and we feel we
know the needs of the seniors quite well now. We have worked closely
with both Renton, and Kent on their senior programs, and I will,- in
March, be with a total of 90 seniors on two separate week lonq trips.
We will work very hard to promote and put together the special get
togethers before, and after, that help make for a successful trip.
The bid I'm proposing, I believe meets all your needs, and if you like
I will also help design your flyers. My commitment will be to meet
all deadlines, and work closely in any way you want, and be at the center
weekly for registration as before.

room for every 15 passengers, and ;10 per person to help with extra costs.

Kent Travel can provide you with the certificate of insurance
needed, and would be pleased to sign a contract with the City of
Auburn.
We will require a deposit of $150.00 per person at the time of
booking. Part of that will go to pay insurance, the other to the
tour operator. The balance will be due 60 days prior to departure.
I'm looking forward to working again with Auburn, and hope very
much that KENT TRAVEL will be selected!
