6 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
7 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:
8 SECTION 1. The Mayor and City Clerk of the City of
9 Auburn, Washington, are herewith authorized to execute an
10 Agreement for Professional Services for Contour Mapping
11 program between the City of Auburn and DAVID C. SMITH &
12 ASSOCIATES, INC. A copy of said Agreement is attached hereto
13 and denominated as Exhibit "A".
14 SECTION 2. The Mayor is hereby authorized to implement
15 such administrative procedures as may be necessary to carry
16 out the directives of this legislation.

AGREEMENT FOR PROFESSIONAL SERVICES
FOR CONTOUR MAPPINQ PROGRAM
THIS AGREEMENT made and entered into by and between the CITY
OF AUBIIRN, a municipal corporation of the State of Washington,
hereinafter referred to as "CITY" and with David C. Smith &
Associates, Inc., an Oregon corporation, whose address is 1734
S.E. Tacoma, Portland, OR 97202, hereinafter referred to as
"CONSULTANT".
In consideration of the covenants and conditions of this
Agreement, the parties hereby agree as follows:
1. SCOPE OF WORR.
1.1 Photoqrammetric services. The CONSULTANT shall provide
the CITY with a digital data base in AutoCAD format at one inch =
one hundred feet (1" = 1001) in quarter section format with two
foot (21) contours and such supportive supplemental services as
may be required. These supportive services may include, but are
not limited to: obtaining additional aerial photography;
revision; enlargements, reductions and other reproduction
requirements from the base maps and aerial negatives; ground
control; aerotriangulation; and the development of special maps
and information such as plan-profile sheets and digitized data.

will conform to the specifications contained in Attachment I
attached hereto, or if not specifically addressed therein, to the
usual and customary standards for photogrammetric services as
defined in the "Reference Guide Outline, Specifications for
Aerial Surveys and Mapping by Photogrammetric Methods for
Highways, Revised 1968." All materials used will be subject to
City approval. The area to be covered by this Agreement is shown
on Attachment IV attached hereto.
1.2 Geographic Information System (GIS) HardwareLSoftware
Consultation. The purpose of this project is for the CONSULTANT
to provide the CITY with a recommendation on computer hardware
and software requirements for the GIS. More specifically, the
CONSULTANT shall recommend computer hardware and software
specifications to be utilized in the Public Works Department for
an expanding GIS which is compatible with the Planning
Department's ARC/Info based GIS. To achieve this purpose, the
CONSULTANT will review the existing computer systems in both the
Public Works and Planning Departments and assess the growing GIS
needs of the CITY. Based on this review and a review of current
computer trends and changing technology, the CONSULTANT will
submit recommendations to the CITY in a"GIS Hardware/Software
Needs" report.

2. TERM.
2.1 Photogrammetric Services. The CONSULTANT will provide
to the CITY the first digital quarter section map in an AutoCAD
file and check plot forty-five (45) days after receiving the
necessary control and the notice to proceed. The CITY will
review the file for map format and request modifications if
needed. Items of interest include, but are not limited to,
layering, symbols, street names, and title block. Upon CITY
approval of the first file, the CONSULTANT will provide a
complete AutoCAD file and ink plot on mylar within two weeks.
Upon CITY approval of the overall format, the CONSULTANT will
provide approximately ten (10) quarter section files in AutoCAD
format and check plots per month. Upon CITY approval of each
quarter section, the CONSULTANT shall deliver a digital map and
ink plot on mylar to the CITY within two weeks. Al1 work funded
in 1992 shall be completed and delivered to the CITY by December
15, 1992.
2.2 GIS Hardware1Software Consultation. The CONSULTANT
will submit a preliminary "GIS Hardware/Software Needs" report 45
days after receiving the notice to proceed for CITY review and
comment. The CONSULTANT will deliver the final "GIS
Hardware/Software Needs" report 30 days after receiving the final
comments from the CITY.

3. COMPENSATION.
3.1 Fee Schedule. The CITY agrees to pay the CONSULTANT in
accordance with the fee schedules contained in Attachments II and
III attached hereto until December 31, 1992.
3.2 Costs. The total cost incurred by the CONSULTANT or
the total compensation to be paid to the CONSULTANT shall not
exceed one hundred twenty-thousand dollars ($120,000.00), unless
modified by a"Letter of Instruction" issued by the CITY. The
GIS Hardware/Software Consultation fees shall not exceed three
thousand dollars ($3,000.00). The CONSULTANT agrees to submit
progress reports and invoices for services and costs to date as
specified in the Scope of Work which shall describe the services
rendered and costs incurred. Progress payments will be made on a
monthly basis. The request for progress payments will be
submitted to the City of Auburn, Department of Public Works,
Utilities Engineer, on or before the 25th of each month for
approval. The CITY shall withhold 10 percent of each progress
payment until final approval and acceptance of a completed work
item delivered to the City.
3.3 Fee Review and Revision. The fees contained in
Attachments II and III attached hereto will be reviewed and
revised annually, commencing January 1, 1993, to account for cost
changes in items such as, but not limited to, labor, materials,
technology, employee benefits and general costs of doing
business. The CONSULTANT will be required to justify and

document any cost changes; and should the CITY and CONSULTANT be
unable to reach agreement on any cost modifications to
Attachments II and III, this Agreement may be terminated.
3.4 Intent to Retain CONSULTANT. Upon satisfactory
performance of work completed by the CONSULTANT in 1992 and
approval of additional funding in 1993, the CITY intends to
retain the services of the CONSULTANT to complete the mapping
services for all quarter sections identified in Attachment IV.
The CITY will advise the CONSULTANT in writing on an annual
basis, or as needed, of the amount of funds available for payment
under this Agreement, and the CONSULTANT will not undertake any
work or otherwise financially obligate the CITY in excess of
those funds available for payment under this Agreement.
4. RESPONSIBILITY OF CONSULTANT.
The CONSULTANT shall be responsible for the professional
quality, technical accuracy, timely completion and the
coordination of all studies, analysis, designs, drawings,
specifications, reports and other services performed by the
CONSULTANT under this Agreement. The CONSULTANT shall, without
additional compensation, correct or revise any errors, omissions
or other deficiencies in its plans, designs, drawings,
specifications, reports and other services required. The
CONSULTANT shall perform its services to conform to generally
accepted professional photogrammetric standards and the program
requirements of the CITY.

Any approval by the CITY under this Agreement shall not in
any way relieve the CONSULTANT of responsibility for the
technical accuracy and adequacy of its services. Except as
otherwise provided herein, neither the CITY'S review, approval or
acceptance of, nor payment for, any of the services shall be
construed to operate as a waiver of any rights under this
Agreement or of any cause of action arising out of the
performance of this Agreement to the full extent of the law.
5. INDEMNIFICATIONJAOLD HARMLESB.
The CONSULTANT agrees to defend, indemnify and hold harmless
the CITY, its elected and appointed officials, employees and
agents from any and all claims, demands and/or causes of action
of any kind or character whatsoever arising out of or relating to
the CONSULTANT, its employees, subcontractors or agents for any
and all claims by any persons for alleged personal injury, death
or damage to their persons or property to the extent caused by
the negligent acts, errors or omission of the CONSULTANT, its
employees, agents, subcontractors or representatives and arising
out of its performance of this Agreement. In the event that any
suit or claim for damage is brought against the CITY, the
CONSULTANT shall defend the CITY at its sole cost and expense;
provided that the CITY retains the right to participate in said
suit if any principle of governmental or public laws is involved;
and if final judgment be rendered against the CITY and/or its
officers, agents or employees or any of them, or jointly against

the CITY and the CONSULTANT and their respective officers,
agents, subcontractors, employees or any of them, the CONSULTANT
agrees to fully satisfy the same and the CONSULTANT shall
reimburse the CITY for any cost and expense which the CITY has
incurred as a result of such claim or suit. The provisions of
this section shall survive the expiration or termination of this
Agreement.
6. INDEPENDENT CONTRACTOR/ASSIGNMENT.
The parties agree and understand that the CONSULTANT is an
independent contractor and not the agent or employee of the CITY
and that no liability shall attach to the CITY by reason of
entering into this Agreement except as otherwise provided herein.
The parties agree that this Agreement may not be assigned in
whole or in part without the written consent of the CITY.
7. INSURANCE.
CONSULTANT shall procure and maintain for the duration of
this Agreement, comprehensive general liability insurance against
claims for injuries to persons or damage to property which may
arise from or in conjunction with services provided to the CITY
by the CONSULTANT, its agents, employees or subcontractors, under
this Agreement. The CONSULTANT agrees to provide comprehensive
general liability insurance and shall maintain liability limits
of no less then ONE MILLION DOLLARS ($1,000,000) combined sinqle
limit per occurrence for bodily injury, personal injury and
property damage.

The general liability coverage shall also provide that the
CITY, its officers, employees and agents are to be covered as
additional insureds as respects: Liability arising out of the
services or responsibilities performed by or under obligation of
the CONSULTANT under the terms of this Agreement, by the
CONSULTANT, its employees, agents and subcontractors.
The general liability coverage shall provide that the
CONSULTANT'S insurance coverage shall be primary insurance as
respects the CITY, its officials, employees and agents. Any
insurance or self insurance maintained by the CITY, its
officials, employees or agents shall be excess to the
CONSULTANT'S insurance and shall not contribute with it. Each
insurance policy required by this section of the Agreement shall
be endorsed to state that coverage shall not be suspended,
voided, cancelled, reduced in coverage or in limits except after
thirty (30) days prior written notice by certified mail return
receipt requested has been given to the CITY. The CONSULTANT
agrees to provide copies of the certificates of insurance to the
CITY specifying the coverage required by this section at the time
that this Agreement takes effect. The CITY reserves the right to
require that complete, certified copies of all required insurance
policies be submitted to the CITY at any time.
8. NONDISCRIMINATION.
The CONSULTANT may not discriminate regarding any services
or activities to which this Agreement may apply directly or

through contractual, hiring, or other arrangements on the grounds
of race, color, creed, religion, national origin, sex, age, or
where there is the presence of any sensory, mental or physical
handicap.
9. OWNERSHIP OF RECORDS AND DOCUMENTS.
The CONSULTANT agrees that any and all drawings, computer
discs, documents, records, books, specifications, reports,
estimates, summaries and such other information and materials as
the CONSULTANT may have accumulated , prepared or obtained as
part of providing services under the terms of this Agreement by
the CONSULTANT, shall belong to and shall remain the property of
the CITY OF AUBURN. In addition, the CONSULTANT agrees to
maintain all books and records relating to its operation and
concerning this Agreement for a period of three (3) years
following the date that this Agreement is expired or otherwise
terminated. The CONSULTANT further agrees that the CITY may
inspect any and all documents held by the CONSULTANT and relating
to this Agreement upon good cause at any reasonable time within
the three (3) year period. The CONSULTANT also agrees to provide
to the CITY, at the CITY'S request, the originals of all
drawings, documents, and items specified in this Section and
information compiled in providing services to the CITY under the
terms of this Agreement.

10. TERMINATION OF AGREEMENT.
This Agreement may be terminated by either party upon twenty
(20) days written notice to the other party, and based upon any
cause. In the event of termination due to the fault of other(s)
than the CONSULTANT, the CONSULTANT shall be paid by the CITY for
services performed to the date of termination.
Upon receipt of a termination notice under the above
paragraph, the CONSULTANT shall: (1) promptly discontinue all
services affected (unless the notice directs otherwise); and (2)
deliver to the CITY all data, drawings, specifications, reports,
estimates, summaries, and such other information and materials as
the CONSULTANT may have accumulated, prepared or obtained in
performing this Agreement, whether completed or in process.
11. GENERAL PROVISIONS.
11.1. This Agreement shall be governed by the laws,
regulations and ordinances of the City of Auburn, the State of
Washington, King County, and, where applicable, Federal laws.
11.2. All claims, disputes and other matters in question
arising out of, or relating to, this Agreement or the breach
hereof, except with respect to claims which have been waived,
will be decided by a court of competent jurisdiction in King

County, Washington. Pending final decision of a dispute
hereunder, the CONSULTANT and the CITY shall proceed diligently
with the performance of the services and obligations herein.
11.3. The CITY and the CONSULTANT respectively bind
themselves, their partners, successors, assigns, and legal
representatives to the other party to this Agreement with respect
to all covenants to this Agreement.
11.4. This Agreement represents the entire and integrated
Agreement between the CITY and the CONSULTANT and supersedes all
prior negotiations, representations or agreements either oral or
written. This Agreement may be amended only by written
instrument signed by both the CITY and the CONSULTANT.
11.5. Should it become necessary to enforce any term or
obligation of this Agreement, then all costs of enforcement
including reasonable attorneys fees and expenses and court costs
shall be paid to the substantially prevailing party. 11.6. The CONSULTANT agrees to comply with all local, state
and federal laws applicable to its performance under this
Agreement.

ATTACHMENT I
SPECIFICATIONS FOR DIGITAL MAP BASE
A. AERIAL PHOTOGRAPHY
One inch equals eight hundred and fifty feet (1" = 850') photography
will be used to prepare the data base. The CITY will provide the
aerial negatives.
B. CONTROL
The CONSULTANT will be responsible for providing aerotriangulation of
the new flight area adequate to meet the accuracies required for the
digital map base. The City's surveyor will work with the CONSULTANT
to provide the control required.
C. DATA BASE CONTENT
The completed data base shall contain control monuments, grid system,
planimetric features which are visible or identified from the aerial
photography and two-foot contours. The CITY will specify the
horizontal and vertical datums to be used.
The names of all roads, streets, streams and other features shall be
provided on the mapping based on the standard designations as
determined by the CITY. All important cultural, drainage courses,
impervious surfaces and other features shall be clearly identified
and/or labelled.

The map shall contain all planimetric features visible or identifiable
on, or interpretable from the aerial photography. These shall include
land use features such as buildings, canals, ditches, reservoirs,
borrow pits, cemeteries, orchards, boundaries of logged-off wooded
areas, individual large trees that can be recognized as such, utility
poles, fence lines, field lines, and similar details of land use.
Structures such as bridges, trestles, towers, tunnels, piers,
retaining walls, dams, power plants, substations, transportation
terminals, airfields, storage tanks, trails, roads, railroads, fords,
quarries and the like shall also be shown and identified accordingly.
Roads, streets, driveways and public sidewalks shall be shown as the
distance between hard surfaced edges, travel paths, or in the instance
of graveled or ungraveled roads, the shoulder lines.
The CONSULTANT will show all features that were premarked in the data
base.
Two-foot contours will be shown with supplemental spot elevations at
summits and depressions, and at a density so that no area of the map
is more that 100 feet from a contour or spot elevation. Spot
elevations will also be shown on the highest point of commercial
buildings over 10,000 square feet or occupying more than one-quarter
of a city block.

D. DATA BASE FORMAT
All data will be coded, layered, and furnished in accordance with the
CITY's established AutoCAD format consistent with Washington APWA
symbols and on a media acceptable to the CITY. The CONSULTANT shall
prepare a digital file in AutoCAD format, and deliver it to the CITY
for review, comment and approval, prior to delivering any finished
products. Each data file will cover one of the CITY's standard
quarter section map sheets. The CONSULTANT will provide a paper draft
check plot of each data file, and a final ink on mylar plot. Digital
data files and ink mylar maps shall include standard borders, title
blocks, quarter section index, sheet reference number, legends, and
other features as approved by the City of Auburn on a sheet size which
accommodates said features. Roads, curbs, trails, railroads,
driveways, paint lines, sidewalks, water and ditches, contours,
buildings (not detailed), concrete pads, bridges and retaining walls
shall be in 3-D.
E. ACCURACY OF THE DATA BASE
The data base will be prepared to the ASPRS interim accuracy standards
for large scale maps, 1988, for a final map scale of one inch (111)
equals 100 feet (1" = 1001), and two foot (21) contour intervals.
Horizontal accuracy shall be one and one-half feet (1.51). Contour
accuracy shall be one foot (1.01) and spot elevation accuracy shall be
one-half foot (0.51).

F. SERVZCES TO BE PROVIDED BY THE CITY
1. Review of check plots to verify street and place names.
2. Review, comment, and approve a master AutoCAD layering scheme
provided by the CONSULTANT.
3. Provide X, Y, Z coordinates of the control points and map sheet
