7 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
g REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:
9 SECTION 1. The Mayor and City Clerk of the City of
10 Auburn, Washington, are herewith authorized to execute an
11 Agreement for Professional Services between the City of Auburn
12 and SVERDRUP CORPORATION for preliminary engineering for the
13 Auburn Way South from 4th Street S.E. to SR 18 project for
14 street improvement and railroad bridge replacement for Street
15 Improvement 299. A copy of said Agreement is attached hereto
16 and denominated as Exhibit "A".
17 SECTION 2. The Mayor is hereby authorized to implement
18 such administrative procedures as may be necessary to carry
19 out the directives of this legislation.

THIS AGREIIriENT made and entered into by and between the
CITY OF AIIBIIRN, a municipal corporation of the State of
Washington, hereinafter referred to as "CITY" and with,
Sverdrup Corporation, whose address is 3300 Carillon Point,
P.O. Box 67062, Kirkland, Washington 98083-9762, hereinafter
referred to as "CONBIILTANT".
In consideration af the covenants and conditions of this
Agreement, the parties hereby agree as follows:
1. SCOPE OF 11m.
A. The COIJSULTANT shall accomplish the engineering
services necessary for completion of the
Project in three phases: 1) Conceptual Design
Phase; 2) Final Design Phase; and 3)
Construction Assistance Phase. A detailed
Scope of Work for the Conceptual Design Phase
is presented in Exhibit "A" attached hereto
and by this reference made a part of this
Agreement. A preliminary Scope of Work for the
Final Design and Construction Assistance Phases
is also presented in Exhibit "A". Specific

Construction Assistance Phases will be
developed and negotiated during the Refining
Scope of Work, Task 12, and will be covered by

(10) Al1 additional roadway and SR-18 ramps
traffic counts as required.
(11) The TIB Value Engineerinq Study, all VE
Study Team members and VE Study Report
word processing and reproduction.

(12) Appropriate City personnel to attend
scheduled meetings and site visits, and
provide applicable input.
C. Since CONSULTANT has no control over the cost
. of labor, materials, equipment or services
furnished by others, or over the Contractor(s)'
methods of determining prices or over
competitive bidding or market conditions,
CONSULTANT's opinions of probable Total Project
Costs and Construction Cost provided for herein
are to be made on the basis of CONSULTANT's
experience and qualifications and represent
CONSULTANT's best judgment as an experienced
and qualified professional, familiar with the
construction industry; but CONSULTANT cannot
and does not guarantee that proposals, bids or
actual Total Project or Construction Costs will
not vary from opinions of probable cost
prepared by CONSULTANT.

2. TERM.
A. Upon receipt from the CITY of written Notice to
Proceed, the CONSULTANT shall complete all work
required by this Agreement for the Conceptual
Design Phase within 7 months. The anticipated
schedule is presented in Exhibit "C". Term for
the Final Design Phase will be established
during the Refining Scope of Work, Task 12.
Services for the Construction Assistance Phase
will be completed as required by the
construction of the project.
B. The CITY may extend the period of the time set
forth above for completion of the items of work
upon written request from the CONSULTANT for
such an extension due to delays which are
beyond their control.
3. COMPINBATION.
The CONSULTANT shall be paid by the CITY for
completed work for services rendered under this
Agreement as provided hereinafter. Such payment
shall be full compensation for work performed or

services rendered and for all labor, materials,
supplies, equipment, and incidentals necessary to
complete the work.
A. Cost Plus Net Fee
= Payment for work accomplished shall be on the
basis of CONSULTANT's actual cost plus a net
fee. The actual cost includes base salary
cost, salary related expenses and overhead, and
direct non-salary cost.
(1) The base salary cost is the salary expense
for professional and technical personnel
and principals for the time they are
productively engaged in work necessary to
fulfill the terms of this Agreement. The
base salary costs for the Conceptual
Design Phase are estimated to be
approximately thirty-tive thousand one
hundred forty-tNO dollars ($35,142) as set
fo=th in the attached Exhibit "B" and by
this reference made a part of this
Agreement.

(2) The salary related expenses (SRE) and
overhead costs as identified on Exhibit
"B" are determined as 161.53 (office) and
116.0 (field) percent of the base salary
- cost. The SRE and overhead costs for the
Conceptual Desiqn Phase are estimated to
be approximately lifty-sia thouaand seven
hundred siutp-live dollars ($56,765) as
set forth in the attached Exhibit "B" and
by this reference made a part of this
Aqreement. The SRE and overhead cost rate
is an estimate based on currently
available accounting information and shall
be used for all proqress payments over the
period of the contract. The final SRE and
overhead cost rate is subject to
adjustment based on an audit performed by
the CITY or State at the completion of the
project.
(3) The direct non-salary costs are those
costs directly incurred in fulfilling the
terms of this Agreement, including, but

_ not limited to travel, reproduction,
telephone, supplies, and fees of outside
consultants. The direct non-salary costs
for the Conceptual Design Phase are
- estimated to be approximately forty-six
thousand two hundred fifty-seven dollars
($46,257) as set forth in the attached
Exhibit "B" and by this reference made a
part of this Agreement.
Billings for any direct non-salary
costs shall be supported by copies of
original bills or invoices.
(4) The net fee for the Conceptual Design
Phase, which represents the Consultant's
profit, shall be thirteen thousand seven
hundred aiqhty-siu dollars ($13,786).
This fee is based on the Scope of Work for
the Conceptual Design Phase defined in
this Agreement and the estimated labor
hours required to perform the stated Scope
of Work. In the event a supplemental
agreement is entered into for additional

work by the CONSULTANT, the supplemental
agreement may include provisions for the
added costs and an appropriate additional
fee. The net fee will be prorated and
paid monthly in proportion to the
percentage of the project completed as
estimated in the CONSULTANT's monthly
progress reports and approved by the CITY.
Any portion of the net fee not previously
paid in the monthly payments shall be
included in the final payment.
(5) The maximum amount payable for completion
of all work under this Agreement for the
Conceptual Design Phase including
salaries, salary related expenses and
overhead, final SRE and overhead
adjustments, direct non-salary costs,
profit, and contingency is one hundred
fitty-one tbousand nine bundred fifty
dollars ($151,950), unless a supplemental
agreement has been negotiated and executed
by the CITY prior to incurring any costs

in excess of the maximum amount payable.
This does not include payment for extra
work as stipulated below.
Progress payments may be claimed
monthly for direct costs actually incurred
to date as supported by detailed
statements, for overhead costs and for a
proportionate amount of the net fee
payable to the Consultant based on the
estimated Percenta9e of the comPletion of
the services to date. The detailed
statement will indicate by name all
employees that worked on the Project
during the billing period. The
classification of each employee, the hours
worked, the hourly wage rate, and the
total wages paid will also be shown on the
invoice. Direct non-salary costs, such as
travel, reproduction, telephone, supplies,
and computer costs, shall be supported by
an original or copy of the invoice or
billing instrument the CONSULTANT received
for payment.

r (6) Payment for work accomplished for the
Final Design and Construction Assistance
Phases will be made on the Cost Plus Net
Fee basis defined herein. Estimated base
- salary costs, SRE and overhead costs,
direct non-salary costs, net fee and maximum amount payable for the Final
Design and Construction Assistance Phases
will be negotiated after completion of the
Refining Scope of Work, Task 12, and will
be covered by a supplemental agreement.
B. For All Methods of Payment
. The CONSULTANT and its subconsultants shall
keep available for inspection, by
representatives of the aqency, State, and
United States, for a period of three years
after final payment, the cost records and
accounts pertaining to this Agreement and all
items related to, or bearing upon, these
records with the following exception: If any
litigation, claim or audit is started before
the expiration of the three-year retention

period, the records shall be retained until all
litigation, claims or audit findings involving
the records have been resolved. The three-year
retention period starts when the Consultant
- receives final payment.
A short narrative progress report shall
accompany each voucher for progress payment.
The report shall include discussion of any
problems and potential causes for delay.
C. Extra Work
The CITY may desire to have the CONSULTANT
perfona work or render services in connection
with this project in addition to or other than
work provided for by the expressed intent of
the Scope of Work of this Agreement. Such work
will be considered as Extra Work and will be
specified in a written supplement to this
Agreement which will set forth the nature and
scope thereof. Work under a supplemental
Agreement shall not proeeed until authorized in
writing by the Agency.

Payment for extra work performed under
this Agreement shall be paid as agreed to by the parties hereto in writing at the time extra
work is authorized.
4~; REBPONBIBILITY OF CONBIILTANT.
The CONSULTANT shall be responsible for the professional
quality, technical accuracy, timely completion and the
coordination of all studies, analysis, designs, drawings,
specifications, reports and other services performed by the
CONSULTANT under this Agreement. The CONSULTANT shall,
without additional compensation, correct or revise any errors,
omissions or other deficiencies in its plans, desiqns,
drawings, specifications, reports and other services required.
The CONSULTANT shall perform its services to conform to
generally accepted professional engineering standards and the
program requirements of the CITY.
Any approval by the CITY under this Agreement shall not
in any way relieve the CONSULTANT of responsibility for the
technical accuracy and adequacy of its services. Except as
otherwise provided herein, neither the CITY'S review, approval
or acceptance of, nor payment for, any of the services shall

t i y be construed to operate as a waiver of any rights under this
Agreement or of any cause of action arising out of the
performance of this Agreement to the full extent of the law.
5. INDBbIIJIFICATION/HOLD HARMLE88.
The CONSULTANT agrees to defend, indemnify and hold
harmless the CITY, its elected and appointed officials,
employees and agents from any and all claims, demands and/or
causes of action of any kind or character whatsoever arising
out of or relating to the CONSULTANT, its employees,
subcontractors or agents for any and all claims by any persons
for alleged personal injury, death or damage to their persons
or property to the extent caused by the negligent acts, errors
or omission of the CONSULTANT, its employees, agents,
subcontractors or representatives and arising out of its
performance of this Agreement. In the event that any suit or
claim for damage is brought against the CITY, the CONSULTANT
shall defend the CITY at its sole cost and expense; provided
that the CITY retains the right to participate in said suit if
any principle of governmental or public laws is involved; and
if final judgment be rendered against the CITY and/or its
officers, agents or employees or any of theni, or jointly
against the CITY and the CONSULTANT and their respective

officers, agents, subcontractors, employees or any of them,
the CONSULTANT agrees to fully satisfy the same and the
CONSULTANT shall reimburse the CITY for any cost and expense
which the CITY has incurred as a result of such claim or suit.
The provisions of this section shall survive the expiration or
termination of this Agreement.
6. INDEPENDENT CONTRACTOR/ASSIQNMENT.
The parties agree and understand that the CONSULTANT is
an independent contractor and not the agent or employee of the
CITY and that no liability shall attach to the CITY by reason
of entering into this Agreement except as otherwise provided
herein. The parties agree that this Agreement may not be
assigned in whole or in part without the written consent of
the CITY.
7. INSIIRANCE.
CONSULTANT shall procure and maintain for the duration of
this Agreement, comprehensive general liability insurance
against claims for injuries to persons or damage to property
which may arise from or in conjunction with services provided
to the CITY by the CONSULTANT, its agents, employees or
subcontractors, under this Agreement. The CONSULTANT agrees
to provide comprehensive general liability insurance and shall

maintain liability limits of no less then ONE MILLION DOLLARS
($1,000,000) combined single limit per occurrence for bodily
injury, personal injury and property damage. The CONSULTANT
shall also provide and maintain professional liability
coverasje including errors and omissions coveraqe in the
minimum liability limits of ONE MILLION DOLLARS ($1,000,000)
combined single limit per occurrence for bodily injury,
personal injury and property damage.
The general liability coverage shall also provide that
the CITY, its officers, employees and agents are to be covered
as additional insureds as respects: Liability arising out of
the services or responsibilities performed by or under
obligation of the CONSULTANT under the terms of this
Agreement, by the CONSULTANT, its employees, agents and
subcontractors.
Both the general liability and professional liability
coverages shall provide that the CONSULTANT'S insurance
coverage shall be primary insurance as respects the CITY, its
officials, employees and agents. Any insurance or self
insurance maintained by the CITY, its officials, employees or
agents shall be excess to the CONSULTANT'S insurance and shall
not contribute with it. Each insurance policy required by

this section of the Agreement shall be endorsed to state that
coverage shall not be suspended, voided, cancelled, reduced in
coverage or in limits except after thirty (30) days prior
written notice by certified mail return receipt requested has
been given to the CITY. The CONSULTANT agrees to proyide
copies of the certificates of insurance to the CITY specifying
the coverage required by this section at the time that this
Agreement takes effect. The CITY reserves the right to
require that complete, certified copies of all required
insurance policies be submitted to the CITY at any time. '
8. NONDISCRIMINATION.
The CONSULTANT may not discriminate regarding any '
services or activities to which this Agreement may apply
directly or through contractual, hiring, or other arrangements
on the qrounds of race, color, creed, religion, national
origin, sex, age, or where there is the presence of any
sensory, mental or physical handicap.
9. OWNERSHIP OF RECORDS AND DOCIIMENTB.
The CONSULTANT agrees that any and all drawings, computer
discs, documents, records, books, specifications, reports,
estimates, summaries and such other information and materials
as the CONSULTANT may have accumulated , preparedor obtained

t . r as part of providing services under the terms of this
Agreement by the CONSULTANT, shall belong to and shall remain
the property of the CITY OF AUBURN; however, such materials
are not intended or represented to be suitable for reuse by
CITY oV others on eutensions of the Project or on any other
projeat. Anp reuse without written verification or adaptation
by CONSULTANT tor the apecific purpose intended pill be at
CITY'B sole risk and vithout liability or legal euposure to
CONSULTANT and C=TY shall indemnify and hold harmlees
CONSULTANT from all claims, damaqes, losses and agpenses
includinq attorneys' lees arisinq out of or resultinq
therefrom. Any such verification or adaptation Nill entitle
CONSULTANT to further compensation at ratea to be aqreed upon
by CiTY and CONSIILTANT.
The CONSULTANT agrees to maintain all books and records
relating to its operation and concerning this Agreement for a
period of three (3) years following the date that this
Agreement is expired or otherwise terminated. The CONSULTANT
further agrees that the CITY may inspect any and all documents
held by the CONSULTANT and relating to this Ag=eement upon
good cause at any reasonable time within the three (3) year
period. The CONSULTANT also agrees to provide to the CITY, at

the CITY'S request, the originals of all drawings, documents,
and items specified in this Section and information compiled
in providing services to the CITY under the terms of this
Agreement.
1b. TERMINATION OF AQREEMENT.
This Agreement may be terminated by either party upon
twenty (20) days written notice to the other party, and based
upon any cause. In the event of termination due to the fault
of other(s) than the CONSULTANT, the CONSULTANT shall be paid
by the CITY for services performed to the date of termination.
Upon receipt of a termination notice under the above
paragraph, the CONSULTANT shall (1) promptly discontinue all
services affected (unless the notice directs otherwise), and
(2) deliver to the CITY all data, drawings, specifications,
reports, estimates, summaries, and such other information and
materials as the CONSULTANT may have accumulated, prepared or
obtained in performing this Agreement, whether completed or in
process.
11. aENERAL PROVISIONB.
11.1. This Agreement shall be governed by the laws,
regulations and ordinances of the City of Auburn, the State of
Washington, King County, and where applicable, Federal laws.

11.2. All claims, disputes and other matters in
question arising out of, or relating to, this Agreement or the
breach hereof, except with respect to claims which have been
waived, will be decided by a court of competent jurisdiction
in King County, Washington. Pending final decision of a
dispute hereunder, the CONSULTANT and the CITY shall proceed
diligently with the performance of the services and
obligations herein.
11.3. The CITY and the CONSULTANT respectively bind
themselves, their partners, successors, assigns, and legal
representatives to the other party to this Agreement with
respect to all covenants to this Agreement.
11.4. This Agreement represents the entire and
integrated Agreement between the CITY and the CONSULTANT and
supersedes all prior negotiations, representations or
agreements either oral or written. This Agreement may be
amended only by written instrument signed by both the CITY and
the CONSULTANT.
11.5. Should it become necessary to enforce any term or
obligation of this Agreement, then all costs of enforcement
including reasonable attorneys fees and expenses and court
costs shall be paid to the substantially prevailing party.

11.6. The CONSULTANT agrees to comply with all local,
state and federal laws applicable to its performance under
this Agreement.

Softdesk program and a 3-D file wAI be created. R/W boundartes will be provided by the Ciry
and plotted in the file in line fomiat.

2. Field Explorations
- DrUl 1wo borings at opposite comers of the irttersection between Aubum Way South and
the BNRR bridge. The depths of the borings are estimated to be 80 feet each for a total
footage of 160 feet.
- Driii five borings at about 350- to 400 foot irrtervais throughout the project. The average
depth of borings wouid be about 15 feet for a total footage of 75 feet.
- Obtain two surface soii samples ftom the railroad embankmerrt, 2-foot maximum depth, for
deteRnination of the presence of hazardous materiais to facilitate the SEPA Checklist
preparation.
3. Laboratory Testing
Laboratory tests will be pertormed, as appropriate, for dassffication and correlation purposes
and to detertnine index and engineering properties of the site soils.

Ciry for their review and to allow the Cfry to stay abreast of job progress. The 90-percent submittal
will indude aii design caiculations, drawings, specffications, material quantity calculations and the
project cost estimate in nearly final form.
Following Ciry approval of the 90-percent submittal, Sverdrup wal incorporate all pertinerrt revisions
required and prepare complete documerrt packages for submittal to BNRR and WSDOT for review
and approval.
Upon all final approvals, a complete 100-percent PS&E package will be submitted to the Ciry. This
package will indude:

Sverdrup will prepare morrthly progress reports for the City of Aubum in the format required by the
City. In general these reports will include a brief narrative on:
- What worlc was accomplished during the morrth
- What is arrticipated forthe next period
- Budget expended (a cost expenditure summary will be attached)
- Schedule progress (the preserrt project schedule wpl be attached).
Sverdrup will direct the work aF two subconsuttants:
- Shannon & Wilson (Geotechnical Engineering)
- Jongejan-Gerrard-McNeal (Landscape ArchRecture).
PHASE 3- PROPOSED CONSTRUCTION ASSISTANCE
Key Consultant Constructlon Assistance Phase work to be performed are summarized (as follows)
under the three tasks - Field Requiremerrts, Adminlstrative Requiremerrts, and Project Closeout.
The Ciry of Aubum will arrange for and cover the cost of all testfng and surveying, and wnl provide
one person to assist in the fleld on an occasional basfs.
