A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY
OF AUBURN TO EXECUTE AMENDMENT NO. 1 TO AGREEMENT FOR
4 PROFESSIONAL SERVICES BETWEEN THE CITY AND W&H PACIFIC, INC.
RELATING TO AUBURN WAY NORTH, 4TH STREET N.E. TO 15TH STREET
5 N.E. ROADWAY IMPROVEMENTS.

7 THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
8 REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES AS FOLLOWS:
9 Section 1. The Mayor and City Clerk of the City of
10 Auburn, Washington, are hereby authorized to execute Amendment
11 No. 1 to Agreement for Professional Services between the City
12 and W&H PACIFIC, INC. relating to Auburn Way North, 4th Street
13 N.E. to 15th Street N.E. roadway improvements. The original
14 Agreement was authorized by Resolution No. 2066 dated April
15 20, 1990. A copy of the Amendment is attached hereto,
16 designated as Exhibit "A" and incorporated by reference in
this Resolution.

18 Section 2. The Mayor is hereby authorized to implement
19 such administrative procedures as may be necessary to carry
20 out the directives of this legislation.

AMENDMENT NO. 1
AGREEMENT FOR PROFESSIONAL SERVICES
AUBURN WAY NORTH: 4TH STREET NE TO 15TH STREET NE
ROADWAY IMPROVEMENTS
,
An Agreement was made and entered into on the 1 th day oWil, 1990,'between the CTTY
OF AUBURN, WASHINGTON, hereinafter called the "CTTY," and W&H PACIFIC, INC.,
hereinafter called the "CONSULTANT" to provide designs and prepare construction plans and
specifications for the Auburn Way North Roadway Improvements from 4th Street NE W 15th Street
. NE, hereinafter called the "PROJECT."
: The CONSULTANT has been requested to perform work beyond the original project scope
. and modify their work as a result of the project's deveiopment and the CITY deems it advisable to
amend the basic agreement.
: In consideration of the mutual covenants contained herein the CITY and the CONSULTANT
agree to amend the Agreement as follows:
1. SCOPE OF WORK: The CONSULTANT shall provide preliminary engineering, fmal
design, and prepazation of right-of-way plans, legal descriptions, construction drawings, special
provisions, and construction cost information to relocate the roadway alignment and extend water
and sewer utilities as part of the PROJECT. The new roadway alignment would generally be shifted
to the east and would require replacement of curbs and sidewalks on both sides of the roadway along
with associated right-of-way takes and easements. The sanitary sewer will be extended from 12th
Street NE to 9th Street NE with an 8-inch line and the water main will be extended from 4th Street
NE to 9th Street NE with a 12-inch line.
2. TERM:
The CONSULTANT shall not begin work under the terms of this Amendment until
- authorized in writing by the CTTY. The time required for completion of all work under the
Agreement shall be 1,080 calendar days from April 18, 1990.
3. PAYMENT:
1. The direct salary costs for work under this Amendment aze estimated to be Twenty-
three Thousand Three Hundred Sixty Dollars ($23,360.00), as set forth in Elchibit "A."
2. The overhead costs for work under this Amendment at 147.23 9b of ihe direct salary
costs, are estimated to be Thirty-four Thousand Three Hundred Ninety-two Dollars and Ninety-three
Cents ($34,392.93),as set forth in Exhibit "A."
3. The direct nonsalary costs for work under this Amendment are estimated to be Five
Hundred Dollars ($500.00), as set forth in Exhibit "A."

4. The net fee which represents the CONSULTANT'S profii for work under tfiis
Amendment shall be Eight Thousand Siz Hundred Sixty-two Dollars and Ninety-four Cents
($8,662.94), as set forth in Exhibit "A."
5. The maximum amount payable for completion of all work under this Amendment is
Sixty-six Thousand Nine Hundred Fifteen Dollars and Eight-seven Cents ($66,915.87). The
mazimum amount payable for completion of all work under the Agreement including salaries,
overhead, final overhead adjustments, direct non-salary costs, and profit is 'I~vo Hundred Eighty-one
Thousand Eight Hundred Forty-four pollars and T~venty-two Cents ($281,844.22).
13. INTEGRATION: This Amendment, together with the Agreement, attachments or addenda,
represents the entire and integratsd Agreement between the parties hereto and supersedes all prior
negotiations, representations, or agreements, either written or oral. The Agreement may be
amended, modified, or added to only by written instrument properly signed by both pazties hereto. All remaining sections of the Agreement shall remain in force as written and are not changed
by this Amendment.
