A RESOLUTION OF THE CITY OF AUBURN, WASHINGTON, AUTHORIZING AND DIRECTING THE
MAYOR AND CITY CLERK, TO SIGN, ON BEHALF`OF THE CITY, A CONTRACT
BETWEEN PUGET SOUND POWER AND LIGHT COMPANY AND THE CITY OF AUBURN
FOR THE PROPOSED UNDERGROUND CONVERSION OF POWER'LINES ON ELLINGSON
ROAD (ST. IMP. 135_PH III).
THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, DO HEREBY RESOLVE AS
FOLLOWS:
THAT the Mayor and City Clerk of the City of Auburn, Washington, be
and they are hereby authorized and directed to sign, on behalf of the City, a
Contract between Puget Sound Power and Light Company and the City of Auburn,
for the proposed underground conversion of power lines on Ellingson Road from
"A" Street Southeast to the Burlington Northern Railroad Bridge, a copy of said
contract is attached hereto, designated as Exhibit "A",.and made a part hereof
as though set forth herein in full.

AGREEMENT
TN I S AGREEMENT, made th i s~'cr ~ / day of ~/'%~~j 1973, by and
between the CITY OF AUBURN, !dashinyton, a Municipal Co poration, ("City" herein)
and rUGET SOUfiD PO!dER ~ LIGIiT COMPANY, a ~Jashington Corporation, ("Puget" herein).
RECITALS
A. Puget is a public service company engaged in the sale and distribution
of electric energy and, pursuant~to its franchise from the City, presently dis-
tributes electricity within the City.
B. Ellingson Road Conversion from "A" Street S. E. to the Burlington
Plorthern P,ailroad Bridge, is part of a street improvement program being undertaken
by the City. Said area is referred to he rein as the "Conversion Area" and is more
specifically identified on the map attached hereto as Exhibit A, which is hereby
made a part hereof.
C. The Conversion Area is to be improved by the City in the calendar years
1973 and 1974 and such improvements are to include reballastiny and resurfacing
of the existing roadway, the addition of one full lane or more for vehicular
traffic, and will be designated an arterial street. The street improvement
project lvlll include the installation by the City of a City owned underground
street lighting circuit.
D. The City has expressed a desire to participate with Puget to cause the
existing overhead po~.~rer distribution system within the Conversion Area to be
removed and a comparable underground power distribution system installed. Said
underground system shall not include street lighting or street lighting circuitry.
AGREEMENTS
1. Puget shall furnish and install within the Conversion Area, in accor-
dance with its standard specifications, an underground electric distribution
system, exclusive of underground service lines extending from service connections
of structures to the property lines of owners of real property adjacent to the
public street in which said underground distribution system is located. Said
underground distribution system is herein referred to as the "Main Distribution
System".
?_. Puget shall remove the existing overhead electric distribution system
being used to serve the area, including poles and wires, after all property
oti~dners to be served by the Main Distribution System have connected their service
to the Main Distribution System and after the removal of the facilities of any
other utilities which may be connected to the poles of said overhead system or
as otherwise directed by the City. City acknowledges the necessity of having
the existing overhead system remain in its present location until removal of the
same can be accomplished pursuant to the foregoing provisions.
3. City shall provide the following, at its cost and expense, throughout
the Conversion Area:
(a) Break-up of street paving and side~,Nalks;
(b} Aii required excavation, including,-but not limited
to, boring, trenching and excavation for transformer
vaults; and
(c) Backfill and restoration of streets and sidewalks
following the installation of the Main Distribution
System.
The City shall allots other utilities to use said trench for the installation of
their facilities on the condition that any such other facilities do not inter-
fere with Pug~t's Main Distribution System.
4. In consideration of Puget's performance of the duties set forth in
Paragraphs 1 and 2 of this Agreement, City shall, within thirty (30) days
after completion of said performance, pay Pr.rget. an amount calculated at

the rate of Four Dollars and Fifty Cents ($4.50) per foot in accordance with
Electric Tariffs (conversion to underground service) on file with the Washington
Utilities and Transportation Commission. From the foregoing, the amount pay-
able by City shall be:
(a) Ellingson Road centerline footage
from "A" Street S. E. to the
Burlington Northern Railroad 273 feet
(b) Amount payable
273 feet X $4.50 p:=r foot - $1,228.50
5. The Main Distribution System shall at all times be owned and maintained
by Puget.
6. City recognizes that Puget requires the owners of real property to be
served by the Main bistribution System to provide, at their expense, space for
all underground electrical facilities which must be located on privately owned
property and that said o~,Nners shall grant such operating rights as may be
necessary therefor. The City recognizes that the procurement of such oper-
ating rights is a prerequisite to release this conversion project for con-
struction. Puget shall use its best efforts to obtain the same.
7. City shall be responsible for coordinating the installation of all
aspects of the street improvement project and shall give Puget reasonable prior
notice as to when the Main Distribution System may be installed with a minimum
of interference from the installation of other improvements. Puget shall not
be required to install the Main Distribution System until the area in which
said system is to be installed has been established to grade.
8. Puget's performance hereunder shall be commenced within a reasonable
time following written notice from City requesting such performance and

stating that City has performed all necessary preliminary work as required
herein. Puget shall use reasonable diligence in meeting its obligations
hereunder but shall not be liable for any delays resulting from circumstances
beyond its control.
