HomeMy WebLinkAbout2205a 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 RESOLUTION NO. 2 2 0 5 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN, WASHINGTON, AMENDING THAT CERTAIN FIXED-BASED LEASE AT AUBURN MUNICIPAL AIRPORT TO INCLUDE THE AUBURN FLIGHT CENTER BUILDING. WHEREAS, on March 22, 1972, the City of Auburn (hereinafter referred to as "CITY") entered into a twenty (20) year lease with SEATTLE FLIGHT SERVICE, INC.(hereinafter referred to as "SEATTLE FLIGHT") wherein the CITY agreed to lease certain real property and facilities to SEATTLE FLIGHT at the Auburn Municipal Airport; and WHEREAS, pursuant to Resolution No. 1305 approved by the City Council on March 15, 1982, SEATTLE FLIGHT assigned its rights and obligations under said lease to the AUBURN FLIGHT SERVICE, INC (hereinafter referred to as "AUBURN FLIGHT"); and WHEREAS, pursuant to Resolution No. 2135 approved by the City Council on November 5, 1990, the CITY agreed to enter into a one (1) year lease with CAR TEMPS, NATIONAL CAR RENTAL SYSTEM, INC. (hereinafter referred to as "CAR TEMPS") wherein the CITY agreed to lease certain real property and facilities to CAR TEMPS at the Auburn Municipal Airport; and WHEREAS, CAR TEMPS has vacated the leased premises and has requested through its parent company, NATIONAL CAR RENTAL SYSTEM, INC., that the CITY provide consent for the assignment or sublease of the leased premises to another party; and ------------------------ Resolution No. 2205 Jae 10, 1991 Page 1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 WHEREAS, the CITY has been contacted by AUBURN FLIGHT which would like to lease the premises currently leased to CAR TEMPS; and WHEREAS, the CITY and CAR TEMPS have agreed to terminate their lease agreement to enable the CITY to lease the premises directly to AUBURN FLIGHT. NOW THEREFORE, in consideration of the mutual covenants and agreements herein contained, the CITY and AUBURN FLIGHT agree as follows: Section 1. The FIXED-BASE LEASE AT AUBURN AIRPORT entered into on March 22, 1972, by the CITY and SEATTLE FLIGHT as subsequently amended on March 15, 1982, to assign such lease to AUBURN FLIGHT, is hereby amended to include the premises previously leased to CAR TEMPS which are legally described in Exhibit "A" attached hereto and incorporated herein. Section 2. The term of this lease agreement shall commence on July 1, 1991, and shall end on March 22, 1992, to coincide with the term of the FIXED-BASE LEASE. ------------------------ Resolution No. 2205 June 10, 1991 Page 2 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 Section 3. The monthly rental for said premises shall be THREE HUNDRED NINETY-THREE DOLLARS AND THIRTY-EIGHT CENTS ($393.38) plus current leasehold taxes due in lawful money of the United States in advance of the tenth (10th) of each calender month of the lease term to coincide with the FIXED- BASE LEASE. Section 4. All the provisions contained in the FIXED- BASE LEASE are still in force and effect and are hereby applied to the premises leased herein. Section 5. The Mayor is hereby authorized to implement such administrative procedures as may be necessary to carry out the directives of this legislation. DATED and SIGNED this 17th day of June, 1991.
