A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, AMENDING THAT CERTAIN FIXED-BASED LEASE AT AUBURN
MUNICIPAL AIRPORT FOR AUBURN FLIGHT SERVICE, INC. TO EXTEND
SUCH LEASE FOR TWENTY YEARS.
WHEREAS, on March 22, 1972, the City of Auburn
(hereinafter referred to as "CITY") entered into a twenty year
(20) fixed-base lease with SEATTLE FLIGHT SERVICE, INC.
(hereinafter referred to as "SEATTLE FLIGHT") wherein the
CITY agreed to lease certain real property and facilities to
SEATTLE FLIGHT at the Auburn Municipal Airport; and
WHEREAS, this fixed-base lease will expire on March 21,
1992; however, the lease provides for a twenty (20) year
option to renew upon negotiation of a new rental rate; and
WHEREAS, pursuant to Resolution No. 1305 approved by the
City Council on March 15, 1982, SEATTLE FLIGHT assigned its
rights and obligations under said lease to the AUBURN FLIGHT
SERVICE, INC (hereinafter referred to as "AUBURN FLIGHT"); and
WHEREAS, pursuant to Resolution No. 2205 approved by the
City Council on June 10, 1991, the CITY amended Resolution
1305 to include the premises previously leased to CAR TEMPS;
and
WHEREAS, the CITY and AUBURN FLIGHT have successfully
negotiated a new rental rate agreement and both parties have

agreed to continue all conditions of the original fixed-base
lease except for the conditions expressly stated below.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF AUBURN,
WASHINGTON, HEREBY RESOLVES AS FOLLOWS:
Beetion 1. The fixed-base lease approved by the CITY
pursuant to Resolution No. 1305 and Resolution No. 2220
wherein the CITY leases certain space in the Auburn Flight
Building at the Auburn Municipal Airport to AUBURN FLIGHT is
hereby amended to include the following conditions:
1. TERM. Twenty (20) year term beginning on April 1,
1992 and expiring on March 31, 2012.
2. NEW RENTAL RATE. The new annual rental rate shall
be computed based on nine dollars ($9.00) per square foot for
a building area of 2,784 square feet. Therefore the annual
rent shall be Twenty-Five Thousand and Fifty-six Dollars
($25,056), plus current Washington State Leasehold Tax. The
rent shall be paid in twelve equal monthly payments of Two
Thousand and Eighty-eight dollars ($2,088), plus current
applicable Washington State Leasehold Tax.
3. ESCALATION CLAUSE. The rental rate shall be
adjusted at the end of each five (5) year period during the
twenty (20) year lease period based upon a market study to be
conducted by a qualified MAI appraiser, with the cost of the
study to be shared equally between the CITY as Lessor and

AUBURN FLIGHT as Lessee. Additionally, at the two and one
half year point of each five year period, the rental rate
shall be adjusted based upon the movement of the percentage of
increase/decrease in the Consumer Price Index for the
Seattle/Tacoma area.
4. TIEDOWN SPACES. In addition to the rental rate
stated above, the Lessee AUBURN FLIGHT shall pay the going
rate in effect at the Airport for the six tiedown spaces
previously incorporated into the lease.
Seotlon 2. All other conditions of the original fixed-
base lease agreement as previously amended between the CITY as
Lessor and AUBURN FLIGHT as Lessee shall remain in full force
and effect.
