A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A
PROFESSIONAL SERVICES AGREEMENT WITH NANCY MEE AND DENNIS
EVANS TO CREATE ARTWORK FOR THE AUBURN LIBRARY.

THE COUNCIL OF THE CITY OF AUBURN, WASHINGTON, IN A
REGULAR MEETING DULY ASSEMBLED, HEREWITH RESOLVES THAT:

SECTION 1. The Mayor and City Clerk of the City of
8
Auburn are herewith authorized to execute a Professional
9
Services Agreement with NANCY MEE and DENNIS EV~aS to create
10
artwork for the Auburn Library. A copy of said Agreement is
11
attached hereto, denominated as Exhibit "A" and made a part
hereof as though set forth in full herein.

SECTION 2. The Mayor is hereby authorized to implement
14
15 such administrative procedures as may be necessary to carry
16 out the directives of this legislation.

AGREEMENT FOR ARTWORK
This Agreement is made and entered into this/~'day of June, 1998 by and
between the CITY OF AUBURN, WASHINGTON, a municipal corporation of the State
of Washington, hereinafter referred to as "CITY" and NANCY MEE and DENNIS
EVANS, 6202 37th Northeast, Seattle, Washington 98115, whose telephone is 206.525-1922,
hereinafter referred to as ARTISTS.
WHEREAS, the CITY desires to contract with ARTISTS to design artwork for the King
County Library System's Auburn location, herein referred to as the PROJECT; and
WHEREAS, the ARTISTS, were selected by the CITY through a procedure', approved by
the Auburn Arts Commission; and
WHEREAS, the ARTISTS agreed to perform the work in a professional manner;
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
ARTISTS' ideas and statements, as represented by the PROJECT;
NOW THEREFORE, THE CITY AND THE ARTISTS IN CONSIDERATION OF THE
CONDITIONS AND COVENANTS HEREIN DO AGREE AS FOLLOWS:
SECTION 1 DURATION OF CONTRACT

SECTION 2 SCOPE OF WORK
A. The ARTISTS will use their best efforts to perform the services required under
this contract in a satisfactory and competent manner. Should the ARtFISTS
employ and subcontract with any third persons in the performance of this
contract, the ARTISTS agree that all such third persons will be bound by the
terms and conditions of this contract.
B. The CITY retains the ARTISTS upon the terms and conditions contained herein
to perform the services described in Exhibit One captioned Scope of Work and
incorporated into this agreement.
C. The Scope of Work divides the ARTISTS' services into two phases: Phase I,
related to the design of the art project, and Phase II, related to the execution of the
art project. Each phase shall have a defined Scope of Work describing the

services provided by the ARTISTS and hence the relative compensation to the
ARTISTS. The ARTISTS shall begin work under Phase I Scope of Work after
execution of this contract between the ARTISTS and the CITY. The ARTISTS
shall not begin work under Phase II Scope of Work until the work on Phase I has
been completed and accepted by the City of Auburn Arts Commission, and Phase
II Scope of Work has been approved by the Auburn Arts Commission.
SECTION 3. RESPONSIBILITIES OF THE ARTISTS
A. The ARTISTS shall be responsible for providing services described in Exhibit
One Scope of Work.
B. The ARTISTS agree to comply with all applicable local, state, and t~deral laws,
regulations, and ordinances regarding the performance of the work.
C. The ARTISTS shall notify the CITY of changes in their address and failure to do
so shall be deemed a waiver of the CITY'S responsibilities describecl in Sections
5 and 10.
D. The ARTISTS shall give credit in the following form for any public showings of
reproductions of work: "From the Collection of the City of Auburn .Arts
Commission, Auburn, Washington."
SECTION 4. RESPONSIBILITY OF THE CITY
A. The City shall examine documents submitted by the ARTIST, render' decisions,
and advise the ARTISTS promptly to avoid any unreasonable delay in the
progress of the ARTISTS' work.
B. The CITY shall furnish the ARTISTS with a written program of requirements for
the project, and where applicable, a survey plan of the site and/or building plans.
C. The CITY shall install a plaque identifying the ARTISTS, the title (if' any) of the
work, and the year of completion of the work.
D. The CITY shall keep a current record of the disposition and condition! of the
artwork and make that information available to the ARTISTS upon request. In
the case where the work was designed for a specific site, the ARTISTS will be
notified if, for any reason, the work has to be removed or moved to a :new location
and the ARTISTS shall have the right to advise the CITY regarding the placement
of the artwork pursuant to SECTION 9.
SECTION 5 COMPENSATION
A. The CITY shall reimburse the ARTISTS for satisfactory completion of Phase I
and Phase II of the Scope of Work specified in this contract in an amount of Six

Thousand and No/100s ($6,000.) dollars, payable after the signing of this contract
in the intervals and amounts specified in the Scope of Work Exhibit I. This lump
sum is inclusive of all applicable state and federal taxes including any
Washington State Sales Tax owed by the CITY as a result of this contract. It is
the responsibility of the ARTISTS to remit the sales taxes to the Washington State
Department of Revenue.
B. The ARTISTS shall submit invoices to the CITY as indicated in the Scope of
Work.
C. The ARTISTS are entirely responsible for cost control. No extra payments will
be allowed as a result of cost overruns.
D. If the ARTISTS fail to comply with any terms or conditions of this contract or to
provide in any manner the work or services agreed to herein, the CITY may
withhold any payment due the ARTISTS until the CITY is satisfied that
corrective action, as specified by the CITY, has been completed. This fight is in
addition to and not in lieu of the CITY' S right to terminate this contract as
provided in SECTION 12.
SECTION 6 WARRANTIES
A. The ARTISTS warrant that the design or work being commissioned is the original
product of their own creative efforts.
B. The ARTISTS warrant that the artwork is limited to an edition of one (1).
C. The ARTISTS shall be responsible for a period of one (1) year from the date of
installation of the artwork for the integrity of the materials and fabrication
techniques of the artwork and the installation. The ARTISTS' liability for breach
of this warranty shall be limited to the cost of repairs of the artwork and
installation. The responsibility for the determination of the ARTISTS' liability
for faults or defects in the work during the one ( 1 ) year period shall be solely that
of the CITY.
SECTION 7 HOLD HARMLESS AND INDEMNIFICATION
A. In providing services under this agreement, the ARTISTS are independent
contractors, and neither their agents nor employees are employees of llhe CITY for
any purpose.
The CITY assumes no responsibility for payment of any compensation, wages,
benefits, or state and/or federal taxes by, or on behalf of the ARTISTS. The
ARTISTS shall protect, indemnify and save the CITY, its officers, agents, and
employees from and against any and all costs and/or losses whatsoever occurring
or resulting from: (1) the ARTISTS' failure to pay any compensation 'wages,

benefits, or taxes; and/or (2) the supplying to the ARTISTS of work:, services,
materials or supplies by ARTISTS' employees or other suppliers in connection
with or support of the performance of this Agreement.
B. The ARTISTS further agree that they are financially responsible for and will
repay the CITY all indicated amounts following an audit exception which occurs
due to the negligence, intentional act and/or failure for any reason to comply with
the terms of this Agreement by the ARTIST, their employees, or agents. This
duty to repay the CITY shall not be diminished or extinguished by the prior
termination of the Agreement pursuant to the Duration of the Contract, or the
Termination SECTION.
C. The ARTISTS shall protect, defend, indemnify, and save harmless the CITY, its
officers, employees and agents from any and all costs, claims, judgments, and/or
awards of damages, arising out of or in any way resulting from the negligent acts
or omissions of the ARTISTS, their employees and/or agents. The ARTISTS
agree that their obligations under this subparagraph extend to any claim, demand,
and/or cause of action brought by or on behalf of any employees or agents. For
this purpose, the ARTIST, by mutual negotiation, hereby waive, as respects the
CITY only, any immunity that would otherwise be available against such claims
under the Industrial Insurance provisions of Title 51 RCW. In the event the CITY
incurs any judgment, award and/or cost arising therefrom including attorney's ·
fees to enforce the provisions of this SECTION, all such fees, expenses, and costs
shall be recovered from the ARTISTS.
SECTION 8 INSURANCE
A. The ARTISTS agree to obtain and maintain, during the time period that the work
is being installed on the CITY'S premises, comprehensive liability insurance in
minimum amounts of not less than ONE MILLION DOLLARS ($1,000,000.) per
occurrence to protect the CITY, its agents, officers, and employees from any
claims by any person for damage to persons or property arising out of or resulting
from the performance of this Agreement during the time that the work is being
installed on the CITY'S premises. The insurance policy shall name the CITY OF
AUBURN as additional insured. The policy shall require a minimum of thirty
(30) days prior written notice to the CITY of any cancellation or expiration of the
policy or any modification of any provisions of the policy. The ARTISTS shall
be required to provide a Certificate of Insurance to the CITY prior to commencing
performance under the terms of this Agreement.
SECTION 9 MAINTENANCE, ALTERATIONS, RESTORATION
AND/OR REPAIRS OF THE ARTWORK OR TO THE SITE.
A. The CITY recognizes that maintenance of the work on a regular basis is essential
to the integrity of the work. The CITY shall make reasonable efforts to assure
that the work is properly maintained and protected, taking into account the

instructions of the ARTISTS provided in the maintenance agreement and shall
make reasonable efforts to protect and maintain the work against the ravages of
time, vandalism, and the elements.
B. Except as provided herein, the CITY will not alter, modify, or chan~;e the artwork
without written authorization from the ARTISTS regarding the proposed
alteration, modification or change. Such authorization should not be
unreasonably withheld.
C. The CITY reserves the right to relocate the works of art which are not created for
a specific site, integral to the design or integral to the design or construction of a
building or site without the written permission of the ARTISTS. The CITY
reserves the fight to deaccession any works of art in accordance with procedures
for deaccessioning works of art as established by the Aubum Arts Commission.
D. The CITY will reach agreement with the ARTISTS on all repairs and restorations
other than ordinary maintenance, which are made during the lifetime, of the
ARTISTS. To the extent practical, the ARTISTS shall be given the opportunity
to accomplish such repairs and restorations at a reasonable fee. If the CITY and
the ARTISTS can not agree regarding repairs, the CITY may accomplish such
repairs as it deems necessary.
SECTION 10 RECORD KEEPING AND AUDITS
A. The ARTISTS, including their subcontractors, shall maintain records in accordance
with generally accepted accounting procedures and other evidence of all expenses
incurred in the performance of this agreement.
B. The CITY and/or federal/state/county officials shall, for the purpose of examination
and audit, have access to and be permitted to inspect such records and other evidence
of costs and expenses charged to the CITY and/or incurred for artwork related to the
PROJECT for a period of six (6) years after the completion of the project.
SECTION 11 PROPRIETARY RIGHTS AND RIGHTS OF REPRODUCTION
A. The parties to this Agreement hereby mutually agree that if any patentable or
copyrightable material or article should result from the work described herein, all
rights accruing from such materials or articles shall be the sole property of the
ARTISTS.
B. The ARTISTS expressly reserve every right available to them as common law or
under the Federal Copyright Act to control the making and dissemination of
copies or reproductions of the artwork, except as those rights are limited by this
agreement. The ARTISTS authorize the CITY and its assigns to make
photographs, drawings, and other two-dimensional reproductions of the art

without prior consent of the ARTISTS if for the sole use and benefit of the public,
including but not limited to advertising, brochures, and similar matefial.
C. The CITY shall assure that all reproductions by the CITY contain a credit to the
ARTISTS and a copyright notice substantially in the following form: "Copyright,
ARTISTS' names, all rights reserved, date", in such a manner and location as
shall comply with U. S. Copyright Laws.
SECTION 12 NON-DISCRIMINATION
A. The ARTISTS shall comply with all federal, state, and local laws and ordinances
prohibiting discrimination and employment with regard to age, sex, :race, color,
creed, national origin, or physical, mental handicap.
SECTION 13 TERMINATION
A. If either party to this Agreement shall willfully or negligently fail to fulfill in a
timely and proper manner, or otherwise violate any form of the covenants,
agreements or stipulations material to this Agreement, the other party shall
thereupon have the fight to terminate this Agreement by giving written notice to
the defaulting party of its intent to terminate specifying the grounds l'or
termination. In the event of default by the CITY, the CITY shall promptly
compensate the ARTISTS for all services performed by the ARTISTS prior to
termination. In the event of default by the ARTISTS, all finished and unfinished
drawings, sketches, photographs, models, and other work products under this
Agreement shall become the CITY'S property. The CITY shall compensate the
ARTISTS for all work as performed prior to termination. Notwithstanding, the
ARTISTS shall not be relieved of liability to the CITY for damages sustained by
the CITY by virtue of any breach of this Agreement by the ARTISTS; and the
CITY may reasonably withhold payments to the ARTISTS until such time as the
exact amount of damages due the CITY from the ARTISTS is determined.
SECTION 14 NOTICES
A. Any notice required or permitted under this Agreement may be personally served
or given in writing and shall be deemed sufficiently given or served if sent by
registered or certified mail addressed to the respective parties as follows:

Either party may by like notice at any time designate a different address to which
notices shall be sent. Notice given in accordance with these provisions shall be
deemed received when mailed.

SECTION 15 GENERAL PROVISIONS
A. This Agreement may not be changed or modified nor any provision hereof waived
except in writing agreed to by both parties.
B. This Agreement shall be construed in accordance with any and all questions with
respect hemto shall be determined by the laws of the State of Washington.
C. The non-prevailing party agrees to pay all reasonable costs, attomey"s fees and
expenses that may be incurred by the substantially prevailing party in enforcing
the provisions of this Agreement.
D. In the performance of the work the ARTISTS agrees to comply with all applicable
state and local laws, roles and regulations.

AGREEMENT FOR COMMISSIONED ARTWORK
Scope of Work
Dennis Evans and Nancy Mee, hereinafier referred to as the ARTISTS, and the City of Auburn,
hereinafier referred to as the CITY, mutually agree that an artwork will be created for the
Auburn Branch of the King County Library Systems in Auburn, Washington. The ARTISTSwill
develop an artwork for the site working with Olsort/Sundberg Architects. The ARTISTS are
expected to coordinate the design, fabrication, and installation with the Project team and the
Auburn Arts Commission.
The ARTISTS agree that an essential element of this agreement is the skill and creativity
of the ARTISTS. The ARTISTS, therefore, shall not assign the creative or artistic portions of
the work to another party without the consent of the CITY.
PHASE I DESIGN AND PROPOSAL DEVELOPMENT
Task A Preliminary Development
The ARTISTS will complete any independent research and interviews
necessary to develop preliminary ideas for the artwork. These ideas will
be presented to the Auburn Arts Commission, Auburn City COuncil, King
County Library Board, Aubum Library Board, and the Project Architects
for review. It is anticipated that the ARTISTS may be required to attend
meetings to review ideas.
Following presentation of these preliminary ideas and design,,;, the
ARTISTS will develop a primary idea into an artwork proposal based on
the recommendations of the reviewing bodies.
Task B Conceptual Artwork Proposal
1. The artwork proposal must include the following:
(a) A written description of the artwork, which describes how
the artwork relates to or reflects the uniqueness; of the
Auburn Library and the function of the facility;: and how
the community of Auburn will be reflected or involved in
the content and/or execution of the artwork

(b) A description of the proposed materials, together with a
description of their appropriateness for use in a facility with
heavy traffic flow and possible threat of vandalism
(c) A general artwork implementation budget which includes
payment of all applicable state and federal taxes, including
Washington State Sales Tax, and costs of all labor and
materials required to produce the artwork; ARTISTS'
compensation; costs of transportation and installation of
artwork; all transportation and lodging costs incurred by the
ARTISTS; costs of required insurance; documentation in
the form of two black and white photographs and two color
slides of the completed projects and costs of
architectural/engineering review. Budget shall not be less
than $15,000 or more than $45,000. Final budget approval
is subject to the approval of the City of Auburn Arts
Commission's 1999 Public Art Budget by the Auburn City
Council.
2. The ARTISTS will present the artwork proposal to the:
(a) Auburn Library Board on September 9, 1998
(b) Auburn Arts Commission on September 14, 1998
(c) Auburn Planning and Community Development
Commission on September 28, 1998
(d) King County Library Board on approximately September
30, 1998
(e) Auburn City Council on October 5, 1998
3. The artwork proposal will be evaluated on the basis of the
following criteria:
(a) Strength and quality of artistic concept and design;
(b) The degree to which the artwork concepts or execution
involved or reflect the Auburn community and the
uniqueness of the Auburn Library;
(c) The degree to which the artwork successfully addresses any
technical or functional requirements;
(d) The feasibility issues in regard to budget, materials,
maintenance and fabrication/installation. The design must
be of a durable nature and the ARTISTS must consider
issues of maintenance and public safety when designing the
artwork and recommending materials.

The artwork proposal will be reviewed for technical feasibility, in
cooperation with the design and project schedule, by the project
architect.
4. The Auburn Arts Commission and the King County Library
System reserve the right to exhibit proposal materials at its
discretion. All proposal materials will be held by the Arts
Commission for the purpose of display for a period of time to be
agreed upon with the ARTISTS. Models and original[ drawings
will be returned to the ARTISTS. All other proposal materials will
become the property of the Auburn Arts Commission.
Task C Final Proposal Development
Based on the recommendations of the Auburn Arts Commission, the
Auburn City Council, the King County Library Board, the Auburn Library
Board and the design team, the ARTISTS will make any necessary
adjustments to the design and submit the following materials:
(a) A rendering or drawing of the artwork, which includes an
indication of all materials and finishes;
(b) Samples of materials;
(c) Any required technical specifications or information, i.e.
construction and/or fabrication methods, mounting techniques and
requirements;
(d) Finalized budget
The proposed artwork may also be required to pass review by a licensed
structural engineer. The ARTISTS shall modify the design and/or
construction of the artwork based on the engineering review, if necessary.
The ~nalized proposal and required materials must be completed and
submitted to the Auburn Arts Commission by December 19, 1998.
PHASE I COMPENSATION
The ARTISTS shall be paid $6,000 for the Scope of Work included in Phase I.
This amount includes payment of any and all applicable taxes, including
Washington State Sales Tax.
Payment schedule for Phase I Scope of Work shall be as follows:
Task A $2,000 upon activation of the contract for Task A.

Task B $3,000 upon completion of Task B and presentation to the
approving bodies.
Task C $1,000 upon completion of Task C and submittal of all
required materials.
PHASE II IMPLEMENTATION AND FABRICATION
The Phase II Scope of Work will be negotiated at the completion of the Phase I
Scope of Work. The ARTISTS shall not begin work under the Phase II Scope of
Work until work on Phase I has been completed and a written Notice to Proceed
has been issued by the CITY.
It is anticipated that the Phase II Scope of Work will include, but not limited to,
the following:
A. A detailed description and model of the proposed artwork.
B. A project budget which will be approved as a part of the Scope of Work.
The ARTISTS shall provide all labor and materials necessaDt to (a)
produce and complete a finished work of art, (b) deliver the artwork, and
(c) install the artwork.
C. A construction schedule for the artwork.
1. It will be the responsibility of the King County Library System
Facility Maintenance Service office, hereinafter refen'ed to as
KCLFMS, to inform the ARTISTS- in writing - of all construction
scheduling information as it becomes available and of the
deadlines relevant to the ARTIST'S project; and all provisions set
forth for working within the project areas.
2. The ARTISTS shall be responsible for completion of fabrication,
delivery and installation of the artwork in accordance with the
agreed upon schedule. The ARTISTS will seek out regular
updates from KCLSFMS office on scheduling information and
deadlines relevant to the art project.
3. The ARTISTS shall coordinate the schedule for implementation
and completion of all studio fabrication with the Auburn Arts
Commission.
4. The ARTISTS shall coordinate all activities necessary for
implementation of on-site fabrication, delivery, and installation
with the KCLSFMS staff. On-site activities must be coordinated

in accordance with the construction schedule. ARTISTS must
comply with all provisions provided by KCLSFMS fi>r working
with the project areas. The KCLSFMS staff shall give the
ARTISTS not less than 60 days notice of the time in which the
ARTISTS are to begin delivery, on-site fabrication and installation
of the artwork.
D. In the event that the ARTISTS must make changes to the design during
construction, the ARTISTS shall present any significant changes in the
scope, design, character or medium of the project to the CITY for
approval. Aesthetic changes must be approved by the Auburn Arts
Commission.
E. In the event that the CITY or the KCLSCMS must make changes during
the construction to the designated site, the ARTISTS will be notified
immediately of the proposed changes. The Auburn Arts Commission and
the KCLSCMS will work with the ARTISTS to find means of mitigating
any negative impacts to the art projects.
F. The ARTISTS will provide information to the CITY regarding materials
and finishes to be used in the creation of the artwork. Substitutions may
be requested by the CITY in the event that the proposed materials do not
comply with health and safety issues, ADA requirements, or fire code
ratings.
G. The ARTISTS will be given an opportunity to review interior design
selections relevant to the ARTIST' S designated site, includinb furniture,
lighting, wall colors, floor ceiling, and surface treatments.
H. The ARTISTS may be required to make a public presentation regarding
the finished artwork. This presentation will be coordinated by the Auburn
Arts Commission staff.
I. Upon completion of the artwork, and prior to final payment, the ARTISTS
must submit to the CITY the following:
1. Two (2) 35 mm color slides;
2. Two (2) 8" x 10" glossy black and white photographs of the work
as documentation;
3. A completed care information form, supplied by the C][TY, which
details the materials used in and the care required for each work
covered by this agreement;
4. An ARTISTS' statement concerning the artwork purchased under
this agreement;
5. The ARTISTS' professional resume.

PHASE H COMPENSATION
The payments for Phase II Scope of Work will be made as follows:
30% Upon attendance at planning meeting and issuance of the Not. ice to
Proceed to Phase II Scope of Work.
65% Distribution to be determined upon acceptance of the artwork: proposal,
based on budget, deliverables and project milestones.
5% Upon receipt of support materials and final acceptance of the artwork.
At each fee/fabrication milestone outlined above, the ARTISTS will submit a brief
written report, which describes project progress to date. The ARTISTS should submit
samples of materials if they are available.
All invoices should be mailed to: City of Auburn Arts Commission, 25 West Main
Street, Auburn, WA 98001 (Telephone: 253-804-5049; fax is 253-288-3132).
The ARTISTS will submit the final invoice and other documents as are required by this
contract/agreement within thirty (30) days of completion of the Scope of Work. Unless
waived by the CITY in writing failure by the ARTISTS to submit the final invoice and
required documents will relieve the CITY from any and all liability for payrnent to the
ARTISTS for the amount set forth in such invoice or in any subsequent invoice.
