A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF AUBURN,
3 WASHINGTON, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT FOR SERVICES WITH COMMUNITY HEALTH CENTERS OF SOUTH
4 KING COUNTY TO PROVIDE HEALTH SERVICES TO AUBURN RESIDENTS
DURING 1999.

8 THE CITY COUNCIL OF THE CITY OF AUBURN, KING COUNTY,
7 WASHINGTON, IN A REGULAR MEETING DULY ASSEMBLED, HEREWITH
8 RESOLVES AS FOLLOWS:
9 Section 1. The Mayor and City Clerk of the City of

Auburn, Washington, are hereby authorized to enter into an
Agreement for Services with Community Health Centers of South
]2
King County to provide health services to Auburn residents
during 1999. A copy of the Agreement is attached and is
]4
designated as Exhibit "A" and is incorporated by reference in
this Resolution.

Section 2. The Mayor is hereby authorized to implement
]7
such administrative procedures as may be necessary to carry
]8
19 out the directires of this ~i~m;~ation.

AGREEMENT FOR SERVICES

3 THIS AGREEMENT made and entered into this /~'~' day of
4 ~~L~~ , 1999, by and between the CITY OF AUBURN, a
5 municipal corporation of the State of Washington, hereafter
6 referred to as ~CITY" and COMITY HEALTH CENTERS OF
7 KING COUNTY, a non-profit corporation organized under the laws

10 referred to as "COMMUNITY HEALTH CENTERS OF -B{~t~- KING
11 COUNTY".
]2 WHEREAS, COMMUNITY HEALTH CENTERS OF KING COUNTY provides
]3 a valuable service to the CITY and its residents through the
]4 dispensation of medical and health services; and
]5 WHEREAS, the CITY is interested in continuing support of
16 the dispensation of medical and health services.
]7 NOW, THEREFORE, In consideration of the covenants and
18 conditions of this Agreement, the parties agree as follows:
19 I. PURPOSE.
20 The purpose of this Agreement is to provide for an
21 appropriation to COMMUNITY HEALTH CENTERS OF KING COUNTY for
22 providing health services to Auburn residents during the 1999
23 term. This continued support is in recognition of the fact

that the demand for the services delivered by the COMMUNITY
HEALTH CENTERS OF KING COUNTY continues to rise.
II. SCOPE OF SERVICES.

The parties agree and understand that COMMUNITY HEALTH
5
CENTERS OF KING COUNTY agrees to provide comprehensive health
services to Auburn residents through COMMUNITY HEALTH CENTERS
7
OF-SQ~I~44 KING COUNTY'S Auburn Community Health Center as well
8
as Community Health Centers of King County's five other
9
medical facilities. Health services shall include but are not
]0
limited to those services described as follows:
11
A. Diagnosis and treatment of acute and chronic illness
12
and minor injuries; chronic disease management;
health screening for STDs, cancer, diabetes, and
14
high blood pressure, preventative care.
15
B. Services of an additional family practice physician
16
and dentist to serve Auburn residents.
17
In addition, COMMUNITY HEALTH CENTERS OF KING COUNTY
18
agrees to work closely with the CITY OF AUBURN in developing
19
and improving other ways to address the needs of Auburn
20
residents served through the COMMUNITY HEALTH CENTERS OF~gQU~kL

III. STATUS REPORT
23 OF KING COUNTY
COMMUNITY HEALTH CENTERS/shall develop and provide to the
24
City within 60 days after the completion of the 1999 calendar
25

year a status report containing a program evaluation component
2
commonly referred to as the "Logic Model" which will show the
intended linkages between the activities conducted and the
4
changes the activities will produce.
5
A. The components of the evaluation will:
1) Identify both process and outcome portions of the
7
health care and dental programs;
8
2) Show the relationship of program resources and
9
activities to the expected results or outcomes;
]0
3) Help identify those questions the evaluation is to
]1
answer;
]2
4) Provide a graphic summary of how program parts
13
relate to the whole;
14
5) Make explicit the underlying theory of the program,
15
and
6) Identify measurable categories in the program
17
evaluation.

that the anticipated change has or has not
occurred;
4
c) The method for gathering information needed to
5
indicate the outcomes that have occurred;

a) Initial Collection and assessment of the

information acquired to include:

alterations in the anticipated outcomes or
10
alteration in the methodology of information
11
gathering.

3) 4th Quarter 1999
a) Information collected;
14
b) Conclusions developed as a result of the
15
information.

IV. TERM.
17
The term of this Agreement shall commence on January 1,
18
1999 and shall expire on December 31, 1999.
19
V. COMPENSATION.
20
As full and total payment for the services provided under
21
this Agreement, the CITY agrees to pay COMMUNITY HEALTH
22
CENTERS OF KING COUNTY for health services provided to Auburn
residents by an additional family practice physician and
24
dentist in an amount not to exceed TWENTY THOUSAND DOLLARS

($20,000). COMMUNITY HEALTH CENTERS OF KING COUNTY will
submit a statement to the CITY quarterly describing services
that it has rendered under the terms of this Agreement and the

CITY will pay an amount equal to one-quarter of the total
5
amount by the twenty-eighth (28th) day of the month following
the end of the quarter. However, the final statement of
7
services rendered will be submitted on or before December 15,
8
1999.

VI. INDEMNIFICATION.
]0
COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to defend,
11
indemnify, and hold harmless the CITY, its elected and
]2
appointed officials, employees and agents from and against any
13
and all claims, demands and/or causes of action of any kind or
14
character whatsoever arising out of or relating to services
15
provided by COMMUNITY HEALTH CENTERS OF-SOWTII KING COUNTY, its
16
employees, volunteers or agents concerning any and all claims
17
by any persons for alleged injury or damage to persons or
18
property to the extent caused by the negligent acts, errors or
19
omissions of COMMUNITY HEALTH CENTERS OF -~95M~ff KING COUNTY,
20
its employees, volunteers or agents or representatives. In the
21
event that any suit or claim for damages based upon such
22
claim, action, loss or damage is brought against the CITY,
23
COMMUNITY HEALTH CENTERS OF KING COUNTY shall defend the same
24
as its sole costs and expense; provided that the CITY retains

the right to participate in said suit if any principle of
governmental or public law is involved; and if final judgment
be rendered against the CITY and/or its officers, elected

officials, agents and employees or any of them or jointly
5
against the CITY and COMMUNITY HEALTH CENTERS OF KING COUNTY
6
and their respective officers, agents, volunteers, employees
7
or any of them, COMMUNITY HEALTH CENTERS OF KING COUNTY shall
8
fully satisfy the same and shall reimburse the CITY any costs
9
and expense which the CITY has incurred as a result of such
10
claim or suit. The provisions of this section shall survive
11
the expiration or termination of this Agreement.

VII. INDEPENDENT AGREEMENT OR/ASSIGNMENT.
The parties agree and understand that COMMUNITY HEALTH
]4
CENTERS OF KING COUNTY is an independent contractor and not
the agent or employee of the CITY and that no liability shall
]8
attach to the CITY by reason of entering into this Agreement

except as provided herein. The services required under this
]8
Agreement may not be assigned or subcontracted by COMMUNITY
19
HEALTH CENTERS OF KING COUNTY without the prior written
20
consent of the CITY.

VIII. INSURANCE.
COMMUNITY HEALTH CENTERS OF KING COUNTY shall procure and
23
maintain for the duration of this Agreement insurance against
24
claims for injuries to persons or property which may arise

from or in connection with services provided by COMMUNITY
2
HEALTH CENTERS OF ~{~I~H-KING COUNTY, it agents, employees or
volunteers under this Agreement. COMMUNITY HEALTH CENTERS OF
4
KING COUNTY agrees to provide comprehensive general liability
5
insurance and shall maintain liability limits of not less than
ONE MILLION DOLLARS ($1,000,000) combined single limit
7
coverage per occurrence for bodily injury, personal injury and
8
property damage. COMMUNITY HEALTH CENTERS OF KING COUNTY
9
shall also provide and maintain professional liability
10
coverage including errors and omissions coverage in the
11
minimum liability amount of ONE MILLION DOLLARS ($1,000,000)
12
combined single limit per occurrence for bodily injury,
13
personal injury and property damage. Any deductibles or self
14
insured retentions in either policies must be declared to and
15
approved by the CITY. At the option of the CITY either: The
insurer shall reduce or eliminate such deductibles or self
17
insured retentions as respects the CITY, its officials and
18
employees; or COMMUNITY HEALTH CENTERS OF KING COUNTY shall
19
procure a bond guaranteeing payment of losses and related
20
investigations, claim administration and defense expenses.

The policies are to contain or be endorsed to contain the
22
following provisions:

A. GENERAL LIABILITY COVERAGE:
2
1) The CITY, its elected and appointed officials,
employees and agents are to be covered as insureds
4
as respects: Liability arising out of services and
5
activities performed by or on behalf of COMMUNITY
6
HEALTH CENTERS OF-~H-KING COUNTY, its employees,
7
agents and volunteers. The coverage shall contain
8
no special limitations on the scope of protection
9
afforded to the CITY, its elected and appointed
10
officials, employees or agents.

B. GENERAL LIABILITY AND PROFESSIONAL LIABILITY
12 COVERAGES:
13 1) COMMUNITY HEALTH CENTERS OF{~}BTH-KING COUNTY'S
14 insurance coverage shall be primary insurance
]5 as respects the CITY, its officials, employees
16 and agents. Any insurance or self insurance
]7 maintained by the CITY, its officials,
18 employees or agents shall be in excess of
]9 COMMUNITY HEALTH CENTERS OF~NSTM-KING COUNTY'S
20 insurance and shall not contribute with it.
21
2) Any failure to comply with reporting provisions
22 of the policy shall not affect coverage
23 provided to the CITY, its officials, employees
24
or agents.

3) Coverage shall state that COMMUNITY HEALTH
2
CENTERS OF-~Q%uT4~ KING COUNTY'S insurance shall
3
apply separately to each insured against whom
4
claim is bought or suit is brought except with
5
respect to the limits to the insurer's
6
liability.
7
4) Each insurance policy required by this clause
8
shall be endorsed to state that coverage shall
9
not be suspended, voided, cancelled, reduced in
10
coverage, or in limits except after thirty (30)
1]
days prior written notice by certified mail
12
return receipt requested has been given to the
CITY. COMMUNITY HEALTH CENTERS OF KING COUNTY
14
agrees to provide copies of the Certificates of
15
Insurance to the CITY at the time that this
Agreement takes effect.
17
5) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
]8
furnish the CITY with Certificates of Insurance
19
and with original endorsements affecting
20
coverage required by this clause. The
2]
certificate and endorsements for each insurance
22
policy are to be signed by a person authorized
by that insurer to bind coverage on its behalf.
The CITY reserves the right to require

complete, certified copies of all required
2
insurance policies at any time.
6) COMMUNITY HEALTH CENTERS OF KING COUNTY shall
4
include all volunteers, employees and agents
5
under its policies or shall furnish separate
certificates and endorsements for each. All
7
coverages for volunteers shall be subject to
8
all the requirements stated herein.
9
IX. NONDISCRIMINATION.
10
COMMUNITY HEALTH CENTERS OF KING COUNTY shall not
]1
discriminate under any services or programs to which this
]2
Agreement may apply directly or through contractual or other
arrangements on the grounds of race, color, creed, religion,
]4
national origin, sex, age, or the presence of any sensory,
15
mental or physical handicap.
16
X. BOOKS AND RECORDS.
17
COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
18
maintain separate accounts and records in accordance with
19
State Auditor's procedures, including personnel, property,
20
financial and programmatic records which sufficiently reflect

direct and indirect costs and services performed under this
22
Agreement. COMMUNITY HEALTH CENTERS OF KING COUNTY agrees to
23
maintain all books and records relating to this Agreement for
24
a period of three (3) years following the date that this
25

Agreement is expired or otherwise terminated. The parties
2
agree that the CITY OF AUBURN may inspect such documents upon
good cause at any reasonable time within the three (3) year
4
period.
5
XI. TERMINATION OF AGREEMENT.
This Agreement may be terminated by either party upon ten
7
(10) days written notice should the other party fail
8
substantially to perform in accordance with its terms through
9
no fault of the other.

XII. GENERAL PROVISIONS.
11
A. COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
12
to submit a report to the CITY no later than
December 15, 1999, describing the progress and
]4
activities performed for the year 1999 under
15
its scope of services.
B. This Agreement shall be governed by the laws,
17
regulations and ordinances of the City of
18
Auburn, the State of Washington, and County of
19
King and where applicable, Federal laws.
20
C. The CITY and COMMUNITY HEALTH CENTERS OF KING
21
COUNTY respectively bind themselves, their
22
successors, volunteers, assigns and legal
representatives to the other party to this
24

Agreement and with respect to all covenants to
this Agreement.
D. This Agreement represents the entire and
4
integrated Agreement between the CITY and
5
COMMUNITY HEALTH CENTERS OF KING COUNTY and
supersedes all prior negotiations. This
7
Agreement may be amended only by written
8
instrument signed by both the CITY and
9
COMMUNITY HEALTH CENTERS OF~%~{-KING COUNTY.

E. Should it become necessary to enforce any term
]!
or obligation of this Agreement, then all costs
]2
of enforcement including attorneys fees and
expenses and court costs shall be paid to the
]4
substantially prevailing party.
F. COMMUNITY HEALTH CENTERS OF KING COUNTY agrees
to comply with all local, state and federal
]7
laws applicable to its performance under this
]8
Agreement.
